    New principal shareholder

    Yesterday, CLIQ Digital AG (“CLIQ” or “Company”) was informed that Dylan Media B.V. (“Dylan Media”) now holds approximately 19.1% of the shares in the Company and has entered into purchase agreements for an additional 21.2%, resulting in a combined stake of 40.3% in the Company’s outstanding share capital.

    Potential public partial share repurchase offer by CLIQ

    Dylan Media has formally requested that CLIQ’s Management Board and Supervisory Board include an agenda item for the Annual General Meeting 2025 relating to a significant share buyback offer (public partial share repurchase offer by the Company). The proposed repurchase offer would involve CLIQ offering to buy back up to 2,060,000 shares at €6.06 per share, which would equate to 59% of the Company’s remaining free floating share capital. This offer price is 15% higher than the six-month volume-weighted average share price (VWAP) before yesterday’s announcement. Dylan Media reserves the right to amend its request pending the release of updated financial information ahead of the Annual General Meeting.

    If resolved, this share buyback offer would trigger the acquisition of treasury shares, which would then be redeemed after the completion of CLIQ’s share buyback offer and reduce CLIQ’s share capital accordingly. Dylan Media has committed not to participate in this offer with the CLIQ shares it holds.

    Once resolved by the Annual General Meeting, shareholders have the possibility to divest for €6,06 contingent on the number of shares offered by shareholders in the repurchase offer. The proposed repurchase price would equate an increase of 75% to the Xetra closing price of €3.46 prior to the ad hoc announcement of the Company on 6 March 2025.

    Delisting

    Given the significant changes to the Company’s shareholder structure, the limited demand and liquidity of the shares, and the capital market no longer being the most viable option for the Company’s financing, while facing substantial ongoing listing obligations, expenses and opportunity costs, the Company continues to consider a delisting of the shares from all stock exchanges to be in general in the interest and as the right course of action for the Company and intends to decide on a delisting after completion of the share buyback offer. The Company will inform the shareholders and the capital market on the result of the share buyback offer and the further considerations with regard to a delisting in due course.

    Should the delisting take place, the rights of CLIQ’s minority shareholders will generally remain unchanged, except that CLIQ will no longer be subject to capital market reporting requirements, and shareholders will lose the ability to sell their shares via the official stock exchanges.

    No Public partial acquisition offer by Dylan Media

    In light of this increased ownership, Dylan Media has confirmed that it will no longer pursue the previously considered public partial tender offer to CLIQ shareholders. The decision reflects a shift in strategy now that the threshold for significant influence has been reached through direct acquisitions.

(Nasdaq: MU) and the Trump Administration today announced Micron’s plans to expand its U.S. investments to approximately $150 billion in domestic memory manufacturing and $50 billion in R&D, creating an estimated 90,000 direct and indirect jobs. As part of today’s announcement, Micron plans to invest an additional $30 billion beyond prior plans which includes building a second leading-edge memory fab in Boise, Idaho; expanding and modernizing its existing manufacturing facility in Manassas, Virginia; and bringing advanced packaging capabilities to the U.S. to enable long-term growth in High Bandwidth Memory (HBM), which is essential to the AI market. Additionally, Micron is announcing a planned $50 billion domestic R&D investment, reaffirming its long-term position as the global memory technology leader. As previously announced, Micron’s investment includes its ongoing plans for a megafab in New York.

    Micron’s approximately $200 billion broader U.S. expansion vision includes two leading-edge high-volume fabs in Idaho, up to four leading-edge high-volume fabs in New York, the expansion and modernization of its existing manufacturing fab in Virginia, advanced HBM packaging capabilities and R&D to drive American innovation and technology leadership. These investments are designed to allow Micron to meet expected market demand, maintain share and support Micron’s goal of producing 40% of its DRAM in the U.S. The co-location of these two Idaho fabs with Micron’s Idaho R&D operations will drive economies of scale and faster time to market for leading-edge products, including HBM.

    Micron has already achieved key construction milestones on its first Idaho fab with DRAM output scheduled to begin in 2027. The second Idaho fab will increase Micron’s production of DRAM in the U.S., serving growing market demand fueled by AI, while the company expects to begin ground preparation in New York later this year following completion of state and federal environmental review processes. Micron expects its second Idaho fab to come online before the first New York fab. Micron will continue to manage its supply growth consistent with market conditions.

  • MIL-OSI: CUSIP Request Volumes for New Corporate and Municipal Securities Increase in May

    NORWALK, Conn., June 12, 2025 (GLOBE NEWSWIRE) — CUSIP Global Services (CGS) today announced the release of its CUSIP Issuance Trends Report for May 2025. The report, which tracks the issuance of new security identifiers as an early indicator of debt and capital markets activity over the next quarter, found a monthly increase in request volume for new corporate and municipal identifiers.

    North American corporate CUSIP requests totaled 7,835 in May, which is up 2.1% on a monthly basis. On an annualized basis, North American corporate requests were up 3.7% over May 2024 totals. The monthly increase was driven by an 8.2% rise in request volume for U.S. corporate debt identifiers, a 13.8% increase in requests for certificates of deposit (CDs) with maturities shorter than one year and a 5.7% increase in requests for CDs with maturities longer than one year.

    The aggregate total of identifier requests for new municipal securities – including municipal bonds, long-term and short-term notes, and commercial paper – rose 24.6% versus April totals. On a year-over-year basis, overall municipal volumes were up 21.3% through the end of May. Texas led state-level municipal request volume with a total of 154 new CUSIP requests in May, followed by New York (113) and California (109).

    “With the jury still out on the future of potential interest rate cuts in the U.S., issuers were coming to the market at a healthy clip in May,” said Gerard Faulkner, Director of Operations for CGS. “Perhaps most noteworthy is the monthly surge we’ve seen in request volume for new short-term CD identifiers, which suggests that at least some market participants are banking on high rates sticking around for a while longer.”

    Requests for international equity CUSIPs rose 23.3% in May and international debt CUSIP requests rose 21.1%. On an annualized basis, international equity CUSIP requests were up 18.2% and international debt CUSIP requests were up 14.5%.

    At Jyske Bank A/S’ extraordinary general meeting on 24 April 2025, it was finally decided to reduce Jyske Bank’s share capital by a nominal value of DKK 27,651,180, corresponding to 2,765,118 shares of a nominal value of DKK 10. The capital reduction takes place through cancellation of own shares and will be spent on payment to shareholders.
