  • MIL-OSI Security: Final Defendant Pleads Guilty in Federal Pandemic Fraud Unemployment Benefits Scheme

    ABINGDON, Va. – The final defendant charged in a 17-member conspiracy that defrauded the United States, committed program fraud and mail fraud in connection with a scheme involving the filing of fraudulent claims for pandemic unemployment benefits pled guilty today in U.S. District Court in Abingdon.

    Jason Dale Worley, 47, of Meadowview, Virginia, pled guilty today to filing a fraudulent claim for pandemic unemployment benefits. He will be sentenced on August 29, 2025.

    Earlier this month, Crystal Shaw was sentenced to 60 months in federal prison for her role in the conspiracy. Shaw, one of the lead organizers of this conspiracy, was sentenced to the statutory maximum term of imprisonment. She was also ordered to pay $287,459 in restitution to the Virginia Employment Commission for her role in this conspiracy.

    Previously sentenced as part of the conspiracy were: Christopher Webb, 20 months; Russell Stiltner, 24 months; Jessica  Lester, 19 months; Cara Camille Bailey, 19 months; Justin Meadows, 18 months; Terrence Vilacha, 18 months; Joseph Hass, 27 months; Daniel Horton, 21 months; Brian Addair, 24 months; and Stephanie Amber Barton, Hayleigh McKenzie Wolfe, Clinton Michael Altizer, and Jeramy Blake Farmer were each sentenced to 12 months and 1 day.

    Jonathan Webb, the individual charged with recruiting others to file fraudulent claims, mostly inmates at local jails, was sentenced to 48 months in prison and was ordered to pay $150,218 in restitution. Josef Brown, another incarcerated individual who recruited others to file fraudulent claims, was sentenced to 35 months in prison and was ordered to pay $119,660 in restitution.

    All defendants were also ordered to pay restitution to the Virginia Employment Commission for the fraudulent claims.

    According to court documents, between March 2020 and September 2021, Josef Brown, Jonathan Webb, and Crystal Shaw developed a scheme to file fraudulent claims and recertifications for pandemic unemployment befits via the Virginia Employment Commission website. The scheme involved the collection of personal identification information (PII) of inmates housed at SWVRJA-Haysi and Abingdon, as well as personal friends and acquaintances of Brown, Webb, and Shaw. The conspirators used that information to file fraudulent claims and recertifications for pandemic unemployment benefits for incarcerated individuals and others who were ineligible for the benefits.

    In total, the defendants stole $341,205 in pandemic relief to which they were not entitled.

    As part of the Pandemic Response Accountability Committee (PRAC) Task Force, this investigation was conducted by the Special Inspector General for Pandemic Recovery. The PRAC’s 20 member Inspectors General were charged with identifying major risks that cross program and agency boundaries to detect fraud, waste, abuse, and mismanagement in the more than $5 trillion in COVID-19 spending. According to the United States Department of Labor, Virginia paid approximately $1.1 billion in fraudulent unemployment claims between April 1, 2020, and March 31, 2021.

    Acting United States Attorney Zachary T. Lee, Stanley M. Meador, Special Agent in Charge of the FBI’s Richmond Division, Syreeta Scott, Special Agent in Charge, Mid-Atlantic Region, U.S. Department of Labor’s Office of Inspector General (DOL-OIG), and Virginia Attorney General Jason Miyares announced the sentences.

    Agencies that assisted with this investigation included the Dickenson County Sheriff’s Office, the Southwest Virginia Regional Jail Authority, the FBI, U.S. Department of Labor, Office of Inspector General, and the Virginia Employment Commission.

    Special Assistant U.S. Attorney M. Suzanne Kerney-Quillen, a Senior Assistant Attorney General with the Virginia Attorney General’s Major Crimes and Emerging Threats Section, and Assistant United States Attorney Danielle Stone are prosecuting the case for the United States.

  • MIL-OSI Security: Former Solon-based Manufacturer to Pay $6M to Resolve False Claims Act Allegations Relating to Paycheck Protection Program

    CLEVELAND – The Justice Department has announced that Cosmax USA, a corporation having previously done business as two separate entities, Cosmax USA and Nu-World Corporation, has agreed to pay $6 million, of which $3 million is restitution, to resolve allegations under the False Claims Act (FCA) that they knowingly provided false information to obtain Paycheck Protection Program (PPP) loans and loan forgiveness. The companies are part of a global conglomerate that supplies cosmetics and nutritional supplements. Nu-World was merged into Cosmax USA in 2023.

    Cosmax USA operated a manufacturing facility in Solon, Ohio up until 2023. This settlement resolves a lawsuit filed by a former employee who worked at that location. Under the whistleblower provisions of the FCA, an individual, known in legal terms as the “relator,” may file suit on behalf of the United States for false claims and share in a portion of the government’s recovery. The relator in this case, Alexander Novik, served as Cosmax USA’s controller and also in its human resources department.

    The PPP was launched through the Small Business Administration (SBA), with the enactment of the Coronavirus Aid, Relief and Economic Security (CARES) Act in 2020. The program provided eligible companies with financial support as businesses faced unprecedented challenges brought on by the COVID-19 pandemic. This resolution addresses two alleged violations in which the United States contended that Cosmax USA and Nu-World submitted false information to be eligible to receive PPP funds.

    First, the resolution addresses allegations that Nu-World submitted an application in April 2020 for a First-Draw PPP loan, and an application for forgiveness of that loan in 2021, based on a calculated loan amount that was partially based on payments to temporary employees who were not employees of Nu-World.

    Second, the resolution addresses allegations that Cosmax USA falsely certified that it was a small business with fewer than 300 employees (including employees at affiliated companies) when it submitted its Second-Draw PPP loan application. In reality, the number of Cosmax USA’s employees, when combined with the number of employees working at its affiliate Nu-World, exceeded the PPP program’s 300-employee limit.

    The resolution obtained in this matter was the result of a coordinated effort between the Civil Division’s Commercial Litigation Branch, Fraud Section, and the U.S. Attorney’s Office for the Northern District of Ohio, with assistance from the SBA’s Office of General Counsel (SBA-OGC) and Office of Inspector General (SBA-OIG).

    Trial Attorney Graham D. Welch of the Justice Department’s Civil Division and Assistant U.S. Attorney J. Jackson Froliklong for the Northern District of Ohio handled the matter, with assistance from Thomas W. Rigby and Arlene P. Messinger Lerner of the SBA.

  • MIL-OSI Security: Maryland Man Sentenced for Drug Trafficking in Eastern Panhandle

    CLARKSBURG, WEST VIRGINIA – Juan Manuel De La Rosa-Tejeda, also known as “Little Papi,” age 39, of Hagerstown, Maryland, was sentenced to 121 months in federal prison for cocaine distribution.

    According to court documents and statements made in court, De La Rosa-Tejeda was one of the leaders of the drug trafficking conspiracy, selling large quantities of fentanyl, heroin, and cocaine in Berkeley County and using a business in Hagerstown, Top 3 Sources Appliances, as a central hub for the drug sales. De La Rosa-Tejeda’s home was searched, and officers found $121,670. A search of Top 3 Sources yielded nearly nine kilograms of cocaine and more than one kilogram of heroin.

    Assistant U.S. Attorney Lara Omps-Botteicher prosecuted the case on behalf of the government.

  • MIL-OSI Security: Gang Member Sentenced to 16.5 Years After Conviction at Trial for Leadership Role in Memphis Mob Drug Conspiracy

    Memphis, TN – A federal judge has sentenced a Memphis man to more than 16 years in federal prison for his involvement in an armed drug trafficking operation.  Jeffery “Bud B” Sevier, 48, of Memphis, was sentenced to 198 months in federal prison for conspiring to distribute cocaine.  U.S. District Court Judge Mark S. Norris also ordered Sevier to serve four years of supervised release upon completion of his prison term. Interim United States Attorney Joseph C. Murphy, Jr. announced the sentence today.

    According to information presented at trial and the sentencing hearing, while looking into drug trafficking activity by members of the Memphis Mob, investigators identified a North Memphis home from which narcotics were being sold.  On March 4, 2019, someone allegedly stole narcotics from the house which led to shots being fired.  A Memphis police officer responded and witnessed someone with a gunshot wound to the head running away from the house.  Surveillance video from the house showed Sevier at the location, with co-conspirators firing into a vehicle occupied by five people including a minor child. One person was injured from the shooting but survived. Sevier was arrested on the scene and provided false information to the police. 

    In addition, the surveillance video showed Memphis Mob members distributing narcotics from the North Memphis house daily until the shooting, after which the group relocated operations.

    In July 2022, Sevier was convicted of conspiracy to possess with intent to distribute cocaine.  At sentencing, the Court held Sevier responsible for 4.5 kilograms of cocaine, holding a leadership role in the Memphis Mob directing others to sell narcotics on the gang’s behalf, and maintaining control over the gang’s drug distribution house.

    There is no parole in the federal system.

    Acting Special Agent in Charge Jason Stankiewicz stated, “The ATF will continue to use its resources to combat illegal firearm possession, drug distribution, and violent acts of crime. We will continue to work closely with our local, state, and federal law enforcement partners to ensure public safety in the communities that we serve.”

    This prosecution is part of an extensive investigation by the Organized Crime and Drug Enforcement Task Force (OCDETF). OCDETF is a joint federal, state, and local cooperative approach to combat drug trafficking organizations and organized criminal enterprises, targeting national and regional level drug trafficking organizations, and coordinating the necessary law enforcement entities and resources to disrupt or dismantle the targeted criminal organization and seize their assets.

    This case was investigated by the Bureau of Alcohol, Tobacco, Firearms, and Explosives (ATF), the Drug Enforcement Agency (DEA), the Memphis Police Department, and the Shelby County Sheriff’s Office.

    Assistant United States Attorneys Greg Allen and Michelle Kimbril-Parks prosecuted this case on behalf of the government.

  • MIL-OSI Security: New Orleans Man Sentenced For Drug Trafficking and Machinegun Crimes

    NEW ORLEANS, LOUISIANA –TIERON PRICE (“PRICE”), age 22, was sentenced on May 20, 2025 U.S. District Judge Darrel J. Papillion to 106 months in prison followed by five years of supervised release, and a $400 mandatory special assessment fee, after previously pleading guilty to two counts of possessing a machinegun, in violation of 18 U.S.C. §§ 922(o) and 924(a)(2); possession with intent to distribute tapentadol, in violation of 21 U.S.C. §§ 841(a)(1) and 841(b)(1)(C); and possession of a firearm in furtherance of a drug trafficking crime, in violation of 18 U.S.C. § 924(c)(1)(A)(i).

    According to court documents, on May 22, 2023, PRICE was driving a stolen vehicle in New Orleans.  When Louisiana State Police troopers attempted to pull him over, PRICE  led troopers on a seven-minute car chase, during which PRICE ran several red lights, disregarded stop signs, and drove the wrong way on one-way streets at high speeds.  The chase ended when PRICE struck a vehicle stopped at a red light.  PRICE and two other occupants fled but were caught.  Inside a backpack carried by one of the other occupants, there was a Glock Model 17, nine-millimeter caliber pistol, equipped with a Glock auto-sear, making the firearm a fully-automatic machinegun.  The machinegun had a bullet in the chamber and was loaded with an extended magazine containing 23 rounds of ammunition.  PRICE’s DNA was on the firearm and he later admitted ownership.

    PRICE was arrested after the car chase but subsequently released on bond.  On January 19, 2024,  New Orleans Police Department detectives executed a search warrant at PRICE’s residence in connection with an auto theft investigation.  During the search, officers found a Glock Model 19, nine-millimeter caliber pistol, a black Glock auto-sear hidden in a baby bassinet, and a drum magazine loaded with 49 rounds.  PRICE had been observed on a social media app the day before the search with the same gun equipped with the auto-sear, and the drum magazine attached.  During the search officers also found over $6,000 in cash and 95 tapentadol pills that PRICE intended to distribute.

    This case is part of Project Safe Neighborhoods (PSN), a program bringing together all levels of law enforcement and the communities they serve to reduce violent crime and gun violence, and to make our neighborhoods safer for everyone.  On May 26, 2021, the Department launched a violent crime reduction strategy strengthening PSN based on these core principles: fostering trust and legitimacy in our communities, supporting community-based organizations that help prevent violence from occurring in the first place, setting focused and strategic enforcement priorities, and measuring the results.

    The case was investigated by Federal Bureau of Investigation, the Bureau of Alcohol, Tobacco, Firearms, and Explosives, the Louisiana State Police, and the New Orleans Police Department.  It is being prosecuted by Assistant United States Attorney David Berman of the Violent Crime Unit.

    Washington, D.C. – Today, U.S. Senators Susan Collins and Tammy Baldwin (D-WI) introduced their bipartisan Screening for Communities to Receive Early and Equitable Needed Services (SCREENS) for Cancer Act to reauthorize the National Breast and Cervical Cancer Early Detection Program (NBCCEDP), a lifesaving program that provides breast and cervical cancer screening and diagnostic services for women who are low-income, uninsured, and underinsured and do not qualify for Medicaid.
    “Cancer prevention and screening programs are vital because the earlier the disease is caught, the better the prognosis,” said Senator Collins. “The NBCCEDP provides thousands of uninsured and underinsured Mainers with breast and cervical cancer screening, diagnostic, and treatment services each year. Our bipartisan legislation would reauthorize and strengthen this critical program, which has helped nearly 4,000 women in Maine receive a total of 8,198 screening tests over the past five years.”

    An estimated 319,750 people in the U.S. will be diagnosed with breast cancer and nearly 43,000 will die from the disease this year alone. Since 1991, the NBCCEDP, a partnership between the Centers for Disease Control and Prevention (CDC) and state departments of health, has provided lifesaving breast and cervical cancer screening and diagnostic services to more than six million women who are low-income, uninsured and underinsured who do not qualify for Medicaid.
    NBCCEDP has a proven record of cancer detection, detecting nearly 80,000 breast cancers and over 25,000 premalignant breast lesions. The program also provides public education, outreach, patient navigation, and care coordination to increase breast and cervical cancer screening rates and reach underserved populations. Without access to early detection programs, many people who are uninsured are forced to delay or forgo screenings, which could lead to late-stage breast cancer diagnoses.
    The SCREENS for Cancer Act would reauthorize the NBCCEDP for the first time in more than a decade and make improvements that help ensure that the program reaches more eligible women. This reauthorization would provide flexibility to NBCCEDP grantees, allowing for a greater emphasis on implementing innovative evidence-based interventions and aggressive outreach to underserved communities through media, peer educators, and patient navigators. The bill authorizes $235 million per year for FY26 through FY30.

    Congress must do more to support working families. That’s why I voted NO on President Trump’s big ugly budget bill – because it hurts everyday Americans by taking away health care, food assistance, and economic stability, all so Republicans can give massive tax breaks to billionaires and corporations.

    Trump’s Big Ugly Bill Highlights:

    • 13.7 million Americans will lose health care coverage due to cuts to Medicaid and the Affordable Care Act
    • 18 million children will lose their school lunches and experience food insecurity
    • $3.8 trillion will be added to America’s national debt – bringing our already ballooning debt to $40 trillion

    According to the nonpartisan Congressional Budget Office, 13.7 million Americans would lose their health coverage under this plan, including seniors, children, and people with disabilities. It also proposes the deepest cuts to food assistance in our nation’s history, stripping SNAP benefits from at least 3 million people a month and putting 18 million children at risk of losing their school lunches.

    Republicans have decided to give benefits to the uber wealthy at the expense of the people who are already hurting the most. Under Trump’s plan, someone making over $1 million a year gets an $82,000 tax cut, while hard working Americans are left to pay more for groceries, health care, and energy. It’s a clear case of billionaires winning and working families losing.

    Despite cutting vital services, the Republicans’ budget still adds $3.8 trillion to the national debt, threatening our economic stability and driving up inflation. Our kids and grandkids are going to be paying for Republicans’ utterly irresponsible budget.

    For months, my Democratic colleagues and I have advocated against these proposed budget cuts. Last week, when Republicans jammed their Medicaid cuts through the Energy & Commerce Committee in the middle of the night, I fought to defend Americans’ health care for over 26 hours straight.

    The American people deserve better. That’s why I voted NO today. This fight is not over: along with fellow House Democrats, I will continue to oppose any budget that prioritizes the wealthy few at the expense of the many.

    eBay’s first union, TCGunion-CWA Local 1123, condemns the company for illegal action to avoid union contract bargaining; CWA files unfair labor practice charge in response to abrupt closure

    Syracuse, N.Y. – This morning, eBay subsidiary TCGplayer abruptly announced plans to shut down its authentication center in Syracuse, N.Y., eliminating the jobs of hundreds of union workers who have been bargaining their first contract with the company. In response, the Communications Workers of America (CWA) has filed an unfair labor practice charge with the National Labor Relations Board (NLRB) alleging that the company has terminated its union employees to evade its bargaining obligations and to keep the company union-free.

    “We are outraged. Since we launched our union, eBay has waged a relentless campaign to silence us and stop our efforts to make TCGplayer better for everyone, including card enthusiasts and sellers,” said Eric Tillotson, a member of TCGunion-CWA Local 1123. “Like other tech giants and oligarchs, eBay and TCGplayer think that they can disregard workers’ rights under the current administration by deploying illegal tactics to silence us and put an end to contract negotiations. They should realize by now that we will never stop fighting.”

    TCGplayer CEO Rob Bigler called a meeting to announce the news at 8:30 a.m. ET this morning, and workers were then ordered by security to vacate the building until Saturday. Bigler did not take any questions.

    The news comes just days after eBay and TCGplayer cancelled this week’s meeting with members of the bargaining committee to finalize a fair, first contract. The collective bargaining agreement would cover authentication center workers who are responsible for ensuring that every shipment in and out of TCGplayer matches quality standards. The workers, who are the first group from eBay to form a union, have been fighting for a contract for over 600 days.

    “Many of us decided to organize because we wanted to do something about the unlivable wages and economic hardship we’ve experienced while working at TCGplayer. Now, in just a few months, we will be without jobs and will have to scramble to find employment,” said 

    Matthew Schlicht, a member of TCGunion-CWA Local 1123. “I love working at TCGplayer. Instead of respecting our union efforts, TCGplayer is upending our livelihoods.”

    Last year, TCGunion-CWA Local 1123 released a “Tapped Out at TCGplayer” report, providing shocking evidence that eBay workers are struggling to make ends meet financially. The majority of authentication center workers earn less than a living wage in Syracuse, and a majority of survey respondents have to rely on friends, family, and the government to make ends meet. TCGplayer is one of the largest online marketplaces for verification services, card games, and collectible trading cards.

    “This decision is blatant retaliation against the union organizing and a slap in the face to those who built TCGplayer from the ground up,” said Douglas Johnson, former TCGplayer seller and owner of Cardgarden. “It’s clear that they value profits over people. Sellers should think hard about whether or not they should continue using TCGplayer’s services.”

    According to eBay’s most recent proxy statement, eBay CEO Jamie Iannone’s total compensation was $21 million in 2024, which is 536 times the median annual wage for a TCGunion-CWA member in Syracuse earning $18.25 an hour. Iannone’s compensation has also increased 48% since 2022, the year that TCGplayer workers formed their union. The growing disparity between the backbone of the workplace and the oligarchs who take advantage of their labor was further emphasized in a recent Economic Policy Institute report showing that Americans’ sentiment toward unions continues to become more positive, while sympathy for large corporations is at a record low.

    “For a company that makes billions of dollars off the backs of hard-working employees, it is a shame that eBay has decided to close the sole authentication center in Syracuse. This extreme action is the result of the company’s single-minded obsession with preventing workers from having a voice on the job,” said CWA Local 1123 President James A.     “I want to thank FEMA and the Army Corps of Engineers for its hard work to clear debris all over western North Carolina. I am pleased that they will stay in North Carolina to finish existing missions, and my team looks forward to working closely with them to get those jobs done quickly. Together, we have removed more than 12 million cubic yards of debris from our roads and waterways. Unfortunately, there remains vast amounts of work yet to be done. Our state’s debris removal program is prepared to contract and execute the remaining debris removal and will work diligently and with urgency to complete those jobs as soon as possible.

    “We continue to ask President Trump to respond favorably to the state’s appeal for 100% FEMA reimbursement. This is a critical part of the state’s successful recovery. If not, North Carolina taxpayers will be responsible for a portion of the cost to remove the remaining debris, which could total hundreds of millions of dollars.”

    Today Governor Josh Stein announced that AVL Manufacturing (AVL USA, Inc.) will establish a new production facility in Charlotte to build enclosures for industrial power generators, creating more than 325 jobs. The company will invest $56 million in Mecklenburg County.

    “North Carolina’s reputation for advanced manufacturing continues to attract great companies like AVL Manufacturing to our state,” said Governor Josh Stein. “With the largest manufacturing workforce in the southeast and excellent community colleges, North Carolina is home to the resources that world-class companies depend on.” 

    AVL USA, Inc. is a new company established by AVL Manufacturing, a Canadian company with headquarters in Hamilton, Ontario. AVL specializes in the manufacture of custom industrial enclosures for large format standby power generators. The company’s products find use in a wide variety of applications, such as supplying backup power to large and hyper-scale data centers. The company’s project in Charlotte will establish a manufacturing operation in the United States to produce and assemble generator enclosures for power redundancy. The large metal casings include electric inputs, switchgear, and enclosures required for data center servers and equipment. In addition to data center power generation, AVL’s products find use in several other industries, such as the automotive, automation, construction, and emergency management sectors.

    A performance-based grant of $100,000 from the One North Carolina Fund to AVL USA, Inc. will help facilitate the company’s project into Mecklenburg County, based on the creation of 122 jobs tied to the grant. The OneNC Fund provides financial assistance to local governments to help attract economic investment and to create jobs. Companies receive no money upfront and must meet job creation and capital investment targets to qualify for payment. All OneNC grants require a matching grant from local governments, and any award is contingent upon that condition being met.

    Although wages for the 122 grant-tied jobs will vary depending on the position, the average salary for those new jobs will be $90,088. The current average wage in Mecklenburg County is $86,830.

    Incoming college freshmen will receive $40,000 Underwood-Smith Teaching Scholars award 

    CHARLESTON, W.Va. – Twenty-four high school seniors who graduated this year have been selected as West Virginia’s sixth cohort of Underwood-Smith Teaching Scholars. These students will receive the state’s newest and most prestigious scholarship of up to $10,000 per year – or $40,000 total – for their college education as they prepare to pursue rewarding careers as West Virginia teachers. 

    The Underwood-Smith Teaching Scholars Program is a competitive scholarship for high school seniors and recent high school graduates with a passion for teaching and a history of high academic achievement, community service, and active involvement in extracurricular activities while in high school.

    “I’m incredibly proud of these young scholars, and I can’t wait to see what they accomplish over the next four years and beyond,” said Dr. Sarah Armstrong Tucker, West Virginia’s Chancellor of Higher Education. “This is West Virginia’s preeminent scholarship that is helping produce new generations of outstanding teachers who are eager to make a difference in their hometowns and in the Mountain State.     • Reeflex Coil Solutions Inc. (the “Target”) completed an acquisition of all of the issued and outstanding shares in the capital of Coil Solutions Inc. (“Coil”) from all of the shareholders of Coil for aggregate consideration of $5.8 million, subject to a post-closing working capital adjustment;
    • the Target completed a non-brokered private placement of 4,139,500 subscription receipts (each, a “Subscription Receipt”) at a price of $0.20 per Subscription Receipt for aggregate gross proceeds of $827,900.     WASHINGTON, D.C. — Today, U.S. Senators Cory Booker (D-NJ) and Mazie Hirono (D-HI) introduced the Real Education and Access for Healthy Youth Act (REAHYA), legislation to authorize federal grants for comprehensive sex education programs and youth sexual health services, and end funding for harmful Title V abstinence-only programs. U.S. Representatives Alma Adams (D-NC-12) and Pramila Jayapal (D-WA-07) will introduce companion legislation in the House. 

    Despite growing needs, young people across the country still lack access to comprehensive, evidence-based sex education and sexual health services. REAHYA aims to change that by creating federal grants that would fund programs at high schools, colleges, and organizations to support the sexual health and agency of students and young people. This legislation would also require program grantees to promote gender equity and offer instruction that is inclusive of young people with varying gender identities, gender expressions, and sexual orientations.

    Specifically, REAHYA would:

    1. Authorize funding for sex education programs at elementary and secondary schools, youth-serving organizations, and institutions of higher education;
    2. Ensure these programs are age-appropriate, medically accurate, and evidence-based;
    3. Provide grants for sex education teacher training;
    4. Establish grants for youth-serving organizations or health entities to deliver sexual health services for underserved youth; and
    5. Repeal the Title V Abstinence-Only-Until-Marriage Program.

    Summary of the Qualifying Transaction

    In connection with the Qualifying Transaction, Reeflex changed its name from “Bigstack Opportunities I Inc.” to “Reeflex Solutions Inc.”.

    Pursuant to the Qualifying Transaction:

    • Reeflex Coil Solutions Inc. (the “Target”) completed an acquisition of all of the issued and outstanding shares in the capital of Coil Solutions Inc. (“Coil”) from all of the shareholders of Coil for aggregate consideration of $5.8 million, subject to a post-closing working capital adjustment;
    • the Target completed a non-brokered private placement of 4,139,500 subscription receipts (each, a “Subscription Receipt”) at a price of $0.20 per Subscription Receipt for aggregate gross proceeds of $827,900. Each Subscription Receipt converted into one common share in the capital of the Target (the “Target Share”) prior to a three-cornered amalgamation (the “Amalgamation”) described below resulting in each holder of a Subscription Receipt receiving one Reeflex Share for each Subscription Receipt held; and
    • Reeflex completed the Amalgamation pursuant to which (i) the Target amalgamated with 2704122 Alberta Ltd., a wholly-owned subsidiary of Reeflex, under the Business Corporations Act (Alberta), (ii) all of the issued and outstanding Target Shares immediately prior to the Amalgamation were cancelled and, in consideration therefor, the holders thereof received one Reeflex Share on the basis of one Target Share for one Reeflex Share and (iii) the amalgamated corporation, named Reeflex Coil Solutions Inc. (“Reeflex Coil”), is a wholly-owned subsidiary of Reeflex and Coil is a wholly-owned subsidiary of Reeflex Coil.

    Following completion of the Qualifying Transaction, the directors and officers of Reeflex are:

    • John Babic, President, Chief Executive Officer and Director;
    • Eric Szustak, Director;
    • Derrek Dobko, Director;
    • Shawn Szydlowski, Director; and
    • Trevor Conway, Chief Financial Officer and Corporate Secretary.

    The One, Big, Beautiful Bill has PASSED the House of Representatives — without a single Democrat voting to cut taxes, secure the border, or protect taxpayer-funded benefits for Americans who need them.
    Here are only a few of the policies Democrats just unanimously opposed:
    The largest tax cut in history. This means $13,300 more for American families and wage increases up to $11,000 for workers with a double-digit percent decrease to their tax bills — plus NO TAX ON TIPS, NO TAX ON OVERTIME, a tax cut on seniors’ Social Security benefits, an expanded child tax credit, and a tax deduction on American-made vehicles. Americans making between $30,000 and $80,000 per year will see their taxes cut by 15% next year.
    Raising wages. American workers will see wage increases of up to $11,600; a typical family with two kids will see take-home pay rise by up to $13,300.
    Strong border security. This makes President Trump’s border crackdown permanent with the largest investment ever — funding AT LEAST one million illegal immigrant deportations per year, thousands of miles of new border wall and barriers, 18,000+ new immigration officials, and pay raises for our great ICE and Border Patrol agents.
    Protecting Medicaid for American citizens who need it. This ENDS taxpayer-funded benefits for at least 1.4 million illegal immigrants who are gaming the system and requires able-bodied Americans to work if they receive benefits.
    Pay raises for troops. This increases special pay for servicemembers and gives them higher allowances for housing, healthcare, and family assistance.
    Ending taxpayer-funded chemical castration and mutilation. It reverses the Biden-era mandate that Medicaid cover so-called “gender transition” procedures.
    Modernizing air traffic control. This will allow President Trump to act where the Biden Administration failed by completely overhauling the systems that keep Americans flying safely and efficiently.
    Revolutionizing the nation’s defense. This funds President Trump’s Golden Dome missile defense shield, restocks America’s arsenal, expands our naval fleet, and improves military readiness to meet the needs of a changing world.
    Protecting family farmers. The bill prevents the greedy death tax from hitting two million family-owned farms that would otherwise see their exemptions cut in half and cuts taxes on farmers by over $10 billion.

    More than 200 years ago, the American steamship S.S. Savannah set sail across the Atlantic, becoming the first vessel of its kind to complete the journey.  That daring voyage marked the start of American maritime excellence.  From that first crossing to the increasingly important shipping lanes of today, America’s strength at sea has always been driven by the United States Merchant Marine and the skilled merchant mariners who support our economy and readiness in times of peace, crisis, and war.
    Merchant mariners play a vital role in our national defense, standing ready to support military operations whenever they are needed.  As civilian seafarers, they deliver troops, weapons, and supplies through dangerous conditions to sustain our Armed Forces in times of conflict.  During World War II, more than 243,000 merchant mariners risked their lives to aid the war effort and help secure victory and freedom.  Their service came at a price as these merchant mariners suffered a higher casualty rate than all branches of the United States military during the war.  Their courage and heroism reflect a deep commitment to the Nation that we hold in the highest honor and shall never forget.
    Beyond their role in national defense, merchant mariners help drive American economic strength.  They operate the vessels that transport goods, energy, and raw materials to and from our shores, supporting global trade and connecting United States producers with international markets.  Their work supports key industries across the American economy, including shipping, shipbuilding, logistics, and energy.

    Created in Australia, “Run It Straight” is a new, ultra-violent combat sport.

    Across a 20×4 metre grassed “battlefield,” players charge at full speed toward one another.

    Alternating between carrying the ball (ball runner) and defending (tackler), victory is awarded via knockout (a competitor cannot continue), or a judge’s decision based on an athlete’s dominance during the collisions.

    Despite neuroscientists issuing grave warnings about the brutal sport’s risks, Run It Straight’s viral popularity, including endorsement among high profile athletes, is accelerating.

    A growing scene

    This month, Melbourne hosted the inaugural “RUNIT Championship League” event.

    Footage showed some participants convulsing after their collisions as the winner celebrated, surrounded by children.

    Drawing hundreds of spectators and millions of online views, the full-speed collision challenge is already turning its violence and social media footprint into commercial success abroad, securing interest in the United States.

    The sport held some events in New Zealand this week, but one was was halted by Auckland Council due to safety concerns and failure to secure necessary permits.

    A history of sport and violence

    In ancient times, symbolic cultural displays of power and physical dominance featured in combat sports such as wrestling, boxing, pankration (a mixed martial art combining boxing and wrestling) and even armoured foot races.

    This brutal entertainment is reflected in contemporary collision sports such as the National Rugby League (NRL) and Australian Football League (AFL).

    In recent decades however, the danger of concussion has resulted in most contact sports changing rules and regulations to protect athletes from head injuries.

    Various measures have been implemented to mitigate, eliminate and treat head trauma.

    The Australian government is exerting influence and committing material resources to support athletes living with brain issues such as chronic traumatic encephalopathy (CTE).

    Considering this multi-pronged effort to make contact sports safer, the violence of Run It Straight is jarring.

    Why are these new sports so popular?

    With its origins as a social media challenge, Run It Straight is perfect content for short-form social media platforms: an entire competition can be distilled into a 30-second highlight.

    Run It Straight’s accessible and minimalist format is also attractive to fans compared to many collision sports that have complex rules and strategies. This can be a barrier to interest, engagement and commercial returns.

    Run It Straight and other emerging, violent sports such as Power Slap (a fight sport where contestants slap each other so hard they can be knocked unconscious) are simplistic and brutal.

    But athletes in most traditional collision sports use their physical ability and skill to evade contact. Similarly, boxing is not just about strikes to the head, it is punch evasion, physical fitness and point scoring.

    But the visual spectacle and shock of two people running toward one another for an inevitable collision is a form of violence that appeals to an increasing number of sport fans.

    The risks involved

    Run It Straight is a new sport, and to our knowledge there is no empirical peer-reviewed research focusing on it.

    But many neurologists have expressed concerns about its total disregard for scientific evidence showing repeated head trauma damages brain health.

    With Run it Straight appearing to lack the medical resources and infrastructure of professional sports organisations, and with the competition’s expressed intent to have participants collide at high speed, the risk of significant injury is high.

    Power Slap, though, has been the subject of empirical research. A 2024 study reported many of the sport’s combatants showed visible signs of concussion (motor incoordination, slowness to get up and blank and vacant looks during bouts).

    An opportunity for ‘traditional’ sports?

    The rise of Run It Straight and Power Slap creates a unique opportunity for the governing bodies of contact codes such as AFL, NRL and rugby union to highlight what sets them apart.

    Key to this is athlete safety. For years, governing bodies in these codes have invested time and resources to implement concussion management protocols at professional and community levels.

    Currently, the tournament-based format for individual adult participants allows Run It Straight to operate without the broader governance responsibilities of football codes.

    However, it is because of those governance responsibilities that the football codes can amplify their athlete wellbeing credentials to reassure participants and parents who may be nervous about concussion risks.

    Second, the football codes are organised team sports played with multiple players on a team, facilitating skill acquisition, teamwork, mental wellbeing and physical fitness. While there appears to be a degree of camaraderie during Run It Straight events, it is evidently a one-on-one competition.

    Ultimately, the rise and evident popularity of Run It Straight and Power Slap provides a stark reminder there will always be a section of society that is drawn to high-risk behaviours.

    In turn, the football codes should look to highlight the value of balance and their athlete wellbeing credentials.

    GOLDEN/WHEAT RIDGE/DENVER – Today, Governor Polis signed bills into law to ensure workers are paid the wages they have earned, protecting workers and supporting Colorado’s workforce. 

    Governor Polis signed HB25-1001 – Enforcement Wage Hour Laws, sponsored by Representatives Duran and Froelich, and Senators Danielson and Kolker. 

    “This new law will help ensure that every Coloradan is paid fairly. I am proud to sign this bill into law today to strengthen our protections for workers and want to thank the sponsors for their work on this new law,” said Governor Polis. 

    Governor Polis also signed SB25-053 – Protect Wild Bison, sponsored by Senator Jessie Danielson, and Representatives Junie Joseph and Elizabeth Velasco and HB25-1283 – Wild Horse Project Management & Immunocontraception, sponsored by Representatives Monica Duran and Ty Winter, and Senators Janice Marchman and Larry Liston. 

    “Wild bison and horses are important parts of Colorado’s wildlife, culture, and history. These new laws will provide us better tools to protect these iconic Colorado animals. Let’s ensure that wild horses and bison will remain symbols of Colorado’s strong, healthy, and wild future, not just our past,” said Governor Polis.

  • MIL-OSI Global: Golden Dome: An aerospace engineer explains the proposed nationwide missile defense system

    President Donald Trump announced a plan to build a missile defense system, called the Golden Dome, on May 20, 2025. The system is intended to protect the United States from ballistic, cruise and hypersonic missiles, and missiles launched from space.

    Trump is calling for the current budget to allocate US$25 billion to launch the initiative, which the government projected will cost $175 billion. He said Golden Dome will be fully operational before the end of his term in three years and will provide close to 100% protection.

    The Conversation U.S. asked Iain Boyd, an aerospace engineer and director of the Center for National Security Initiatives at the University of Colorado Boulder, about the Golden Dome plan and the feasibility of Trump’s claims. Boyd receives funding for research unrelated to Golden Dome from defense contractor Lockheed Martin.

    Why does the United States need a missile shield?

    Several countries, including China, Russia, North Korea and Iran, have been developing missiles over the past few years that challenge the United States’ current missile defense systems.

    These weapons include updated ballistic missiles and cruise missiles, and new hypersonic missiles. They have been specifically developed to counter America’s highly advanced missile defense systems such as the Patriot and the National Advanced Surface-to-Air Missile System.

    For example, the new hypersonic missiles are very high speed, operate in a region of the atmosphere where nothing else flies and are maneuverable. All of these aspects combined create a new challenge that requires a new, updated defensive approach.

    Russia has fired hypersonic missiles against Ukraine in the ongoing conflict. China parades its new hypersonic missiles in Tiananmen Square.

    So it’s reasonable to think that, to ensure the protection of its homeland and to aid its allies, the U.S. may need a new missile defense capability.

    Ukrainian forces are using the U.S.-made Patriot missile defense system against Russian ballistic missiles.

    What are the components of a national missile defense system?

    Such a defense system requires a global array of geographically distributed sensors that cover all phases of all missile trajectories.

    First, it is essential for the system to detect the missile threats as early as possible after launch, so some of the sensors must be located close to regions where adversaries may fire them, such as by China, Russia, North Korea and Iran. Then, it has to track the missiles along their trajectories as they travel hundreds or thousands of miles.

    These requirements are met by deploying a variety of sensors on a number of different platforms on the ground, at sea, in the air and in space. Interceptors are placed in locations that protect vital U.S. assets and usually aim to engage threats during the middle portion of the trajectory between launch and the terminal dive.

    The U.S. already has a broad array of sensors and interceptors in place around the world and in space primarily to protect the U.S. and its allies from ballistic missiles. The sensors would need to be expanded, including with more space-based sensors, to detect new missiles such as hypersonic missiles. The interceptors would need to be enhanced to enable them to address hypersonic weapons and other missiles and warheads that can maneuver.

    Does this technology exist?

    Intercepting hypersonic missiles specifically involves several steps.

    First, as explained above, a hostile missile must be detected and identified as a threat. Second, the threat must be tracked along all of its trajectory due to the ability of hypersonic missiles to maneuver. Third, an interceptor missile must be able to follow the threat and get close enough to it to disable or destroy it.

    The main new challenge here is the ability to track the hypersonic missile continuously. This requires new types of sensors to detect hypersonic vehicles and new sensor platforms that are able to provide a complete picture of the hypersonic trajectory. As described, Golden Dome would use the sensors in a layered approach in which they are installed on a variety of platforms in multiple domains, including ground, sea, air and space.

    These various platforms would need to have different types of sensors that are specifically designed to track hypersonic threats in different phases of their flight paths. These defensive systems will also be designed to address weapons fired from space. Much of the infrastructure will be multipurpose and able to defend against a variety of missile types.

    In terms of time frame for deployment, it is important to note that Golden Dome will build from the long legacy of existing U.S. missile defense systems. Another important aspect of Golden Dome is that some of the new capabilities have been under active development for years. In some ways, Golden Dome represents the commitment to actually deploy systems for which considerable progress has already been made.

    Is near 100% protection a realistic claim?

    Israel’s Iron Dome air defense system has been described as the most effective system of its kind anywhere in the world.

    But even Iron Dome is not 100% effective, and it has also been overwhelmed on occasion by Hamas and others who fire very large numbers of inexpensive missiles and rockets at it. So it is unlikely that any missile defense system will ever provide 100% protection.

    The more important goal here is to achieve deterrence, similar to the stalemate in the Cold War with the Soviet Union that was based on nuclear weapons. All of the new weapons that Golden Dome will defend against are very expensive. The U.S. is trying to change the calculus in an opponent’s thinking to the point where they will consider it not worth shooting their precious high-value missiles at the U.S. when they know there is a high probability of them not reaching their targets.

    Is three years a feasible time frame?

    That seems to me like a very aggressive timeline, but with multiple countries now operating hypersonic missiles, there is a real sense of urgency.

    Existing missile defense systems on the ground, at sea and in the air can be expanded to include new, more capable sensors. Satellite systems are beginning to be put in place for the space layer. Sensors have been developed to track the new missile threats.

    Putting all of this highly complex system together, however, is likely to take more than three years. At the same time, if the U.S. fully commits to Golden Dome, a significant amount of progress can be made in this time.

    What does the president’s funding request tell you?

    President Trump is requesting a total budget for all defense spending of about $1 trillion in 2026. So, $25 billion to launch Golden Dome would represent only 2.5% of the total requested defense budget.

    Of course, that is still a lot of money, and a lot of other programs will need to be terminated to make it possible. But it is certainly financially achievable.

    How will Golden Dome differ from Iron Dome?

    Similar to Iron Dome, Golden Dome will consist of sensors and interceptor missiles but will be deployed over a much wider geographical region and for defense against a broader variety of threats in comparison with Iron Dome.

    A second-generation Golden Dome system in the future would likely use directed energy weapons such as high-energy lasers and high-power microwaves to destroy missiles. This approach would significantly increase the number of shots that defenders can take against ballistic, cruise and hypersonic missiles.

    Iain Boyd receives funding from the U.S. Department of Defense and Lockheed-Martin Corporation, a defense contractor that sells missile defense systems and could potentially benefit from the implementation of Golden Dome.

    Background:
    American livestock and dairy producers are essential to American communities and are among the top exporters in the global market. Part of what makes these industries the best in the world is their commitment to innovation and the utilization of the latest technologies to improve production while also reducing their environmental footprint.
    As the original conservationists, farmers, and ranchers steward the land and rely on feed additives to improve the quality and efficiency of meat and dairy. However, innovation to meet these growing demands has stalled due to outdated, one-size-fits-all federal policies.  
    Over the years, agricultural stakeholders have called for the development and marketing of safe and effective feed additives that can be used in animal food to improve livestock production. Global competitors have been working to meet this demand. Europe, Asia, and South America have updated their policies to have feed products on the market that demonstrate increased efficiency in meat production and byproduct and waste reduction. 
    The Innovative FEED Act would: 
    Amend the Federal Food, Drug, and Cosmetic Act, establishing a new category in the animal food additive petition process to cover ingredients that address animal health, food safety, or environmental benefits in an animal’s diet.
    Help American livestock producers cut regulatory red tape while adding value to their products and remaining competitive on a global scale.
    Ensures farmers are rewarded for participating in voluntary, producer-led sustainability efforts, and market their products to companies and nations that have set climate reduction goals.
    Modernize the approval process by establishing a new pathway for manufacturers to receive approval for feed additives that improve efficiency in meat and dairy production while also reducing byproducts.
    Establish strict guardrails to ensure only qualifying products are eligible for this pathway while also ensuring products are safe to use.

    “Mr. President, you know, I spent 25 years delivering babies. Most every day. We saw a huge epidemic of diabetes of pregnancy, and this has exploded in so many different directions. Now we have an epidemic of mental health, in our youth, obesity rates, 20, 30% of our children on prescription drugs. 60, 70% of adults on a prescription drug. We can do better than this, and it does start with the farmer. It starts with soil health. And I just want you to know that our farmers are so committed to this as well, and so many of them are already doing great things. They’re making the soil healthier. They’re using less pesticides. They’re doing all the right things. It’s going to take a little bit more effort and time to get everybody with those practices, but the American farmer and rancher were the original environmentalists, the original conservationists, and they’ll be right here working beside us, and we appreciate your support of them as well.”

    On what the Senate can do for the ‘One, Big Beautiful Bill’:
    Senator Marshall: “President Trump is the best closer in the country. Mike Johnson gave us the best bill that he could get passed over there. Think of the Senate as like a saucer and think of the House as a hot cup of coffee, and it’s spilling over. The job of the Senate is to take that bill and make it better.
    “I think for us over here, what I’m looking at is, where can we save some more taxpayers dollars? Where are the opportunities to cut some spending? What do we do with those SALT taxes? So, I think that’s the big thrust over here. How can we make this bill better? How can we deliver on President Trump’s promises, no tax on tips, overtime, Social Security, and make the Trump tax cuts permanent?”
    On SALT:  
    Senator Marshall: “In these big blue states, they have high taxes, and they’re able to deduct that from their federal taxes… What the House has done will still cost American taxpayers $300 billion over the next 10 years. They’re going to let people from these blue states write off up to $30,000 of their taxes, which will decrease revenue to the state.
    “It is that simple to the tune of $300 billion over 10 years. So, what else could we do with that $300 billion? We could deliver the president’s Golden Dome, that would be one simple thing, and more. We would take that money and make Medicaid and Medicare even better. There’s just better ways to spend that money. We can use it to secure the border, to help our military out, to give our troops more wages…”
    On the president’s ‘One, Big Beautiful Bill’:
    Senator Marshall: “What we did with Social Security since, by the law, we cannot touch Social Security, but what we did is we’re giving seniors a $4,000 tax credit, in addition… We increased the Child Tax Credit. Republicans doubled the tax credit in 2017 with this bill, and now we increased it another $500. So we increased the tax deduction for having children to $2,500 as well, so that would be another answer. A little second amendment, we’ve slipped in there. There’s some rules and regulations around what I would call a silencer, a muffler on guns, that type of thing. So, there are a whole lot of low-hanging fruit in here.”
    “The Golden Dome is in here, President Trump’s Golden Dome, the first down payment on some type of satellite system to help intercept nuclear warheads, that type of thing. Huge pay raises for our troops, for the border patrol officers, and funding to help get those illegal aliens out of this country. We have 400,000 violent criminal aliens in this country… Charlie, it may cost $100,000 per person to escort them out of this country. Thank you. Joe Biden.”
    “And we’ll take care of that for four years. We don’t have to go back to the Democrats every year and say, hey, we want money for the border. We want money for the military. We have significant money in here to take care of the military for the most part, for four years, and the president’s border security and the removal of illegal aliens.”
    On the MAHA Commission report:
    Senator Marshall: “Look, I think number one when I think about Make America Healthy Again is 60% of Americans have a chronic disease of some sort, most of it is nutritionally related or related to toxins. So, I expect this MAHA report to talk about the importance of soil health and the nutrient quality that we’re feeding to, especially our children… I’m especially concerned about the children getting them off on the right foot as well. The toxins that they’re being exposed to are probably in these ultra-processed foods.”
    “70% of the calories Americans consume are an ultra-processed food. I think that they’ll address that… Gold standard science. I really, as a doctor, can’t sit there and say, what type of oil is best to cook supper in tonight? Is it soybean oil? Is it tallow? What is it? So, we need gold-standard research, not influenced by commercial operations. Look, 50-60% of Americans are on a prescription drug right now, and I think we want to look into what that’s all about.”

  • MIL-OSI USA: Tuberville, Banks Call for End of Taxpayer-Funded Student Loans for Terrorists

    WASHINGTON – U.S. Senator Tommy Tuberville (R-AL) joined U.S. Senator Jim Banks (R-IN) in introducing the No Loan Forgiveness for Terrorists Act. This bill prohibits students from receiving credit for Public Service Loan Forgiveness (PSLF) while working at organizations that engage in illegal activities. The legislation works to codify an Executive Order from President Trump that would end taxpayer-funded student loan forgiveness for students that participate in illegal, anti-American behavior.
    “Hard-working Americans should not be footing the bill for radical students who support and embolden blatant terrorism. No one should be rewarded for wreaking havoc on college campuses. The President has ended taxpayer-funded loan forgiveness, and it is Congress’ job to make his Executive Order permanent. I look forward to working with my colleagues to move this legislation along and stop funding college for terrorists,” said Sen. Tuberville.
    “Taxpayers shouldn’t be forced to pay student loans for radicals who aid terrorists, mutilate children, or promote illegal immigration. This bill codifies President Trump’s order to stop subsidizing anti-American extremism,” said Sen. Banks.

    BACKGROUND:
    Sen. Tuberville currently serves as the Chairman of the HELP Subcommittee on Education and the American Family, where he has frequently spoken out against the antisemitism, riots, and lawlessness we are seeing on college campuses. He has expressed that people have the right to free speech in this country, but they do not have the right to riot or commit crimes. If these students – or paid activists in some cases – are breaking the law, they should go to jail.
    The No Loan Forgiveness for Terrorists Act would:
    Preventing students from receiving credit through the PSLF program while working at organizations that engage in the following activities:
    Aiding or abetting violations of federal immigration laws
    Materially supporting terrorism
    Materially supporting the castration or mutilation of children
    Aiding and abetting illegal discrimination
    Violating State tort laws, including against trespassing and disorderly conduct
    Last year, Sen. Tuberville also cosponsored the No Bailouts for Campus Criminals Act which would prevent pro-Hamas protestors convicted of a crime from having their student loans forgiven.
