    Ambassador Holland condemns the civilian suffering caused by Russia’s strikes on Ukrainian energy infrastructure and indiscriminate attacks on cities.

    Thank you, Mr. Chair.  It has been six weeks since the Council last discussed this agenda item.  During these six weeks, regrettably, Russia has continued the same pattern of behaviour we have seen for almost three years.  A pattern of behaviour that is indefensible and inconsistent with Russia’s international commitments, including under the UN Charter, the Geneva Conventions and the Helsinki Final Act.

    On 25 December, a day of significance for many Christians in Ukraine, Russia launched a massive missile attack against energy infrastructure, killing an energy worker, and leaving hundreds of thousands in the Dnipro and Kharkiv regions without heating for days.

    Ukrainians had to endure 13 widescale missile attacks against their energy infrastructure in 2024. Not only has this threatened civilian access to power, water and heating over winter, but by targeting transmission equipment critical to the safe and secure operation of nuclear power plants, Russia has posed serious threats to nuclear safety as well.

    We have already seen the first such attack of 2025, with Russia hitting sites primarily in the west of Ukraine, including gas storage facilities on 15 January.

    The UN Independent International Commission of Inquiry on Ukraine concluded that these attacks on energy infrastructure constituted the war crime of excessive incidental civilian harm and potentially a crime against humanity.

    It is not just these attacks that raise serious concerns about Russia’s respect for its obligations under international humanitarian law.  The UN has also raised concerns about Russia’s indiscriminate attacks against the civilian population.

    During our recess, on 8 January, a Russian attack in Zaporizhzhia city caused the highest number of civilian casualties from a single incident for almost two years.  Two Russian glide bombs struck a crowd outside an industrial facility, killing 13 civilians and injuring 110.  The UN Human Rights Monitoring Mission in Ukraine said: “It was entirely foreseeable that using such weapons in a city during the day would result in significant civilian casualties … It is hard to see how this attack could be in compliance with the obligation to minimise civilian harm.”

    The UN estimates that there have been more than 30,000 civilian casualties since the Russian state launched its unprovoked war.  Approximately 10,500 killed and more than 20,000 injured.  These are a conservative estimate.  The true figure is likely far higher.

    2024 was a difficult year for Ukraine with attacks against the civilian population and its energy infrastructure.  And Russia has started 2025 in the same vein.  And just as we did in 2024, the UK will stand with Ukraine in 2025 and beyond. This unbreakable bond was formalised earlier this month through the signing of a landmark UK-Ukraine 100 Year Partnership.  We will continue to give political, economic, military and moral support to ensure Ukraine prevails, to secure the lasting peace that the Ukrainian people deserve and the security that our continent demands.  Thank you.

    O. Bektenov: Dear Mikhail Vladimirovich, I am glad to welcome you to Astana.

    This is our first meeting this year. I consider it an excellent opportunity to sum up our joint work last year and outline prospects for cooperation.

    Taking this opportunity, I would like to congratulate you on the 20th anniversary of the signing of the treaty on the Kazakh-Russian state border. Russia has been and remains a key strategic partner and ally for Kazakhstan.

    Thanks to the joint efforts of the heads of state – Kassym-Jomart Kemelevich Tokayev and Vladimir Vladimirovich Putin, bilateral cooperation has been brought to a qualitatively new level.

    The state visit of the President of Russia to Kazakhstan in November last year once again confirmed the allied nature of relations between our countries.

    An important task for the two governments is to ensure the full practical implementation of all the agreements reached at the highest level. Including increasing the volume of bilateral trade to 30 billion dollars.

    Kazakhstan pays special attention to the development of interregional and cross-border cooperation. We positively evaluate the results of the anniversary, XX Forum of Interregional Cooperation in Ufa. The next, XXI forum is planned to be held this year in Kazakhstan, in the city of Uralsk. This format, in our opinion, demonstrates its effectiveness from year to year and is a link between the regions of our countries.

    I am confident that the current year will be rich in terms of joint events and mutual contacts at various levels.

    As I have already said, Russia is one of our main trading partners. In 2023, the volume of trade turnover increased and amounted to more than 27 billion dollars. In principle, good results were also achieved over the 11 months of last year – more than 24 billion.

    It is important for us to continue to maintain this positive trend.

    The volume of mutual investments is consistently increasing. Over the past 20 years, Russian investors have invested more than $25 billion in direct investment in the economy of Kazakhstan. Over the same period, Kazakhstani companies have invested $8.7 billion in the Russian economy.

    In just nine months of last year, the gross inflow of Russian investment was 43%. And the total amount today is 2.8 billion dollars. More than 23 thousand companies with Russian participation operate in Kazakhstan. This is almost 40% of the total number of enterprises with foreign capital.

    We are interested, naturally, in the creation of new production facilities, in the implementation of new joint projects. We offer Russian companies to take an active part in the implementation of various types of joint investment projects in Kazakhstan.

    The intergovernmental commission on cooperation plays a special role in solving a wide range of issues of bilateral cooperation and increasing trade turnover. We also see positive results from the implementation of the comprehensive economic cooperation program for 2021–2025.

    In this context, we consider it appropriate for our responsible government agencies to begin developing an updated program for the coming years.

    The cultural and humanitarian sphere is also filled with practical content. The holding of cross-cultural Days of our countries has become a significant event. The cultural project “Russian Seasons” and the program “Big Tours” have been successfully implemented.

    Among recent events, one can note the opening of a bust of the classic Kazakh poet Abai Kunanbayev in Kazan and the showing of the opera “Abai” in the Kazakh language at the Bolshoi Theater in Moscow.

    Dear Mikhail Vladimirovich, the Government of Kazakhstan is ready to continue to closely interact and develop full-scale cooperation in all areas.

    A meeting of Kairos Engineering representatives with Dmitry Ulrikh, Dean of the Faculty of Environmental Engineering and Urban Management, was held at SPbGASU. Key issues of cooperation were discussed, including within the framework of the agreement signed in June 2024. Kairos Engineering was represented by Alexander Gottfried, Director of Project Production, Sergey Kostrov, Chief Engineer, Yulia Balandina, Chief Technologist, and Maxim Zuev, Project Manager.

    “We have outlined a plan for the implementation of joint projects, in particular, in the field of ecology and water resources: treatment facilities, water supply systems and water treatment,” Dmitry Ulrikh specified.

    Kairos Engineering has been operating in the industrial design market for over ten years and offers design solutions based on digital modeling in the field of water resources and heat and energy generation.

    Quarter Analysis1

    Income attributable to Shell plc shareholders, compared with the third quarter 2024, reflected higher exploration well write-offs, lower margins from crude and oil products trading and optimisation, lower Marketing margins and volumes, lower LNG trading and optimisation margins, lower realised oil prices, and unfavourable tax movements.

    Fourth quarter 2024 income attributable to Shell plc shareholders also included net impairment charges and reversals of $2.2 billion, and net losses related to sale of assets. These items are included in identified items amounting to a net loss of $2.8 billion in the quarter. This compares with identified items in the third quarter 2024 which amounted to a net loss of $1.3 billion.

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as income attributable to Shell plc shareholders and adjusted for the above identified items.

    Cash flow from operating activities for the fourth quarter 2024 was $13.2 billion, and primarily driven by Adjusted EBITDA, and working capital inflows of $2.4 billion partly offset by tax payments of $2.9 billion, and outflows relating to the timing impact of payments relating to emission certificates and biofuel programmes of $1.4 billion. The working capital inflows mainly reflected accounts receivable and payable movements, and initial margin inflow.

    Cash flow from investing activities for the quarter was an outflow of $4.4 billion, and included cash capital expenditure of $6.9 billion, partly offset by net other investing cash inflows of $1.1 billion, and divestment proceeds of $0.8 billion.

    Net debt and Gearing: At the end of the fourth quarter 2024, net debt was $38.8 billion, compared with $35.2 billion at the end of the third quarter 2024, mainly reflecting lease additions of $5.4 billion, share buybacks, cash dividends paid to Shell plc shareholders, and interest payments, partly offset by free cash flow. Gearing was 17.7% at the end of the fourth quarter 2024, compared with 15.7% at the end of the third quarter 2024, mainly driven by higher net debt.

    Shareholder distributions

    Total shareholder distributions in the quarter amounted to $5.7 billion comprising repurchases of shares of $3.6 billion and cash dividends paid to Shell plc shareholders of $2.1 billion. Dividends declared to Shell plc shareholders for the fourth quarter 2024 amount to $0.3580 per share. Shell has now completed $3.5 billion of share buybacks announced in the third quarter 2024 results announcement. Today, Shell announces a share buyback programme of $3.5 billion which is expected to be completed by the first quarter 2025 results announcement.

    Full Year Analysis1

    Income attributable to Shell plc shareholders, compared with the full year 2023, reflected lower LNG trading and optimisation margins, lower realised prices, lower refining margins, as well as lower trading and optimisation margins of power and pipeline gas in Renewables and Energy Solutions, partly offset by lower operating expenses, and higher realised Chemicals margins.

    By focusing the portfolio and simplifying the organisation, $3.1 billion of pre-tax structural cost reductions3 were delivered through 2024 compared with 2022 levels, with $2.1 billion in the full year 2024.

    Full year 2024 income attributable to Shell plc shareholders also included net impairment charges and reversals of $4.4 billion, reclassifications from equity to profit and loss of cumulative currency translation differences related to funding structures, unfavourable movements relating to an accounting mismatch due to fair value accounting of commodity derivatives, and charges related to redundancy and restructuring. These charges, reclassifications and movements are included in identified items amounting to a net loss of $7.4 billion. This compares with identified items in the full year 2023 which amounted to a net loss of $8.2 billion.

    Adjusted Earnings and Adjusted EBITDA2 for the full year 2024 were driven by the same factors as income attributable to Shell plc shareholders and adjusted for identified items and the cost of supplies adjustment of positive $0.3 billion.

    Cash flow from operating activities for the full year 2024 was $54.7 billion, and primarily driven by Adjusted EBITDA, and working capital inflows of $2.1 billion, partly offset by tax payments of $12.0 billion.

    Cash flow from investing activities for the full year 2024 was an outflow of $15.2 billion and included cash capital expenditure of $21.1 billion, partly offset by divestment proceeds of $2.8 billion, and interest received of $2.4 billion.

    FOURTH QUARTER 2024 PORTFOLIO DEVELOPMENTS

    Upstream

    In October 2024, we announced the start of production of the floating production storage and offloading facility (FPSO) Marechal Duque de Caxias in the Mero field, in the pre-salt area of the Santos Basin, offshore Brazil. Also known as Mero-3, the FPSO has an operational capacity of 180,000 barrels of oil per day (Shell share 19.3%).

    In December 2024, we, along with Equinor ASA, announced the combination of our UK offshore oil and gas assets and expertise to form a new company which will be the UK North Sea’s biggest independent producer. On deal completion, the new independent producer will be jointly owned by Equinor (50%) and Shell (50%). Completion of the transaction remains subject to approvals and is expected by the end of 2025.

    In December 2024, we announced a final investment decision (FID) on Bonga North, a deep-water project off the coast of Nigeria. Shell (55%) operates the Bonga field in partnership with Esso Exploration and Production Nigeria Ltd. (20%), Nigerian Agip Exploration Ltd. (12.5%), and TotalEnergies Exploration and Production Nigeria Ltd. (12.5%), on behalf of the Nigerian National Petroleum Company Limited.

    In January 2025, we announced the start of production at the Shell-operated Whale floating production facility in the Gulf of Mexico. The Whale development is owned by Shell (60%, operator) and Chevron U.S.A. Inc. (40%).

    Chemicals and Products

    In January 2025, CNOOC and Shell Petrochemicals Company Limited (CSPC), a 50:50 joint venture between Shell and CNOOC Petrochemicals Investment Ltd, has taken a FID to expand its petrochemical complex in Daya Bay, Huizhou, south China.

    Renewables and Energy Solutions

    In October 2024, we signed an agreement to acquire a 100% equity stake in RISEC Holdings, LLC, which owns a 609-megawatt (MW) two-unit combined-cycle gas turbine power plant in Rhode Island, USA. The deal was completed in January 2025.

    1.Q4 on Q3 change

    Integrated Gas includes liquefied natural gas (LNG), conversion of natural gas into gas-to-liquids (GTL) fuels and other products. It includes natural gas and liquids exploration and extraction, and the operation of the upstream and midstream infrastructure necessary to deliver these to market. Integrated Gas also includes the marketing, trading and optimisation of LNG.

    Quarter Analysis1

    Segment earnings, compared with the third quarter 2024, reflected the net effect of lower contributions from trading and optimisation mainly driven by the comparative (non-cash) impact of expiring hedging contracts and slightly higher realised prices (decrease of $340 million), lower volumes (decrease of $283 million), and higher exploration well write-offs (increase of $275 million), partly offset by lower operating expenses (decrease of $97 million).

    Fourth quarter 2024 segment earnings also included impairment charges of $339 million and a loss of $96 million related to sale of assets, partly offset by favourable movements of $109 million relating to an accounting mismatch due to fair value accounting of commodity derivatives. These charges and favourable movements are part of identified items and compare with the third quarter 2024 which included unfavourable movements of $213 million due to the fair value accounting of commodity derivatives. As part of Shell’s normal business, commodity derivative hedge contracts are entered into for mitigation of economic exposures on future purchases, sales and inventory.

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as the segment earnings and adjusted for identified items.

    Cash flow from operating activities for the quarter was primarily driven by Adjusted EBITDA, net cash inflows related to derivatives of $120 million and working capital inflows of $114 million, partly offset by tax payments of $635 million.

    Total oil and gas production, compared with the third quarter 2024, decreased by 4% mainly due to planned maintenance in Pearl GTL (Qatar). LNG liquefaction volumes decreased by 6% mainly due to lower feedgas supply and fewer cargoes due to the timing of liftings.

    Full Year Analysis1

    Segment earnings, compared with the full year 2023, reflected the combined effect of lower contributions from trading and optimisation and lower realised prices (decrease of $3,819 million), partly offset by higher volumes (increase of $514 million), lower operating expenses (decrease of $478 million), and favourable deferred tax movements ($399 million).

    Full year 2024 segment earnings also included unfavourable movements of $1,088 million relating to an accounting mismatch due to fair value accounting of commodity derivatives, impairment charges of $363 million, and a net loss of $96 million related to sale of assets. These unfavourable movements and charges are part of identified items and compare with the full year 2023 which included unfavourable movements of $4,407 million due to the fair value accounting of commodity derivatives, and net impairment charges and reversals of $2,247 million. As part of Shell’s normal business, commodity derivative hedge contracts are entered into for mitigation of economic exposures on future purchases, sales and inventory.

    Cash flow from operating activities for the full year 2024 was primarily driven by Adjusted EBITDA, and working capital inflows of $467 million, partly offset by tax payments of $2,955 million and net cash outflows related to derivatives of $1,466 million.

    Total oil and gas production, compared with the full year 2023, increased by 2% mainly due to ramp-up of fields in Oman and Australia. LNG liquefaction volumes increased by 3% mainly due to lower maintenance in Australia.

    The Upstream segment includes exploration and extraction of crude oil, natural gas and natural gas liquids. It also markets and transports oil and gas, and operates the infrastructure necessary to deliver them to the market.

    Quarter Analysis1

    Segment earnings, compared with the third quarter 2024, reflected higher operating expenses (increase of $291 million), higher exploration well write-offs (increase of $283 million), unfavourable tax movements ($245 million) and lower realised liquids prices (decrease of $227 million), partly offset by higher volumes (increase of $370 million).

    Fourth quarter 2024 segment earnings also included a loss of $161 million related to the impact of the weakening Brazilian real on a deferred tax position, and net impairment charges and reversals of $152 million. These charges are part of identified items, and compare with the third quarter 2024 which included charges of $138 million related to redundancy and restructuring and charges of $104 million related to decommissioning provisions.

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as the segment earnings and adjusted for identified items.

    Cash flow from operating activities for the quarter was primarily driven by Adjusted EBITDA, partly offset by tax payments of $2,019 million and working capital outflows of $611 million.

    Total production, compared with the third quarter 2024, increased mainly due to new oil production and lower scheduled maintenance.

    Full Year Analysis1

    Segment earnings, compared with the full year 2023, reflected unfavourable tax movements ($1,289 million), lower realised prices (decrease of $949 million) and higher exploration well write-offs (increase of $541 million), partly offset by the comparative favourable impact of $962 million mainly relating to gas storage effects.

    The Marketing segment comprises the Mobility, Lubricants, and Sectors and Decarbonisation businesses. The Mobility business operates Shell’s retail network including electric vehicle charging services and the Wholesale commercial fuels business which provides fuels for transport, industry and heating. The Lubricants business produces, markets and sells lubricants for road transport, and machinery used in manufacturing, mining, power generation, agriculture and construction. The Sectors and Decarbonisation business sells fuels, speciality products and services including low-carbon energy solutions to a broad range of commercial customers including the aviation, marine, and agricultural sectors.

    Quarter Analysis1

    Segment earnings, compared with the third quarter 2024, reflected lower Marketing margins (decrease of $395 million) mainly due to seasonal impact of lower volumes and lower Mobility unit margins as well as lower Sectors and Decarbonisation and Lubricants margins. These were partly offset by lower operating expenses (decrease of $118 million).

    Fourth quarter 2024 segment earnings also included impairment charges of $458 million, and net losses of $247 million related to sale of assets. These charges are part of identified items, and compare with the third quarter 2024 impairment charges of $179 million, charges of $98 million related to redundancy and restructuring, and net losses of $84 million related to sale of assets.

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as the segment earnings and adjusted for identified items.

    Cash flow from operating activities for the quarter was primarily driven by Adjusted EBITDA, working capital inflows of $845 million, and dividends (net of profits) from joint ventures and associates of $172 million. These inflows were partly offset by outflows relating to the timing impact of payments relating to emission certificates and biofuel programmes of $1,187 million and tax payments of $130 million.

    Marketing sales volumes (comprising hydrocarbon sales), compared with the third quarter 2024, decreased mainly due to seasonality.

    Full Year Analysis1

    Segment earnings, compared with the full year 2023, reflected higher Marketing margins (increase of $483 million) including higher unit margins in Lubricants and Mobility partly offset by lower Sectors and Decarbonisation margins. Segment earnings also reflected lower operating expenses (decrease of $449 million). These were partly offset by unfavourable tax movements ($157 million) and higher depreciation charges (increase of $142 million).

    Full year 2024 segment earnings also included impairment charges of $1,423 million mainly relating to an asset in the Netherlands, net losses of $386 million related to the sale of assets and charges of $215 million related to redundancy and restructuring. These charges are part of identified items and compare with the full year 2023 which included net impairment charges and reversals of $466 million, and charges of $113 million related to redundancy and restructuring partly offset by gains of $298 million related to indirect tax credits.

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as the segment earnings and adjusted for identified items.

    Cash flow from operating activities for the full year 2024 was primarily driven by Adjusted EBITDA, working capital inflows of $998 million, and dividends (net of profits) from joint ventures and associates of $262 million. These inflows

    Quarter Analysis1

    Segment earnings, compared with the third quarter 2024, reflected lower Products margins (decrease of $442 million) mainly driven by lower margins from trading and optimisation. Segment earnings also reflected lower Chemicals margins (decrease of $138 million) mainly due to lower realised prices. In addition, the fourth quarter 2024 reflected unfavourable tax movements ($67 million).

    Fourth quarter 2024 segment earnings also included net impairment charges and reversals of $224 million, partly offset by favourable deferred tax movements of $114 million. These charges and favourable movements are part of identified items, and compare with the third quarter 2024 which included charges of $101 million related to redundancy and restructuring, and net impairment charges and reversals of $92 million, partly offset by favourable movements of $95 million relating to an accounting mismatch due to fair value accounting of commodity derivatives. As part of Shell’s normal business, commodity derivative hedge contracts are entered into for mitigation of economic exposures on future purchases, sales and inventory.

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as the segment earnings and adjusted for identified items. In the fourth quarter 2024, Chemicals had negative Adjusted Earnings of $258 million and Products had positive Adjusted Earnings of $29 million.

    Cash flow from operating activities for the quarter was primarily driven by working capital inflows of $1,394 million, Adjusted EBITDA, net cash inflows relating to commodity derivatives of $230 million, dividends (net of profits) from joint ventures and associates of $139 million, and non-cash cost of supplies adjustment of $73 million. These inflows were partly offset by outflows relating to the timing impact of payments relating to emission certificates and biofuel programmes of $371 million.

    Chemicals manufacturing plant utilisation was 75% compared with 76% in the third quarter 2024.

    Refinery utilisation was 76% compared with 81% in the third quarter 2024, mainly due to higher planned maintenance.

    Full Year Analysis1

    Segment earnings, compared with the full year 2023, reflected lower Products margins (decrease of $1,832 million), mainly driven by lower refining margins, and unfavourable tax movements ($248 million). These were partly offset by lower operating expenses (decrease of $812 million) and higher Chemicals margins (increase of $602 million).

    Full year 2024 segment earnings also included net impairment charges and reversals of $1,176 million mainly relating to assets in Singapore, charges of $142 million related to redundancy and restructuring, and unfavourable movements of $86 million relating to an accounting mismatch due to fair value accounting of commodity derivatives, partly offset by favourable deferred tax movements of $114 million. These charges and movements are part of identified items, and compare with the full year 2023 which included net impairment charges and reversals of $2,195 million mainly relating to

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as the segment earnings and adjusted for identified items. In the full year 2024, Chemicals had negative Adjusted Earnings of $432 million and Products had positive Adjusted Earnings of $3,366 million.

    Cash flow from operating activities for the full year 2024 was primarily driven by Adjusted EBITDA, working capital inflows of $524 million, dividends (net of profits) from joint ventures and associates of $304 million and net cash inflows relating to commodity derivatives of $219 million. These inflows were partly offset by cash outflows relating to legal provisions of $215 million, tax payments of $146 million, cash outflows relating to the timing impact of payments relating to emission certificates and biofuel programmes of $114 million, and non-cash cost of supplies adjustment of $109 million.

    Chemicals manufacturing plant utilisation was 76% compared with 68% in the full year 2023, mainly due to economic optimisation in the full year 2023. The increase was also driven by ramp-up of Shell Polymers Monaca and lower unplanned maintenance in the full year 2024.

    Refinery utilisation was 85% compared with 85% in the full year 2023.

    Cash flow from operating activities for the quarter was primarily driven by net cash inflows related to derivatives of $533 million, and working capital inflows of $353 million, partly offset by Adjusted EBITDA.

    Full Year Analysis1

    Segment earnings, compared with the full year 2023, reflected lower margins (decrease of $1,719 million) mainly from trading and optimisation primarily in Europe due to lower volatility, partly offset by lower operating expenses (decrease of $632 million).

    Full year 2024 segment earnings also included net impairment charges and reversals of $1,085 million mainly relating to renewable generation assets in North America, partly offset by favourable movements of $300 million relating to an accounting mismatch due to fair value accounting of commodity derivatives and a net gain on sale of assets of $94 million. These net charges and favourable movements are part of identified items and compare with the full year 2023 which included favourable movements of $2,756 million due to the fair value accounting of commodity derivatives partly offset by net impairment charges and reversals of $669 million. As part of Shell’s normal business, commodity derivative hedge contracts are entered into for mitigation of economic exposures on future purchases, sales and inventory.

    Adjusted Earnings and Adjusted EBITDA2 were driven by the same factors as the segment earnings and adjusted for identified items.     PRELIMINARY RESERVES UPDATE

    When final volumes are reported in the 2024 Annual Report and Accounts and 2024 Form 20-F, Shell expects that SEC proved oil and gas reserves additions before taking into account production will be approximately 0.9 billion boe, and that 2024 production will be approximately 1.1 billion boe. As a result, total proved reserves on an SEC basis are expected to be approximately 9.6 billion boe1, 2, 3. Acquisitions and divestments of 2024 reserves are expected to account for a net increase of approximately 0.05 billion boe.

    The proved Reserves Replacement Ratio on an SEC basis is expected to be 85% for the year (106% without debooking Groundbirch because of the low average AECO price in 2024) and 108% for the 3-year average. Excluding the impact of acquisitions and divestments, the proved Reserves Replacement Ratio is expected to be 80% (102% without debooking Groundbirch) for the year and 68% for the 3-year average.

    1.Pursuant to our 2017 agreement with Canadian Natural Resources Limited, our remaining mining interest and associated synthetic crude oil reserves will be swapped for an additional 10% interest in the Scotford upgrader and Quest CCS project. The transaction is expected to close by the end of the first quarter 2025, subject to regulatory approvals. The associated proved reserves at December 31, 2024 are 0.7 billion barrels (of which 50% attributable to non-controlling interest).

    2.On January 16, 2024, we announced an agreement to sell our Nigerian onshore subsidiary The Shell Petroleum Development Company of Nigeria Limited (SPDC) which holds a 30% interest in the SPDC JV to Renaissance, subject to various conditions. As of December 31, 2024, we had proved reserves of 0.5 billion boe in SPDC.

    3.In December 2024, we, along with Equinor ASA, announced the combination of our UK offshore oil and gas assets and expertise to form a new company which will be the UK North Sea’s biggest independent producer. On deal completion, the new independent producer will be jointly owned by Equinor (50%) and Shell (50%) and 0.16 billion boe (as of December 31, 2024) of Shell’s proved reserves will be contributed to the new joint venture alongside proved reserves contributed by Equinor. Subsequently, Shell will report 50% of the proved reserves of the new joint venture as part of Shell’s share of proved reserves from joint ventures and associates.

    OUTLOOK FOR THE FIRST QUARTER 2025

    Full year 2024 cash capital expenditure was $21 billion. Our cash capital expenditure range for the full year 2025 is expected to be lower than our 2024 range, with more guidance to come at the Capital Markets Day 2025.

    Integrated Gas production is expected to be approximately 930 – 990 thousand boe/d. First quarter 2025 outlook reflects Pearl GTL back in operation after a major turnaround. LNG liquefaction volumes are expected to be approximately 6.6 – 7.2 million tonnes.

    Upstream production is expected to be approximately 1,750 – 1,950 thousand boe/d.

    Marketing sales volumes are expected to be approximately 2,500 – 3,000 thousand b/d.

    Refinery utilisation is expected to be approximately 80% – 88%. Chemicals manufacturing plant utilisation is expected to be approximately 78% – 86%.

    Corporate Adjusted Earnings were a net expense of $380 million1 for the fourth quarter 2024. Corporate Adjusted Earnings2 are expected to be a net expense of approximately $400 – $600 million in the first quarter 2025.

    1. Basis of preparation

    These unaudited Condensed Consolidated Financial Statements of Shell plc (“the Company”) and its subsidiaries (collectively referred to as “Shell”) have been prepared on the basis of the same accounting principles as those used in the Company’s Annual Report and Accounts (pages 244 to 316) for the year ended December 31, 2023, as filed with the Registrar of Companies for England and Wales and as filed with the Autoriteit Financiële Markten (the Netherlands) and Form 20-F (pages 217 to 290) for the year ended December 31, 2023, as filed with the US Securities and Exchange Commission, and should be read in conjunction with these filings.

    The financial information presented in the unaudited Condensed Consolidated Financial Statements does not constitute statutory accounts within the meaning of section 434(3) of the Companies Act 2006 (“the Act”). Statutory accounts for the year ended December 31, 2023, were published in Shell’s Annual Report and Accounts, a copy of which was delivered to the Registrar of Companies for England and Wales, and in Shell’s Form 20-F. The auditor’s report on those accounts was unqualified, did not include a reference to any matters to which the auditor drew attention by way of emphasis without qualifying the report and did not contain a statement under sections 498(2) or 498(3) of the Act. The statutory accounts for the year ended December 31, 2024, will be delivered to the Registrar of Companies for England and Wales in due course.

    2. Segment information

    Segment earnings are presented on a current cost of supplies basis (CCS earnings), which is the earnings measure used by the Chief Executive Officer for the purposes of making decisions about allocating resources and assessing performance. On this basis, the purchase price of volumes sold during the period is based on the current cost of supplies during the same period after making allowance for the tax effect. CCS earnings therefore exclude the effect of changes in the oil price on inventory carrying amounts. Sales between segments are based on prices generally equivalent to commercially available prices.

    From the first quarter 2024, Wholesale commercial fuels forms part of Mobility with inclusion in the Marketing segment (previously Chemicals and Products segment). The change in segmentation reflects the increasing alignment between the economic characteristics of Wholesale commercial fuels and other Mobility businesses, and is consistent with changes in the information provided to the Chief Operating Decision Maker. Prior period comparatives have been revised to conform with current year presentation with an offsetting impact between the Marketing and the Chemicals and Products segment (see below). Also, from the first quarter 2024, Shell’s longer-term innovation portfolio is managed centrally and hence reported as part of the Corporate segment (previously all other segments). Prior period comparatives have been revised to conform with current year presentation with an offsetting impact on all the other segments (see below).

    The merger reserve and share premium reserve were established as a consequence of Shell plc (formerly Royal Dutch Shell plc) becoming the single parent company of Royal Dutch Petroleum Company and The “Shell” Transport and Trading Company, p.l.c., now The Shell Transport and Trading Company Limited, in 2005. The merger reserve increased in 2016 following the issuance of shares for the acquisition of BG Group plc. The capital redemption reserve was established in connection with repurchases of shares of Shell plc. The share plan reserve is in respect of equity-settled share-based compensation plans.

    7. Derivative financial instruments and debt excluding lease liabilities

    As disclosed in the Consolidated Financial Statements for the year ended December 31, 2023, presented in the Annual Report and Accounts and Form 20-F for that year, Shell is exposed to the risks of changes in fair value of its financial assets and liabilities. The fair values of the financial assets and liabilities are defined as the price that would be received to sell an asset or paid to transfer a liability in an orderly transaction between market participants at the measurement date. Methods and assumptions used to estimate the fair values at December 31, 2024, are consistent with those used in the year ended December 31, 2023, though the carrying amounts of derivative financial instruments have changed since that

    The “Adjusted Earnings” measure aims to facilitate a comparative understanding of Shell’s financial performance from period to period by removing the effects of oil price changes on inventory carrying amounts and removing the effects of identified items. These items are in some cases driven by external factors and may, either individually or collectively, hinder the comparative understanding of Shell’s financial results from period to period. This measure excludes earnings attributable to non-controlling interest.

    We define “Adjusted EBITDA” as “Income/(loss) for the period” adjusted for current cost of supplies; identified items; tax charge/(credit); depreciation, amortisation and depletion; exploration well write-offs and net interest expense.     Fair value accounting of commodity derivatives and certain gas contracts: In the ordinary course of business, Shell enters into contracts to supply or purchase oil and gas products, as well as power and environmental products. Shell also enters into contracts for tolling, pipeline and storage capacity. Derivative contracts are entered into for mitigation of resulting economic exposures (generally price exposure) and these derivative contracts are carried at period-end market price (fair value), with movements in fair value recognised in income for the period. Supply and purchase contracts entered into for operational purposes, as well as contracts for tolling, pipeline and storage capacity, are, by contrast, recognised when the transaction occurs; furthermore, inventory is carried at historical cost or net realisable value, whichever is lower. As a consequence, accounting mismatches occur because: (a) the supply or purchase transaction is recognised in a different period, or (b) the inventory is measured on a different basis. In addition, certain contracts are, due to pricing or delivery conditions, deemed to contain embedded derivatives or written options and are also required to be carried at fair value even though they are entered into for operational purposes. The accounting impacts are reported as identified items.

    Impact of exchange rate movements and inflationary adjustments on tax balances represents the impact on tax balances of exchange rate movements and inflationary adjustments arising on (a) the conversion to dollars of the local currency tax base of non-monetary assets and liabilities, as well as losses (this primarily impacts the Upstream and Integrated Gas segments) and (b) the conversion of dollar-denominated inter-segment loans to local currency, leading to taxable exchange rate gains or losses (this primarily impacts the Corporate segment).

    Other identified items represent other credits or charges that based on Shell management’s assessment hinder the comparative understanding of Shell’s financial results from period to period.

    B.    Adjusted Earnings per share

    Adjusted Earnings per share is calculated as Adjusted Earnings (see Reference A), divided by the weighted average number of shares used as the basis for basic earnings per share (see Note 4).

    C.    Cash capital expenditure

    Cash capital expenditure represents cash spent on maintaining and developing assets as well as on investments in the period. Management regularly monitors this measure as a key lever to delivering sustainable cash flows. Cash capital expenditure is the sum of the following lines from the Consolidated Statement of Cash Flows: Capital expenditure, Investments in joint ventures and associates and Investments in equity securities.

    See Note 2 “Segment information” for the reconciliation of cash capital expenditure.

    D.    Capital employed and Return on average capital employed

    Return on average capital employed (“ROACE”) measures the efficiency of Shell’s utilisation of the capital that it employs. Effective first quarter 2024, the definition of capital employed has been amended to reflect the deduction of cash and cash equivalents. In addition, the numerator applied to ROACE on an Adjusted Earnings plus non-controlling interest basis has been amended to remove interest on cash and cash equivalents for consistency with the revised capital employed definition. Comparative information has been revised to reflect the updated definition. Also, the presentation of ROACE on a net income basis has been discontinued, as this measure is not routinely used by management in assessing the efficiency of capital employed.

    The measure refers to Capital employed which consists of total equity, current debt, and non-current debt reduced by cash and cash equivalents.

    Management believes that the updated methodology better reflects Shell’s approach to managing capital employed, including the management of cash and cash equivalents alongside total debt and equity as part of the financial framework.

    In this calculation, the sum of Adjusted Earnings (see Reference A) plus non-controlling interest (NCI) excluding identified items for the current and previous three quarters, adjusted for after-tax interest expense and after-tax interest income, is expressed as a percentage of the average capital employed excluding cash and cash equivalents for the same period.

    E.    Net debt and gearing

    Net debt is defined as the sum of current and non-current debt, less cash and cash equivalents, adjusted for the fair value of derivative financial instruments used to hedge foreign exchange and interest rate risk relating to debt, and associated collateral balances. Management considers this adjustment useful because it reduces the volatility of net debt caused by fluctuations in foreign exchange and interest rates, and eliminates the potential impact of related collateral payments or receipts. Debt-related derivative financial instruments are a subset of the derivative financial instrument assets and liabilities presented on the balance sheet. Collateral balances are reported under “Trade and other receivables” or “Trade and other payables” as appropriate.

    J.    Structural cost reduction

    The structural cost reduction target is used for the purpose of demonstrating how management drives cost discipline across the entire organisation, simplifying our processes and portfolio, and streamlining the way we work.

    Structural cost reduction describes the decrease in underlying operating expenses as a result of operational efficiencies, divestments, workforce reductions and other cost-saving measures that are expected to be sustainable compared with 2022 levels.

    “2024 was another year of strong financial performance across Shell. Despite the lower earnings this quarter, cash delivery remained solid and we generated free cash flow of $40 billion across the year, higher than 2023, in a lower price environment. Our continued focus on simplification helped to deliver over $3 billion in structural cost reductions since 2022, meeting our target ahead of schedule, whilst also making significant progress against all our other financial targets1.

    An educational complex will be built in the Desna microdistrict of the Novye Vatutinki district in TiNAO. The installation of the monolithic part and waterproofing of the walls, as well as backfilling of the pit, are currently being completed.     “The educational facility is being built at the address: Troitsk district, block 4. It will include a school for 1,350 students and a kindergarten for 350 pupils. After the construction is completed, the facility will be transferred to the city. Thus, the school will include laboratory and research complexes, a hall for holding events and an IT testing ground. The project also includes an amphitheater. The kindergarten, school and sports and health cluster will be located in different parts of the complex. The construction is planned to be completed in 2026,” Vladimir Efimov noted.

    The school building will house modern universal and specialized classrooms and studios, halls with zoning options, a room for individual lessons with a teacher-psychologist. The complex will include a gymnastics hall and a transformable sports hall, as well as a gym for primary school students.

    “The educational complex project is distinguished by its design and engineering solutions: in the universal and specialized classrooms, a large surface of the walls will be made of magnetic marker coating, on which you can draw, and the gym will have panoramic windows. The media library will be equipped with an amphitheater staircase, where students will be able to comfortably spend time between classes. In the adjacent territory, specialists will organize a physical education and sports area with areas for gymnastics, active games and mini-football with stands.     In the west of the city, improvement work has been completed on the territory near the Solnechnaya station of the fourth Moscow Central Diameter (MCD-4).     More than 370 monitoring studies in 111 natural and green areas of the city were carried out by specialists from the capital Department of Nature Management and Environmental Protection in 2024.     “The results of the animal census for 2024 indicate a satisfactory ecological situation in the city. The identification of 157 species listed in the Red Book of Moscow confirms that the capital’s natural areas are an important link in preserving its rich diversity of flora and fauna.     According to the Bank of Russia, given the current structure of issuances, the average level of premium on credit cards in the grace period will be 0.7 (70%). For large banks, such debt currently accounts for one third to one half of all debt on credit cards. Despite the reduction in premiums for this part of the portfolio and the slowdown in lending growth (in December 2024, the unsecured loan portfolio decreased by 1.9% after near-zero changes in debt in October-November 2024), the macroprudential capital buffer for unsecured consumer loans2 will generally continue to accumulate due to the gradual renewal of the loan portfolio.

    A recent development has made magnetic resonance imaging (MRI) technology more accessible. Researchers from Moscow have successfully developed 11 medical phantoms that accurately simulate human tissue, organs, and anatomical structures. These developments help medical professionals perform diagnostic procedures more effectively, according to Anastasia Rakova, Deputy Mayor of Moscow for Social Development.

    Functionality and application of phantoms

    “Phantoms are durable and realistic products that imitate human anatomy. Some of them are used to train young specialists and improve the skills of experienced doctors, others – to calibrate diagnostic equipment,” said Rakova. The development of such phantoms allows specialists to practice the basic techniques of conducting visualization studies and prepare devices for various procedures. Among the latest innovations is a prostate gland phantom, which is already successfully used in clinical settings.

    Solving clinical problems

    MRI is currently the most common method for detecting prostate cancer, but the presence of artificial metal implants in elderly patients often complicates this type of imaging. This requires changes to the MRI protocol before the study. To solve this problem, scientists at the Center for Diagnostics and Telemedicine of the Moscow Department of Health have developed the first prostate phantom of their own production, which allows for calibration of the device without the patient’s participation.

    “Metal implants can significantly complicate the interpretation of MRI results. We set ourselves the task of solving a major clinical problem: minimizing errors associated with metal hip implants during prostate MRI. These implants can not only cause distortions, but also affect the accuracy of quantitative measurements. Developing a new scanning protocol takes a lot of time, which can delay the examination process and disrupt the work schedule of diagnostic institutions. In addition, adjustments made during the examination can lead to heating of the implant, which will cause discomfort to the patient. Using a phantom, we can make the necessary adjustments in advance, thereby reducing these risks,” explained Yuri Vasiliev, Chief Consultant in Radiology at the Moscow Department of Healthcare and General Director of the Moscow Center for Diagnostics and Telemedicine.

    Past Innovations and Future Directions

    In addition to the prostate phantom, the researchers recently introduced a fetal phantom designed to optimize the MRI protocol for pregnant women. This tool not only helps in training physicians and radiologists, but also serves as a benchmark for equipment standards in clinical practice and in the development of new research protocols.

    The Center for Diagnostics and Telemedicine is a leading scientific and practical institution of the Moscow Department of Health, specializing in the creation of phantoms and medical simulators, as well as conducting educational courses. Since its foundation in 2013, the Center’s employees have prepared more than 800 scientific papers, including articles, guidelines, monographs and teaching aids.

    This project is in line with national healthcare objectives aimed at improving the quality and accessibility of medical care for Moscow residents.

    The Moscow Metro has unveiled a special themed train to celebrate Chinese New Year as part of the Russia-China Years of Culture 2024–2025.

    For the first time, the metro collaborated with colleagues from China to design a unique branded train. The train is painted in red, a color traditionally associated with happiness, joy, luck, and prosperity in Chinese culture.

    • The exterior of the train features the symbol of the Year of the Snake, as well as a Chinese dragon, representing a new beginning and prosperity.

    WASHINGTON – U.S. Senators Lindsey Graham (R-South Carolina), Ted Cruz (R-Texas) and Katie Britt (R-Alabama) today introduced a bill that would restrict one of the biggest magnets for illegal immigration into the United States. The Birthright Citizenship Act of 2025 stops the practice of granting citizenship to both the children of illegal immigrants and the children of non-immigrants in the U.S. on temporary visas, also known as birthright citizenship. Graham first introduced the legislation in September 2024.
    The exploitation of birthright citizenship is a major pull factor for illegal immigration and a weakness for our national security. The United States is one of only 33 countries in the world with no restrictions on birthright citizenship.
    “It is long overdue for the United States to change its policy on birthright citizenship because it is being abused in so many ways,” said Senator Graham. “One example is birth tourism, where wealthy individuals from China and other nations come to the United States simply to have a child who will be an American citizen. When you look at the magnets that draw people to America, birthright citizenship is one of the largest. I also appreciate President Trump’s executive order to address birthright citizenship. It is time for the United States to align itself with the rest of the world and restrict this practice once and for all.”

  • MIL-OSI Global: Will the US get to Mars quicker if it drops or delays plans to visit the Moon?

    The Artemis program has been Nasa’s best chance to get “boots on the Moon” again. But with the new US administration taking guidance from tech entrepreneur Elon Musk, who is focused on Mars colonisation, will they end up abandoning or pushing back lunar missions?

    For example, there’s been speculation that returning US president Donald Trump may cancel the Space Launch System rocket, which Nasa intended to use to get from the Moon to Mars. But is this approach likely to help them get to Mars quicker?

    The last human presence on the lunar surface was Apollo 17 in 1972. So you may imagine that it should be easy for the US to return. However there have been plans to once again send people there since 2004, which have changed name with each incoming president, until its current incarnation as the Artemis program.

    The 2022 Artemis-1 test flight was successful in its mission to send an unmanned satellite around the lunar orbit and return using the new SLS rocket system. But Artemis-2, which will carry crew, is not scheduled for launch until 2026. When we consider private companies and other nations, this is comparatively slow progress.

    The first successful landing of a spacecraft on the Moon by the Indian Space Agency, Isro, took place in 2023 with Chaandrayan-3, which was an amazing achievement with a low budget. China landed in 2013 with Chang’e 3, and Chang’e 4 in 2019 on the dark side.

    Russia have previously had landers on the Moon. Their more recent attempt at a lunar landing with Luna-25 was unsuccessful though. There are also future lander missions planned by the European Space Agency with Argonaut, a private Israeli company and other private industries. Clearly, there is no shortage of potential competitors which could eventually develop to send humans too.

    Implications for Mars

    So would turning to Martian exploration be a sensible move instead of heading for the Moon? It would likely mean abandoning the Lunar Gateway project, a space station in orbit around the Moon where astronauts could live. But as this is not planned until 2027 at the earliest, this would seem acceptable.

    However the difference between going to the Moon and going to Mars is like the difference between walking to the end of your road compared to walking to another country.

    Besides the incredible difference in distance (the distance to travel to Mars is 833 times greater than that of the distance to the Moon), the time taken to get there is far longer as well. The optimal lunar launch conditions repeat once a month. And you could still launch at times that are not ideal.

    The optimal fuel route for Mars involves arriving when the two planets are roughly on opposite sides of the Sun. This launch window repeats every 18 months, and the journey time of nine months means any problems onboard will need to be fixed by the crew, with no rescue option. Faster routes can be achieved (roughly six months) but this then becomes very energy intensive.

    This is why the lunar gateway would come in handy, allowing astronauts to take off from the Moon, away from the Earth’s immense gravity, and head to Mars from there. Of course the material for the gateway would need to be sent to the lunar gateway first. But by splitting the energy requirements up it means slower but more efficient propulsion methods can be used for part of the Mars journey.

    There is no doubt that, with some work, SpaceX will be able to make a landing on Mars. But will they be able to safely take people there and get them back? As a company the idea of profit will be a strong factor, along with astronaut safety. We only have to look at some of the more recent Boeing problems (astronauts have been stuck on the International Space Station for seven months at time of writing) to see that private companies may want to slow down a bit when it comes to transporting people.

    This is unlikely to happen though, with the considerable influence of Musk on the White House administration, and the suggestion of fellow billionaire Jared Isaacman (a private astronaut) as the new head of Nasa.

    Critical decisions

    So two options for Nasa to choose from: either keep going with their Artemis program and abandon the Lunar Gateway, or aim for Mars and be primarily dependent on Musk.

    Funding both options will likely mean that neither ever happens. Of course, the Mars mission would be easier if the gateway was already present at the Moon.

    The timelines involved here are important. SpaceX states that it will send five uncrewed Starships to Mars next year with an aim to send humans to Mars in 2028. This seems ambitious, particularly as it involves refuelling in orbit, but if additional funds and material are put towards the project it could potentially be sooner than this.

    As the lunar gateway would be built at the earliest in 2027, then it’d be unlikely to be operational in 2028 anyway. So prioritising Mars exploration over the lunar gateway may indeed get us to Mars quicker – but it will be risky.

    If the US pulls out of plans to explore the Moon, other nations can expand their presence in those areas more easily – with the potential to have an easier route to launch to Mars. These are likely to be on much longer time scales though, but if Musk fails to get humans to Mars in the next few years, these countries may have an edge.

    The conditions on Mars are slightly more favourable for human presence, with at least some atmospheric pressure and the potential for mining water. But as many studies have shown, it has no potential for terraforming, the process of altering a planet to make it more habitable for humans.

    The increased distance from the Sun also means that solar panels are slightly less effective, and Mars is not rich in deposited solar Helium-3, which can be used as a fuel for nuclear fusion.

    Of course the challenge is what excites many people and it may be a risk worth taking. But this decision should be left with the experts in the field, rather than politicians and billionaires.

    A Concluding Statement describes the preliminary findings of IMF staff at the end of an official staff visit (or ‘mission’), in most cases to a member country. Missions are undertaken as part of regular (usually annual) consultations under Article IV of the IMF’s Articles of Agreement, in the context of a request to use IMF resources (borrow from the IMF), as part of discussions of staff monitored programs, or as part of other staff monitoring of economic developments.

    The authorities have consented to the publication of this statement. The views expressed in this statement are those of the IMF staff and do not necessarily represent the views of the IMF’s Executive Board. Based on the preliminary findings of this mission, staff will prepare a report that, subject to management approval, will be presented to the IMF Executive Board for discussion and decision.

    Washington, DC: An International Monetary Fund mission, led by Magnus Saxegaard, and comprising Christian Bogmans, Shinya Kotera, Yen Mooi, and Jonathan Pampolina conducted discussions for the 2025 Article IV consultation with the Slovak Republic virtually during December 4-13, 2024, and in Bratislava, Slovakia, during January 15-28, 2025. Sumiko Ogawa, Financial Sector Assessment Program (FSAP) mission chief, joined the concluding meeting. At the conclusion of the visit, the mission issued the following statement:

    Slovakia, like much of the EU, faces headwinds related to geoeconomic fragmentation, high energy costs, and demographic change. Growth has held up in recent years, but at the cost of a much-increased fiscal deficit. Steadfast implementation of the authorities’ ambitious 4-year consolidation plan is needed to reverse the upward trajectory in public debt, alongside policies to strengthen financial resilience and structural reforms to bolster medium-term growth, including through efforts to strengthen governance and reduce vulnerability to corruption.

    Economic Developments, Outlook, and Risks

    The Slovak economy is recovering. The economy slowed sharply in 2022-23, but growth is estimated to have accelerated to 2.1 percent in 2024, outpacing that in the euro area. Private consumption was the main driver fueled by recovering real wages, the extension of household energy support, and more generous pensions. Meanwhile, an increase in public consumption partially offset a slowdown in EU-funded public investments. While inflation has declined from record-highs in 2023, it increased in 2024H2 due to higher global food price inflation. Core inflation is higher than in the euro area, driven by a tight labor market and strong nominal wage growth.

    Economic growth is projected to moderate to 1.9 percent in 2025, before rising to 2.1 percent in 2026. The fiscal consolidation in 2025 will lower growth directly by slowing government spending, and indirectly as higher taxes put upward pressure on prices and dampen private consumption, though the effect will be partially mitigated by the one-year extension of household energy support and strong EU-funded public investments. Meanwhile external demand is expected to remain subdued. For 2026, higher growth in trading partners and increased capacity in the automotive sector is expected to boost exports. Inflation is projected to rise temporarily to 4.0 percent in 2025 and moderate to 3.2 percent in 2026. Adverse demographic trends and lower productivity growth imply that Slovakia’s medium-term growth, as projected by staff, is expected to be significantly lower than its pre-pandemic average, and below IMF forecasts of medium-term growth in other Central, Eastern, and Southeastern Europe (CESEE) countries with comparable income levels.

    Risks to growth are tilted to the downside while risks to inflation are broadly balanced. Near term risks include a global slowdown or intensifying trade policy uncertainty which would weigh on growth and exert downward pressure on inflation. Domestically, slippages in fiscal consolidation could increase sovereign spreads and tighten financial conditions. A lack of political consensus on structural reforms and concerns about institutional quality could deter private investment and slow the disbursement of EU funds that have been critical in supporting public investment. A correction in real estate prices combined with an economic downturn could trigger losses for financial institutions. Meanwhile, continued strong nominal wage growth could undermine competitiveness and keep inflation elevated.

    Fiscal Policy

    Slovakia’s fiscal outlook is challenging. The fiscal deficit is projected to have increased to 5.7 percent in 2024 from 5.2 percent in 2023 due to a combination of revenue easing and higher spending that more than offset the 0.6 percent of GDP in net consolidation measures in the 2024 budget. This increase follows the 3.6 percentage points of GDP widening of the fiscal deficit in 2023. While the change in government in October 2023 meant time to finalize the 2024 budget was short, it is clear ex-post that robust growth combined with significant medium-term fiscal challenges would have warranted a tighter fiscal stance in 2024.

    The mission welcomes the authorities’ ambitious fiscal consolidation targets for 2025-28, which is commensurate with the scale of Slovakia’s fiscal challenges.

    • The 2025 budget targets a reduction in the headline deficit to 4.7 percent of GDP. Fund staff’s more conservative macroeconomic forecasts imply an overall deficit of 4.9 percent of GDP in 2025. However, the projected structural tightening is broadly in line with the budget. These forecasts are subject to significant downside risks, including from a lower-than-expected yield from the fiscal consolidation measures or a worse economic outlook. If revenues in 2025 appear to be falling short of targets (as implied by staff’s macroeconomic forecasts) the authorities should limit the resulting increase in the deficit, including by saving as much as possible of the contingency buffer.
    • Beyond 2025, the medium-term fiscal structural plan targets another 2.5 percentage points of GDP reduction in the fiscal deficit to bring it close to 2 percent of GDP by 2028, though measures to achieve this consolidation are not yet specified. Staff projections suggest that the fiscal consolidation envisaged over the next four years, if met, will reverse the increase in the deficit over the past two years and put public debt on a downward path by the end of the projection period. Staff’s baseline forecast, which does not include any further consolidation beyond that in the 2025 budget, entails a gradual increase in the deficit over the medium term, with public debt rising to 75 percent of GDP by end-2030 from 56 percent of GDP in 2023.

    The consolidation measures for 2025 are a step in the right direction. Several of the measures are welcome and will help reduce the deficit on a structural basis, including the increase in the basic VAT rate, and better targeting of child benefits. However, the increase in the number of items subject to reduced VAT rates deprives the government of much needed revenue, while the financial transactions tax (FTT) could weaken financial intermediation and increase incentives for informality.

    The measures to lower Slovakia’s fiscal deficit closer to 2 percent of GDP by 2028 should be consistent with Slovakia’s long-term growth and climate objectives, while protecting the most vulnerable in society. While there is no definitive evidence that reducing spending is more effective than increasing revenues in terms of economic efficiency or equity, prioritizing the rationalization of expenditures moving forward would result in a more balanced fiscal consolidation, given the reliance on revenue-based measures thus far.

    • Spending: According to Fund staff estimates, value for Money initiatives, including a reduction in subsidies, could yield savings of up to 0.5 percent of GDP, while improved targeting could reduce social spending by as much as 0.8 percent of GDP. Also, there may be scope to increase efficiency by trimming departmental budgets and reducing public sector wage growth, though this should be done cautiously to avoid unintended cuts in service delivery. Reversing the increase of the 13th pension could yield about 0.4 percent of GDP in savings while eliminating the recently introduced early retirement option could yield fiscal savings over the long-term. Finally, energy support measures to households (projected to cost 0.2 percent of GDP in 2025) should be phased out as they are costly and discourage energy conservation.
    • Revenues: Reducing the number of items subject to reduced VAT rates could generate as much as 1.3 percent of GDP in savings, while raising property taxes by transitioning to a market value-based system could generate around 0.3 percent in additional revenue. Plans to counter tax evasion and reduce the VAT compliance gap are welcome and could yield up to 0.5 percent of GDP in revenues. Finally, the authorities should replace the FTT with alternative revenue sources, while phasing out the bank levy as planned.

    Safeguarding Slovakia’s strong fiscal framework is essential for the credibility of the consolidation effort. Aligning Slovakia’s national expenditure ceiling framework with the new EU fiscal rules avoids inconsistencies and streamlines the budget process but continued focus on the long-term fiscal outlook (beyond the horizon used for the EU fiscal framework) remains useful given Slovakia’s medium-term fiscal challenges. Slovakia’s strong and independent Council for Budgetary Responsibility can help by monitoring the impact of government policies on the long-term sustainability of public finances. Lastly, the mission recommends reforming the debt brake before it comes into effect in 2026, to avoid the risk of a disruptive fiscal consolidation.

    The mission welcomes the government’s objective to increase absorption of EU funds. The Slovak government is working with the OECD and the European Commission to identify concrete measures to increase absorption. In this regard, there is a need to strengthen project management capacity, especially at the municipal level, while the preparation of a national investment plan could help guide the timely selection of investment projects.

    Financial Sector Policy

    The 2024 Financial Sector Assessment Program (FSAP)—an in-depth review of the financial sector—assessed the banking sector to be resilient against severe shocks, reflecting a healthy level of buffers and profitability. The residential real estate market remains a source of vulnerability. In particular, tighter financial conditions, an economic slowdown, and a decline in still-elevated house prices could put pressure on households’ repayment capacity and increase the riskiness of banks’ mortgage portfolios. Also, risks remain elevated in the office segment of the commercial real estate (CRE) market while banks with large exposures to firms facing geopolitical risks could be vulnerable to credit losses. That said, solvency stress tests indicate that banks have sufficient capital to withstand severe macro-financial shocks. Likewise, liquidity stress tests indicate that the banking system as a whole is resilient to funding and market liquidity shocks.

    The current macroprudential stance is broadly appropriate, but the policy framework could be further developed over the medium term to help attenuate cyclical and structural risks.

    • Residual risks in the residential and CRE markets suggest the current level of the countercyclical capital buffer (CCyB) is appropriate. Borrower-based measures (BBMs) have contributed to contain household credit risk and should remain in force. The authorities should stand ready to activate the systemic risk buffer on banks’ CRE exposures before risks in the sector become systemic.
    • The macroprudential policy framework could be further strengthened by adopting a positive neutral countercyclical capital buffer (pnCCyB). A pnCCyB would help safeguard the availability of releasable capital and give policymakers time to collect evidence of a build-up in vulnerabilities. A healthy level of profitability and/or the availability of voluntary buffers would help facilitate a smooth introduction of a pnCCyB. In addition, remaining leakages in the BBMs (e.g. co-financing a mortgage with a consumer loan) should be closed, while the BBM speed limits should be differentiated across borrower categories (e.g. first- and second-time home buyers, investors, and mortgage top-ups).

    Financial resilience could be bolstered by strengthening the supervision of less significant institutions (LSIs) as well as the crisis management framework.

    • The NBS’s supervisory powers and operational independence should be enhanced by restricting banks’ appeals only to supervisory decisions and corrective measures that are finalized, and by strengthening the legal protections for supervisors. Moreover, the NBS should streamline off-site supervision to align with LSI’s risk profile and strengthen on-site inspections to bolster the overall effectiveness of LSI supervision.
    • The financial safety net and crisis management framework should be reinforced by ensuring that the National Resolution Authority (NRA) has adequate resources, preventing the judiciary from suspending or reversing resolution decisions, ensuring NRA resolutions are immediately enforceable, and enhancing the legal protection of staff involved in resolution. Meanwhile, the authorities should remove active bankers from the board of the deposit guarantee fund to prevent conflicts of interest, while expanding the fund’s mandate and financial strength to enable it to play a broader role in crisis management.

    Efforts to strengthen the AML/CFT framework should continue. In particular, the authorities should review the criteria for the application of ML/TF sanctions, strengthen coordination between the NBS and Financial Intelligence Unit, and introduce mechanisms to verify beneficial ownership information and sanction the submission of inaccurate information.

    Structural Policy

    Slovakia needs structural reforms to diversify its economy, enhance resilience to global shocks and sustain productivity growth. The success of the automotive sector has led to decades of strong growth but exposed Slovakia to global trends related to the green transition and automation. To improve resilience and sustain productivity growth the authorities should intensify efforts to promote innovation and technology adoption. In this context, the mission welcomes the increase in direct government R&D spending, but further efforts are needed to stimulate business R&D including in small firms and startups that are not yet profitable. At the same time, deepening the European single market would allow innovative firms to leverage economies of scale. Finally, advancing the capital market union would facilitate cross-border flows of capital including equity financing and venture capital, which is critical for supporting startups, particularly in countries with less-developed capital markets.

    The automotive sector is facing headwinds related to the unfolding green transition and rapid rise of electronic vehicle (EV) production in other markets. To address these challenges, the authorities should encourage innovation across the entire domestic EV production supply chain, promote efforts to diversify the economy, and enhance Active Labor Market Policies (ALMPs) to facilitate the movement of workers across sectors.

    The challenges of an aging population require policies to increase the labor force. Flexible working arrangements, shortening the 3-year long maximum parental leave period, and improved child and elderly care could increase female participation, while tax credits and restrictions on early retirement could raise labor force participation among the elderly. The recent easing of national visa rules for foreign workers in professions with shortages could boost migrant inflows, but further efforts are needed to integrate and retain migrants, including by scaling up language training and streamlining certification recognition. Increased focus on vocational education and training would help bring down Slovakia’s high youth unemployment.

    Maintaining a favorable investment climate, strengthening governance, and reducing vulnerability to corruption will help lift the economy’s growth potential.

    • Governance indicators and perceptions of judicial independence lag peers, and recent surveys point to a decline in the perceived effectiveness of anti-corruption policies.
    • A new national anti-corruption strategy is expected to be released mid-year. In that context, the authorities should verify that the new institutional framework that replaced the dissolved Special Prosecutor’s Office and National Crime Agency has not weakened the institutional capacity to investigate and prosecute high-level corruption. Also, the asset declaration and conflict of interest framework for high-risk public officials could be improved. Specifically, broadening the scope of covered public officials, and centralizing and digitizing the submission and publication process with robust verification procedures and appropriate sanctions, would be beneficial. Finally, existing safeguards pertaining to the Prosecutor General’s authority to annul decisions by lower-level prosecutors should be strengthened.
    • Safeguards to ensure members of the Judicial Council can only be recalled based on specific and reasonable grounds would enhance judicial independence. Also, the crime of “abuse of law”, whereby judges are subject to criminal liability for their decisions, can have an intimidating effect on judges. Additional safeguards to ensure the framework balances the accountability of judges and independent judicial decision-making would be beneficial.

    While greenhouse gas emissions have fallen by 50 percent since 1990, further efforts are needed to cut emissions by 55 percent by 2030 and to reach net-zero by 2050. Slovakia should move expeditiously to fully implement the ETS II scheme for road transport and buildings and could consider gradually raising environmental levies in these sectors until the scheme becomes operational in 2027. The authorities should continue exploring options to replace two coal-fired blast furnaces in the steel industry and phase out fossil fuel subsidies. Also, supporting environmental R&D and green technology would support mitigation efforts and economic diversification. Lastly, a more integrated energy market in Europe would encourage investment in renewables and enhance energy security and reduce energy prices.
