  • MIL-OSI USA: Building Affordable Housing in East New York, Brooklyn

    The multi-phase program will ultimately include a total of nearly 2,000 affordable apartments in 10 buildings. It will also feature community space with childcare, senior services, workforce development, and a new performing arts center. New streets are being added as an extension of the existing neighborhood street grid to maximize walkability through interconnected pedestrian routes and three acres of publicly accessible open space.

    The City of New York approved the rezoning of the project site to accommodate the redevelopment.

    Innovative Urban Village is supported by HCR’s Low-Income Housing Tax Credit program which is expected to generate more than $115 million in equity and $47 million from its Housing Finance Agency. Additional support includes $47 million from the New York City Department of Housing Preservation and Development’s Extremely Low- and Low-Income Affordability Program. The project is also supported by the Urban Investment Group at Goldman Sachs Alternatives.

    The site is participating in the New York State Department of Environmental Conservation’s successful Brownfield Cleanup Program and, when completed, would be eligible for $28 million in tax credits administered by the New York State Department of Taxation and Finance. Operating funding for the supportive apartments will be provided by the Empire State Supportive Housing Initiative administered by the New York State Office of Temporary and Disability Assistance.

    Governor Hochul’s Housing Agenda
    Governor Hochul is dedicated to addressing New York’s housing crisis and making the State more affordable and more livable for all New Yorkers. As part of the FY25 Enacted Budget, the Governor secured a landmark agreement to increase New York’s housing supply through new tax incentives, capital funding, and new protections for renters and homeowners. Building on this commitment, the FY26 Enacted Budget includes more than $1.5 billion in new State funding for housing, a Housing Access Voucher pilot program, and new policies to improve affordability for tenants and homebuyers. These measures complement the Governor’s five-year, $25 billion Housing Plan, included in the FY23 Enacted Budget, to create or preserve 100,000 affordable homes statewide, including 10,000 with support services for vulnerable populations, plus the electrification of an additional 50,000 homes. More than 60,000 homes have been created or preserved to date.

    The FY25 and FY26 Enacted Budgets also strengthened the Governor’s Pro-Housing Community Program — which allows certified localities exclusive access to up to $750 million in discretionary State funding. Currently, more than 300 communities have received Pro-Housing certification, including the city of New York.

  • MIL-OSI Security: One Los Angeles County Sheriff’s Deputy Charged, Another Pleads Guilty to Conspiring to Violate Civil Rights While Providing Off-Duty Security for Clients

    LOS ANGELES – Federal prosecutors today secured a guilty plea from a Los Angeles County Sheriff’s Department (LASD) deputy and charged and filed a plea agreement with another LASD deputy – both of whom used their positions in law enforcement while acting as private security for their off-duty clients, including a now-jailed cryptocurrency businessman who proclaimed himself “The Godfather.” 

    David Anthony Rodriguez, 43, of La Verne, pleaded guilty today to one count of conspiracy against rights.

    Relatedly, Christopher Michael Cadman, 33, of Fullerton, agreed to plead guilty to a two-count information charging him with conspiracy against rights and subscribing to a false tax return. Cadman, who will face up to 13 years in federal prison at his sentencing hearing after he pleads guilty, is expected to make his initial appearance in United States District Court in the coming days.

    Rodriguez and Cadman formerly were employed by Adam Iza, 24, who resided in Beverly Hills and Newport Beach, a cryptocurrency businessman who has been in federal custody since September 2024. Iza pleaded guilty on January 30 to one count of conspiracy against rights, one count of wire fraud, and one count of tax evasion. His sentencing hearing is scheduled for December 15.

    According to court documents, in August 2021, Cadman and a law enforcement officer identified as “LASD Deputy 6” intimidated and threatened a victim who was one of Iza’s adversaries. LASD Deputy 6 held the victim at gunpoint during a meeting at Iza’s office inside his Bel Air mansion. Immediately afterward, the victim transferred approximately $25,000 from his bank account to Iza’s bank account in response to the threat and demand.

    In September 2021, Cadman and other law enforcement officers orchestrated a traffic stop in Paramount to arrest the same victim. Cadman admitted in his plea agreement to helping organize the traffic stop and arrest on Iza’s behalf and to receiving cash payments while he worked for Iza.

    Cadman also received income he knowingly failed to report – at least $40,500 – on his 2021 federal tax return, which he signed and filed with the IRS in February 2022. Cadman admitted to owing approximately $11,000 in federal taxes for that year.

    In a separate plea agreement, Rodriguez admitted to using his powers as a law enforcement officer in July 2022 to improperly obtain a court-authorized search warrant, lying to a judge that it was related to a robbery investigation, to obtain GPS location information associated with another victim’s cellular phone on behalf of a client – other than Iza – who hired Rodriguez as a private security guard. 

    After securing the GPS location information for the victim’s phone, Rodriguez shared the coordinates with co-conspirators, including Eric Chase Saavedra, 42, of Chino, an LASD deputy and former federal task force officer who ran a private security company, who pleaded guilty on February 6 to one count of conspiracy against rights and one count of subscribing to a false tax return. LASD deputies and other co-conspirators would use information obtained from the court-authorized search warrant to harass, threaten, and intimidate the victim.

    Saavedra, who is free on $50,000 bond, is expected to be sentenced in the coming months.

    United States District Judge Percy Anderson scheduled a November 10 sentencing hearing for Rodriguez, who faces a statutory maximum sentence of 10 years in federal prison.

    The FBI and IRS Criminal Investigation are investigating this matter. The Los Angeles County Sheriff’s Department has assisted.

    A two-count indictment filed in U.S. District Court charges James Shawn Murphree, 48, of Blountsville, Alabama, Denny Gonzalez-Guzman, 30, of Albertville, Alabama, Kasten Finis Murphree, 22, of Blountsville, Alabama, Kelby Shawn Murphree, 27, of Blountsville, Alabama, and Kimberly Ann Evans, 48, of Hayden, Alabama, with conspiracy to violate the Animal Welfare Act and the Prohibition on Illegal Gambling Businesses. 

    According to the indictment, a cockfight is a contest where roosters fight each other. The fights are supervised by a referee, and the fight ends when one rooster is dead or refuses to continue fighting. Typical cockfights employ weapons that are attached to the backs of the roosters’ legs.  Owners and operators of cockfighting arenas, called “pits,” hold organized fights where people can fight their trained roosters against other roosters in cockfighting tournaments called “derbies.” In a derby, large numbers of cockfighters pit their roosters against one another for entertainment.  Spectators gamble on the outcomes of the cockfights, and the owners of the roosters stand to gain financially through their own wager, an arrangement where the derby winners receive a pre-determined portion of the derby entry fees, or through the enhanced value of their winning roosters.

    The indictment alleges that between March 2025 and June 2025, Kimberly Evans, James Murphree, Kasten Murphree, and Kelby Murphree conspired to organize multiple cockfighting derbies in Blountsville, Alabama. Attendees paid $40 to watch the fight. Competitors who entered roosters in the derbies paid an entry fee between $700 and $1,000.     CHICAGO – OVIDIO GUZMAN LOPEZ, who succeeded his father—Joaquin Guzman Loera, also known as “El Chapo”—as one of the heads of the Sinaloa Cartel in Mexico, pleaded guilty today in U.S. District Court in Chicago to federal drug charges.

    Guzman Lopez, 35, pleaded guilty to two counts of drug conspiracy and two counts of knowingly engaging in a continuing criminal enterprise.  The guilty plea was entered as part of a multi-district plea agreement with the government that resolves charges against Guzman Lopez brought by grand juries in the Northern District of Illinois and the Southern District of New York.

    U.S. District Judge Sharon Johnson Coleman did not set a sentencing date.  Guzman Lopez has been detained without bond following his extradition from Mexico to the United States in 2023.

    The guilty plea is the result of a collaboration between the Justice Department’s Narcotic and Dangerous Drug Section and prosecutors from the Northern District of Illinois, Southern District of New York, and Southern District of California, as well as law enforcement partners from the FBI, Homeland Security Investigations, and the Drug Enforcement Administration.

    The guilty plea was announced by Andrew S. Boutros, United States Attorney for the Northern District of Illinois, Matthew R. Galeotti, Head of the Justice Department’s Criminal Division, Jay Clayton, United States Attorney for the Southern District of New York, Adam Gordon, United States Attorney for the Southern District of California, Jose A. Perez, Assistant Director of the FBI Criminal Investigative Division, Steven Jensen, Assistant Director in Charge of the FBI’s Washington Field Office, Ray Rede, Acting Special Agent in Charge for Homeland Security Investigations in Arizona, and Robert Murphy, Acting Administrator of the DEA.  Substantial assistance in the investigation was provided by IRS Criminal Investigation, the Justice Department’s Offices of International Affairs and Enforcement Operations, and the U.S. Marshals Service.  The government is represented by Assistant U.S. Attorneys Andrew Erskine, Erika Csicsila, and Michelle Parthum of the Northern District of Illinois; Assistant U.S. Attorneys Nicholas S. Bradley, Jane Y. Chong, Sarah L. Kushner, and David J.     The guilty plea was announced as part of Operation Take Back America, a nationwide initiative that marshals the full resources of the Department of Justice to achieve various law enforcement goals, including the total elimination of cartels and transnational criminal organizations (TCOs), as well as protect our communities from the perpetrators of violent crime.  Operation Take Back America streamlines efforts and resources from the Department’s Organized Crime Drug Enforcement Task Forces (OCDETFs).

    As heirs to the Sinaloa Cartel, Guzman Lopez stated in his plea agreement that he and his three brothers, collectively known as “the Chapitos,” assumed their father’s leadership role following El Chapo’s arrest in 2016 and subsequent conviction in the Eastern District of New York.  Guzman Lopez admitted in the plea agreement that he coordinated the transportation of cocaine, heroin, fentanyl, and other drugs and precursor chemicals from Mexico to the United States border, at times in shipments of hundreds or thousands of kilograms.  Guzman Lopez used a network of couriers affiliated with the cartel to smuggle the drugs into the United States using vehicles, rail cars, tunnels, aircraft, and other means, the plea agreement states.

    After the drugs were distributed throughout the United States, individuals working for Guzman Lopez used bulk cash transport, wire transfers, trade of goods, and cryptocurrency to launder the illicit proceeds and ensure that the money was transmitted to Guzman Lopez and other members of the cartel in Mexico, the plea agreement states.  Guzman Lopez admitted that he and his cartel associates perpetrated violence against law enforcement officials, civilians, and rival drug traffickers in order to protect the cartel’s drug trafficking activities.

    As part of his plea agreement, Guzman Lopez agreed to the entry of an $80 million forfeiture money judgment.

    Guzman Lopez’s three brothers—IVAN ARCHIVALDO GUZMAN SALAZAR, JESUS ALFREDO GUZMAN SALAZAR, and JOAQUIN GUZMAN LOPEZ—were also charged with drug trafficking in U.S. indictments. Joaquin Guzman Lopez was arrested last year and remains detained in U.S. custody without bond.  He pleaded not guilty to charges filed in the Northern District of Illinois and is awaiting trial.  Ivan Archivaldo Guzman Salazar and Jesus Alfredo Guzman Salazar are charged in both the Northern District of Illinois and Southern District of New York. They are not in custody and warrants have been issued for their arrests.  The U.S. State Department has issued rewards of up to $10 million for information leading to their arrests and convictions.  [See the reward information here and here.]

  • MIL-OSI United Kingdom: £31 million set to be pumped into biggest affordable housing project in city’s history

    Extra money is being earmarked for a brand-new multi-million-pound housing estate, made up of almost 120 homes, on a former Stoke-on-Trent school site.

    More than £31 million is now set to be spent on a developing and transforming the former Brookhouse Green Primary School in Wellfield Road, Bentilee, into 117 affordable homes.  

    It marks the biggest single investment in an affordable housing project in the city’s history. The brownfield development will consist of a series of different types of homes, from single-occupier bungalows to three-bedroom family houses.

    Plans to develop the homes on the brownfield site were approved in April as part of the city council’s mission to ensure everyone has access to a decent home.

    The authority has entered into a pre-construction services agreement with developer John Graham Construction Ltd (GRAHAM) – and work is expected to start on site by 2026.

    The national company will work in partnership with the council to ensure that homes are of high quality and energy efficient.

    The council’s cabinet is now set to approve a budget of just over £31 million for the project when it meets later this month. Funding will come from a number of spending pots and grants, as well as the authority’s Housing Revenue Account (HRA).

    The redevelopment of the Wellfield Road site, which was deemed surplus to requirements in 2020, is also being supported by a £1.8 million government grant from the Brownfield Land Release Fund.

    The scheme forms part of the council’s new housing pipeline strategy, which – if approved by cabinet later this month – will see nearly 5,000 homes built across the city in the next few years.

    Councillor Finlay Gordon-McCusker, cabinet member for transport, infrastructure and regeneration at Stoke-on-Trent City Council, said: “This is a history-making housing project, which will deliver the types of affordable homes that many people are crying out for in the city.

    “It is also one of many schemes we will be looking to deliver over the next few years as we make housing – ranging from single occupier bungalows up to larger family homes – a real focus. We will also be making it a priority to transform brownfield and current derelict sites as we regenerate our city.

    “By working together, we’re making great strides to bring much-needed new homes to the city to ensure families can live their best lives now and into the future.”

  • MIL-OSI Security: Bakersfield Tax Return Preparer Pleads Guilty for His Role in $25 Million Fraud Scheme

    Victor Cruz, 40, who was a tax return preparer in Bakersfield, pleaded guilty today to helping Miguel Martinez, a Mexican national who was in the United States illegally, submit fraudulent individual federal income tax returns that claimed $25 million in refunds, Acting U.S. Attorney Michele Beckwith announced.

    According to court records, from November 2019 through June 2023, Martinez led a scheme to file thousands of fraudulent tax returns that claimed millions of dollars in refunds and Cruz helped him carry out the scheme. Martinez used stolen identities to create fake businesses and report phony wage and withholding information for the businesses to the IRS. Martinez then submitted hundreds of individual income tax returns to the IRS in the names of individuals whose identities he had stolen, claiming that those individuals worked for the fake businesses and were owed tax refunds based on the phony wage and withholding information that had been reported. Cruz prepared and filed more than 500 of the fraudulent tax returns, which claimed more than $3 million in refunds. Cruz received thousands of dollars in fees from Martinez in exchange for his services.

    The IRS actually paid out $2.3 million of the $25 million in refunds that was claimed by the fraudulent tax returns.

    This case is the product of an investigation by the IRS Criminal Investigation. Assistant U.S. Attorney Joseph Barton is prosecuting the case.

    Cruz is scheduled to be sentenced on Nov. 17, 2025. He faces a statutory maximum penalty of 10 years in prison and $250,000 fine. The actual sentence, however, will be determined at the discretion of the court after consideration of any applicable statutory factors and the Federal Sentencing Guidelines, which take into account a number of variables.

    Martinez pleaded guilty and was sentenced to six years in federal prison.

    Assessable petroleum receipts

    Commercial recovery of petroleum is the most significant assessable receipts that result from a petroleum project. These are referred to as assessable petroleum receipts. They generally arise when recovered petroleum is sold before it is processed or after some preliminary processing has been undertaken.

    Certain other kinds of receipts are also assessable under the petroleum resource rent tax (PRRT). Broadly, these receipts are assessable to ensure there is symmetry in the PRRT as they generally arise from amounts that have been previously claimed as a deduction. For example, the consideration received from the disposal of property used in a petroleum project is assessable as the original purchase is deductible under the PRRT.

    There is no revenue or capital distinction in the PRRT. Therefore, receipts of a revenue or capital nature may be assessable under the PRRT.

    Derivation of assessable receipts

    Assessable receipts derived in relation to a petroleum project need to be taken into account in the financial year in which they are receivable or, in certain cases, when they are deemed to be receivable.

    As assessable receipts are derived when they are receivable or deemed to be receivable, they may be derived before the project commences (that is, before a production licence comes into force) or after it has ceased.

    Broadly, assessable receipts from the North West Shelf project derived from 1 July 2012 will be assessable.

    Types of assessable receipts

    There are 7 types of assessable receipts for petroleum projects:

    Assessable petroleum receipts

    Assessable petroleum receipts are derived when consideration becomes receivable from the sale of a marketable petroleum commodity (MPC). Assessable petroleum receipts are the consideration receivable for the sale less any expenses payable in relation to the sale.

    An MPC is a product produced from petroleum (for example, stabilised crude oil, sales gas and condensate) that is in its final form for the purpose of either sale, use as feedstock for conversion to another product or direct consumption as energy. However, it does not include a product that was produced from an MPC.

    In a situation where the MPC is not sold but it becomes an excluded commodity, the assessable petroleum receipts represent the market value of the MPC before it becomes or became an excluded commodity. Where there is insufficient evidence of the market value, the Commissioner of Taxation may determine a fair and reasonable amount to be the assessable petroleum receipts.

    An excluded commodity is an MPC that has been sold, further processed or treated after being produced, moved from the place of its production other than to an adjacent storage site or moved from a storage site adjacent to the place of production.

    Special rules

    Special rules apply in calculating assessable petroleum receipts from sales gas produced in an integrated gas-to-liquid (GTL) operation or an integrated gas-to-electricity (GTE) operation whereby the sales gas is further processed into a liquefied product or consumed in the commercial production of electricity.

    Assessable tolling receipts

    Assessable tolling receipts are consideration receivable for the processing of internal or external petroleum in relation to a petroleum project.

    Internal petroleum is petroleum recovered from a production licence area of the project. For example, a joint venturer who owns the processing facility may process the share of petroleum of one or more other venturers.

    External petroleum is petroleum recovered from an area other than the production licence area of the project. For example, petroleum recovered from project A is processed in the processing plant of project B.

    Assessable exploration recovery receipts

    Assessable exploration recovery receipts are derived in a similar manner as assessable petroleum receipts, except that they are derived from petroleum (or an MPC produced from the petroleum) recovered from the eligible exploration or recovery area (other than a production licence area) in relation to a petroleum project. In other words, they relate to recovery of petroleum from the area of an exploration permit or a retention lease.

    Assessable property receipts

    Assessable property receipts include certain amounts receivable in respect of the disposal, loss or destruction of property for which a deduction for capital expenditure (being eligible real expenditure) was incurred in relation to the project.

    Assessable property receipts include all of the following amounts:

    • consideration receivable on disposal of project property
    • the market value of property on termination of its use in the project
    • insurance payments for loss or damage to project property
    • consideration receivable for hiring, leasing out or granting of a right to use project property
    • consideration receivable for the provision of information obtained by incurring eligible real expenditure in relation to the project (for example, amounts receivable from sale of information obtained from a survey, appraisal or study).

    Where property has been purchased for use partly in relation to a project (and accordingly only that proportion of capital expenditure has been claimed as eligible real expenditure of the project), only a corresponding proportion of the receipts from the disposal of that property (or other things referred to above) will be included as assessable property receipts in relation to the project.

    Assessable miscellaneous compensation receipts

    Assessable miscellaneous compensation receipts include amounts receivable by way of insurance, compensation or indemnity in respect of all of the following:

    • the loss or destruction (or in respect of the loss of any profit caused by the loss or destruction) of petroleum before an MPC had been produced from the petroleum
    • the loss or destruction (or in respect of the loss of any profit caused by the loss or destruction) of an MPC before it becomes an excluded commodity
    • the loss of any amounts that would otherwise have been assessable receipts in relation to a project.

    Assessable miscellaneous compensation receipts also include amounts receivable by way of refund, rebate, discount, commission, compensation or indemnity received in relation to eligible real expenditure incurred in relation to a project.

    Assessable miscellaneous compensation receipts will include grossed up amounts of refunds of resource tax expenditure for the North West Shelf project.

    Refunds of resource tax expenditure

    The North West Shelf project is subject to certain Commonwealth, state and territory excise and royalties (resource tax expenditure).

    From 1 July 2012, resource tax expenditure is creditable against the PRRT liability of the North West Shelf project. This is achieved by grossing up payments of resource taxes by the PRRT rate that is then deductible against assessable receipts of the project.

    Entities may be entitled to a refund where there has been an overpayment of a royalty or excise. In these circumstances the refund will be grossed up (by dividing it by the PRRT rate) and will be treated as an assessable miscellaneous compensation receipt in the year it is received.

    However, refunds received after 1 July 2012 that relate to petroleum extracted before 1 July 2012, will not be assessable.

    Assessable employee amenities receipts

    Amounts receivable for or in respect of the provision of employee amenities in respect of which eligible real expenditure was incurred, are assessable employee amenities receipts.

    The term ’employee amenities’ means provision of non-profit housing, health, education, recreation, welfare or similar facilities and services (including provision of meals) to project employees or their dependents.

    Assessable incidental production receipts

    Consideration receivable from the sale of incidental products other than petroleum or an MPC which have been recovered, extracted or produced using operations, facilities and other things that are related to the petroleum project and for which eligible real expenditure was incurred, will be treated as assessable incidental production receipts.

    Examples include consideration receivable from the sale of both:

    • water from a water treatment facility that is an integral part of a petroleum project
    • excess electricity that is produced as part of a petroleum project.

    Assessable incidental production receipts also include consideration receivable from the sale of services relating to carbon capture and storage provided to another entity using operations, facilities and other things of the petroleum project and for which eligible real expenditure was incurred.

    Receipts which are not assessable receipts

    Some receipts are not assessable for PRRT purposes, particularly those receipts that relate to expenditure which has been categorised as excluded expenditure for PRRT purposes. Examples include:

    • amounts received as loans, or in respect of loans made
    • receipts of interest and capital repayments received from borrowers
    • share capital received as shareholders’ funds
    • dividend or bonus shares received from associated companies
    • private override royalty income
    • proceeds from the sale of interests in an exploration permit, retention lease or production licence.

    WASHINGTON, D.C. – U.S. Senators Marsha Blackburn (R-Tenn.) and Catherine Cortez Masto (D-Nev.) released the following statements after their bipartisan bill to provide relief for impacted taxpayers in states that have issued state-level disaster declarations passed the Senate. The Filing Relief for Natural Disasters Act would allow the Internal Revenue Service (IRS) to postpone filing deadlines for taxpayers affected by state-declared natural disasters, instead of only presidentially-declared federal disasters. The legislation passed the House earlier this year and now heads to President Trump’s desk to be signed into law. It is also co-sponsored by Senators John Kennedy (R-La.) and Chris Van Hollen (D-Md.). 

    Under current law, families impacted by floods and fires in areas with a state-level disaster declaration are not eligible for any tax relief because the disaster was not also declared by the President of the United States. Senator Blackburn’s legislation will change that, ensuring that everyone impacted by fires, floods, and storms gets the tax relief they need.

    • The Filing Relief for Natural Disasters Act would allow the governor of a state or territory to extend a federal tax filing deadline in the event of a state-declared emergency or disaster, which happens automatically for federally-declared disasters. Extending this authority to states gives them the ability to provide relief independent of the federal government’s involvement in an emergency or natural disaster.
    • The legislation would also expand the mandatory federal filing extension from 60 days to 120 days.

    PrairieSky Royalty Ltd. (“PrairieSky” or the “Company”) (TSX: PSK) is pleased to announce its second quarter operating and financial results for the period ended June 30, 2025.

    Second Quarter Highlights:

    • Record oil royalty production of 14,376 barrels per day, an 8% increase over Q2 2024(1). Total royalty production averaged 26,457 BOE per day, a 4% increase over Q2 2024.
    • Revenues totaled $123.6 million for Q2 2025(1) comprised of royalty production revenue of $111.2 million and other revenue of $12.4 million, including bonus consideration of $8.5 million earned on entering into 47 new leasing arrangements primarily focused on the Duvernay light oil play.
    • Funds from operations totaled $96.7 million or $0.41 per share, a decrease of 9% from Q2 2024  as record oil royalty production volumes, narrowed heavy and light oil price differentials and a weaker Canadian dollar were offset by lower benchmark US$ WTI pricing.
    • Declared a second quarter dividend of $61.2 million ($0.26 per share), representing a payout ratio of 63%.
    • Purchased and cancelled 84,020 common shares under the Company’s normal course issuer bid (“NCIB”) for $2.0 million. 
    • Completed acquisitions for $6.5 million, primarily of non-producing gross overriding royalty interests targeting Mannville oil.
    • Net debt totaled $242.0 million as at June 30, 2025, a decrease of $16.8 million from March 31, 2025.

    Oil royalty production volumes reached a record 14,376 barrels per day in Q2 2025, an 8% increase over Q2 2024, bringing year-to-date oil royalty production to 13,941 barrels per day. We continue to see growth in our heavy oil portfolio with the Clearwater and Mannville Stack(2) approaching 25% of oil royalty production as third-party operators continue to execute on their drilling programs in these plays. Multilateral horizontal drilling reached a record 52% of spuds (61 wells) in the quarter which included 47 wells in the Clearwater. Year-to-date activity has been particularly strong in the Duvernay with 30 wells spud compared to 33 spud in all of 2024. We expect to see initial royalty production from multiple Duvernay wells in the West Shale Basin(2) in the third quarter and this level of third-party activity to continue to drive annual oil royalty production growth.

    Funds from operations totaled $96.7 million ($0.41 per share) in the quarter driven by strong royalty production volumes of 26,457 BOE per day which generated royalty revenue of $111.2 million, 93% attributed to oil and NGL. Oil royalty production revenue totaled $95.7 million, a 14% decrease from Q2 2024, with lower US$ WTI benchmark pricing offsetting record oil royalty production volumes of 14,376 barrels per day, narrowed light and heavy oil differentials and a weaker Canadian dollar. Natural gas royalty production volumes averaged 58.4 MMcf per day in the quarter, earning $7.9 million in royalty revenue which represented an 80% increase over Q2 2024. The increase in natural gas royalty production revenue was primarily due to improved benchmark pricing with daily AECO index pricing averaging $1.69 per Mcf in the quarter, an increase of 43% over Q2 2024. NGL royalty production averaged 2,348 barrels per day, an increase of 2% from Q2 2024 and generated total NGL royalty production revenue of $7.6 million in the quarter. It was a strong quarter for other revenues which totaled $12.4 million, including bonus consideration of $8.5 million earned on entering into 47 new leases with 37 separate counterparties.

    PrairieSky declared a dividend of $0.26 per share or $61.2 million in the quarter with a resulting payout ratio of 63%. Excess funds from operations after payment of the dividend were allocated to the acquisition of $6.5 million of incremental royalty interests focused on non-producing gross overriding royalty interests targeting Mannville heavy oil targets and share repurchases. The NCIB remains an important part of our long-term capital allocation strategy to create value for shareholders. During the quarter, 84,020 common shares were repurchased and cancelled with an incremental $11.0 million(3) allocated to share repurchases to be settled subsequent to June 30, 2025. PrairieSky exited the quarter with net debt of $242.0 million at June 30, 2025. Subsequent to Q2 2025, PrairieSky exercised the accordion feature of its unsecured, covenant-based credit facility with the existing syndicate of Canadian banks, increasing the commitment of lenders by $250 million, bringing the aggregate credit limit available to PrairieSky to $600 million. There were no other amendments made to the credit facility. The expanded facility provides increased liquidity and financial flexibility moving forward.

    ACTIVITY ON PRAIRIESKY’S ROYALTY PROPERTIES

    Third-party operators spud 117 wells on PrairieSky’s royalty acreage at an average royalty rate of 4.8%, as compared to the 115 wells spud in Q2 2024 at an average royalty rate of 6.6%. Drilling activity generally slows in the second quarter across the Western Canadian Sedimentary Basin as a result of spring break-up. Spuds were comprised of 74 wells on gross overriding royalty acreage, 33 wells on fee lands and 10 unit wells. There were a total of 113 oil wells (97% of wells) spud during the quarter which included 47 Clearwater wells, 17 Mannville light and heavy oil wells, 13 Duvernay wells, 11 Viking wells, 11 Mississippian wells and 14 additional oil wells across Alberta and Saskatchewan. There were 3 Mannville natural gas wells and 1 Duvernay natural gas well spud in Q2 2025.

    CONVERSIONS OF NATURAL GAS TO BOE

    To provide a single unit of production for analytical purposes, natural gas production and reserves volumes are converted mathematically to equivalent barrels of oil (BOE). PrairieSky uses the industry-accepted standard conversion of six thousand cubic feet of natural gas to one barrel of oil (6 Mcf = 1 bbl). The 6:1 BOE ratio is based on an energy equivalency conversion method primarily applicable at the burner tip. It does not represent a value equivalency at the wellhead and is not based on either energy content or current prices. While the BOE ratio is useful for comparative measures and observing trends, it does not accurately reflect individual product values and might be misleading, particularly if used in isolation. As well, given that the value ratio, based on the current price of crude oil to natural gas, is significantly different from the 6:1 energy equivalency ratio, using a 6:1 conversion ratio may be misleading as an indication of value.

    NON-GAAP MEASURES AND RATIOS

    Certain measures and ratios in this press release do not have any standardized meaning as prescribed by IFRS and, therefore, are considered non-GAAP measures and ratios. These measures and ratios may not be comparable to similar measures and ratios presented by other issuers. These measures and ratios are commonly used in the oil and natural gas industry and by PrairieSky to provide potential investors with additional information regarding the Company’s liquidity and its ability to generate funds to conduct its business. Non-GAAP measures and ratios include operating netback per BOE and dividend payout ratio. Management’s use of these measures and ratios is discussed further below.     “Operating netback per BOE” represents the cash margin for products sold on a BOE basis. Operating netback per BOE is calculated by dividing the operating netback (royalty production revenue less production and mineral taxes and cash administrative expenses) by the average daily production volumes for the period. Operating netback per BOE is used to assess the cash generating and operating performance per unit of product sold and the comparability of the underlying performance between years. Operating netback per BOE measures are commonly used in the oil and natural gas industry to assess performance comparability.
