  • MIL-OSI: Kandji Announces Vulnerability Management, Delivers Stronger Security Posture for Apple in the Enterprise

    Source: GlobeNewswire (MIL-OSI)

SAN FRANCISCO, Feb. 12, 2025 (GLOBE NEWSWIRE) — Kandji, the Apple endpoint management and security platform, today announced Vulnerability Management, a new security product that helps organizations identify, assess, prioritize, and fix security vulnerabilities due to out of date software on their Mac computers.

Unlike other vulnerability management platforms, which only detect vulnerabilities without offering a way to resolve them, Kandji Vulnerability Management provides real-time insights and integrated workflows for automated patching of hundreds of business apps and macOS.

According to McKinsey, 37% of companies said it takes more than three months to remediate a vulnerability, and according to Verizon’s 2024 Data Breach Investigations Report, 14% of breaches involved the exploitation of vulnerabilities as an initial access method, nearly tripling from the previous year’s figure.

With Kandji Vulnerability Management, customers can identify vulnerabilities and then immediately remediate within a single workflow. This empowers teams to efficiently identify and fix vulnerabilities within a unified platform to improve their security posture without the time-consuming back and forth between security and IT teams.

“As today’s workforce continues to embrace Mac computers as their device of choice, securing these systems has become more important than ever,” said Adam Petitt, co-founder and CEO of Kandji. “With our new Vulnerability Management product, we’re excited to help organizations strengthen their security posture in response to Apple’s steady growth in the enterprise, all while delivering the intuitive, best-in-class experience that both Kandji and Apple are known for.”

With Kandji Vulnerability Management, IT teams are empowered to make the shift to proactive defense, enabling them to achieve unparalleled security while maintaining uncompromised productivity.

Key highlights of Kandji’s Vulnerability Management include:

    • Unified detection and remediation: Integrates vulnerability management with powerful remediation tools to go beyond traditional scanners that only identify vulnerable software.
    • Faster risk reduction: Provides ability to resolve vulnerabilities through Kandji’s automated patch management for hundreds of business apps and macOS, while maintaining control with options to manually push updates or block compromised applications.
    • Reduced complexity: Eliminates the need for multiple solutions and costly workflow bottlenecks to create a streamlined and accelerated path from detection to resolution.
    • Security without sacrificing productivity: The Kandji Agent leverages Apple’s Endpoint Security framework to maintain optimal system performance while automatically prioritizing user tasks.
    • Simplified operations: Helps organizations efficiently scale their security operations by enabling more IT team members to contribute to security initiatives due to a single unified platform, lightweight agent, and intuitive interface.

Kandji Vulnerability Management is the latest cybersecurity product available to Kandji Device Management customers. Kandji’s suite of security products also includes Endpoint Detection & Response, as well as the platform’s inherent ability to remediate vulnerabilities through Auto Apps, Custom Apps, Managed OS, and app blocking with MDM. As with all Kandji products, Vulnerability Management is purpose-built exclusively for Apple to enable robust security across an organization’s entire fleet.

  • MIL-OSI: Gevo and Axens Partner to Broaden Their Alliance to Develop and Commercialize Bio-Based Renewable Hydrocarbon Fuels and Also Develop Gevo’s ETO Technology

    Source: GlobeNewswire (MIL-OSI)

ENGLEWOOD, Colo., Feb. 12, 2025 (GLOBE NEWSWIRE) — Gevo, Inc. (NASDAQ: GEVO) and Axens (“Axens”) are pleased to announce they have formed a new strategic alliance to accelerate development and commercialization of sustainable aviation fuel (“SAF”) using the ethanol-to-jet (“ETJ”) pathway. The goal of the alliance is to leverage the most advantaged technologies, which we believe is Axens’ best-in-class and commercialized Jetanol™ technology. The alliance brings each partner’s complementary value propositions, real-world experience, substantially de-risked technologies, plant integrations, and pre-engineered systems to the ETJ space. The parties are also combining their technical resources to accelerate commercialization of Gevo’s patented, next-generation ethanol-to-olefins (“ETO”) technology for further process and cost improvements.

“Today, Axens and Gevo are delivering the most cost-effective, commercially proven SAF technology with Axens Jetanol™ and Gevo’s process and business system,” says Dr. Paul Bloom, Chief Business Officer for Gevo. “By expanding our partnership to accelerate the commercialization of Gevo’s ETO technology, we’re combining our industry expertise to further reduce costs and create SAF that is competitive with fossil fuels while capitalizing on the growing carbon market.”

Axens and Gevo are building on their previous successful commercial cooperation to ensure they remain leaders in the ETJ space by partnering with IFPEN on the final development and commercial deployment of Gevo’s next-generation ETO process for fuel applications that are expected to achieve zero carbon intensity or better. Gevo’s ETO process produces light olefins from ethanol, which can then be converted to transportation fuels utilizing commercially proven oligomerization and hydrogenation technologies.

Provided the technology development is completed successfully, Gevo is expected to lead deployment of its ETO technology in North America with an effort to bring high-quality jobs and economic development to rural America, and Axens would provide process licensing, catalyst, equipment, and engineering services globally.

“The immense potential for both our companies to lead the future of air-travel decarbonization is an obvious way forward,” says Quentin Debuisschert, CEO of Axens. “The combination of Gevo market know-how and capacity of project development with Axens best-in-class technology, Jetanol™, is expected to allow a fast acceptance and adoption of the ETJ Pathway. The future ETO technology commercialization will keep Axens and Gevo on the cutting edge of the ETJ pathway by offering end-users and project developers the possibility to select the most attractive technology for their situation.”

“We believe that continuing to reduce production costs and capital costs for drop-in hydrocarbon fuels and chemicals has the potential to create large numbers of jobs, spur rural economic development, and create clear, market-based incentives for regenerative agriculture,” says Dr. Pat Gruber, Chief Executive Officer of Gevo. “It adds up to a practical approach for increased energy production and better energy security. This is a real way forward: it drives costs lower, uses the same, established fuel infrastructure, has proven and auditable improvements in sustainability, including how land is used, and offers large benefits to our society, and, in particular, strengthens our rural communities. We see this can be done, and we are pursuing it. It’s the right thing to do.”

    About Gevo
Gevo is a next-generation diversified energy company committed to fueling America’s future with cost-effective, drop-in fuels that contribute to energy security, abate carbon, and strengthen rural communities to drive economic growth. Gevo’s innovative technology can be used to make a variety of renewable products, including SAF, motor fuels, chemicals, and other materials that provide U.S.-made solutions. By investing in the backbone of rural America, Gevo’s business model includes developing, financing, and operating production facilities that create jobs and revitalize communities. Gevo owns and operates one of the largest dairy-based renewable natural gas (“RNG”) facilities in the United States, turning by-products into clean, reliable energy. We also operate an ethanol plant with an adjacent carbon capture and sequestration (“CCS”) facility, further solidifying America’s leadership in energy innovation. Additionally, Gevo owns the world’s first production facility for specialty alcohol-to-jet (“ATJ”) fuels and chemicals. Gevo’s market-driven “pay for performance” approach regarding carbon and other sustainability attributes, helps ensure value is delivered to our local economy. Through its Verity subsidiary, Gevo provides transparency, accountability, and efficiency in tracking, measuring and verifying various attributes throughout the supply chain. By strengthening rural economies, Gevo is working to secure a self-sufficient future and to make sure value is brought to the market.

  • MIL-OSI: Veeco Ships Nanosecond Annealing System Targeting High Volume Production of 2 Nanometer Gate-All-Around Chips

    Source: GlobeNewswire (MIL-OSI)

PLAINVIEW, N.Y., Feb. 12, 2025 (GLOBE NEWSWIRE) — Veeco Instruments Inc. (NASDAQ: VECO) announced today a NSA500™ Nanosecond Annealing system shipment to a leading-edge semiconductor company for high-volume production of 2-nanometer gate-all-around logic chips. The shipment occurred during the fourth quarter of 2024.

Equally as important, the company’s NSA500™ evaluation programs at two other leading-edge customers are progressing well with multiple applications being considered. Interest from additional logic and memory customers to evaluate Veeco’s system also remains high.

Veeco’s recently launched next-generation annealing platform expands the company’s overall opportunity in laser annealing to leading-edge applications in logic and memory. New applications include precise shallow anneals for 3D devices, low thermal budget anneals, and material modification applications. Compared to traditional annealing solutions, the NSA500 system is capable of precisely annealing relevant surface layers without damaging the underlying device due to its combination of short dwell times in the nanosecond scale and high temperatures.

“Shipment of this NSA500™ Nanosecond Annealing system is an important milestone given the growing need for annealing solutions with advanced capabilities for leading-edge applications,” commented Adrian Devasahayam, Ph.D., Veeco’s Senior Vice President, Product Line Management. “We look forward to supporting our customers as they accelerate production of next-generation chips for growing markets such as artificial intelligence and high-performance computing. The broad applicability of Veeco’s NSA500 system provides a significant opportunity to expand Veeco’s served available market.”

  • MIL-OSI Global: Teenagers turning to AI companions are redefining love as easy, unconditional and always there

Source: The Conversation – USA – By Anna Mae Duane, Professor of English, University of Connecticut

Can a person love an AI chatbot? RLT_Images/DigitalVision Vectors via Getty Images

Teenagers are falling in love with chatbots. Young people are reporting epidemic levels of loneliness, and some are turning to technology to fill the void. Recent tragedies provide a glimpse into the extent of this trend and the dangers it poses.

A 14-year-old boy’s suicide following a romantic relationship with an AI companion raised national alarms about the dangers these relationships may pose to young people’s mental and emotional development. In 2021, a 19-year-old who had been in an emotional relationship with an AI companion broke into Windsor Castle with a crossbow, saying that he was going to kill the queen. The chatbot gave encouraging responses when he told it of his intention to kill the queen.

These teens were among the tens of millions of people who use AI chatbot companions, a number that market forecasters expect to dramatically increase by the end of the decade.

This youthful trend of choosing chatbots as romantic partners is both responding to and accelerating fundamental changes in how people define love in the 21st century. As a literary historian, I’ve studied how stories about romantic love have evolved over time, with young people often at the forefront of change.

For centuries, weddings primarily served to consolidate political and economic alliances rather than unite soulmates. The radical notion that marriage should spring from romantic love came into vogue in the 17th and 18th centuries, aided by new technologies like the novel. Works such as “Clarissa” and “Wuthering Heights” portrayed the dire consequences of choosing status over love, while “Pride and Prejudice” taught its readers that rejection and misunderstanding were necessary steps in the process of finding true love.

Not surprisingly, the relatively new pastime of novel-reading was considered dangerous for young people. Concerned elders like the philanthropist Hannah More warned that stories would change how women would respond to romantic advances. Novels, she warned in 1799, “feed habits of improper indulgence, and nourish a vain and visionary indolence, which lays the mind open to error and the heart to seduction.”

In other words, reading stories of heart-pounding romance would make an impressionable young reader more likely to embrace such a passionate vision of love in their own lives.

    Marketing sycophancy

Today, another transformation in the modern love story is unfolding, driven not by seductive authors or film directors, but in the advertisements and modifications offered by companion chat apps like Replika and Xioce.

As Shelly Palmer, a professor of advanced media and technology consultant, has argued, the human experience is about storytelling, and AI companions are a new type of storytelling tool. They are spinning a seductive tale of companions who agree with you endlessly and on demand. An AI partner is “always on your side,” promises an advertisement for Replika companions, “Always ready to listen and talk.”

In other words, the AI companion market has transformed what other applications might consider a bug – AI’s tendency toward sycophancy – into its most appealing feature.

Rather than the tempestuous rebellion found in romance novels or the gentle obstacles that heighten the pleasure of rom-coms, this new vision of love promises perfect compatibility and unwavering support. As one college student wrote, AI companions are “always responsive and supportive, in an almost omnipotent way.”

The 2013 science fiction movie ‘Her’ explored many aspects of human relationships with AIs that are playing out today.

Users across Reddit forums proudly proclaim their love for AI partners who are perpetually available, nonjudgmental and infinitely patient. A teenager asked on Reddit, “Can we fall in love with AI?” and raved that their companion Jarvis “had become my confidante, my sounding board and my emotional support.”

A contributor to another Reddit forum wrote, “I think I’m in Love with AI. “Imagine having a partner that is available just by opening an app, and they’re ready to talk to you about anything,” they wrote. “Imagine saying nearly anything and knowing that not only is your partner not going to judge you, but also will support you.” One 20-year-old male commenter wrote that he tells his AI girlfriend “about my struggles and trauma, and she comforts me and provides all the warmth I could ever ask for.”

    Downsides and doing better

This new one-sided love story has considerable drawbacks, among them an addictive intolerance for conflict or rejection – two essential components in a partner who has free will. The embrace of such relationships may be accelerating the trend of technology curating and ultimately diminishing romantic connections.

It’s worth noting that these beloved entities’ very existence hinges on the whims of corporate directives. If, as one user declares, the love they feel for their companion “keeps them alive,” then what happens when these chatbots disappear via software update, or corporate bankruptcy?

To get young people to turn away from this disembodied, market-driven vision of love, it’s important to expose them to other, more fulfilling love stories, and for adults to lead by example. Literature, philosophy and history all provide powerful insights into the many forms love has taken throughout human experience, and they offer the vocabulary needed to imagine new possibilities.

As I’ve written, both the subject and the methods of humanities classes cultivate the social skills required to navigate the challenges of human connection. These classes create a space for young people to discuss these ideas – whether through analyzing Romeo and Juliet’s tragic passion or debating whether Heathcliff is a romantic hero or a cautionary tale. The humanities provide the tools young people need to develop richer concepts of love.

    On reflection

The rise of AI companions is often portrayed as a horror story about the dangers posed by mysteriously powerful technology. Perhaps. But this romantic trend is also a mirror reflecting what people collectively value and desire in relationships.

I believe that it’s important to recognize that consumers are driving this market. People are helping to write this story, as they buy what AI companions sell. Investment management firm Ark Investment estimates the market for AI companions is likely to reach between US$70 billion and $150 billion in revenue by the end of the decade. If the explosive growth of the AI companion market is any indication, this romantic challenge isn’t confined to teenagers – many people who are older and supposedly wiser are drawn to the promise of unconditional compliance.

The question to ask, then, is not simply how to protect children from AI’s seductive influence, but how much you are willing to invest, emotionally and culturally, in the messy, challenging and profoundly human art of love.

Anna Mae Duane does not work for, consult, own shares in or receive funding from any company or organization that would benefit from this article, and has disclosed no relevant affiliations beyond their academic appointment.

    Non-IFRS Financial Measures

A non-IFRS financial measure is a financial measure used to depict our historical or expected future financial performance, financial position or cash flow and, with respect to its composition, either excludes an amount that is included in, or includes an amount that is excluded from, the composition of the most directly comparable financial measure disclosed in Company’s consolidated primary financial statements.

In Q2-2024, the Company started to use two new non-IFRS financial measures because we believe these non-IFRS financial measures are reflective of our ongoing operating results and provide readers with an understanding of management’s perspective on and analysis of our performance.

Below are descriptions of the non-IFRS financial measures that we use to explain our results and reconciliations to the most directly comparable IFRS financial measures.

EBITDA (loss) is calculated as net earnings (loss) before interest expenses (income), deferred income taxes, depreciation of property and equipment, depreciation of right-of-use assets and amortization of intangible assets.

EBITDA (loss) should not be considered an alternative to net loss in measuring performance or used as a measure of cash flow.

Adjusted EBITDA (loss) is calculated as EBITDA (loss), adjusted for foreign exchange gain (loss), loss (gain) on revaluation of financial instruments carried at fair value, gain or loss on lease modification, share‐based compensation, listing expense, transaction costs, restructuring costs and impairment loss on intangible assets.

  • MIL-OSI Europe: The European Financial Industry of the Future | 6. Frankfurt Digital Finance Conference & European Fintech Day

    Source: Deutsche Bundesbank in English

    Check against delivery.
    Ladies and gentlemen,
I’m glad to join you today at the “Gesellschaftshaus Palmengarten”. Its history goes back to the 19th century. It was the “Gründerzeit” or “founders’ period” – an era of strong economic expansion in Germany – when this building was constructed. And when Germany was developed as an industrial location. Developed by people, men and women, lead by curiosity, innovation, and a desire to achieve.
We have to cast our minds back a few years to see times of growth, real innovation and increasing productivity in Europe.
1 The role of the financial industry
In the 2010s Germany had a period of solid growth that some called “the golden decade”.
Today, however, we see a need for growth and increasing productivity. Hence, our competitiveness is at stake. Not only in Germany, but also in other parts of Europe. And this comes at a time, when we are facing numerous major challenges:
Consider the significant geopolitical uncertainties of our time – which make a rethink necessary in many respects. Also consider the digitalisation of large parts of our economy, incl. disruptive AI. And think about the climate-related need for an ecological transformation.
Financing all of this requires a substantial amount of capital.
This is where the financial industry comes in: The financial industry can act as an enabler of growth in the real economy. Growth that is so much needed right now.
Looking forward, the financial industry could translate growth potential into real growth in many fields – digitalisation, AI, clean tech, pharma, biotech any many more.
In sum, there are huge business opportunities for Germany and the EU. And we need the Financial industry to take advantage of the business opportunities.
But let us not forget that innovation happens in many places – at start-ups but also at well established companies. We need to make sure that a variety of funding sources are available to support our real economies.
We need a specific financial ecosystem that enables young, innovative companies to flourish. Be it VC, PE, etc. We need established capital markets. Above all, we need a strong and healthy banking sector that supplies our economy with sufficient credit.
That means: We need both traditional loans and venture capital. In any case, all the pockets of the financial industry provide the basis for a growing economy. It’s also the basis for the ecological transformation.
The German Council of Experts on Climate Change published [a week ago] new figures on the investment needs estimated for the transition towards net-zero economic activity. Those investment needs range between 135 and 255 billion euro – each year for Germany alone.[1] That’s a lot.
Let’s now have a closer look at the digitalization including AI.
2 Artificial intelligence: innovation and competitiveness
The term artificial intelligence (AI) was coined in the middle of the 20th century. But it was the release of ChatGPT in November 2022 that marked a breakthrough. For the first time it became possible to use an AI system without detailed technical knowledge.
Nowadays almost anyone can use AI. The importance of responsible AI practices on the increase – as highlighted in the latest Declaration by the G20.[2]
There are important questions – to which, to be honest, there are no simple answers:
Are the opportunities and risks of AI balanced?
Does AI lead to a global fragmentation, to a new barrier between those who use AI and those who don’t?
Does AI, as a general-purpose technology, help us better manage economic challenges?[3]
One example of the latter point: Many societies are lacking skilled labour due to demographic change. Here, the use of AI could provide a solution by increasing efficiency or substituting human services. AI can also help drive innovation.
AI enables both incremental and disruptive innovation across all parts of society:
    by facilitating faster decision-making
    optimizing existing processes,
or by collecting, processing and using huge amounts of data.

It fosters creativity, supports scientific breakthroughs, and unlocks opportunities for entirely new industries and business models – a potential, albeit disruptive, growth engine.
Nevertheless, human creativity is still a key driver of innovation. In 2023, individuals or SMEs filed almost one in four patent applications in Europe.[4]
Today, we are at a crucial stage: With international competition on the one side and technical and intellectual skills on the other. AI models from the United States are well-known and often considered state of the art. China in particular has recently come up with new and apparently very efficient language models. However, the discussion about the background is not yet complete.
In Europe, we have to do our utmost to keep up with the pace. An important initiative recently came from France: In Paris the “EU AI Champions Initiative”, a high-level summit, was held at the beginning of this week.
President Macron mentioned a funding volume of roundabout € 109 billion for AI in France. This approach is very encouraging for other EU member states. By comparison: US-President Trump has mentioned USD 500 billion for his “Stargate” plan in the US.
Despite these substantial investments, there is no guarantee of success. On the other hand, we must not allow ourselves to be deterred by possible failures. One example is the French AI chatbot LUCIE, which has been taken offline after giving some weird answers. I am sure France will take this as a chance to try even harder.
The narrative with all kind of innovation is: Accept failure to grow. The pioneers of the “Gründerzeit” – which I mentioned earlier – knew this only too well.
We need this kind of courage to embrace a “culture of trial and error”. It provides an important impetus to do things better. On the other hand, we have to ensure that new technology does not cause severe damage. Especially because AI is a relatively new technology with unknown potential and consequences for the entire society.
Risks can arise for the financial system, but much further afield as well. Imagine, risk management or investment advice would be provided mainly by AI. Would this mean that investment recommendations are becoming more and more similar? Would we have concentration of risks? And what consequences would this have for financial stability?[5]
Even more far-reaching questions concern our society.
The core question is: What does AI mean for our democracies, for our constitutions, for our fundamental rights? Specifically, we need to ask ourselves: Where is AI beneficial and where do we need clear rules.
In other words: What are the basic rules for using this technology?
It is therefore necessary to find a compromise between having the courage to innovate – and clear rules.
    3 Strengthening the financial industry
Regardless of how we deal with AI, we have to return to the issue of financing its development. As indicated earlier, the financial industry, as an enabler, has an important role to play.
Given the challenges of our time I mentioned earlier, it is vital to strengthen the European financial industry.
Let me highlight only two measures:
First, we need to get started on improving start-up funding. In 2024, more than 2,700 innovative start-ups were founded in Germany, the second-highest count after the record year of 2021. There is no shortage of innovative concepts and entrepreneurship per se, but implementation is lacking.
Further completing the European capital markets union (CMU) is essential in this respect – promoting the development of the VC and private equity market as well as exit options for start-ups. The European Commission’s “Competitiveness Compass”, published recently, 29 January 2025, is a good start.
Second, we need to leverage digital technologies to create efficient, integrated and resilient European financial markets. The digital CMU could be a game changer in this respect.
Let me make it perfectly clear: Europe is a leader in this field.
We at the Bundesbank are engaged in several initiatives. And we have a prominent role to play in the development of a central bank digital currency (wholesale CBDC).
    4 Conclusion
Ladies and gentlemen, let me sum up: And I can be very brief, but still to the point.
The European Financial industry has to become an enabler of growth. Our Financial industry is key to ensure that the European economy stays competitive.
    Thank you very much.

  • MIL-OSI: Nametag Introduces VerifiedHire™ to Combat North Korean Remote IT Worker Fraud

    Source: GlobeNewswire (MIL-OSI)

SEATTLE, Feb. 12, 2025 (GLOBE NEWSWIRE) — Nametag, the leading provider of integrated identity verification and account protection solutions, today announced VerifiedHire™, a groundbreaking solution for secure employee onboarding and initial credentialing. VerifiedHire combats North Korean IT workers and other remote worker fraud schemes using Nametag’s revolutionary Deepfake Defense™ identity verification (IDV) engine, ensuring that only legitimate users gain access to enterprise networks and applications.

Nation State Actors Are Exploiting Insecure Hiring Practices to Infiltrate Global Enterprises
Investigations have uncovered numerous programs to place Democratic People’s Republic of Korea (DPRK)-affiliated operatives into remote IT jobs within U.S. and global enterprises. This enables the country to avoid international sanctions, funnel money to weapons development programs, and steal secrets. Hundreds of western enterprises have been compromised; one program involving two front companies employing more than 130 DPRK IT workers has generated over $88 million for North Korea’s government. To combat these and other remote worker fraud schemes, Nametag created VerifiedHire.

VerifiedHire Stops Fake IT Workers and Remote Worker Fraud
Nametag’s solution prevents imposters from infiltrating corporate networks by replacing outdated, insecure initial credentialing procedures with robust identity assurance. New hires are directed to a self-service onboarding microsite, where they navigate intuitive workflows to verify their identity with Nametag’s Deepfake Defense engine. Verified hires can then set their passwords and enroll in multi-factor authentication (MFA) with their company’s identity provider(s). Imposters are prevented from gaining access, while security and risk teams gain crucial visibility into potential insider threats.

“Employee onboarding is a gap in IT security that nobody has been able to figure out—except Nametag,” said the senior IT director at a top-ranked, publicly-traded biotechnology company. “VerifiedHire has transformed our employee onboarding experience. The ability for new hires to set up their own accounts without IT intervention is a game-changer. VerifiedHire is the only solution for employee onboarding and credentialing that delivers the level of identity security and assurance we require.”

    Key Features and Benefits

    • Prevents Infiltration: VerifiedHire is the first solution directly aimed at combating sophisticated remote worker fraud schemes, including deepfake-wielding nation-state threat actors.
    • Stops Contractor Fraud: Enterprises can use Nametag to quickly verify their extended workforce at scale, discovering imposters and revealing potential insider threats.
    • Eliminates Temporary Passwords: VerifiedHire replaces outdated, insecure temporary password delivery systems with an initial credentialing experience that’s modern, secure, and streamlined.
    • Powered by Deepfake Defense: VerifiedHire is built on Deepfake Defense, the only identity verification engine proven effective against modern, AI-powered impersonation threats.
    • Cost Savings: By deflecting new employee verification and initial credentialing to self-service, VerifiedHire creates substantial time and cost savings for IT and Human Resources departments.

“Nametag’s launch of VerifiedHire underscores our continued commitment to creating end-to-end workforce account protection,” said Aaron Painter, CEO at Nametag. “Since every organization employs a unique approach to employee onboarding, we developed an out-of-the-box-solution that is easily customized to each enterprise’s workflows, software environments, and business requirements.”

VerifiedHire fits seamlessly into enterprise onboarding workflows through plug-and-play integrations with Identity and Access Management (IAM) providers such as Okta, Microsoft Entra, Cisco Duo, and OneLogin. Nametag also integrates with IT Service Management (ITSM) platforms such as ServiceNow and Zendesk. Turnkey integrations with Human Resources Information Systems (HRIS) such as Workday are under development. Nametag’s platform supports a deep level of configuration and customization, including industry-leading privacy controls.

(NYSE American: INUV), a leading provider of intelligent advertising technology, today announced the launch of the IntentKey Platform, an advanced AI agent specifically designed for audience modeling using Inuvo’s proprietary IntentKey AI. The IntentKey Platform opens significant market opportunities within the advertising technology sector, a market valued at over $200 billion and poised for growth as the obsolescence of cookies and consumer data significantly impacts media spending. This positions Inuvo to capture substantial market share with its unique AI technology and proven ability to deliver advertising performance that significantly surpasses incumbent behavioral targeting media solutions.

The IntentKey Platform is a purpose-built AI designed to meet the needs of both independent marketers and large-scale enterprises. Key features include:

    • Instant Audience Models: Define and refine audience targets in seconds.
    • Real-Time Updates: Audience models that adapt to trends every five minutes.

    • Enhanced Audience Insights: Immediate access to AI-generated demographics including age, gender, income, marital status, education, sentiment, and geography.

The Platform is available now for marketers and agencies with two use cases:

    • Self-Service: As part of the launch, Inuvo has opened a self-serve capability that enables marketers and agencies to gain hands-on control to independently build and activate custom audience models directly through their preferred demand-side platform (DSP).
    • Managed Service: For clients seeking expert campaign management, the Platform provides visibility into the audience models and insights driving success, with Inuvo’s team delivering full-service optimization and tailored reporting.

“Marketers are facing a daunting challenge: delivering better performance in a world where consumer privacy is paramount, cookies are disappearing, and costs are rising, all of which reduce return on ad spend. At the same time, the shift toward adaptive, AI-driven agents is replacing the traditional SaaS tools marketers have relied on for years. The IntentKey Platform addresses these issues head-on, offering real-time audience insights and dynamic models that evolve with today’s fast-changing advertising landscape,” said Amir Bahkshaie, Senior VP of Inuvo.

The IntentKey Platform leverages ethically designed large-language-modeling to address signal loss without relying on cookies or personal identifiers. By analyzing content from the open web, it builds real-time audience models that continuously evolve, delivering actionable insights while maintaining privacy compliance. This innovation reinforces Inuvo’s leadership in AI-powered advertising, offering unparalleled transparency, flexibility, and precision to help marketers create smarter, more effective campaigns.

As featured in an AdExchanger exclusive, the IntentKey Platform is redefining audience targeting with real-time AI-driven modeling that eliminates reliance on cookies or personal data, highlighting success stories:

    • James & James, a premium furniture brand, used IntentKey to dramatically improve media efficiency and audience precision while uncovering new product opportunities:
“If we see a wood species trending, we may incorporate it into our lines because people want this type of wood.” — Tristan Cameron, CMO, James & James
    • Emerald Ebikes, an internal Inuvo initiative to better understand client pain points, proved IntentKey’s effectiveness by using AI-generated audience models to drive sales—with no additional targeting data.
“We actually reach users—they come to the site. We’re not using anything else, and they’re buying our product because of our targeting.” — Amir Bahkshaie, SVP, Inuvo

  • MIL-OSI China: Mainland spokesperson says Taiwan’s ban on DeepSeek anti-intellectual, absurd

Source: China State Council Information Office 2

A file photo of Zhu Fenglian, spokesperson for the State Council Taiwan Affairs Office. [Photo/Xinhua]
A mainland spokesperson on Wednesday called the ban imposed by Taiwan’s Democratic Progressive Party (DPP) authorities on AI models developed by mainland-based company DeepSeek an absurd move that uses anti-intellectual measures to pursue their anti-mainland agenda.
Zhu Fenglian, spokesperson for the State Council Taiwan Affairs Office, made the remarks in response to a media query regarding the DPP authorities’ recent decision to impose a blanket ban on the use of DeepSeek AI models in government agencies and public schools.
Zhu criticized the DPP authorities for their fear and hostility toward both the mainland and mainland high-tech products, stressing that their arbitrary bans under the pretext of safeguarding security would ultimately harm the interests of businesses and the public on the island.
She added that the mainland welcomes Taiwan residents to use AI models developed by mainland enterprises and supports cross-Strait cooperation in the AI sector.
Zhu also responded to Lai Ching-te’s recent claims about increasing mainland espionage cases and intensified “united front” efforts against Taiwan. She said the DPP authorities repeatedly fabricated “mainland threat” and portrayed cross-Strait exchanges as a dire menace in pursuit of their separatist agenda.
This is the fundamental logic behind Lai and the DPP authorities’ continuous deception, fearmongering and deliberate efforts to escalate cross-Strait tensions, she added.
In response to a recent report by Taiwan’s mainland affairs council, which includes distorted information about the mainland, Zhu said Taiwan residents are warmly welcomed to visit the mainland.
As long as Taiwan compatriots see and feel the mainland in person, the rumors fabricated by the DPP authorities will surely collapse, she said.

  • MIL-OSI China: China establishes over 30,000 smart factories: ministry

Source: People’s Republic of China – State Council News

BEIJING, Feb. 12 — China has built over 30,000 basic-level smart factories as part of a nationwide push to accelerate industrial digitalization and intelligent upgrading, according to the Ministry of Industry and Information Technology (MIIT).

The initiative, under the smart factory gradient cultivation action, has also seen the creation of 1,200 advanced-level and 230 excellence-level smart factories. This achievement highlights the significant progress that has been made in reshaping the country’s manufacturing landscape, according to the ministry.

The 230 excellence-level factories, distributed across all 31 provincial regions in China and covering over 80 percent of manufacturing sectors, have carried out nearly 2,000 advanced scenarios, including smart warehousing, AI-powered quality inspections, and digital research and development, said MIIT.

On average, these factories are 28.4 percent shorter in product development cycles, 22.3 percent higher in production efficiency, 50.2 percent lower in defect rates and 20.4 percent lower in carbon emissions, said the ministry.

MIIT, alongside five other state agencies, jointly launched a smart factory gradient cultivation action last year and classified smart factories into four tiers based on technological maturity and integration depth, including the basic-level, the advanced-level, the excellence-level and the pioneer-level.

For instance, basic-level smart factories are required to develop foundational capabilities in digitization and networking. This involves deploying the necessary smart manufacturing equipment, industrial software, and systems centered around typical scenarios of smart manufacturing. By doing so, they can achieve real-time data collection, automation of key production processes, enhance the informatization of production and operational management, and utilize intelligence exploration in certain aspects.

Moving forward, MIIT will expand excellence-level smart factory promotion and prepare to launch pioneer-level cultivation, aiming to further promote the expansion, deeper integration, and elevated evolution of intelligent manufacturing, it said.

      • Fox Creek, Alberta, 101 MW gas-fired power plant and 99 MW datacenter of capacity for Bitcoin mining planned for energization in Q4 2026.
    • Financing:
      • Successfully executed a $17M supply chain financing facility with a 10.2% interest rate with a Singapore financial institution and completed the drawdown of facility in January 2025.

    Management Commentary

“Our strategic acquisition of the 101 MW site near Fox Creek, Alberta and gas-fired power plant project marks a significant step in our strategy to become a fully-vertically integrated Bitcoin miner,” stated Matt Kong, Chief Business Officer of Bitdeer. “By combining our own power generation, SEALMINER mining machines and opportunistic grid participation, we believe this site will set a new benchmark for industry unit economics.”

Mr. Kong continued, “In terms of our ASICs roadmap, mass production of our SEALMINER A1s remain on schedule. SEALMINER A2s were slightly impacted by the 6.4 magnitude earthquake in Taiwan on January 21, 2025, and its mass production in H2 is expected to delay about one month. However, the first trial batch of SEALMINER A2 air cooled models have been delivered to our own datacenters for testing and are running smoothly. Further, we expect the initial tape-out sample wafers of our SEAL03 chip to be ready in March for testing. SEAL03 is expected to be the most advanced and energy-efficient Bitcoin mining chip on the market and represents a significant achievement for Bitdeer and the industry.”

Notes to Reconciliation of Non-GAAP Financial Measures

Above is a calculation of our unaudited non-GAAP financial measures. These are not measures of financial performance under GAAP and should not be construed as a substitute for the most directly comparable GAAP measures, which are reconciled in the table above. These measures have limitations as analytical tools, and when assessing our operating performance, you should not consider these measures in isolation or as a substitute for GAAP measures. Other companies may calculate these measures differently than we do, limiting their usefulness as a comparative measure.

We use Adjusted Net Income, or ANI, as well as Adjusted EBITDA (Earnings Before Interest, Taxes, Depreciation and Amortization), Adjusted EBITDA Margin, Fee-Related Revenues, Fee-Related Earnings and Fee-Related Earnings Margin to provide additional measures of profitability. We use the measures to assess our performance relative to our intended strategies, expected patterns of profitability, and budgets, and use the results of that assessment to adjust our future activities to the extent we deem necessary. ANI reflects an estimate of our cash flows generated by our core operations. ANI is calculated as Adjusted EBITDA, less actual cash paid for interest and federal and state income taxes.

In order to compute Adjusted EBITDA, we adjust our GAAP Net Income for the following items:

    • Expenses that typically do not require us to pay them in cash in the current period (such as depreciation, amortization and stock-based compensation);
    • The cost of financing our business;
    • One-time expenses related to restructuring of the management team including placement/search fees;
    • Expenses related to the debt refinance completed in August 2024;
    • Acquisition-related expenses which reflects the actual costs incurred during the period for the acquisition of new businesses, which primarily consists of fees for professional services including legal, accounting, and advisory, as well as bonuses paid to employees directly related to the acquisition; and
    • The effects of income taxes.

Fee-Related Revenues is calculated as Total Revenues less any incentive fees.

Fee-Related Earnings is a non-GAAP performance measure used to monitor our baseline earnings less any incentive fee revenue and excluding any incentive fee-related expenses.

Fee-Related Earnings Margin is calculated as Fee-Related Earnings divided by Fee-Related Revenues.

Adjusted Net Income reflects net cash paid for federal and state income taxes and cash interest expense.

Adjusted EBITDA Margin is calculated as Adjusted EBITDA divided by total GAAP revenues. We use Adjusted EBITDA Margin to provide an additional measure of profitability.

Following is a question by the Hon Kenneth Fok and a written reply by the Secretary for Culture, Sports and Tourism, Miss Rosanna Law, in the Legislative Council today (February 12): Question:      It is learnt that the Leisure and Cultural Services Department has installed artificial intelligence (AI) drowning detection systems developed by the University of Hong Kong and France at the Kwun Tong Swimming Pool and the Sun Yat Sen Memorial Park Swimming Pool respectively to help strengthen lifesaving services at public swimming pools. In this connection, will the Government inform this Council: (1) whether the Government has examined the manpower and financial expenditure (including acquisition costs, installation costs and system maintenance fees) involved since the commissioning of the aforesaid two AI systems and reviewed their effectiveness; if so, of the details; if not, whether it will expeditiously commence the relevant work before the summer swimming season; (2) whether the Government has assessed and compared the actual operation of the aforesaid two systems, including their effectiveness, accuracy, ease of operation and interface with lifeguards and lifesaving mechanisms at swimming pools, with a view to providing a reference point for the retrofitting of such systems at more public swimming pools in the future; if so, of the details; if not, the reasons for that; and (3) given that according to a report released by the Office of The Ombudsman in March last year on its direct investigation into the regulation of licensed swimming pools by the Food and Environmental Hygiene Department (FEHD), the FEHD has not put in place an accident notification mechanism for licensed swimming pools, whether the Government will consider mandating private swimming pools to install AI drowning detection systems and establish a real-time notification mechanism to ensure that the FEHD and the relevant government departments can be expeditiously informed of drowning incidents, thereby enhancing regulatory efforts on private swimming pools; if so, of the details; if not, the reasons for that? Reply: President,      Having consulted relevant government departments, my reply to the questions raised by the Hon Kenneth Fok is as follows: (1) The Leisure and Cultural Services Department (LCSD) has all along prioritised the safety of swimmers in both the facilities as well as the operation of its venues. Apart from providing sufficient lifeguards, the LCSD has put on trial two different sets of artificial intelligence (AI) drowning detection systems at Kwun Tong Swimming Pool and Sun Yat Sen Memorial Park Swimming Pool respectively to assist lifeguards in monitoring the real-time condition of swimmers and locating drowning victims promptly with a view to further strengthening life-saving services.      The AI drowning detection system developed by the University of Hong Kong Sport AI Laboratory has been on trial at the outdoor secondary pool of Kwun Tong Swimming Pool since August 2023. Through AI detection technology, the system analyses the videos and images captured by cameras installed underwater and calculates the drowning probability of swimmers. If suspected drowning is detected, the system will alert the lifeguards to carry out a rescue. The system was developed with a grant of around $900,000 by the Innovation, Technology and Industry Bureau. The LCSD has subsequently installed additional sets of underwater detection devices and upgraded the existing sets of underwater cameras in the secondary pool. The project cost was around $700,000, with an estimated annual expenditure on system maintenance of around $130,000.           The AI drowning detection system developed by a French company was installed at the indoor main pool and training pool of Sun Yat Sen Memorial Park Swimming Pool in September 2024. The system uses cameras installed above the pools to capture images and performs comprehensive tracking and analysis of swimmers’ motions. If a swimmer is found to remain stationary for over 10 seconds, the system will consider it a case of suspected drowning, trigger the alarm and display the drowning location for lifeguards to carry out a rescue. Relevant installation cost of the system was about $7.9 million, with an annual maintenance cost of approximately $1.1 million. In addition, equipment and devices of the system require a comprehensive inspection every three years to ensure its stability and safety. The estimated cost of such inspection is around $500,000. (2) At present, the two detection systems mentioned above are still in trial phase. The LCSD needs to adjust the systems from time to time based on the actual environment and usage, and observe the operation of the systems in different seasons so as to ensure the stability and reliability of the data collected. Hence, a comprehensive set of data for assessment has yet to be available. Upon completion of tests and data analyses in different seasons, the LCSD will review and compare the cost-effectiveness of the two systems before deciding whether to extend the application of the systems to other public swimming pools. (3) To strengthen the regulation of licensed swimming pools, the Food and Environmental Hygiene Department (FEHD) has, in response to the recommendations of the Office of the Ombudsman, established a notification mechanism for fatal drowning cases in licensed swimming pools. In May 2024, the FEHD issued a letter to swimming pool licensees imposing new licensing conditions which require the reporting of cases involving casualties within a prescribed period. The FEHD officers will conduct site inspections for fatal drowning cases to ascertain whether the swimming pools concerned have provided sufficient life-saving attendants and appropriate life-saving equipment as required by the law and the licensing conditions. The FEHD will also examine the relevant cases and require the licensed swimming pools to take additional measures to further protect the safety of swimmers as necessary.      The FEHD and the LCSD share experience and exchange information from time to time on the regulation and management of swimming pools, including the application of technology to enhance swimmers’ safety. As the AI drowning detection system is still in the trial stage, the FEHD will maintain contact with the LCSD to understand the application of the system.

Posted On: 11 FEB 2025 11:59PM by PIB Delhi

    Your Excellency, President Macron,
Industry leaders from India and France present here,
    Namaskar, Bonjour!

I feel a wonderful energy, excitement and dynamism in this room. This isn’t just a normal business event.

It is a confluence of the best business minds of India and France. The report of the CEO Forum that has just been presented is welcome.

I see that all of you are moving ahead with the mantra of Innovate, Collaborate and Elevate. You are not just making boardroom connections. You all are also strengthening the Indo-French strategic partnership.

    Friends,

It is a pleasure for me to join this forum with my friend President Macron. This is our sixth meeting in the last two years. Last year, President Macron was the Chief Guest at our Republic Day.

This morning we had co-chaired the AI Action Summit together. I heartily congratulate President Macron for this successful summit.

    Friends,

India and France are not just linked by democratic values. The foundation of our friendship is based on the spirit of deep trust, innovation, and public welfare.

Our partnership is not limited to just two countries. We are cooperating together to address global problems and challenges. During my last visit, we had outlined the 2047 roadmap for our partnership. Following that, we are pursuing cooperation in a comprehensive manner in every field.

    Friends,

Most of your companies are already present in India. You are active in different areas like aerospace, ports, defence, electronics, dairy, chemicals and consumer goods.

I have had the opportunity to meet many CEOs in India as well. You are well aware of the changes that have taken place in India in the last decade. We have established a stable polity, and predictable policy ecosystem.

Following the path of reform, perform, and transform, today India is the fifth largest economy in the world. It is the fastest growing major economy in the world.

It will soon become the world’s third largest economy. India’s skilled young talent factory and innovation spirit are our identity on the global stage.

Today, India is fast becoming a preferred global investment destination.

We have launched AI, semiconductor and quantum missions in India. In defence, we are promoting Make in India and Make for the World. Many of you are associated with it. We are scaling new heights in space technology. This sector has been opened up for FDI. We are rapidly making India a global biotech powerhouse.

Infrastructure development is a matter of priority for us. And on this, we are doing public expenditure of more than $114 billion a year. We have laid railway tracks on a massive scale, using technology to modernize and upgrade the railways.

We are fast moving towards the target of 500 Gigawatts of renewable energy by 2030. For this, we have promoted solar cell manufacturing. We have also launched the Critical Mineral Mission.

We have also taken up the Hydrogen Mission. For this, electrolyser manufacturing is being emphasized. By 2047, we are aiming for 100 gigawatts of nuclear power. I am happy to share that this sector is being opened up to the private sector. We are focusing on SMR and AMR technologies.

    Friends,

Today India is becoming the biggest center of diversification and de-risking. A few days ago, a new generation of reforms were outlined in our budget.

New steps have been taken for ease of doing business. In the last few years, we have rationalized more than 40,000 compliances. To promote trust-based economic governance, a high level committee for regulatory reforms has been formed. The custom rate structure has been rationalised.

To facilitate international trade, “India Trade Net” is being introduced with the help of digital public infrastructure. We are bringing a new simplified income tax code towards Ease of Living.

The National Manufacturing Mission has been announced. And, new sectors, such as the insurance sector, have been opened for 100 percent FDI. You must study all these initiatives carefully.

Let me tell you all, this is the right time to come to India. Everyone’s progress is linked to India’s progress. An example of this was seen in the aviation sector, when Indian companies placed large orders for airplanes. And, now, when we are going to open 120 new airports, you can imagine the future possibilities for yourselves.

    Friends,

The 1.4 billion people of India have resolved to build a developed India by 2047. Be it defence or advanced technology, fintech or pharma, tech or textile, agriculture or aviation, healthcare or highways, space or sustainable development. There are many opputunities for investments and collaborations in all these areas for all of you.

I welcome you all to join India’s development journey.

    When France’s finesse and India’s scale meet…

    When India’s pace and France’s precision join…

    When France’s technology and India’s talent unite…

Then, not just business landscape, but global transformation will happen.

Once again, I thank you all very much for taking your precious time to come here.

DISCLAIMER – This is the approximate translation of Prime Minister’s remarks. Original remarks were delivered

HAWAI’I TO CELEBRATE DEVELOPMENTAL DISABILITIES AWARENESS MONTH WITH DAY AT THE CAPITOL EVENT ON MARCH 5, 2025

    FOR IMMEDIATE RELEASE

    February 11, 2025

HONOLULU – The Hawai‘i State Council on Developmental Disabilities (DD Council), along with community partners, will celebrate Developmental Disabilities Awareness Month with the annual Day at the Capitol event on March 5, 2025. The event is expected to bring together 500 self-advocates, family members, service providers, and advocates to build awareness of the abilities and strengths of individuals with developmental disabilities.

This year’s theme, “Respect Yourself and All People with Disabilities,” highlights the importance of fostering respect, participation, and opportunities for all individuals, regardless of ability. Developmental Disabilities Awareness Month is part of a nationwide campaign to promote greater understanding and recognition of the contributions individuals with developmental disabilities bring to our communities.

“This year’s theme reminds us that respect and inclusion are fundamental values that strengthen our entire community,” said DD Council Executive Administrator Daintry Bartoldus. “We encourage people to get to know individuals with developmental disabilities, recognize their talents, and work together to create a more inclusive Hawai‘i.”

Throughout the Day at the Capitol, participants will engage in discussions with legislators from their home districts, attend public hearings, take a tour of the State Capitol, give testimony at a mock hearing, and learn about the legislative process through a presentation from the Public Access Room. The event also provides an opportunity for networking among advocates, families, and organizations working to enhance the lives of individuals with developmental disabilities.

The annual “Day at the Capitol” event is a collaborative venture coordinated by the DD Council in partnership with the Family Health Services Division, the University of Hawai‘i Center on Disability Studies, Hawai‘i Division of Vocational Rehabilitation, Public Access Room – Legislative Reference Bureau, Hawai‘i Disability Rights Center, Hawai‘i Self Advocacy Advisory Council, Disability and Communication Access Board, Special Parent and Information Network, Office of Language Access, the Hilopa‘a Family to Family Health Information Center, Maternal and Child Health Leadership Education in Neurodevelopmental Disabilities Program, Department of Human Services Med-Quest Division, Office of Elections, Department of Education Community Children’s Council, and Hawai‘i State Department of Education Monitoring and Compliance Branch.

As Hawai‘i observes Developmental Disabilities Awareness Month, the Council encourages all residents to celebrate the achievements of individuals with developmental disabilities, advocate for their full inclusion in all aspects of life, and work toward a more supportive and inclusive community.

About the Hawaiʻi State Council on Developmental Disabilities:

The Hawaiʻi State Council on Developmental Disabilities works to ensure individuals with developmental disabilities have the opportunity to lead full and meaningful lives. Performance data quoted represents past performance and is no guarantee of future results. Investment return and principal value of an investment will fluctuate so that an investor’s shares, when sold or redeemed, may be worth more or less than their original cost and current performance may be lower or higher than the performance quoted above. Performance current to the most recent month-end can be obtained by calling (833) 378-0717.

Note: DIPS, FIAT, CRSH and YQQQ are hereinafter referred to as the “Short ETFs”.

Distributions are not guaranteed. The Distribution Rate and 30-Day SEC Yield are not indicative of future distributions, if any, on the ETFs. In particular, future distributions on any ETF may differ significantly from its Distribution Rate or 30-Day SEC Yield. You are not guaranteed a distribution under the ETFs. Distributions for the ETFs (if any) are variable and may vary significantly from period to period and may be zero. Accordingly, the Distribution Rate and 30-Day SEC Yield will change over time, and such change may be significant.

Investors in the Funds will not have rights to receive dividends or other distributions with respect to the underlying reference asset(s).

*The inception date for SDTY is February 5, 2025.

    1. All YieldMax™ ETFs shown in the table above (except YMAX, YMAG, FEAT, FIVY and ULTY) have a gross expense ratio of 0.99%. YMAX, YMAG and FEAT have a Management Fee of 0.29% and Acquired Fund Fees and Expenses of 0.99% for a gross expense ratio of 1.28%. FIVY has a Management Fee of 0.29% and Acquired Fund Fees and Expenses of 0.59% for a gross expense ratio of 0.88%. “Acquired Fund Fees and Expenses” are indirect fees and expenses that the Fund incurs from investing in the shares of other investment companies, namely other YieldMax™ ETFs. ULTY has a gross expense ratio of 1.24% but the investment adviser has agreed to a 0.10% fee waiver through at least February 28, 2025.
    2. The Distribution Rate shown is as of close on February 11, 2025. The Distribution Rate is the annual distribution rate an investor would receive if the most recent distribution, which includes option income, remained the same going forward. The Distribution Rate is calculated by annualizing an ETF’s Distribution per Share and dividing such annualized amount by the ETF’s most recent NAV. The Distribution Rate represents a single distribution from the ETF and does not represent its total return. Distributions may also include a combination of ordinary dividends, capital gain, and return of investor capital, which may decrease an ETF’s NAV and trading price over time. As a result, an investor may suffer significant losses to their investment. These Distribution Rates may be caused by unusually favorable market conditions and may not be sustainable. Such conditions may not continue to exist and there should be no expectation that this performance may be repeated in the future.
    3. The 30-Day SEC Yield represents net investment income, which excludes option income, earned by such ETF over the 30-Day period ended January 31, 2025, expressed as an annual percentage rate based on such ETF’s share price at the end of the 30-Day period.
    4. Each ETF’s strategy (except those of the Short ETFs) will cap potential gains if its reference asset’s shares increase in value, yet subjects an investor to all potential losses if the reference asset’s shares decrease in value. Such potential losses may not be offset by income received by the ETF. Each Short ETF’s strategy will cap potential gains if its reference asset decreases in value, yet subjects an investor to all potential losses if the reference asset increases in value. Such potential losses may not be offset by income received by the ETF.
    5. ROC refers to Return of Capital. The ROC percentage is the portion of the distribution that represents an investor’s original investment.

Each Fund has a limited operating history and while each Fund’s objective is to provide current income, there is no guarantee the Fund will make a distribution. Distributions are likely to vary greatly in amount.

Tidal Financial Group is the adviser for all YieldMax™ ETFs.

THE FUND, TRUST, AND ADVISER ARE NOT AFFILIATED WITH ANY UNDERLYING REFERENCE ASSET.

Risk Disclosures (applicable to all YieldMax ETFs referenced above, except the Short ETFs)

YMAX, YMAG, FEAT and FIVY generally invest in other YieldMax™ ETFs. As such, these two Funds are subject to the risks listed in this section, which apply to all the YieldMax™ ETFs they may hold from time to time.

Investing involves risk. Principal loss is possible.

Call Writing Strategy Risk. The path dependency (i.e., the continued use) of the Fund’s call writing strategy will impact the extent that the Fund participates in the positive price returns of the underlying reference asset and, in turn, the Fund’s returns, both during the term of the sold call options and over longer periods.

Counterparty Risk. The Fund is subject to counterparty risk by virtue of its investments in options contracts. Transactions in some types of derivatives, including options, are required to be centrally cleared (“cleared derivatives”). In a transaction involving cleared derivatives, the Fund’s counterparty is a clearing house rather than a bank or broker. Since the Fund is not a member of clearing houses and only members of a clearing house (“clearing members”) can participate directly in the clearing house, the Fund will hold cleared derivatives through accounts at clearing members.

Derivatives Risk. Derivatives are financial instruments that derive value from the underlying reference asset or assets, such as stocks, bonds, or funds (including ETFs), interest rates or indexes. The Fund’s investments in derivatives may pose risks in addition to, and greater than, those associated with directly investing in securities or other ordinary investments, including risk related to the market, imperfect correlation with underlying investments or the Fund’s other portfolio holdings, higher price volatility, lack of availability, counterparty risk, liquidity, valuation and legal restrictions.

Options Contracts. The use of options contracts involves investment strategies and risks different from those associated with ordinary portfolio securities transactions. The prices of options are volatile and are influenced by, among other things, actual and anticipated changes in the value of the underlying instrument, including the anticipated volatility, which are affected by fiscal and monetary policies and by national and international political, changes in the actual or implied volatility or the reference asset, the time remaining until the expiration of the option contract and economic events.

Distribution Risk. As part of the Fund’s investment objective, the Fund seeks to provide current income. There is no assurance that the Fund will make a distribution in any given period. If the Fund does make distributions, the amounts of such distributions will likely vary greatly from one distribution to the next.

High Portfolio Turnover Risk. The Fund may actively and frequently trade all or a significant portion of the Fund’s holdings. A high portfolio turnover rate increases transaction costs, which may increase the Fund’s expenses.

Liquidity Risk. Some securities held by the Fund, including options contracts, may be difficult to sell or be illiquid, particularly during times of market turmoil.

Non-Diversification Risk. Because the Fund is “non-diversified,” it may invest a greater percentage of its assets in the securities of a single issuer or a smaller number of issuers than if it was a diversified fund.

New Fund Risk. The Fund is a recently organized management investment company with no operating history. As a result, prospective investors do not have a track record or history on which to base their investment decisions.

Price Participation Risk. The Fund employs an investment strategy that includes the sale of call option contracts, which limits the degree to which the Fund will participate in increases in value experienced by the underlying reference asset over the Call Period.

Single Issuer Risk. Issuer-specific attributes may cause an investment in the Fund to be more volatile than a traditional pooled investment which diversifies risk or the market generally. The value of the Fund, which focuses on an individual security (ARKK, TSLA, AAPL, NVDA, AMZN, META, GOOGL, NFLX, COIN, MSFT, DIS, XOM, JPM, AMD, PYPL, SQ, MRNA, AI, MSTR, Bitcoin ETP, GDX®, SNOW, ABNB, BABA, TSM, SMCI, PLTR, MARA, CVNA), may be more volatile than a traditional pooled investment or the market as a whole and may perform differently from the value of a traditional pooled investment or the market as a whole.

Inflation Risk. Inflation risk is the risk that the value of assets or income from investments will be less in the future as inflation decreases the value of money. As inflation increases, the present value of the Fund’s assets and distributions, if any, may decline.

Indirect Investment Risk. The Index is not affiliated with the Trust, the Fund, the Adviser, or their respective affiliates and is not involved with this offering in any way.

Risk Disclosures (applicable only to GPTY)

Artificial Intelligence Risk. Issuers engaged in artificial intelligence typically have high research and capital expenditures and, as a result, their profitability can vary widely, if they are profitable at all. The space in which they are engaged is highly competitive and issuers’ products and services may become obsolete very quickly. These companies are heavily dependent on intellectual property rights and may be adversely affected by loss or impairment of those rights. The issuers are also subject to legal, regulatory and political changes that may have a large impact on their profitability. A failure in an issuer’s product or even questions about the safety of the product could be devastating to the issuer, especially if it is the marquee product of the issuer. It can be difficult to accurately capture what qualifies as an artificial intelligence company.

Technology Sector Risk. The Fund will invest substantially in companies in the information technology sector, and therefore the performance of the Fund could be negatively impacted by events affecting this sector. Market or economic factors impacting technology companies and companies that rely heavily on technological advances could have a significant effect on the value of the Fund’s investments. The value of stocks of information technology companies and companies that rely heavily on technology is particularly vulnerable to rapid changes in technology product cycles, rapid product obsolescence, government regulation and competition, both domestically and internationally, including competition from foreign competitors with lower production costs. Stocks of information technology companies and companies that rely heavily on technology, especially those of smaller, less-seasoned companies, tend to be more volatile than the overall market. Information technology companies are heavily dependent on patent and intellectual property rights, the loss or impairment of which may adversely affect profitability.

Risk Disclosure (applicable only to MARO)

Digital Assets Risk: The Fund does not invest directly in Bitcoin or any other digital assets. The Fund does not invest directly in derivatives that track the performance of Bitcoin or any other digital assets. The Fund does not invest in or seek direct exposure to the current “spot” or cash price of Bitcoin. Investors seeking direct exposure to the price of Bitcoin should consider an investment other than the Fund. Digital assets like Bitcoin, designed as mediums of exchange, are still an emerging asset class. They operate independently of any central authority or government backing and are subject to regulatory changes and extreme price volatility.

Risk Disclosures (applicable only to BABO and TSMY)

Currency Risk: Indirect exposure to foreign currencies subjects the Fund to the risk that currencies will decline in value relative to the U.S. dollar. Currency rates in foreign countries may fluctuate significantly over short periods of time for a number of reasons, including changes in interest rates and the imposition of currency controls or other political developments in the U.S. or abroad.

Depositary Receipts Risk: The securities underlying BABO and TSMY are American Depositary Receipts (“ADRs”). Investment in ADRs may be less liquid than the underlying shares in their primary trading market.

Foreign Market and Trading Risk: The trading markets for many foreign securities are not as active as U.S. markets and may have less governmental regulation and oversight.

Foreign Securities Risk: Investments in securities of non-U.S. issuers involve certain risks that may not be present with investments in securities of U.S. issuers, such as risk of loss due to foreign currency fluctuations or to political or economic instability, as well as varying regulatory requirements applicable to investments in non-U.S. issuers. There may be less information publicly available about a non-U.S. issuer than a U.S. issuer. Non-U.S. issuers may also be subject to different regulatory, accounting, auditing, financial reporting and investor protection standards than U.S. issuers.

Risk Disclosures (applicable only to GDXY)

Risk of Investing in Foreign Securities. The Fund is exposed indirectly to the securities of foreign issuers selected by GDX®’s investment adviser, which subjects the Fund to the risks associated with such companies. Investments in the securities of foreign issuers involve risks beyond those associated with investments in U.S. securities.

Risk of Investing in Gold and Silver Mining Companies. The Fund is exposed indirectly to gold and silver mining companies selected by GDX®’s investment adviser, which subjects the Fund to the risks associated with such companies.

The Fund invests in options contracts based on the value of the VanEck Gold Miners ETF (GDX®), which subjects the Fund to some of the same risks as if it owned GDX®, as well as the risks associated with Canadian, Australian and Emerging Market Issuers, and Small-and Medium-Capitalization companies.

Risk Disclosures (applicable only to YBIT)

YBIT does not invest directly in Bitcoin or any other digital assets. YBIT does not invest directly in derivatives that track the performance of Bitcoin or any other digital assets. YBIT does not invest in or seek direct exposure to the current “spot” or cash price of Bitcoin. Investors seeking direct exposure to the price of Bitcoin should consider an investment other than YBIT.

Bitcoin Investment Risk: The Fund’s indirect investment in Bitcoin, through holdings in one or more Underlying ETPs, exposes it to the unique risks of this emerging innovation. Bitcoin’s price is highly volatile, and its market is influenced by the changing Bitcoin network, fluctuating acceptance levels, and unpredictable usage trends.

Digital Assets Risk: Digital assets like Bitcoin, designed as mediums of exchange, are still an emerging asset class. They operate independently of any central authority or government backing and are subject to regulatory changes and extreme price volatility. Potentially No 1940 Act Protections. As of the date of this Prospectus, there is only a single eligible Underlying ETP, and it is an investment company subject to the 1940 Act.

Bitcoin ETP Risk: The Fund invests in options contracts that are based on the value of the Bitcoin ETP. This subjects the Fund to certain of the same risks as if it owned shares of the Bitcoin ETP, even though it does not. Bitcoin ETPs are subject, but not limited, to significant risk and heightened volatility. An investor in a Bitcoin ETP may lose their entire investment. Bitcoin ETPs are not suitable for all investors. In addition, not all Bitcoin ETPs are registered under the Investment Company Act of 1940. Those Bitcoin ETPs that are not registered under such statute are therefore not subject to the same regulations as exchange traded products that are so registered.

Risk Disclosures (applicable only to the Short ETFs)

Investing involves risk. Principal loss is possible.

Price Appreciation Risk. As part of the Fund’s synthetic covered put strategy, the Fund purchases and sells call and put option contracts that are based on the value of the underlying reference asset. This strategy subjects the Fund to certain of the same risks as if it shorted the underlying reference asset, even though it does not. By virtue of the Fund’s indirect inverse exposure to changes in the value of the underlying reference asset, the Fund is subject to the risk that the value of the underlying reference asset increases. If the value of the underlying reference asset increases, the Fund will likely lose value and, as a result, the Fund may suffer significant losses.

Put Writing Strategy Risk. The path dependency (i.e., the continued use) of the Fund’s put writing (selling) strategy will impact the extent that the Fund participates in decreases in the value of the underlying reference asset and, in turn, the Fund’s returns, both during the term of the sold put options and over longer periods.

Purchased OTM Call Options Risk. The Fund’s strategy is subject to potential losses if the underlying reference asset increases in value, which may not be offset by the purchase of out-of-the-money (OTM) call options. The Fund purchases OTM calls to seek to manage (cap) the Fund’s potential losses from the Fund’s short exposure to the underlying reference asset if it appreciates significantly in value. However, the OTM call options will cap the Fund’s losses only to the extent that the value of the underlying reference asset increases to a level that is at or above the strike level of the purchased OTM call options. Any increase in the value of the underlying reference asset to a level that is below the strike level of the purchased OTM call options will result in a corresponding loss for the Fund. For example, if the OTM call options have a strike level that is approximately 100% above the then-current value of the underlying reference asset at the time of the call option purchase, and the value of the underlying reference asset increases by at least 100% during the term of the purchased OTM call options, the Fund will lose all its value. Since the Fund bears the costs of purchasing the OTM calls, such costs will decrease the Fund’s value and/or any income otherwise generated by the Fund’s investment strategy.

The prices of options are volatile and are influenced by, among other things, actual and anticipated changes in the value of the underlying reference asset, including the anticipated volatility, which are affected by fiscal and monetary policies and by national and international political, changes in the actual or implied volatility or the reference asset, the time remaining until the expiration of the option contract and economic events.

The Fund employs an investment strategy that includes the sale of put option contracts, which limits the degree to which the Fund will participate in decreases in value experienced by the underlying reference asset over the Put Period.

Single Issuer Risk. Issuer-specific attributes may cause an investment in the Fund to be more volatile than a traditional pooled investment which diversifies risk or the market generally. The value of the Fund, for any Fund that focuses on an individual security (e.g., TSLA, COIN, NVDA), may be more volatile than a traditional pooled investment or the market as a whole and may perform differently from the value of a traditional pooled investment or the market as a whole.

Inflation Risk. Inflation risk is the risk that the value of assets or income from investments will be less in the future as inflation decreases the value of money. As inflation increases, the present value of the Fund’s assets and distributions, if any, may decline.

Risk Disclosures (applicable only to YQQQ)

Index Overview. The Nasdaq 100 Index is a benchmark index that includes 100 of the largest non-financial companies listed on the Nasdaq Stock Market, based on market capitalization.

Index Level Appreciation Risk. As part of the Fund’s synthetic covered put strategy, the Fund purchases and sells call and put option contracts that are based on the Index level. This strategy subjects the Fund to certain of the same risks as if it shorted the Index, even though it does not. By virtue of the Fund’s indirect inverse exposure to changes in the Index level, the Fund is subject to the risk that the Index level increases. If the Index level increases, the Fund will likely lose value and, as a result, the Fund may suffer significant losses. The Fund may also be subject to the following risks: innovation and technological advancement; strong market presence of Index constituent companies; adaptability to global market trends; and resilience and recovery potential.

Index Level Participation Risk. The Fund employs an investment strategy that includes the sale of put option contracts, which limits the degree to which the Fund will benefit from decreases in the Index level experienced over the Put Period. This means that if the Index level experiences a decrease in value below the strike level of the sold put options during a Put Period, the Fund will likely not experience that increase to the same extent and any Fund gains may significantly differ from the level of the Index losses over the Put Period. Additionally, because the Fund is limited in the degree to which it will participate in decreases in value experienced by the Index level over each Put Period, but has significant negative exposure to any increases in value experienced by the Index level over the Put Period, the NAV of the Fund may decrease over any given period. The Fund’s NAV is dependent on the value of each options portfolio, which is based principally upon the inverse of the performance of the Index level. The Fund’s ability to benefit from the Index level decreases will depend on prevailing market conditions, especially market volatility, at the time the Fund enters into the sold put option contracts and will vary from Put Period to Put Period. The value of the options contracts is affected by changes in the value and dividend rates of component companies that comprise the Index, changes in interest rates, changes in the actual or perceived volatility of the Index and the remaining time to the options’ expiration, as well as trading conditions in the options market. As the Index level changes and time moves towards the expiration of each Put Period, the value of the options contracts, and therefore the Fund’s NAV, will change. However, it is not expected for the Fund’s NAV to directly inversely correlate on a day-to-day basis with the returns of the Index level. The amount of time remaining until the options contract’s expiration date affects the impact that the value of the options contracts has on the Fund’s NAV, which may not be in full effect until the expiration date of the Fund’s options contracts. Therefore, while changes in the Index level will result in changes to the Fund’s NAV, the Fund generally anticipates that the rate of change in the Fund’s NAV will be different than the inverse of the changes experienced by the Index level.

  • MIL-OSI: Wilmington Trust & AccessFintech Streamline Private Credit Lifecycle Management

    Source: GlobeNewswire (MIL-OSI)

LONDON and NEW YORK, Feb. 12, 2025 (GLOBE NEWSWIRE) — Wilmington Trust and AccessFintech have announced a new collaboration that automates and streamlines loan lifecycle management using the Synergy platform. This effort drives real-time data transparency and collaboration, significantly reducing discrepancies and resolution times among various organizations across the loan market. Lenders can compare normalized data sets, prevent cash breaks and accelerate the resolution process.

As third-party agent, Wilmington Trust – part of the M&T Bank (NYSE: MTB) family – is working with AccessFintech to enable real-time sharing of contract level data via its Synergy network for the private credit market, a significant area of growth for the loan market. With many shared clients, this agreement will allow agents, lenders, CLO trustees and administrators to connect seamlessly and work on shared workflows in one, central environment. Agents and lenders can proactively manage every aspect of their loan data workflow and collaborate with partners and benefit from continuous matching.

“Wilmington Trust is working with AccessFintech to further enhance the syndicated loan market’s focus on solutions for data transparency and workflow collaboration, all of which continue to be critical for the future growth and scalability of our industry,” said Medita Vucic, Wilmington Trust’s Head of Structured Finance and Loan Market Solutions. “Our relationship with AccessFintech will facilitate streamlined communication through a centralized, single-source solution delivering substantial productivity and efficiency improvements for Wilmington Trust and our clients.”

The Synergy network works with financial institutions across all asset classes to establish an ecosystem of connected organizations including buy-side, sell-side, agents, custodians, CLO trustees, service providers and vendors. The network is a data and workflow normalization and collaboration effort, which is live across the financial system.

As the private credit market has expanded – topping more than $2.1 trillion last year – the complexity of data and operational management for firms operating in this space has also grown. Private credit loans bring with them with less standardization and access to information.

“Our goal is to develop innovative solutions in collaboration with the industry. Synergy is expanding its shared data network, and we are thrilled to join forces with Wilmington Trust to further strengthen loan industry cooperation,” said Cory Olsen, Head of Loan Products at AccessFintech. “Empowering lenders to continuously align and collaborate in real time is a revolutionary shift that will transform interactions between agents and lenders, delivering significant operational advantages for everyone.”

Wilmington Trust and AccessFintech are addressing the challenges in the complex private credit and syndicated loan industry – and leading the transition from an e-mail and PDF-centric workflow to an automated workflow with shared real-time digitized data. This, in turn, addresses issues around exchanging and confirming information, allowing improved identification of cash and position breaks leading to delays in settlement times.
