  • MIL-OSI Africa: Italy affirms Partnership with African Development Bank under the Mattei Plan

    Italy has reaffirmed its partnership with the African Development Bank (www.AfDB.org) and expressed keenness to explore mutual growth opportunities in Africa under the Mattei Plan. 

    Stefano Gatti, Director General for Development Cooperation at the Ministry of Foreign Affairs and International Cooperation (FAIC) and Lorenzo Ortona, Head of the Mattei Plan Task Force led a delegation to the Bank’s Abidjan headquarters on Thursday 8 May. The delegation comprised representatives of institutions charged with implementing the Mattei plan for Africa, such as Cassa Depositi e Prestiti(CDP), the Ministry of Finance, as well as important representatives of the business and private sector and civil society organisations. 

    Under the Mattei Plan for Africa, Italy aims to foster economic and strategic partnerships with African nations and institutions. Its Prime Minister Giorgia Meloni has stated that the African Development Bank Group would be (https://apo-opa.co/3FkcLD8) its main strategic financial partner for implementation of the plan on the continent. 

    The delegation was hosted by African Development Bank Senior Vice President Marie-Laure Akin-Olugbade, who was joined by three vice presidents –Nnenna Nwabufo, Beth Dunford and Kevin Kariuki, as well as several directors from the energy, resource mobilization and finance departments, among others. 

    Participants in the meeting exchanged on ways to strengthen public-private sector collaboration with Italy in reducing hunger and boosting agriculture in Africa. The conversation also discussed the importance of the African Development Fund, the Bank’s concessional lending arm in addressing the challenges of the continent’s most disadvantaged countries. 

    Akin-Olugbade expressed satisfaction at the progress made since the announcement of the Plan in July 2024, in particular, the Rome Process/Mattei Plan Financing Facility (RPFF), a multi-donor Special Fund aimed at supporting climate aligned sovereign infrastructure projects that help to address the root causes of migration. The RPFF with contributions from Italy and the UAE amounting to over $170 million, is now operational.  

    The senior vice president commended Italy for demonstrating its commitment and thanked the government for its choice of The African Development Bank as partner. “We appreciate, of course, the choice of the African Development Bank to accompany you in your strategy, very ambitious strategy for the continent. We are really very happy to hear that Italy, indeed, is still strongly committed to the continent, and of course, to working with the African Development Fund.” 

    Other instruments under the Plan with the African Development Bank include the Growth and Resilience Platform for Africa (Graf), and a bilateral co-financing facility. Under Graf, CDP and the African Development Bank intend to invest up to EUR 400 million over five years in private equity funds to accelerate private sector development in Africa. 

    “We are grateful for the outstanding job that the bank has done. We really appreciate it,” Ortan said. “We really believe that in order to enhance the Mattei plan in Africa and the visibility of it, we need partners like you.”  

    Concluding the discussions, Akin-Olugbade said the Mattei plan has emerged as a template for future cooperation between Italy and other developed countries and Africa. 

    She said: “I believe that Italy has seen the African Development Bank, the African Development Fund as trusted partners. I believe we have a good track record of providing and achieving results. There’s a leveraging effect that multilateral development banks have that sometime bilateral resources do not have. And we need to take advantage of this.” 

    Italy has been a strong partner to the African Development Fund and pledged EUR 298.88 million to its sixteenth replenishment. Italy has been a partner in Mission 300, as well as advocating for strengthening private sector engagement, especially for youth entrepreneurship.

  • MIL-OSI Global: Disarming Hezbollah is key to Lebanon’s recovery − but task is complicated by regional shifts, ceasefire violations

    Within a span of two weeks from late April to early May 2025, Israel launched two aerial attacks ostensibly targeting Hezbollah in Lebanon: The first, on April 27, struck a building in Beirut’s southern suburbs; the second, an assault in southern Lebanon, left one person dead and eight others injured.

    While the attacks may not be an aberration in the long history of Israel’s military action in Lebanon, the latest episodes were notable given the context: Israel and Hezbollah have been nominally locked in a truce for five months.

    As an expert on Lebanese history and culture, I believe the latest violations clearly show the fragility of that ceasefire. But more importantly, they complicate the Lebanese government’s mission of disarming Hezbollah, the paramilitary group that remains a powerful force in the country despite a series of Israeli targeted killings of its senior members. That task forms the backbone of a nearly 20-year-old United Nations resolution meant to bring lasting peace to Lebanon.

    The long road to a ceasefire

    In the aftermath of Hamas’ attack on Israel on Oct. 7, 2023, Hezbollah vowed solidarity with the Palestinian movement, resulting in a running series of tit-for-tat attacks with Israel that escalated into a full-blown war in the fall of 2024.

    On Oct. 1, 2024, Israel invaded Lebanon – the sixth time since 1978 – in order to directly confront Hezbollah. That operation led to the killing of an estimated 3,800 Lebanese people and the displacement of over 1 million civilians. The damage to Lebanon’s economy is estimated at US$14 billion, according to the World Bank.

    Hezbollah lost a lot of its fighters, arsenal and popular support as a result. More importantly, these losses discredited Hezbollah’s claim that it alone can guarantee Lebanon’s territorial integrity against Israel’s invasion.

    The United States and France brokered a ceasefire between Hezbollah and Israel on Nov. 27, 2024. The agreement was based in part on United Nations Security Council Resolution 1701, which was adopted in 2006 to end that year’s 34-day war between Israel and Hezbollah. The resolution had as a central tenet the disarmament of armed militias, including Hezbollah, and the withdrawal of Israeli forces from Lebanon.

    The 2024 ceasefire built on that resolution. It required Hezbollah’s retreat beyond the Litani River, which at its closest point is about 20 miles from northern Israel. In return, and by February 2025, Israel was to gradually withdraw from Lebanese territories in order to allow the Lebanese army to take control of areas in the south and to confiscate all unauthorized weapons – a nod to Hezbollah’s arsenal.

    Yet, Israel maintained the occupation of several posts in southern Lebanon after that deadline and continued to launch attacks on Lebanese soil, the most recent being on May 8, 2025.

    The challenge of disarming Hezbollah

    Despite these violations, large-scale war between Israel and Hezbollah has not resumed. But the next step, a lasting peace based on the laying down of Hezbollah arms, is complicated by a series of factors, not least the sectarian nature of Lebanese politics.

    Since its inception in 1920, Lebanon’s governance has been defined by a polarized and formally sectarian political system, which seeded the roots of a decades-long civil conflict that began in 1975. A series of invasions by Israel in response to attacks from Lebanese-based Palestinian groups exacerbated sectarianism and instability.

    From this mix, Hezbollah emerged and became a powerful force during the late 1980s.

    The Taif Agreement, ending Lebanon’s civil war in 1989, formally recognized the state’s right to resist the Israeli occupation of Lebanese territories – and with it Hezbollah’s presence as a force of resistance. An uneasy coexistence between the government and Hezbollah emerged, which often spilled over into violence, including assassinations of important public figures.

    More recently, Hezbollah was responsible for a two-year political vacuum as it mobilized members to repeatedly block opposition candidates for the vacant presidency in the hopes of installing a leader that would support its agenda.

    In January 2025 that standoff ended when Lebanon’s parliament elected army chief Joseph Aoun, a Maronite Christian, as president.

    The acquiescence of Hezbollah and its allies was in part a sign of how much the power of the Shiite militia had been diminished by Israel during the conflict.

    But it is also the result of a widespread general understanding in Lebanon of the need to end the humanitarian crisis caused by Israel’s war. The new president has brought much-needed hope to a battered country – one that has been plagued by numerous crises, including a collapsed economy that by 2019 had pushed 80% of the population into poverty.

    But Aoun’s presidency signals the changing political environment in another key way; unlike his predecessors, Aoun has not endorsed Hezbollah as a legitimate resistance movement.

    Further, Aoun has announced his intentions to disarm the group
    and to fully implement resolution 1701.

    To this end, Aoun has made impressive gains. According to state officials, the Lebanese army had by the end of April 2025 dismantled over 90% of Hezbollah’s infrastructure south of the Litani River and taken control over these sites.

    Yet Hezbollah’s chief, Naim Kassem, doggedly rejects calls to disarm and integrate the group’s fighters into the Lebanese armed forces.

    Even in Hezbollah’s weakened position, Kassem believes only his movement, and not the Lebanese state, can guarantee Lebanon’s safety against Israel. And Israel violations of the ceasefire only play into this narrative.

    “We will not allow anyone to remove Hezbollah’s weapons,” Kassem said after one recent airstrike, vowing that the group would hand over weapons only when Israel withdrew from southern Lebanon and ended it’s air incursions.

    The challenge going forward

    Yet countries including the United States and Qatar – not to mention Israel – consider Hezbollah’s disarmament a prerequisite to both peace and much-needed international assistance.

    And this makes the task ahead for Aoun difficult. He will be well aware that international aid is desperately needed. But pressing too hard to accommodate either Israel’s or Hezbollah’s interests risks, respectively, exacerbating either domestic political pressures or jeopardizing future foreign investment.

    To complicate matters further, the situation in Lebanon is hardly helped by developments in neighboring Syria.

    The fall of Syrian President Bashar Assad in December 2024 has added another element of regional uncertainty and the fear in Lebanon of further sectarian violence. Although Syria’s new leader, Ahmed al-Sharaa, has vowed to protect all religious groups, he was not able to prevent the massacre of Alawite civilians in several coastal towns – an attack that triggered a fresh wave of refugees heading toward Lebanon.

    The removal of Assad was another blow for Hezbollah, a strong Assad ally that benefited from years of Syrian interference in Lebanon.

    The challenge of international relations

    For now, a return to full-scale war in Lebanon does not appear to be on the table.

    But what comes next for Lebanon and Hezbollah depends on many factors, not least the state of Israel’s ongoing war on Gaza and any spillover into Lebanon. But the actions of other regional actors, notably Saudi Arabia and Iran, matter too. Should Saudi Arabia be encouraged down the path of normalizing relations with Israel – a process interrupted by the Oct. 7 attack – then it would impact Lebanon in many ways.

    Any deal would, from the Saudi perspective, likely have to include a solution to the question of Palestinian statehood, taking away one of Hezbollah’s main grievances. It would also likely put pressure on Lebanon and Israel to find a solution to its long-standing border dispute.

    Meanwhile, Iran, too, is seemingly turning to diplomatic means to address some of its regional issues, with nascent moves to both improve ties with Saudi Arabia and forge forward with a new nuclear deal with the U.S. This could see Tehran turn away from a policy of trying to impose its influence throughout the region by arming groups aligned with Tehran – first among them, Hezbollah.

  • MIL-OSI USA: Rep. Pfluger Introduces Bill to Protect Healthcare Providers Who Refuse to Support or Promote Abortion

    WASHINGTON, DC — As first reported in The Daily Signal, Congressman August Pfluger (TX-11), alongside Senator James Lankford (R-OK), introduced bicameral legislation to protect healthcare providers who refuse to support or promote abortion.

    The Conscience Protection Act of 2025 strengthens and expands the Weldon Amendment, a federal provision—attached to annual appropriations bills since 2004—that prohibits any federal, state, or local government from discriminating against or penalizing health care providers who decline to perform, pay for, or refer for abortions. The bill codifies these protections into permanent law and establishes a civil right of action, allowing individuals and entities to seek legal recourse if their conscience rights are violated.

    “As a father of three beautiful daughters and a firm believer that life begins at conception, protecting the unborn is not just a policy stance—it’s a moral obligation. That’s why one of my top priorities in Congress is defending life and the people who stand up for it,” said Rep. Pfluger. “The Conscience Protection Act of 2025 safeguards healthcare professionals from being penalized or discriminated against for not participating in, paying for, or facilitating abortions due to their deeply held beliefs. It builds on and strengthens the Weldon Amendment, ensuring no doctor, nurse, or provider is punished by government overreach for following their conscience. I’m proud to lead this effort alongside Senator Lankford as we push back on radical policies that threaten the sanctity of life and the freedom of those who protect it.”

    “When conscience protections aren’t enforced, health care workers are forced to decide if they should lose their job or violate their beliefs by performing an abortion. Many health care professionals went into their careers to protect life, not take life. Doctors and nurses should never have to make the choice between their career and their conscience. The Conscience Protection Act defends health care workers and empowers them to stand by convictions as they care for their community,” said Senator Lankford.

    The bill is co-sponsored in the House by Representatives Dan Webster (FL-11), John Moolenaar (MI-02), Dan Crenshaw (TX-02), Anna Paulina Luna (FL-13), Adrian Smith (NE-03), Don Bacon (NE-02), Roger Williams (TX-25), Sheri Biggs (SC-03), and Rep.     Representation matters 

    We recognize the critical responsibility to ensure authentic disability representation in AI systems. One of the most pressing challenges is that generated content, such as images, can misrepresent or stereotype disability, leading to harmful inaccuracies or even the exclusion of certain identities. These gaps in representation data can reinforce bias and erode trust.  

    Launching today, Bing Image Creator will generate more accurate depictions of disabilities such as Autism and Down Syndrome, and will be expanding to other areas in the coming months. We collaborated with individuals with lived experience, trusted external partners, and AI researchers to better understand how disability is portrayed—both accurately and not—within AI models.   • MIL-OSI Africa: African Development Bank funds second Tech Park in Mindelo

    Cabo Verde has inaugurated the Mindelo Technology Park, completing the second campus of the TechPark CV project funded by the African Development Bank (www.AfDB.org). The facility aims to establish the country as a digital hub connecting Africa with global markets. 

    The ceremony took place on May 6 with representatives from the government, industry, and development partners in attendance. The EUR 51.85 million TechPark CV project received EUR 45.5 million in financing from the African Development Bank Group, supporting both the Praia and Mindelo campuses. 

    In an address, Prime Minister José Ulisses Correia e Silva highlighted the transformative impact of the technology park: “Today we inaugurate this technological park hub with the conviction that we are already celebrating a special moment here. Yesterday was on the beach in Sao Vicente, a modern infrastructure important for the development of the digital economy. We want to position the digital economy as one of the key sectors for the diversification of Cabo Verde’s / Cavian economy, and increase the share of the digital economy in the GDP from around 7% to 25%.” 

    He further explained the goals of the project:“It is one of the sectors that create jobs and create quality jobs, simulates entrepreneurship and makes the capacity and talent of young people happen. We want to attract leading companies. We want to develop young digital entrepreneurship, startups and create well paid jobs.” 

    Dr. Akinwumi A. Adesina, President of the African Development Bank Group, emphasized the significance of this milestone: “These two events mark a turning point for the broader diversification of the economy of Cabo Verde and a landmark in its quest to become the digital gateway for Africa. These two technology park campuses will spark the spirit of digital innovation and spur the emergence of technology-enabled businesses that will propel the digital economy of Cabo Verde.”

    • Possession of a controlled substance – three counts
    • Impaired driving – two counts
    • Dangerous driving
    • Possession of a weapon for a dangerous purpose
    • Operating a vehicle with a suspended license

    The International Marine Contractors Association (IMCA) has today published its annual Safety Statistics Report, showing that ‘line of fire’ incidents remained the leading cause of lost time injuries (LTIs) among IMCA marine contractor Members in 2024, accounting for more than half (52%) of such injuries. 

    The research, which IMCA has published each year since 1996, found that the total lost-time injury rate (LTIR) across its contributing Members’ onshore and offshore operations remained unchanged at 0.3 incidents per million hours worked. This follows steady improvements since 2010, when the LTIR was more than twice as high as recorded in 2024.  

    Meanwhile, the total recordable injuries rate (TRIR) rose slightly (from 1.07 to 1.1 injuries per million hours worked), a pattern seen across the energy industry, although IMCA contractor Members saw a small improvement in the total recordable injury rate recorded for offshore from 1.47 injuries per million hours worked in 2023, to 1.38 in 2024. 

    Just over half (52%) of lost time injuries reported were ‘line of fire’ related injuries.  Understanding the underlying causes of these accidents and how they can be reduced will be a priority for IMCA, working with its Members and partner organisations, in 2025. Slips and trips were the second main cause of LTIs, accounting for 22% of the total in 2024. 

    The fatal accident rate (FAR) halved from 0.63 fatalities per 100 million hours worked in 2023, to 0.3 fatalities in 2024. For offshore workers, the rate fell from 0.41 in 2023 to 0.18 in 2024 – the lowest fatality rate ever recorded by IMCA contractor Members. 

    This year’s data was supplied by 198 of IMCA’s contractor Members, who between them submitted a record 1,015,000 hours of data. The research is available to both IMCA Members and non-Members, enabling them to benchmark their performance against similar sized companies.

    A Concluding Statement describes the preliminary findings of IMF staff at the end of an official staff visit (or ‘mission’), in most cases to a member country. Missions are undertaken as part of regular (usually annual) consultations under Article IV of the IMF’s Articles of Agreement, in the context of a request to use IMF resources (borrow from the IMF), as part of discussions of staff monitored programs, or as part of other staff monitoring of economic developments.

    The authorities have consented to the publication of this statement. The views expressed in this statement are those of the IMF staff and do not necessarily represent the views of the IMF’s Executive Board. Based on the preliminary findings of this mission, staff will prepare a report that, subject to management approval, will be presented to the IMF Executive Board for discussion and decision.

    An International Monetary Fund (IMF) mission, led by Mr. Jean-Guillaume Poulain, met with the Iraqi authorities in Amman and Baghdad during May 4–13 to conduct the 2025 Article IV consultation. The following statement was issued at the end of the mission:

    A highly uncertain global environment, falling oil prices, and acute financing pressures, are taking a toll on economic activity and exacerbating Iraq’s existing vulnerabilities, calling for urgent measures to preserve fiscal and external stability. These include containing the fiscal deficit by mobilizing non-oil tax revenues and reining in the public wage bill, completing the restructuring of state-owned banks, and promoting private sector growth, by reforming the labor market, improving the business environment, enhancing governance and fighting corruption. Building on recent progress, the Central Bank of Iraq (CBI) should continue modernizing the banking system and supporting private banks in expanding their corresponding banking relationships.

    Recent Economic Developments, Outlook and Risks

    The non-oil sector grew at a slower pace last year and inflation remained subdued. Following a very strong growth of 13.8 percent in 2023, Iraq’s non-oil GDP is expected to have considerably moderated to 2.5 percent in 2024, driven by a slowdown in public investment and in the services sector, as well as a weaker trade balance. The agriculture, manufacturing, and construction sectors remained resilient, benefiting from post-drought recovery, expanded refining capacity, and strong growth in credit to households. The decline in oil production weighed on overall growth, which contracted by 2.3 percent for the year. Inflation dropped to 2.7 percent by end-2024, amid lower food price inflation and liquidity absorption from the CBI.

    The fiscal position has deteriorated, along with external balances. The 2024 fiscal deficit is estimated at 4.2 percent of GDP, compared to 1.1 percent in 2023, reflecting rising spending on wages and salaries and energy purchases. Financing constraints have led to reemergence of arrears notably in energy and capital expenditure. On the external front, the current account surplus narrowed sharply from 7.5 percent to 2 percent of GDP, due to a surge in goods imports. Nonetheless, external buffers remain strong, with reserves at US$100.3 billion at end-2024—covering over 12 months of imports.

    Non-oil growth is projected to remain subdued in 2025 amid a challenging global environment and financing constraints. Non-oil GDP is projected to slow down to 1 percent this year as the impact of falling oil prices and financing constraints weigh on government spending and consumer sentiment. The current account is expected to weaken considerably in 2025 primarily due to declining oil export revenues. The deterioration in the external position is projected to weigh on foreign reserves.

    Policy Priorities

    Iraq’s vulnerabilities have increased in recent years due to a large fiscal expansion. Beside weighing on prospects of private sector-led growth, current public employment policies and resulting wage costs are unsustainable given Iraq’s low non-oil tax base. Accordingly, dependence on oil revenues has worsened, and the oil price required to balance the budget increased to around $84 in 2024, up from $54 in 2020.

    These challenges have been exacerbated by the sharp decline in oil prices in 2025, requiring an urgent policy response. In the very short-term, the authorities should review current and capital spending plans for 2025 and limit or postpone all non-essential expenditure. At the same time, there may be scope to increase non-oil revenues by revising customs duties as well as introducing or raising excise taxes. The authorities should also explore options to diversify the creditors base for increasing financing availability. Monetary financing of the deficit should be avoided as it could fuel inflation, drain FX reserves, and weaken the CBI’s balance sheet.

    More broadly, a sizable fiscal consolidation is needed to mitigate macro-fiscal risks, ensure debt sustainability, and rebuild fiscal buffers. On the revenue side, besides customs duties and excise taxes, there is scope to gradually reform personal income tax by limiting exemptions and increasing rates. Strengthening tax administration—through digitalization, improved enforcement, and better collection—is essential. A more effective tax administration should allow for eventually introducing a general sales tax. On the spending side, curbing current expenditures, particularly via comprehensive wage bill reforms, limiting mandatory hiring, and adopting attrition rule, would yield significant savings. Recent efforts to better target the public distribution system are welcome, but there is scope to further improve targeting and eventually shift to cash-based social safety nets. Finally, it is urgent to reform the public pension system through raising the retirement age and reducing both the accrual and replacement rates is needed to enhance its sustainability.

    Implementing these reforms would also create fiscal space to increase capital spending. Expanding non-oil investment, especially in trade and transportation infrastructure should help economic diversification. Substantial investments are also required to modernize the electricity sector and develop natural gas resources, both of which are essential for improving energy security and reducing dependence on gas imports. Improved procurement, public financial management, and corruption control would enhance the effectiveness of any additional public investment.

    Further efforts are needed to mop up excess liquidity in order to improve monetary policy transmission. While the CBI has made progress in absorbing excess liquidity, additional adjustments could enhance the effectiveness of the framework. Key measures include increasing the issuance of CB-bills, focusing on the short maturity (14-day) at the policy rate, revising size limits on individual banks’ bids, and improving liquidity forecasting tools and practices. To safeguard its balance sheet and preserve credibility, the CBI should continue to avoid financing the government deficit.

    The mission commended the CBI for the successful transition to the new trade finance system. Trade finance is now fully processed by commercial banks through their correspondent banking relationships. This has also supported the recent decline in the spread between the official and parallel market exchange rates. Nonetheless, further efforts are needed to further reduce the spread, including by imposing Iraqi dinar usage for car and real estate transactions, improving customs controls to curb smuggling, and simplifying FX access.

    While initial steps to reform state-owned banks are encouraging, broader efforts are needed to strengthen the financial sector. The restructuring plan for state-owned banks should be finalized without delay, encompassing treatment of non-performing loans, and recapitalization needs. In parallel, the mission welcomed progress in digitalization and the authorities’ intention to undertake a comprehensive banking sector overhaul. Reforms should include enhancing corporate governance, digital infrastructure, and cybersecurity, while promoting a stronger role for private banks. Efforts to enhance AML/CFT measures by tackling the deficiencies identified in the MENAFATF Mutual Evaluation report should continue.

    Chronic power shortages, electricity losses and excessive tariff subsidization continue to weigh on the economy. Addressing inefficiencies in the electricity sector is important for fiscal sustainability and improving productivity. In 2024, distribution losses reached 55 percent, driven by theft and illegal connections, leading to significant financial losses. The authorities are deploying smart meters and have introduced other measures to enhance billing and collection. However, progress should be accelerated. Once collection substantially improves, achieving cost recovery will also require electricity tariff increases, with carefully calibrated subsidies targeted to low-income users. Recent disruptions in electricity imports from Iran further underscore the need for diversified supply and the development of gas projects.

    Combating corruption and governance weaknesses is imperative to support economic development. Steps taken in the implementation and upgrade of the national anticorruption strategy and the improvements in corruption perception indices are positive developments. However, corruption remains a significant hurdle for growth. Strengthening accountability frameworks for the operation of state-owned and private enterprises in the oil, electricity and construction sectors is critical, and thorough compliance with Extractives Industries Transparency Initiative standards and the enactment of the law on Transparency and Access to Information should be prioritized. Additionally, aligning anticorruption legal frameworks with international covenants and best practice, and strengthening the independence of the judiciary are essential for effective enforcement and for the protection of economic rights.

    A comprehensive structural reform agenda is essential to unlock growth potential. The mission estimates that a comprehensive set of reforms covering the labor market, business regulation, the financial sector and governance could double non-oil potential GDP growth over the medium term. On labor market, priorities include increasing labor force participation, particularly among women, by improving female education and further reducing barriers to their work and mobility, and reforming public sector hiring, which distort labor markets and reduce productivity. Efforts to better align skills with labor market needs should intensify. More generally, simplifying regulations and reducing bureaucratic impediments in e.g. business registration or tax administration should increase participation in the formal economy and help private sector development.

(OTCBB: SRNN), the holding company for The Southern Bank Company (the “Bank”), announced net income of approximately $230,000, or $0.30 per basic and $0.30 per diluted share, for the quarter ended March 31, 2025, as compared to net income of approximately $340,000, or $0.45 per basic and $0.44 per diluted share, for the quarter ended March 31, 2024. The Company announced that for the nine-month period ended March 31, 2025, the Company recorded net income of approximately $775,000, or $1.02 per basic and $1.01 per diluted share, as compared to net income of approximately $1,177,000, or $1.55 per basic and $1.53 per diluted share, for the nine-month period ended March 31, 2024.   • MIL-OSI Economics: Changes in the Financial Markets and Resolution and Financial Stability Departments

    At its meeting on 15 May 2025, the Bank Board of the Czech National Bank (CNB) approved changes in the bank’s organisational structure with effect from 1 June 2025.

    The Resolution Division will be transferred from the Financial Markets and Resolution Department to the Financial Stability Department. This change is aimed at leveraging synergies in fulfilling one of the CNB’s primary objectives, namely maintaining the long-term stability of the financial system. In connection with this change, the departments concerned will be renamed the Financial Markets Department and the Financial Stability and Resolution Department on 1 June.

    At the same time, the Bank Board decided to appoint Petr Frydrych new Executive Director of the Financial Markets Department with effect from 1 June. Ondřej Strádal will become the Department’s Deputy Executive Director. He will remain in charge of the Reserves Management Division. Daniel Krejčí will head up the Interventions Division.

    Petr Frydrych graduated from the Faculty of Mathematics and Physics at Charles University in Prague. He joined the CNB’s Reserves Management Division in 1995, where he held the post of portfolio manager. He was appointed Director of the Reserves Management Division in 2001 and Director of the Interventions Division in 2005, and now serves as Deputy Executive Director of the Financial Markets and Resolution Department. He has long focused on monetary policy implementation in his work.

    Ondřej Strádal graduated from the Institute of Economic Studies of the Faculty of Social Sciences at Charles University and qualified as a Chartered Financial Analyst in 2003. He began his career at the CNB as a money market broker and then worked as a portfolio manager responsible for international reserves management. After that, he worked at the London branch of Goldman Sachs. Between 2016 and 2019, at the decision of the Bank Board, he held the post of Advisor to the Executive Director at the International Monetary Fund in Washington. In 2008–2016 and since 2019, he has served as Director of the CNB’s Reserves Management Division, where he manages a team of portfolio managers.

    Daniel Krejčí graduated from the Faculty of Finance and Accounting at the Prague University of Economics and Business and from the Institute of Economic Studies of the Faculty of Social Sciences at Charles University. In 1995–2007, he worked at ČSOB in various positions, ultimately as director of interest rate and commodity derivatives trading for clients. He joined the CNB in 2007, where he held the post of Deputy Executive Director of the Risk Management and Transactions Support Department responsible for the Risk Management Division until 2019. Since 2019, he has worked as a chief dealer and Deputy Director of the Reserves Management Division at the CNB.

    A delegation of eight officials from the Development Bank of Nigeria (DBN) recently concluded a five-day study visit to the African Development Bank headquarters (www.AfDB.org) in Abidjan, Cote d’Ivoire. The visit, jointly hosted by the Climate Change and Green Growth Department and the Financial Sector Development Department, focused on sharing tools and best practices for integrating climate and sustainability considerations into the institution’s financial operations

    Through the African Financial Alliance on Climate Change (AFAC) (https://apo-opa.co/4dCVDFL), the African Development Bank offers technical assistance to African financial institutions to help them manage climate-related risks and unlock opportunities in green investments.

    Africa remains highly vulnerable to the impacts of climate change, with climate-induced losses projected to reach up to $50 billion annually by 2030, equivalent to as much as 15% of the continent’s GDP. Despite this vulnerability, Africa holds immense potential for sustainable investment, leveraging its abundant natural capital, including land, minerals, and renewable energy resources. Mobilizing domestic capital towards long-term sustainable investments is key to realizing this potential.

    Public development banks are instrumental in steering capital toward priority sectors by de-risking innovative and sustainable investments.

    HOUSTON–(BUSINESS WIRE)– Phillips 66 (NYSE:PSX) announced today that its subsidiary, Phillips 66 Continental Holding GmbH, has entered into a definitive agreement to divest a 65 percent interest in its Germany and Austria retail marketing business, including JET-branded sites, to a consortium owned by subsidiaries of investment firms Energy Equation Partners and Stonepeak. Phillips 66 will retain a non-operated 35 percent interest in the business through a newly formed joint venture.
    “This transaction advances our strategy to optimize our portfolio and enhances long-term shareholder value,” said Mark Lashier, chairman and CEO of Phillips 66. “The newly formed joint venture allows us to monetize this non-core asset while retaining the ability to benefit from its future growth.”
    The transaction values the Germany and Austria retail marketing business at an enterprise value of approximately €2.5 billion (approximately $2.8 billion), representing an implied Enterprise Value/EBITDA multiple of 9.1x based on expected 2025 EBITDA. Phillips 66 expects to receive pre-tax cash proceeds of approximately €1.5 billion (approximately $1.6 billion), after customary purchase price adjustments. The proceeds will be used to support the company’s strategic priorities, including debt reduction and shareholder returns.

    • Vaccination remains an important public health countermeasure against COVID-19. As per the WHO Director General’s standing recommendations for COVID-19, Member States are recommended to continue to offer COVID-19 vaccination based on the recommendations of the WHO Strategic Advisory Group of Experts on Immunization (SAGE).
    • SARS-CoV-2 continues to undergo sustained evolution since its emergence in humans, with important genetic and antigenic changes in the spike protein.
    • The objective of an update to COVID-19 vaccine antigen composition is to enhance vaccine-induced immune responses to circulating SARS-CoV-2 variants.
    • The WHO Technical Advisory Group on COVID-19 Vaccine Composition (TAG-CO-VAC) advises manufacturers that monovalent JN.1 or KP.2 vaccines remain appropriate vaccine antigens; monovalent LP.8.1 is a suitable alternative vaccine antigen.
    • In accordance with WHO SAGE policy, vaccination should not be delayed in anticipation of access to vaccines with an updated composition.

    The WHO Technical Advisory Group on COVID-19 Vaccine Composition (TAG-CO-VAC) continues to closely monitor the genetic and antigenic evolution of SARS-CoV-2 variants, immune responses to SARS-CoV-2 infection and COVID-19 vaccination, and the performance of COVID-19 vaccines against circulating variants. Based on these evaluations, WHO advises vaccine manufacturers and regulatory authorities on the implications for future updates to COVID-19 vaccine antigen composition. In April 2024, the TAG-CO-VAC recommended the use of a monovalent JN.1 lineage vaccine antigen as one approach to induce enhanced neutralizing antibody responses to JN.1 and its descendent lineages. In December 2024, the TAG-CO-VAC advised retaining the use of a monovalent JN.1 lineage vaccine antigen. Multiple manufacturers (using mRNA, recombinant protein-based, and adenovirus-vectored platforms) have updated COVID-19 vaccine antigen composition to monovalent JN.1 lineage formulations (JN.1 or KP.2). Several of these vaccines have been approved for use by regulatory authorities and introduced into vaccination programmes in some countries during the second half of 2024. Previous statements from the TAG-CO-VAC can be found on the WHO website.

    The TAG-CO-VAC reconvened on 6-7 May 2025 to review the genetic and antigenic evolution of SARS-CoV-2; immune responses to SARS-CoV-2 infection and/or COVID-19 vaccination; the performance of currently approved vaccines against circulating SARS-CoV-2 variants; and the implications for COVID-19 vaccine antigen composition.

    The published and unpublished evidence reviewed by the TAG-CO-VAC included: (1) SARS-CoV-2 genetic evolution with additional support from the WHO Technical Advisory Group on SARS-CoV-2 Virus Evolution (TAG-VE); (2) Antigenic characterization of previous and emerging SARS-CoV-2 variants using virus neutralization tests with animal antisera and further analysis of antigenic relationships using antigenic cartography; (3) Immunogenicity data on the breadth of neutralizing antibody responses elicited by currently approved vaccine antigens against circulating SARS-CoV-2 variants using animal and human sera; (4) Preliminary immunogenicity data on immune responses following infection with circulating SARS-CoV-2 variants; (5) Available vaccine effectiveness (VE) estimates of currently approved vaccines during periods of JN.1 lineage circulation; and (6) Preliminary non-clinical and clinical immunogenicity data on the performance of candidate vaccines with updated antigens shared confidentially by vaccine manufacturers with TAG-CO-VAC. Further details on the data reviewed by the TAG-CO-VAC can be found in the accompanying data annex. Confidential data reviewed by the TAG-CO-VAC are not shown.

    Summary of available evidence

    • There are persistent and increasing gaps in the reporting of cases, hospitalizations and deaths, from WHO Member States, making epidemiological trends difficult to infer. Nonetheless, in 2025, SARS-CoV-2 continues to circulate globally, causing severe disease, post COVID-19 condition, and death. The majority of COVID-19 deaths continue to occur in individuals aged 65 years and older and those with coexisting conditions. Some countries have reported an increase in incidence of COVID-19-related hospitalizations and deaths among children under 1 year of age, as compared to young adults, although this group still accounts for a small proportion of total COVID-19 hospitalizations and deaths.
    • As of May 2025, currently circulating SARS-CoV-2 variants are derived from JN.1. The weekly proportion of Variant Under Monitoring (VUM) LP.8.1 among all SARS-CoV-2 sequences submitted to GISAID continues to increase. The weekly proportion of JN.1 (Variant of Interest, VOI) is slowly increasing, largely due to increases in LF.7 and its descendent variants, while all other VUMs (KP.3, KP.3.1.1, XEC, and LB.1) are declining. 
    • Several JN.1 derived variants have independently evolved changes in the spike protein at epitopes known to be targeted by neutralizing antibodies.
    • Published and unpublished data using antisera from naïve hamsters infected with JN.1, KP.2, KP.3.1.1, XEC or LP.8.1 or mice immunized with mRNA vaccine antigens JN.1, KP.2 or KP.3 showed that JN.1, KP.2, KP.3.1.1, XEC, and LP.8.1 are antigenically closely related to each other (approximately 1 antigenic unit in cartographic analysis, which corresponds to a two-fold-difference in neutralization).
    • In published and unpublished data from humans, vaccination with monovalent JN.1 or KP.2 antigens significantly increased neutralizing antibody titers against all JN.1 descendent lineages tested:
      • Analysis of pre- and post-vaccination sera from JN.1 lineage (i.e. JN.1 or KP.2) immunized individuals demonstrated significant rises in neutralization of JN.1 and its descendent lineages, including KP.3.1.1, XEC, LF.7.2.1, and LP.8.1.
      • Neutralization titers against LP.8.1 were generally modestly lower (2-fold reduction) than those against the homologous JN.1 or KP.2 antigen.
    • Contemporary vaccine effectiveness (VE) estimates are relative (rVE), rather than absolute (comparing vaccinated to unvaccinated individuals), and demonstrate the added or incremental protection of recent vaccination over and above pre-existing infection- and vaccine-derived immunity. Monovalent JN.1 or KP.2 COVID-19 vaccines were introduced into some vaccination programmes in the second half of 2024. There are only a few studies estimating rVE for the monovalent JN.1 or KP.2 mRNA COVID-19 vaccines during periods of JN.1 descendent lineage circulation. Both vaccines demonstrated additional protection—relative to pre-existing immunity—against symptomatic and severe COVID-19 during the first three to four months after vaccination.
    • Data shared confidentially with the TAG-CO-VAC by vaccine manufacturers showed that:
      • Immunization of naïve mice, as well as of mice previously immunized with SARS-CoV-2 variants, with monovalent JN.1 or KP.2 vaccines resulted in high neutralizing antibody titers against JN.1 and its derivatives including KP.2, KP.3.1.1, XEC, LP.8.1, and LF.7.2. However, neutralization titers against LP.8.1 were typically lower than those against the homologous immunizing antigen.
      • Immunization of naïve mice, as well as of mice previously immunized with SARS-CoV-2 variants, with monovalent LP.8.1 vaccine candidates elicited high neutralizing antibody titers against the homologous antigen. Cross-neutralizing antibody titers elicited against other JN.1 lineage variants including JN.1, KP.2, KP.3, KP.3.1.1, XEC, and LF.7.2 were similar or modestly higher than those elicited by JN.1 or KP.2 antigens.
      • In humans, vaccination with monovalent JN.1 or KP.2 antigens resulted in robust neutralizing antibody responses to JN.1 and descendent variants, including KP.3.1.1, XEC, LP.8.1, and LF.7.2.
      • As in non-clinical data, analysis of pre- and post-vaccination sera from JN.1 or KP.2 immunized individuals showed some variation in neutralizing antibody titers against LP.8.1 and LF.7.2 across different studies. In most instances, they were similar or lower than those against the homologous JN.1 or KP.2 antigens.

    Overall, the currently approved monovalent JN.1 or KP.2 vaccines continue to elicit broadly cross-reactive immune responses to circulating JN.1-derived variants. LP.8.1 as a vaccine antigen offers similar or modestly increased cross-reactive antibody responses to circulating JN.1-derived variants, as compared to monovalent JN.1 or KP.2 vaccines. Mathematical modeling indicates that an increase in neutralizing antibody titers may translate into an improvement in vaccine effectiveness and duration of protection.

    The TAG-CO-VAC acknowledges several limitations of available data: 

    • There are persistent and increasing gaps in the reporting of cases, hospitalizations and deaths, from WHO Member States, as well as in genetic/genomic surveillance of SARS-CoV-2 globally, including low numbers of samples sequenced and limited geographic diversity. The TAG-CO-VAC strongly supports the ongoing work of the WHO Coronavirus Network (CoViNet) and the Global Influenza Surveillance and Response System (GISRS) to address this information gap.
    • The timing, specific mutations and antigenic characteristics of emerging and future variants are difficult to predict, and the potential public health impact of these variants remain unknown. There are JN.1-derived variants and long branch saltation variants that are currently detected in low or very low proportions, and which will continue to be monitored and/or characterized. The TAG-CO-VAC strongly supports the ongoing work of the TAG-VE. 
    • Although neutralizing antibody titers have been shown to be important correlates of protection from SARS-CoV-2 infection and of estimates of vaccine effectiveness, there are multiple components of immune protection elicited by infection and/or vaccination. Data on the immune responses following JN.1 descendent lineage infection or monovalent JN.1 or KP.2 vaccination are largely restricted to neutralizing antibodies. Data and interpretation of other aspects of the immune response, including cellular immunity, are limited. 
    • Immunogenicity data against currently circulating SARS-CoV-2 variants are not available for all COVID-19 vaccines. 
    • Estimates of rVE against recently circulating JN.1 variants are limited in terms of the number of studies, geographic diversity, vaccine platforms evaluated, populations assessed, duration of follow-up, and contemporary comparisons of vaccines with different antigen composition.

    Recommendations for COVID-19 vaccine antigen composition

    Monovalent JN.1 (NextStrain: 24A, GenBank: PP298019, GISAID: EPI_ISL_18872762) or KP.2 vaccines remain appropriate for ongoing use; monovalent LP.8.1 (NextStrain: 25A; GenBank: PV074550.1; GISAID: EPI_ISL_19467828) is a suitable alternative vaccine antigen.

    Other approaches that demonstrate broad and robust neutralizing antibody responses or efficacy against currently circulating JN.1 descendent lineage variants could also be considered.

    As per the WHO Director General’s standing recommendations for COVID-19, Member States are recommended to continue to offer COVID-19 vaccination based on the recommendations of the WHO SAGE. Vaccination should not be delayed in anticipation of access to vaccines with an updated composition.

    Further data requested

    Given the limitations of the evidence upon which the recommendations above are derived and the anticipated continued evolution of the virus, the TAG-CO-VAC strongly encourages generation of the following data (in addition to the types of data outlined in March 2025): 

    • Immune responses and clinical endpoints (i.e. VE and/or comparator rates of infection and severe disease) in varied human populations who receive currently approved COVID-19 vaccines against emerging SARS-CoV-2 variants, across different vaccine platforms.
    • Strengthened epidemiological and virological surveillance, as per the Standing Recommendations for COVID-19 in accordance with the International Health Regulations (2005), to determine if emerging variants are antigenically distinct and able to displace circulating variants.
    • Strengthened epidemiological surveillance to characterize disease severity in immunologically naïve and/ or immature individuals (i.e. birth cohorts).
    • Clinical evaluation of relevant new vaccine antigens derived from more recent SARS-CoV-2 variants.

    As previously stated, the TAG-CO-VAC continues to encourage the further development of vaccines that may improve protection against infection and reduce transmission of SARS-CoV-2.

    The TAG-CO-VAC will continue to closely monitor the genetic and antigenic evolution of SARS-CoV-2 variants, immune responses to SARS-CoV-2 infection and COVID-19 vaccination, and the performance of COVID-19 vaccines against circulating variants. The TAG-CO-VAC will also continue to reconvene every six months, or as needed, to evaluate the implications for COVID-19 vaccine antigen composition. At each meeting, recommendations to either maintain current vaccine composition or to consider updates will be issued. Prior to each meeting, the TAG-CO-VAC will publish an update to the statement on the types of data requested to inform COVID-19 vaccine antigen composition deliberations.

    Joint trade statement between New Zealand and United Kingdom

    Summary of a Joint Statement following the meeting of the Minister for Trade and Investment of New Zealand and Secretary of State for Business and Trade.

    This Joint Statement follows the meeting of the Minister for Trade and Investment of New Zealand and Secretary of State for Business and Trade of the United Kingdom on 12 May 2025.

    At their meeting, the Ministers celebrated the successful trading relationship between the UK and New Zealand, which reached a record £3.7bn1 or $7.3bn of trade in goods and services in 2024.

    At the meeting, the Ministers opened the second Joint Committee of the New Zealand-United Kingdom Free Trade Agreement (FTA).

    Significant progress has been made under the FTA, including amongst other things, the commencement of an artists’ resale royalty scheme, the inclusion of further wine making (oenological) practices, the establishment of a legal services regulatory dialogue, the renewal of the engineers’ Admissions Pathways Agreement, a sustainable finance dialogue, a women in STEM event, and a visit to the UK by a delegation of Māori women technology entrepreneurs.

    Ministers commended the significant uptake of the Agreement.

    Since entry into force, £752.3m ($1,588m NZD) of traded goods successfully used preferential tariffs; i.e. around 82.2% of goods traded between the UK and New Zealand made use of preferences where one was available.

    The strong uptake of the Agreement’s benefits is resulting in real savings with the potential to benefit both businesses and consumers.

    Between June 2023 and Dec 2024:

    • £164.2m or $344.5m NZD (80.7%) of goods imports into New Zealand from the UK used preferential tariffs4. Had these occurred at standard Most Favoured Nation (MFN) tariff rates, they could have encountered an additional £9.3m ($19.5m NZD) in duties.

    • £588.1m or $1,243m NZD (82.6%) of goods imports into the UK from New Zealand used preferential tariffs6. Had these occurred at standard MFN tariff rates, they could have encountered an additional £67.4m ($141.8m NZD) in duties.5

    The Ministers noted that free trade is a cornerstone of prosperity in both countries. Recognising that open markets, and reliable legal and regulatory frameworks are essential for trade, the Ministers committed to strengthening the rules-based trading system.

    The Ministers agreed to work together to strengthen the role that free trade, including the Comprehensive and Progressive Agreement for Trans-Pacific Partnership (which the United Kingdom and New Zealand are Parties to), plays in increasing prosperity and reinforcing resilience against economic turbulence.

    This includes growing the agreement ambitiously through further accessions, modernising the agreement through the ongoing General Review, and working with partners to defend the rules-based trading system upon which we rely.

    SHENZHEN, China, May 15, 2025 (GLOBE NEWSWIRE) — Xunlei Limited (“Xunlei” or the “Company”) (Nasdaq: XNET), a leading technology company providing distributed cloud services in China, today announced its unaudited financial results for the first quarter ended March 31, 2025. 

    First Quarter 2025 Financial Highlights:

    • Total revenues were US$88.8 million, representing an increase of 10.5% year-over-year.
    • Subscription revenues were US$35.7 million, representing an increase of 7.7% year-over-year. 
    • Live-streaming and other services revenues were US$28.4 million, representing an increase of 66.0% year-over-year. 
    • Cloud computing revenues were US$24.7 million, representing a decrease of 18.0% year-over-year. 
    • Gross profit was US$44.1 million, representing an increase of 2.9% year-over-year, and gross profit margin was 49.7% in the first quarter, compared with 53.3% in the same period of 2024. 
    • Net loss was US$0.9 million in the first quarter, compared with net income of US$3.6 million in the same period of 2024. 
    • Non-GAAP net income1 was US$0.1 million in the first quarter, compared with non-GAAP net income of US$4.5 million in the same period of 2024. 
    • Diluted loss per ADS was US$0.01 in the first quarter, compared with diluted earnings per ADS of US$0.06 in the same period of 2024. 
    • Non-GAAP diluted earnings per ADS2 were US$0.004 in the first quarter, compared with non-GAAP diluted earnings per ADS of US$0.07 in the same period of 2024.

    First Quarter 2025 Financial Results

    Total Revenues

    Total revenues were US$88.8 million, representing an increase of 10.5% year-over-year. The increase in total revenues was mainly attributable to the increased revenues generated from our subscription business and overseas audio live-streaming business.

    Revenues from subscription were US$35.7 million, representing an increase of 7.7% year-over-year. The increase in subscription revenues was mainly driven by the increase in the number of subscribers. The number of subscribers was 6.04 million as of March 31, 2025, compared with 5.76 million as of March 31, 2024. The average revenue per subscriber for the first quarter was RMB40.9, compared with RMB39.5 in the same period of 2024. The higher average revenue per subscriber was due to the increased proportion of premium subscribers which have higher average revenue per subscriber.

    Revenues from live-streaming and other services were US$28.4 million, representing an increase of 66.0% year-over-year. The increase in live-streaming and other services revenues was mainly due to the increase in revenues from our overseas audio live-streaming businesses.

    Revenues from cloud computing were US$24.7 million, representing a decrease of 18.0% year-over-year. The decrease in cloud computing revenues was mainly due to the reduced sales of our cloud computing services and hardware devices as a result of heightened competition, pricing pressure and evolving regulatory environment.

    Costs of Revenues

    Costs of revenues were US$44.4 million, representing 50.0% of our total revenues, compared with US$37.1 million, or 46.2% of the total revenues, in the same period of 2024. The increase in costs of revenues was mainly attributable to the increase in revenue-sharing expenses in our overseas audio live-streaming operations, generally in line with the growth in live-streaming and other service revenues.

    Bandwidth costs, as included in costs of revenues, were US$26.6 million, representing 30.0% of our total revenues, compared with US$27.1 million, or 33.8% of the total revenues, in the same period of 2024. The decrease in bandwidth costs was primarily due to the reduced sales of our cloud computing services during the quarter, partially offset by the increased usage of Xunlei Cloud as a result of the increased subscribers.

    The remaining costs of revenues mainly consisted of costs related to the revenue-sharing costs for our live streaming business and payment handling charges.

    Gross Profit and Gross Profit Margin

    Gross profit for the first quarter of 2025 was US$44.1 million, representing an increase of 2.9% year-over-year. Gross profit margin was 49.7% in the first quarter of 2025, compared with 53.3% in the same period of 2024. The increase in gross profit was mainly driven by the increase in gross profit generated from our overseas audio live-streaming business and subscription business. The decrease in gross profit margin was mainly attributable to the decreased gross profit margin of cloud computing business.

    Research and Development Expenses

    Research and development expenses for the first quarter of 2025 were US$18.7 million, representing 21.1% of our total revenues, compared with US$17.6 million, or 22.0% of our total revenues, in the same period of 2024. The increase was primarily due to the increased labor costs incurred during the quarter.

    Sales and Marketing Expenses

    Sales and marketing expenses for the first quarter of 2025 were US$15.5 million, representing 17.5% of our total revenues, compared with US$10.1 million, or 12.5% of our total revenues, in the same period of 2024. The increase was primarily due to more marketing expenses incurred during the quarter for our subscription and overseas audio live-streaming businesses as part of our ongoing efforts on user acquisition.

    General and Administrative Expenses

    General and administrative expenses for the first quarter of 2025 were US$11.8 million, representing 13.3% of our total revenues, compared with US$11.1 million, or 13.9% of our total revenues, in the same period of 2024.

    Operating (Loss)/Income

    Operating loss was US$1.9 million, compared with an operating income of US$4.0 million in the same period of 2024. The decrease in operating income was primarily attributable to the decrease in gross profit margin and the increase in sales and marketing expenses during the quarter, compared with the same period of 2024.

    Other Income, Net

    Other income, net was US$1.2 million, compared with other income, net of US$0.3 million in the same period of 2024. The increase was primarily due to impairment on one of our long-term investments that occurred during the first quarter of 2024.

    Net (Loss)/Income and (Loss)/Earnings Per ADS

    Net loss was US$0.9 million compared with net income of US$3.6 million in the same period of 2024. The net loss was primarily due to the increase in operating loss, partially offset by the increased other income as discussed above. Non-GAAP net income was US$0.1 million in the first quarter of 2025, compared with US$4.5 million in the same period of 2024.

    Diluted loss per ADS in the first quarter of 2025 was US$0.01, compared with diluted earnings per ADS of US$0.06 in the first quarter of 2024. Non-GAAP diluted earnings per ADS was US$0.004 in the first quarter, compared with non-GAAP diluted earnings per ADS of US$0.07 in the same period of 2024.

    Cash Balance

    As of March 31, 2025, the Company had cash, cash equivalents and short-term investments of US$274.6 million, compared with US$287.5 million as of December 31, 2024. The decrease in cash, cash equivalents and short-term investments was mainly due to the first tranche of payment for the acquisition of Hupu, spending on share repurchase and repayment of bank loans during the quarter, partially offset by the net cash inflow from operating activities.

    Share Repurchase Program

    On June 4, 2024, Xunlei announced that its Board of Directors had authorized a new plan for the repurchase of up to US$20 million of its ADSs or shares over the 12 months that followed. As of March 31, 2025, the Company had spent US$6.5 million on share buybacks under the new share repurchase program, among which US$0.9 million was spent in the first quarter of 2025.

    Guidance for the Second Quarter of 2025

    For the second quarter of 2025, Xunlei estimates total revenues to be between US$91 million and US$96 million, and the midpoint of the range represents a quarter-over-quarter increase of approximately 5.3%. (“Calfrac” or “the Company”) (TSX: CFW) announces its financial and operating results for the three months ended March 31, 2025.     CFO’S MESSAGE

    Calfrac achieved revenue of $370.1 million during the first quarter in 2025, a 3 percent decline from the fourth quarter in 2024, primarily due to a normal seasonal slowdown in activity in the Rockies region of North America. As experienced over the last couple of years, activity in the Rockies region continues to be very challenging during the first quarter due to limited customer activity, resulting from the higher costs of operating in extreme cold weather. However, the Company’s Argentina operations delivered a sequential increase in revenue of 56 percent as it operated two unconventional fracturing spreads in the Vaca Muerta shale play for a portion of the first quarter.

    FIRST QUARTER OVERVIEW

    In the first quarter of 2025, the Company:

    • generated revenue of $370.1 million, an increase of 12 percent from the first quarter in 2024 resulting primarily from higher pricing and activity in Argentina, offset partially by lower pricing in North America;
    • reported Adjusted EBITDA of $55.3 million versus $26.1 million in the first quarter of 2024 due to record quarterly financial results in Argentina with the commencement of a second large fracturing fleet in the Vaca Muerta shale play during a portion of the first quarter;
    • had cash flow from operating activities of negative $7.1 million, which included $12.7 million of interest paid and cash used for working capital purposes of $35.0 million, as compared to $12.0 million in the first quarter of 2024, which was net of $9.7 million of interest paid and cash used for working capital purposes of $1.6 million;
    • reported net income from continuing operations of $7.8 million or $0.09 per share diluted compared to a net loss of $2.9 million or $0.03 per share diluted during the first quarter in 2024;
    • had a cash position of $15.5 million of which approximately 70 percent was held in Argentina. The Argentina cash balance includes an investment of US$6.1 million in Argentinean government bonds (BOPREAL Bonds) that will be repatriated to Canada before the end of the third quarter in 2025;
    • reported an increase in period-end working capital to $266.1 million from $229.9 million at December 31, 2024, primarily due to an increase in revenue in the first quarter of 2025 with a greater proportion generated from Argentina, which has longer lead times to collection than North America; and
    • incurred capital expenditures of $42.1 million, which included approximately $22.3 million of expansion capital in Argentina and $9.3 million related to the Company’s fracturing fleet modernization program in North America, including auxiliary support equipment.

    OUTLOOK

    The uncertainty caused by geopolitical tensions, OPEC+ supply increases, and changes to the United States trade and tariff regimes, have affected the economic outlook for the global economy and triggered a recent decline in near-term crude oil prices. While activity in North America has not been significantly impacted as yet, oil-weighted completion activity is expected to be lower year-over-year, but more resilient than past cycles as a focus on capital discipline by the E&P sector has resulted in activity that only supports the maintenance of current production levels. However, completions activity within the Company’s natural gas producing regions in North America is anticipated to be slightly higher than the previous year given the relative strength in natural gas prices.

    The Company has been evaluating the implication of tariffs across its North American operations over the last few months and has commenced with mitigation efforts, wherever possible, including seeking applicable tariff exemptions for critical items that are sourced from the United States.

    Calfrac’s previously announced Tier IV modernization program is nearing completion. These strategic investments in next-generation Dynamic Gas Blending (“DGB”) pumping technology have resulted in the Company exiting the quarter with the equivalent of five Tier IV DGB fleets operating in the field. Calfrac’s dual-fuel capable fracturing fleets in North America are expected to remain in high demand during the second quarter, despite the current headwinds, and fleet utilization is expected to increase sequentially from the first quarter as certain clients in the Rockies region commence with their 2025 programs.

    THREE MONTHS ENDED MARCH 31, 2025 COMPARED TO THREE MONTHS ENDED MARCH 31, 2024

    REVENUE

    Revenue from Calfrac’s North American operations decreased to $227.9 million during the first quarter of 2025 from $249.0 million in the comparable quarter of 2024. The Company’s North American activity was impacted by extreme cold weather and was significantly lower than the comparable quarter in 2024 despite the 21 percent increase in the number of jobs completed. The Company’s client mix was different than the comparable period in 2024 with the completion of a larger quantity of smaller jobs, which also impacted the fracturing revenue per job. The Company reduced its operating footprint to 11 active fracturing fleets to begin the first quarter to address the seasonal challenges experienced in the Rockies region. The Company recommenced operations in the Appalachian basin in January with an additional fracturing crew, which helped offset the lower revenue experienced in the Rockies. Pricing in North America was lower relative to the comparable quarter in 2024, which contributed to the 8 percent reduction in revenue. Coiled tubing revenue was consistent with the first quarter in 2024 as slightly lower activity was offset by the completion of larger jobs.

    ADJUSTED EBITDA

    The Company’s operations in North America generated Adjusted EBITDA of $6.1 million or 3 percent of revenue during the first quarter of 2025 compared to $14.9 million or 6 percent of revenue in the same period in 2024. This decrease was primarily due to the decline in fracturing fleet utilization and lower pricing.

    OUTLOOK

    Argentina continued to demonstrate year-over-year operational and financial improvement by achieving record quarterly financial performance during the first quarter of 2025. Calfrac expects its full-year financial results in Argentina will be very strong, building on the significant momentum generated during the first quarter. The Company benefited from spot work for its second large fracturing fleet in the Vaca Muerta shale play during the first quarter at operating margins that are not expected to be maintained during the remainder of the year. The Company’s 2025 capital program also contemplates the addition of in-house wireline capabilities in Argentina during the fourth quarter which will further bolster its service offering in Neuquén. Recent Argentina government announcements related to the cash repatriation regime in that country reaffirm the Company’s expectations of a greater ability to repatriate excess cash flow following the completion of its significant 2025 capital program.

    THREE MONTHS ENDED MARCH 31, 2025 COMPARED TO THREE MONTHS ENDED MARCH 31, 2024

    REVENUE

    Calfrac’s Argentinean operations generated revenue of $142.2 million during the first quarter of 2025 versus $81.1 million in the comparable quarter in 2024. The 75 percent increase in revenue was driven by improved pricing for spot work and an increase in the number of fracturing jobs completed during the quarter. The Company operated two unconventional fracturing fleets in the Vaca Muerta shale play for a portion of the first quarter. The Company also demonstrated growth in activity across its other service lines as the Company permanently transferred equipment from Las Heras to Neuquén following the completion of a long-term contract. The Company’s offshore coiled tubing unit also contributed to the increase in revenue versus the comparable quarter in 2024.

    ADJUSTED EBITDA

    The Company’s operations in Argentina generated Adjusted EBITDA of $53.3 million during the first quarter of 2025 compared to $16.1 million in the same quarter of 2024, while the Company’s Adjusted EBITDA margins increased to 37 percent from 20 percent. This increase was primarily due to the significant revenue growth and efficiencies resulting from operating two unconventional fracturing fleets simultaneously during parts of the quarter and higher pricing for spot work. In addition, the Company received an early termination fee related to the closure of its operations in Las Heras following the completion of a long-term contract with a major client in that region. This revenue offset costs that were incurred in 2024 to permanently close this district.

    Capital expenditures were $42.1 million for the three months ended March 31, 2025, which included approximately $22.3 million of expansion capital in Argentina and $9.3 million related to the Company’s fracturing fleet modernization program in North America, including auxiliary support equipment versus $48.1 million in the comparable period in 2024.

    Calfrac’s Board of Directors approved a 2025 capital budget totalling approximately $135.0 million. The program includes approximately $50.0 million to facilitate the expansion of the Company’s fracturing operations in the Vaca Muerta shale play in Argentina that will be funded locally from cash flow. The 2025 Argentina capital program includes additional fracturing pumping units, an expansion of the Company’s deep coiled tubing capabilities and the introduction of in-house wireline services. The balance of the 2025 program will fund maintenance capital for all operating divisions as well as additional investments in the North American Tier IV fleet modernization program and coiled tubing fleet. Due to a delay in spending related to the Company’s 2024 capital program, approximately $30.0 million of 2024 capital commitments will be funded in 2025, mainly related to the expansion in Argentina, of which approximately $20.0 million occurred during the first quarter.

    NON-GAAP MEASURES
