Seeded eighth, Zheng received a first-round bye. Her opponent, world No. 33 Danilovic, had lost to Zheng in straight sets at the 2023 United Cup. Friday’s match marked their first clay-court meeting.

Zheng dominated the opening set, racing to a 5-0 lead. Despite facing four break points in the seventh game, she held serve and sealed the set 6-1 with an ace.

The second set saw both players exchange breaks early, with Zheng edging ahead 3-2. She later won four consecutive points to claim the eighth game and closed out the set 6-4, securing her first clay-court win of the season.

“Before going on court, I told myself I needed to be more consistent,” Zheng said. “In my last match in Madrid, I had too many unforced errors, so today my goal was to stay steady first, then look for chances to attack. I feel like I stuck to my game plan well.”

Looking ahead to the Rome tournament and the French Open, Zheng emphasized mental composure: “When my emotions get too restless, it affects my performance on court. Now, my goal is to quiet my mind and take it one match at a time.”

  • MIL-OSI United Nations: Committee on the Elimination of Racial Discrimination Closes One Hundred and Fifteenth Session, Issues Concluding Observations on Reports of Gabon, Kyrgyzstan, Mauritius, Republic of Korea and Ukraine

    Source: United Nations – Geneva

The Committee on the Elimination of Racial Discrimination this afternoon closed its one hundred and fifteenth session, during which it reviewed the reports of Gabon, Kyrgyzstan, Mauritius, Republic of Korea and Ukraine.

Chinsung Chung, Committee Rapporteur, said that the Committee’s concluding observations for the five country reviews conducted during the session were available on the session’s webpage.  The Committee thanked the State party delegations that participated in dialogues; the national human rights institutions of Ukraine and the Republic of Korea for submitting written reports and providing updates during the session; and the various civil society representatives who contributed essential information to the reviews.

Ms. Chung said that this year was the sixtieth anniversary of the International Convention on the Elimination of All Forms of Racial Discrimination.  During the yearlong campaign, the Committee would highlight the achievements made in the last 60 years and identify effective and concrete ways to overcome structural and emerging challenges in making the Convention’s goal – a world free of racial discrimination – a reality.  Information on the anniversary was available on the webpage for the campaign.

At the opening meeting of the session, Ms. Chung reported, Antti Korkeakivi, Representative of the Secretary-General and Chief of the Human Rights Treaties Branch of the Office of the United Nations High Commissioner for Human Rights, gave a speech highlighting the Committee’s important work and its contributions to promoting and protecting the human rights of all people without discrimination.  He underlined that the sixtieth anniversary of the Convention was an opportunity to explore avenues to generate greater political will and concrete action to fight against racial discrimination.

Mr. Korkeakivi recognised the negative impact of the United Nations’ liquidity crisis on the planning and implementation of the work of all Committees, as the holding of the next sessions for this year was still uncertain.  He confirmed that the Office of the High Commissioner was doing its utmost to ensure that the treaty bodies could implement their mandates.  Nevertheless, all indications pointed to a continuation of the difficult liquidity situation for the foreseeable future.

During the one hundred and fifteenth session, Ms. Chung said, the Committee reviewed follow-up reports for Croatia, Germany, Morocco, Uruguay and Tajikistan.  The Committee thanked these States parties for their reports and invited them to duly consider its recommendations and include the steps taken to implement them in their next periodic reports.

The Committee pursued its work toward the elaboration of its joint general recommendations 38 and 39 with the Committee on the Protection of the Rights of All Migrant Workers and Members of their Families on eradicating xenophobia towards migrants and others perceived as such.

Ms. Chung said the Committee also discussed the development of a general recommendation on reparations for the injustices of the transatlantic trade in enslaved Africans, their treatment as chattel, and the ongoing harms to people of African descent, holding a half-day of general discussion on 25 April 2025 as part of this process.  Two expert panels examined legal frameworks for reparations and the lasting effects of slavery, including systemic racism and institutional responsibility. Drawing on these discussions and over 60 written submissions, the Committee would now begin drafting the general recommendation, which would be shared for public input before adoption. Further information was available on the Committee’s webpage.

Further, Ms. Chung reported, the Committee considered 16 submissions under its early warning and urgent action procedure and endorsed 13 letters to States parties assessed in this procedure.  It also considered four cases under the individual complaints procedure. It declared admissible one case against Germany and discontinued three other cases.

Ms. Chung also provided an update on the follow-up procedure to the Ad-Hoc Conciliation Commission report published in August 2024 on the inter-State communication submitted by the State of Palestine against Israel under article 11 of the Convention.  Today, 9 May, the Committee issued a statement on the catastrophic humanitarian crisis in the occupied Palestinian territory, acting under its follow-up and early warning and urgent action procedure.

On 24 April, Ms. Chung said, the Committee held a meeting with States parties.  The Committee thanked all States parties’ representatives who contributed to this event and appreciated that it was well attended.  Earlier today, the Committee also held a meeting with civil society organizations.  In addition, during the session, the Committee heard a report on follow-up to article 13 of the Convention and adopted an updated version of its Rules of Procedure, which would be made available shortly.

In closing remarks, Michal Balcerzak, Committee Chairperson, said this had been a very productive session.  He thanked the Committee Experts, who had all contributed significantly to the Committee’s work throughout the session, and to working towards the Committee’s mandate of the elimination of all forms of racial discrimination wherever it occurred.  He also thanked all other persons who had contributed to the smooth execution of the Committee’s work.

Summaries of the public meetings of the Committee can be found here, while webcasts of the public meetings can be found here.  Other documents related to the session can be found here.

Due to the current financial situation, the dates of the second sessions of some treaty bodies are not yet confirmed. The next session of the Committee is scheduled take place between 11 and 29 August 2025, with the reports of Burundi, Guatemala, Maldives, New Zealand, Sweden and Tunisia scheduled for review. All information, including the proposed programme of work, will be available on the session webpage.

    Source: African Development Bank Group

Senegal has officially launched the second phase of the Project for Support and Promotion of Women’s and Youth’s Entrepreneurial Initiatives (PAVIE II) at the Grand Théâtre National in Dakar.

The initiative, with a budget of €163.449 million, aims to create 92,633 jobs, empower women and youth, and advance Senegal’s food sovereignty under the “Sénégal 2050” national development strategy. The launch took place on Wednesday 8 May in the Senegalese capital.

The Prime Minister of the Republic of Senegal, Ousmane Sanko emphasized the project’s strategic importance: “This initiative is more than a program; it is a vision for a bold Senegal, driven by the creativity of its entrepreneurs and the energy of its youth and women. PAVIE II will be a cornerstone of our National Transformation Agenda, fostering sovereignty in food, industry, and technology.”

He outlined two main objectives – positioning Senegal as a hub for entrepreneurial development in West Africa and creating quality jobs by empowering wom,en and youth across the country. The Prime Minister highlighted that 58% of the targeted 51,212 entrepreneurial initiatives will be led by women and 56% by youth.

Dr. Akinwumi Adesina, President of the African Development Bank Group who led the African Development Bank Group delegation to the event, highlighted the transformative potential of PAVIE II.

Dr. Akinwumi Adesina, Prime Minister Ousmane Sonko, and delegates visiting beneficiary exhibition stands at the PAVIE II launch in Dakar.

“This is a great day for Senegal, to celebrate the success of your vision to transform the country through entrepreneurial empowerment. PAVIE II is a testament to Senegal’s commitment to harnessing the potential of its women and youth,” he said. “By strengthening agriculture, livestock, and fisheries, and fostering innovation, this project will drive economic sovereignty and create opportunities for generations,” Adesina said.

“The future is very bright for innovative young entrepreneurs in Africa. This project demonstrates Senegal’s leadership in creating the enabling environment for sustainable job creation and economic resilience,” he added.

Aïda Mbodj, General Delegate of the Delegation for Rapid Entrepreneurship of Women and Youth (DER/FJ), expressed pride in reaching this milestone. “The vision of President Bassirou Diomaye Diakhar Faye, with his commitment to the empowerment of youth and women and to the development of our territories, forms the foundation of our actions.”

PAVIE II builds on the success of its first phase, which supported 24,000 entrepreneurial initiatives, created over 93,000 jobs, and mobilized €100.6 million in funding, including €33.5 million from private banks. The new initiative introduces key improvements, including complete digitalization of all business processes, enhanced territorial support through localized mechanisms, and focused economic empowerment in underserved areas.

The impact of the support provided by the Delegation for Rapid Entrepreneurship was exemplified by Tahibou Ba, a rice farmer and PAVIE beneficiary, who shared, “Thanks to the financing from DER, I started with one hectare; today, I am at 300 hectares.” His story underscores the program’s role in transforming small-scale initiatives into thriving enterprises that contribute to national food security.

The project’s €163.449 million budget allocates €91.463 million to job creation and agricultural production and €45.732 million to support innovative small and medium-sized enterprises and digital solutions. Funding partners include the African Development Bank, contributing €74.564 million (€73.723 million loan and €0.841 million grant from the Affirmative Finance Action for Women in Africa initiative), €25 million from the French Development Agency, €25.773 million from private banks, and €38.112 million from the Government of Senegal.

The African Development Bank is a key development partner in entrepreneurship initiatives in Senegal, with significant financial contributions to both phases of the project. The Bank’s investment aligns with its Ten-Year Strategy (2024-2033), which focuses on investing in young people, as well as with Senegal’s National Development Strategy (2025-2029).

The one-day program featured keynote addresses, panel discussions on food sovereignty and digital innovation, testimonials from beneficiaries of the first phase, and an exhibition showcasing agricultural and technological solutions. The project’s strategic partnerships with private banks underscore its commitment to public-private collaboration.

Combined with its first phase, the PAVIE program is expected to generate a total of 185,633 direct and indirect jobs across Senegal, with 40% allocated to women and 70% to young people.

    Source: – Press Release/Statement:

Headline: STATEMENT—Solar to accelerate Quebec’s energy transition

CanREA welcomes Hydro-Québec’s plan to develop 3,000 MW of solar power by 2035.

Montreal, May 6, 2025– the Canadian Renewable Energy Association (CanREA) applauds Hydro-Québec’s commitment to purchase 3000 MW of solar power by 2035, starting with the launch of a 300 MW RFP, as announced today by Hydro-Québec’s CEO, Michael Sabia. This is an important first for Quebec.

“This announcement is a huge step forward for the solar industry in Quebec. We are very pleased to see Hydro-Québec pursuing the deployment of solar energy,” said Jean Habel, CanREA’s Senior Director for Quebec and Atlantic Canada.

The deployment of solar will be an asset for Quebec’s energy transition, given that high greenhouse-gas-emitting sources still account for half of Quebec’s energy portfolio.

Quebec diversifies its energy mix with solar power

Hydro-Québec’s solar energy plan, “Le solaire : une autre étape vers la diversification énergétique – Une approche évolutive pour une ambition de 3 000 MW d’énergie solaire au Québec” (in French only) represents a breakthrough for the solar sector in Quebec, which currently produces 17 MW of solar energy, just 0.31% of the 5,400 MW already installed across Canada.

“Every kilowatt of renewable energy contributes to achieving our climate goals. Hydro-Quebec’s solar plan proposes to take several actions simultaneously. Diversifying Quebec’s energy mix will help accelerate its energy transition,” said Habel.

    A three-stage solar deployment

Quebec’s new solar plan will proceed in three phases: a new call for tenders for grid-connected solar farms, the potential development of larger projects, and new support for residential and commercial BTM solar.

“CanREA appreciates the predictability of Quebec’s solar plan, with a pathway that looks ahead to 2035. We expect to see new solar farms of various sizes, built in collaboration with developers, local communities and Indigenous communities, as well as the installation of solar panels on homes and businesses, for those who wish to produce their own power,” added Habel.

CanREA has long advocated for clear procurement targets that provide more long-term certainty for the renewable industry in Quebec, and for measures that encourage the deployment of decentralized energy resources, such as net metering.

Fewer than 1,000 households currently use net metering in Quebec. In order to achieve Hydro-Québec’s goal of the equivalent of 125,000 customers by 2035, CanREA recommends that the threshold be raised to 1 MW, as it is in Nova Scotia.

CanREA also recommends that a subsidy be implemented by 2026 for the installation of solar panels on homes and businesses. This will significantly boost interest in BTM solar, as noted in the Dunsky Energy + Climate Advisors report, “BTM Solar: Canadian Market Outlook,”  which highlights the importance of onsite solar to Canada’s energy future, and the importance of financial incentives to encourage customer buy-in.

What’s more, businesses can now get a 30% federal tax credit on the capital cost of their investment in renewable technologies, such as solar energy, until 2034.

To learn more about the energy transition in Quebec, look no further than the second edition of the CanREA Quebec Net-Zero Summit, on May 15, 2025, in Montreal. More information is available here.

    Press release

European leaders set to travel to Kyiv as the US, France, Germany, Poland and the UK call for 30-day ceasefire

The leaders of France, Germany, Poland and the UK will be in Kyiv tomorrow as calls intensify for Russia to agree a ceasefire and come to the negotiating table.

The leaders of France, Germany, Poland and the UK will be in Kyiv tomorrow as calls intensify for Russia to agree a ceasefire and come to the negotiating table.

President Emmanuel Macron, Chancellor Friedrich Merz, Prime Minister Donald Tusk and Prime Minister Keir Starmer are expected to meet President Zelenskyy in Kyiv on Saturday morning, underlining their steadfast commitment to Ukraine.

The historic visit, which is the first time the leaders of the four countries have travelled together to Ukraine – and Chancellor Merz’ first visit to Ukraine as Germany’s new Chancellor – comes as they and President Trump call for Russia to agree to a 30-day ceasefire to allow for unfettered peace talks.

In a joint statement, the leaders said:

“We, the leaders of France, Germany, Poland the United Kingdom will stand in Kyiv in solidarity with Ukraine against Russia’s barbaric and illegal full-scale invasion.

“We reiterate our backing for President Trump’s calls for a peace deal and call on Russia to stop obstructing efforts to secure an enduring peace.

“Alongside the US, we call on Russia to agree a full and unconditional 30-day ceasefire to create the space for talks on a just and lasting peace.

“We are ready to support peace talks as soon as possible, to discuss technical implementation of the ceasefire, and prepare for a full peace deal.

“We are clear the bloodshed must end, Russia must stop its illegal invasion, and Ukraine must be able to prosper as a safe, secure and sovereign nation within its internationally recognised borders for generations to come.

“We will continue to increase our support for Ukraine. Until Russia agrees to an enduring ceasefire, we will ratchet up pressure on Russia’s war machine.”

During the visit, the leaders are expected pay their respects to the fallen defenders and casualties of Russia’s war on the Maidan, where flags are placed by Ukrainians to remember those killed.

Later in the day, the leaders are expected to host a virtual meeting, alongside President Zelenskyy, to update leaders on the progress being made for a future coalition of an air, land, maritime and regeneration force that would help regenerate Ukraine’s armed forces after any peace deal and strengthen confidence in any future peace.

  • MIL-OSI USA: Ivorian Men Arrested for International “Sextortion” and Money Laundering Scheme Resulting in Minor’s Death

    Source: US State of California

Four men in Côte d’Ivoire have been arrested on criminal charges relating to their role in an international “sextortion” scheme that targeted thousands of victims, including minors, throughout the United States, Canada, United Kingdom, France, Spain, and Italy.

In February 2022, Ryan Last, a 17-year-old high school senior from San Jose, California committed suicide hours after being sextorted online by an individual pretending to be a 20-year-old woman. Through a lengthy, coordinated investigation involving U.S. and Ivorian law enforcement, the evidence ultimately led law enforcement to identify Alfred Kassi, an Ivorian citizen living in Côte d’Ivoire, as the individual allegedly conducting the sextortion. On April 29, Kassi was arrested by Ivorian law enforcement. At the time of his arrest, Kassi allegedly still had the sextortion messages he sent to the 17-year-old victim in February 2022 on his phone.

Additionally, the investigation identified several alleged money laundering accomplices who helped Kassi move the money he received from the 17-year-old victim, who had paid $150 in order to prevent his intimate images from being disseminated. One of those alleged money launderers is Oumarou Ouedraogo, who was arrested by Ivorian law enforcement on April 25. In addition, Ivorian law enforcement arrested two other individuals, Moussa Diaby and Oumar Cisse. Both Diaby and Cisse were part of Kassi’s alleged sextortion network and admitted to their own sextortion crimes. A U.S.-based accomplice, Jonathan Kassi (unrelated to Alfred Kassi), was convicted in 2023 in a California State Court and sentenced to 18 months in jail.

The government of Côte d’Ivoire does not extradite its own citizens, so these defendants will be prosecuted in their own country under Ivorian cybercrime statutes.

Matthew R. Galeotti, Head of the Justice Department’s Criminal Division, Acting U.S. Attorney Patrick D. Robbins for the Northern District of California, and Acting Assistant Director Darren Cox of the FBI’s Criminal Investigative Division made the announcement.

The FBI is investigating the case, with substantial assistance from the San Jose Police Department, the U.S. Embassy in Abidjan, and Meta, which provided critical information that assisted with the identification of the offenders. The government of Côte d’Ivoire, specifically the Anti-Terrorist Operational Intelligence Center (CROAT), conducted the investigation and arrests in Côte d’Ivoire.

Trial Attorney Austin M. Berry of the Criminal Division’s Child Exploitation and Obscenity Section and Assistant U.S. Attorney Marissa Harris for the Northern District of California provided legal support throughout the investigation, including compiling and presenting the evidence to Ivorian authorities.

If you, your child, or someone you know is being exploited via sextortion, contact your local FBI field office, call 1-800-CALL-FBI (1-800-225-5324), or report it online at the Internet Crime Complaint Center (IC3). Additional resources can found at Financially Motivated Sextortion — FBI

All defendants are presumed innocent until proven guilty beyond a reasonable doubt in a court of law.

  • MIL-OSI Security: Law Enforcement Seizes Nine DDoS-for-Hire Webpages as Part of Global Crackdown on ‘Booter’ and ‘Stresser’ DDoS Services

Source: Federal Bureau of Investigation (FBI) State Crime Alerts (b)

LOS ANGELES – The Justice Department today announced the court-authorized seizure of nine internet domains associated with some of the world’s leading DDoS-for-hire services. Poland’s Central Cybercrime Bureau simultaneously announced the arrests of four administrators of such services, investigations which were assisted by U.S. authorities. Several of the arrested administrators operated websites seized pursuant to previous operations by the Central District of California.

Federal law enforcement continues to seize websites that allow paying users to launch powerful distributed denial-of-service (DDoS) attacks. These attacks flood targeted computers and servers with information to prevent them from being able to access the internet.

Booter services such as those named in this action allegedly attacked a wide array of victims in the United States and abroad, including schools, government agencies, gaming platforms, and millions of people. In addition to affecting targeted victims, these attacks can significantly degrade internet services and completely disrupt internet connections.

The websites targeted in this operation were used for hundreds of thousands of actual or attempted DDoS attacks targeting victims worldwide. While some of these services claimed to offer “stresser” services that purportedly could be used for network testing, the Defense Criminal Investigative Service (DCIS) determined these claims to be a pretense, and “thousands of communications between booter site administrators and their customers…make clear that both parties are aware that the customer is not attempting to attack their own computers,” according to an affidavit filed in support of court-authorized warrants to seize the booter sites.

Today’s announcement builds on the success of the prior cases by targeting all known booter sites, shutting down as many as possible, and undertaking a public education campaign. In the last four years more than 11 defendants have been charged in Los Angeles and Anchorage for facilitating DDoS-for-hire services. More than 75 domains associated with such services have been seized.

“Booter services facilitate cyberattacks that harm victims and compromise everyone’s ability to access the internet,” said United States Attorney Bill Essayli for the Central District of California. “This week’s sweeping law enforcement activity is a major step in our ongoing efforts to eradicate criminal conduct that threatens the internet’s infrastructure and our ability to function in a digital world.”

“DDoS for hire criminal booter services impact internet services for victims in every corner of the United States, including Alaska,” said U.S. Attorney Michael J. Heyman for the District of Alaska. “This threat highlights the continued need to pursue cybercrime services like booter providers. We remain committed to bolstering our collaborative partnerships in the U.S. and abroad to address threats to critical internet infrastructure and services.”

“The enforcement actions launched today, made possible by enduring partnerships between law enforcement and private industry, represents continued pressure on DDoS-for-hire services and the cybercriminals and hacktivists who use them.” said Special Agent in Charge Kenneth DeChellis of the Defense Criminal Investigative Service (DCIS), Cyber Field Office. “This success demonstrates the resolve of the DCIS to relentlessly pursue those who target our warfighters and their information systems.”

In conjunction with the website seizures, Homeland Security Investigations, DCIS, and the Netherlands Police have launched an advertising campaign using targeted placement ads in search engines, which are triggered by keywords associated with DDoS activities. The purpose of the ads is to deter potential cybercriminals searching for DDoS services in the United States and around the globe, and to educate the public on the illegality of DDoS activities.

In recent years, booter services have continued to proliferate as they offer a low barrier to entry for users looking to engage in cybercriminal activity. These types of DDoS attacks are so named because they result in the “booting” or dropping of the targeted computer from the internet.

For additional information on booter and stresser services and the harm that they cause, please visit: https://www.fbi.gov/contact-us/field-offices/anchorage/fbi-intensify-efforts-to-combat-illegal-ddos-attacks.

The seizures announced today were performed by DCIS’s Cyber-West Resident Agency.

These law enforcement actions were taken in conjunction with Operation PowerOFF, an ongoing, coordinated effort among international law enforcement agencies aimed at dismantling criminal DDoS-for-hire infrastructures worldwide, and holding accountable the administrators and users of these illegal services. Principal partners in Operation PowerOFF include EUROPOL; the United States Attorney’s Office for the District of Alaska; The Department of Justice Computer Crime and Intellectual Property Section (CCIPS); FBI’s Anchorage and Los Angeles field offices; HSI’s Columbus field office; Germany’s Bundeskriminalamt (BKA); United Kingdom’s National Crime Agency (NCA); Netherlands Police; Polish Central Cybercrime Bureau; Brazilian Federal Police, Japan’s National Police Agency, France’s Police Nationale, and many others.

Assistance was provided by Akamai, Amazon Web Services, Cloudflare, Digital Ocean, Flashpoint, Google, PayPal, The University of Cambridge, and Unit 221B.

Assistant United States Attorneys James E. Dochterman of the Asset Forfeiture and Recovery Section and Aaron Frumkin of the Cyber and Intellectual Property Crimes Section are handling this investigation.

  • MIL-OSI Security: Ivorian Men Arrested for International “Sextortion” and Money Laundering Scheme Resulting in Minor’s Death

Source: United States Department of Justice

  • MIL-OSI: Cegedim: plan to transfer its shares to Euronext Growth Paris.

    Source: GlobeNewswire (MIL-OSI)

    PRESS RELEASE

    Stock market information

    Boulogne-Billancourt, 9 May 2025 –

Cegedim, an innovative technology and services group, announces its plan to transfer its shares to Euronext Growth® Paris.

At its next Ordinary Shareholders’ Meeting on 13 June 2025, shareholders will be asked to approve the proposed delisting of CEGEDIM S.A. shares from the Euronext Paris regulated market and their concomitant admission to trading on Euronext Growth, within 12 months of the Shareholders’ Meeting of 13 June 2025.

Such a transfer would enable CEGEDIM S.A to improve the share’s visibility and attractiveness, placing it among the top 30 market capitalizations on Euronext Growth. As part of this change, the Company would move to a less-regulated market, which entails some regulatory relief, but will continue to maintain the best practices described below.

CEGEDIM S.A. currently meets the conditions for eligibility for the transfer procedure, i.e. a market capitalization of less than one billion euros and a public float of at least 2.5 million euros. These conditions must be met on the date of the transfer request. In addition, the Company is up to date with its Euronext disclosure obligations and will engage the services of a listing sponsor within the timeframe required by current regulations.

Subject to the approval of this project by the shareholders at the Ordinary Shareholders’ Meeting on 13 June 2025 and the agreement of Euronext, this direct listing will be carried out by means of an accelerated procedure for the admission to trading of the Company’s existing shares, without the issuance of new shares.

In accordance with current regulations, CEGEDIM S.A. informs its shareholders of the main possible consequences of such a transfer (non-exhaustive list):

    – Periodic information

The Company will publish, within four months of the end of the financial year, an annual report including its annual and consolidated financial statements, a management report and the reports of the statutory auditors.

The Company will also publish, within four months of the end of the first half of the year, a half-yearly report including its consolidated half-yearly financial statements and a business report relating to these statements. The half-yearly financial statements no longer have to be audited by the statutory auditors.

The Company will continue to publish the four quarterly revenue figures, to apply IFRS standards for the consolidated financial statements and to comply with CSRD requirements for sustainability information, the change in market having no impact on this subject.

Lastly, the following information in the management report (including the corporate governance report) will no longer be required:

    – information relating to the remuneration of corporate officers,

    – information having an impact in the event of a public offer;

    – and the content of the corporate governance report will be streamlined.

    – Permanent information

The Company will continue to inform the public of any information likely to have a significant impact on the share price (insider information). Regulated information (and in particular insider information) must always be disseminated effectively and in full. The Company will continue to use a professional disseminator.

The Company will continue to draw up lists of insiders, and senior executives and managers will continue to make declarations of securities transactions to the AMF.

-Composition of the Board – Corporate governance

The Company will continue to apply the rules on parity on the Board set out in Article L.225-18-1 of the French Commercial Code. These parity rules are also in line with the Company’s CSR commitments.

The Company will continue to be subject to the legal provisions of articles L.823-19 et seq. of the French Commercial Code concerning audit committees. More generally, the existing committees will be maintained, as the Company does not wish to change its good governance practices.

    – Executive remuneration

The Shareholders’ Meeting will no longer be required to approve the remuneration policy for corporate officers or to approve the remuneration paid or awarded to corporate officers in respect of the previous financial year.

    – Shareholders’ Meetings

The press release specifying the terms of availability of the documents submitted to the meeting will no longer be required.

The preparatory documents for the meeting and other documents (including the total number of voting rights and shares existing at the date of publication of the prior notice) will no longer be required to be posted online twenty-one days before the date of the Shareholders’ Meeting, but on the date of the notice of meeting.

The results of votes and the minutes of the Shareholders’ Meeting will continue to be posted on the Company’s website.

    – Disclosure thresholds – Public offer

The protection of minority shareholders, in the event of a change of control, will be ensured on Euronext Growth Paris by the mechanism of a mandatory public offer in the event of crossing, directly or indirectly,
alone or in concert, the threshold of 50% of the capital or voting rights.

Furthermore, companies listed on Euronext Growth Paris only need to communicate to the market, in terms of changes in shareholding, the crossing of thresholds (upwards or downwards) of 50% and 90% of the capital or voting rights.

However, in accordance with legal provisions, the company will remain subject, for a period of 3 years from its delisting from the Euronext Paris market, to the public offer regime and the maintenance of information obligations relating to threshold crossings and declarations of intentions as applicable to companies listed on Euronext Paris.

    – Liquidity of the share

As Euronext Growth is a less-regulated market, the transfer to Euronext Growth Paris could result in a change in the liquidity of CEGEDIM S.A. shares, which could differ from the liquidity observed on the regulated Euronext Paris market. The Company confirms that the liquidity contact currently in place will be maintained after the market transfer.

The transfer could also lead some investors, favoring shares of issuers listed on a regulated market, to sell their CEGEDIM S.A. shares. After studying the composition of its shareholder base, the Company has identified only a very limited number of funds whose prospectuses exclude the possibility of investing on Euronext Growth.

Provisional timetable for the transaction (subject to approval by Euronext)

24 April 2025 Decision by the Board of Directors to submit the proposed transfer to Euronext Growth to the Ordinary Shareholders’ Meeting and adoption of the reasoned report.
9 May 2025 after close of trading Public information on the proposed transfer to Euronext Growth (1st press release)
    13 June 2025 Shareholders’ Meeting
    – AGM vote on the proposed transfer
    – delegation of powers to the Board of Directors
13 June 2025 If the Shareholders’ Meeting votes in favor, the Board of Directors will be convened to implement the transfer of the Company’s shares from Euronext to Euronext Growth.

If the Board of Directors votes in favor, immediate public announcement of the definitive decision to transfer (2nd press release) – Application to delist the shares from Euronext Paris and apply for them to be admitted to Euronext Growth.

No earlier than 13 August 2025 Delisting of shares from Euronext Paris and listing of CEGEDIM S.A. shares on Euronext Growth.

  • MIL-OSI USA: FDA Approves Three Food Colors from Natural Sources

Source: US Department of Health and Human Services – 3

    For Immediate Release:
    May 09, 2025

The U.S. Food and Drug Administration today announced it granted three new color additive petitions that will expand the palette of available colors from natural sources for manufacturers to safely use in food.
The FDA is in line with U.S. Department of Health and Human Services Secretary Robert F. Kennedy Jr.’s priority to phase out petroleum-based dyes in the nation’s food supply as part of the administration’s broader initiative to Make America Healthy Again.
“Today we take a major step to Make America Healthy Again,” said HHS Secretary Kennedy. “For too long, our food system has relied on synthetic, petroleum-based dyes that offer no nutritional value and pose unnecessary health risks. We’re removing these dyes and approving safe, natural alternatives—to protect families and support healthier choices.”
Since the HHS and FDA announcement last month during a press conference at HHS on petroleum-based food dyes, more U.S. food manufacturers have committed to removing them within the FDA’s set time frame of the end of next year.
“On April 22, I said the FDA would soon approve several new color additives and would accelerate our review of others. I’m pleased to report that promises made, have been promises kept,” said FDA Commissioner Martin A. Makary, M.D., M.P.H. “FDA staff have been moving quickly to expedite the publication of these decisions, underscoring our serious intent to transition away from petroleum-based dyes in the food supply and provide new colors from natural sources.”
The color additive petitions approved today are for:

Galdieria extract blue, a blue color derived from the unicellular red algae Galdieria sulphuraria. The FDA has approved the color additive for use in nonalcoholic beverages and beverage bases, fruit drinks, fruit smoothies, fruit juices, vegetable juices, dairy-based smoothies, milk shakes and flavored milks, yogurt drinks, milk-based meal replacement and nutritional beverages, breakfast cereal coatings, hard candy, soft candy and chewing gum, flavored frostings, ice cream and frozen dairy desserts, frozen fruits, water ices and popsicles, gelatin desserts, puddings and custards, and whipped cream, yogurt, frozen or liquid creamers (including non-dairy alternatives), and whipped toppings (including non-dairy alternatives). The petition was submitted by the French company Fermentalg.
Butterfly pea flower extract, a blue color that can be used to achieve a range of shades including bright blues, intense purple, and natural greens. Produced through the water extraction of the dried flower petals of the butterfly pea plant, this color additive is already approved for use in sport drinks, fruit drinks, fruit and vegetable juices, alcoholic beverages, dairy drinks, ready to drink teas, nutritional beverages, gums, candy, coated nuts, ice creams, and yogurt. Today’s approval of a petition by St. Louis-based Sensient Colors LLC expands the approved use for coloring ready-to-eat cereals, crackers, snack mixes, hard pretzels, plain potato chips (restructured or baked), plain corn chips, tortilla chips, and multigrain chips.
Calcium phosphate, a white color approved for use in ready-to-eat chicken products, white candy melts, doughnut sugar, and sugar for coated candies. The petition was filed by Innophos Inc. of Cranbury, New Jersey.

Under the Federal Food, Drug, and Cosmetic Act (Chapter VII, section 721), color additives are subject to FDA approval to determine whether they are safe before they may be used in food. The FDA determines whether an additive is safe to use by considering the projected human dietary exposure to the color additive, the additive’s toxicological data, and other relevant information, such as published literature. Once the FDA approves a color additive petition, any manufacturer can use the coloring for the approved uses.

  • MIL-OSI Global: Germany’s new government wants to be a foreign policy power

Source: The Conversation – UK – By Gabriele Abels, Jean Monnet Professor for Comparative Politics & European Integration, University of Tübingen

When the CDU/CSU and the SPD sealed their coalition agreement to form the next German government, the would-be chancellor Friedrich Merz proudly announced: “Germany is back on track”. Against a backdrop of considerable geopolitical and geoeconomic challenges, the partners wanted to send clear signal not only to the German public, but also to the European and international partners. After three years of intense government infighting, a new, stable administration was in charge in Germany.

However, a very different message was ultimately sent when a routine vote to confirm Merz as chancellor became an unprecedented fiasco.

Merz failed to gain enough support to be confirmed as chancellor, having lost votes from his own coalition. Merz did manage to secure the parliament’s nomination in a second round of voting, but there is now plenty of gossiping about who was responsible for this disaster. Who in his coalition was taking “revenge” by voting against him in this secret ballot – and on what grounds?

    Read more:
Friedrich Merz confirmed as Germany’s chancellor – but betrayal by MPs in a secret ballot means he starts from a position of weakness

Merz will have to work to move beyond this early blow to his authority and implications in the domestic and international arena. His first action was to embark on a multi-capital tour to meet his fellow European leaders. This is a strong sign of his intentions as chancellor – to look outward, emphasising foreign policy.

    Prioritising defence and consolidating power

For a long time, continuity has prevailed when it comes to Germany’s policy towards Europe. However, relations with neighbours are currently undergoing a period of transition due to a changing international environment. A big step came under former social democratic chancellor Olaf Scholz, who overturned post-war policy by announcing a €100 million investment in the military in the wake of Russia’s invasion of Ukraine.

Merz now wants Germany to become a “leading medium-size power”. The coalition agreement signed between Merz’s CDU/CSU and the social democratic SPD, grants the chancellor a stronger role in order to achieve this aim.

The 144-page document, entitled “Responsibility for Germany” (Verantwortung für Deutschland), prioritises defence, deterrence and strengthening resilience — in military, economic, political and social terms.

EU partners expect leadership from the new German government and a stronger commitment from Merz in particular, because of his first-hand experience as a member of the European Parliament from 1989 to 1994. Merz is certainly committed to European integration and to the EU, which is mentioned in the coalition agreement as “a guarantor of freedom, peace, security and prosperity”.

The coalition agreement emphasises closing ranks with the European partners. Merz cemented this commitment by visiting Paris and Warsaw the day after taking office to announce a reboot of the “Weimar triangle” – a regional allegiance between France, Germany and Poland created in 1991 – as a commitment to what he sees as Germany’s two most important European partners.

There are strong elements of continuity between this government’s approach to Europe and that of its predecessor. There remains an unwavering commitment to the EU and NATO and comprehensive support for Ukraine. What is, however, new, is the strong emphasis on defence in the coalition agreement.

“We want to be able to defend ourselves, so that we don’t have to defend ourselves,” the document states.

With this in mind, a long-held conservative ambition is being realised — the creation of a national security council (Bundessicherheitsrat) within the federal chancellery. This gives the chancellor a stronger role in foreign policy.

In addition, the new minister for foreign affairs, Johann Wadephul, is a Merz loyalist from the CDU. Traditionally, this was a role held by the junior coalition partner. This new situation, in which the chancellor and minister for foreign affairs are from the same party, plus the new national security council, means that power is concentrated in the chancellery.

    Further afield

Beyond the immediate neighbourhood, positioning Germany towards the US, China and Israel are high on the agenda. In line with the German “Staatsräson” – an element of foreign policy that recognises Israel’s right to exist and sees Israeli security as a German national interest.

Merz announced in February 2025 that he is willing to find “means and ways” to welcome the Israeli prime minister Benjamin Netanyahu to Berlin. This despite the the International Criminal Court’s arrest warrant against him. Such a visit would be a breach with the strong German tradition of rule of law and the respect for multilateral institutions.

Merz is also known to be a transatlanticist and his camp had already reached out to the US administration before taking office. Tariff wars are detrimental to the German economy given the strong dependence on exports to the US. It is similar for China, another important trading partner, but also a “systemic rival” which requires a sound “de-risking” strategy.

Yet, given the destructive Trump presidency and the insecurity when it comes to the US commitment to European security, a policy towards the US will be paramount. Strengthening relations with the UK in cooperation with the EU partners is meant to go some way to balancing the lack of US support, especially in relation to Ukraine.

Merz appears willing to take up these challenges and to focus his chancellorship on EU and foreign policy. It helps that the conservative European People’s Party (of which the CDU/CSU is a member) currently dominates the European Parliament and that the powerful position of European Commission president is currently held by a German, in the form of Ursula von der Leyen.

Yet the ballot fiasco in the national parliament shows that Merz is more vulnerable at home than he would like to be. This may end up frustrating his ambition to lead change in Europe.

Merz also still needs to win the trust of ordinary Germans, too. He is not a popular chancellor. Less than 40% Germans have trust in him and women especially dislike his style. In addition to efficient policymaking, he will need to improve on his pointed and polarising communicative style if he is to reach out to the people.

  • MIL-OSI Asia-Pac: Speech by FS at Europe Day 2025 reception (English only) (with photos/video)

Source: Hong Kong Government special administrative region

Following is the speech by the Financial Secretary, Mr Paul Chan, at Europe Day 2025 reception today (May 9):

Ambassador Harvey Rouse (Head of the European Union Office to Hong Kong and Macao), Deputy Commissioner Li Yongsheng (Deputy Commissioner of the Office of the Commissioner of the Ministry of Foreign Affairs of the People’s Republic of China in the Hong Kong Special Administrative Region), Consuls-General, distinguished guests, ladies and gentlemen,

    Good evening.

It is a great pleasure to join you this evening to celebrate Europe Day — a day that honours the enduring commitment to unity and shared prosperity on the European continent.

On this very day 75 years ago, French Foreign Minister Robert Schuman delivered a visionary declaration, proposing the creation of the European Coal and Steel Community. It laid the foundation for the European Union (EU).

From the ruins of post-war Europe, nations once divided by conflict came together to build mechanisms of co-operation that would avert future wars and ensure long-term peace. As Schuman memorably said, and I quote: “World peace cannot be safeguarded without the making of creative efforts proportionate to the dangers which threaten it.” Those words remain as relevant today as they were in 1950.

Today, we are once again confronted by rising geopolitical tensions and economic fragmentation, now exacerbated by unilateral tariffs unseen for generations.

History teaches us that protectionism and unilateralism were among the factors that led to some of the 20th century’s most devastating conflicts. We must never forget those lessons. Collaboration among nations is essential to ensuring lasting peace and prosperity.

As the Confucian saying goes, “和而ä¸åŒ”, harmony in diversity. We may differ in our histories, cultures and systems, but we can still work together in pursuit of common goals.

Ladies and gentlemen, the challenges we face today, from protracted conflicts and climate change to widening development gaps, are complex and inter-connected. They cannot be resolved by a divided world. That is why the global community must stand by its commitment to multilateralism, and support the institutions and efforts to address these and many other issues.

These are values that China, our country, firmly embraces. We advocate for an equitable multipolar world and inclusive globalisation, striving to build a community with a shared future for mankind.

At a time of uncertainties in the global economy stemming from escalating tariff measures, our country’s message and actions are clear and consistent: China welcomes global business, remains committed to high-level opening-up, and will continue to be a source of stability and growth in the international system.

Hong Kong, under the “one country, two systems” principle, has long served as a “super connector” between China and the rest of the world. This role demands that we remain what we have always been: an open, diverse and vibrant international city, a free port and a staunch supporter of free trade. No less important, we are committed to the rule of law backed by a judiciary exercising powers independently, firmly protecting the rights of our residents and businesses.

I’m pleased to say that the international business community recognises our commitment, as reflected in numerous surveys and the growing number of companies choosing Hong Kong to establish their base.

Allow me to highlight a few key areas where Hong Kong and Europe can work together to seize opportunities in today’s evolving global trade and financial landscape.

First, as the Mainland continues to open its economy, Hong Kong serves as a strategic gateway for European companies to access the immense opportunities offered by the Greater Bay Area and the broader Chinese Mainland market. And with supply chains undergoing significant realignment, our deep ties with ASEAN (the Association of Southeast Asian Nations) make Hong Kong an ideal connector to those markets as well.

In the financial sector, there’s an increasing demand from global investors to diversify their asset allocation. Hong Kong’s capital market provides unparalleled access to investment opportunities in one of the world’s fastest-growing regions. Hong Kong is also a global leader in asset and wealth management, providing huge opportunities for European firms in the industry.

Climate action is another area of promising collaboration. Hong Kong is firmly committed to achieving carbon neutrality by 2050. But more than that, we are keen to work with the EU to contribute to global decarbonisation, in such areas as technology partnership, green finance, climate risk disclosures and green taxonomies.

As Ambassador Rouse noted just now, the annual Green Way conference on sustainability, organised by the EU Office in Hong Kong, advances dialogue and co-operation. And we are happy to explore more partnerships with you in this connection.

Beyond business and finance, we continue to treasure and welcome cultural co-operation. This includes longstanding partnerships in cultural exchange, like the annual French May Arts Festival, which is now on. Italy, let me add, is this year’s country partner for Business of Design Week.

And, I’m glad to hear more good news: the first Europe Day Festival in Hong Kong will take place this Saturday at PMQ. The family-focused event will feature live performances. Plus plenty of fine food and drinks, dance workshops and all the cultural richness and diversity that the EU’s 27 member states offer. For that, and so much more, my thanks to the EU Office and all the EU member state Consulates General.

Ladies and gentlemen, the opportunities for deeper co-operation between Hong Kong and the EU are long-term and far-reaching. Let us work together to seize that promise for our economies and our peoples.

May our longstanding ties continue to flourish. Thank you very much.

HIV market to surpass $32 billion across 7MM in 2033, forecasts GlobalData

    Posted in Pharma

The human immunodeficiency virus (HIV) market across the seven major markets (7MM*) is forecast to grow at a compound annual growth rate (CAGR) of 1.9% from $26.5 billion in 2023 to $32.1 billion in 2033, forecasts GlobalData, a leading data and analytics company.

GlobalData’s report, “Human Immunodeficiency Virus (HIV): Seven-Market Drug Forecast,” reveals that market growth will primarily be driven by the increased uptake of long-acting injectable therapies, as well as the anticipated launch of novel single tablet regimens (STRs).

Anaelle Tannen, Infectious Disease Analyst at GlobalData, comments: “The pipeline analysis indicates a shift away from 3-drug STRs and towards 2-drug STRs. These are hoped to have reduced toxicities and side effects as a result.”

Six products are currently in Phase III development and are expected to launch by 2033, including four two-drug STRs. These are Gilead Sciences’ (Gilead) once-daily combination of bictegravir and lenacapavir, Merck’s once-daily doravirine and islatravir, Gilead’s once-weekly islatravir and lenacapavir, and a once-weekly regimen of GS-1720 and GS-4182 developed jointly by Gilead and Merck.

Tannen continues: “Currently all STRs require daily administration and there is a need for alternative and more convenient options for patients which islatravir+lenacapavir and GS-1720+GS-4182 could address.”

Other notable therapies in late-stage development include CytoDyn’s once-weekly leronlimab, which is expected to be used in patients with CCR5-type virus, and Gilead’s biannual injectable lenacapavir for pre-exposure prophylaxis (PrEP)**.

Tannen adds: “Long-acting injectable therapies will gain significant market share across the 7MM as this method requires infrequent dosing and is thus more convenient. Lenacapavir, for example, is initially expected to be administered subcutaneously biannually for PrEP, and clinical trials are underway to see its efficacy when administered once a year. Data from a Phase I trial has demonstrated lenacapavir’s potential when administered intramuscularly once yearly.”

Subcutaneous lenacapavir has demonstrated 100% efficacy in preventing new HIV infections in the PURPOSE1 Phase III trial and thus has shown its potential as an important new tool for PrEP. However, subcutaneous lenacapavir is expected to be more expensive than daily oral PrEP and the key opinion leaders (KOLs) interviewed by GlobalData have highlighted that this may be a barrier to access.

Furthermore, despite the anticipated launch of several innovative products, generic erosion will represent a barrier to growth over the forecast period, with key products such as Biktarvy and Dovato losing patent protection and becoming vulnerable to competition from generics.

Tannen concludes: “Whilst many pipeline drugs have demonstrated promising efficacy and safety profiles, none will be superior, in terms of commercial success, to the current standard of care Biktarvy.”

*The US, France, Germany, Italy, Spain, the UK, and Japan.

**Lenacapavir is already marketed across the 7MM under the brand name Sunlenca for usage in treatment-experienced patients with multidrug-resistant HIV.

“We are off to a strong start following the completion of the combination with Teads. In the first quarter, we delivered financial results above the mid-range of our guidance, while closing the acquisition, issuing five-year senior secured notes, and reaching many major milestones of integration and synergy realization. We are in the early days, but the feedback to our brandformance platform strategy from the hundreds of advertisers and media owners we have met has been highly encouraging,” said David Kostman, CEO of Teads.

    First Quarter 2025 Business Highlights:

    • Completed the acquisition of Teads, for total consideration of approximately $900 million, comprised of $625 million in cash and 43.75 million shares of Outbrain common stock. The combined company is operating under the name Teads.
    • Expect to realize approximately $65 million to $75 million of synergies in 2026 with further opportunities for expanded synergies. Of this amount, approximately $60 million relates to cost synergies, including approximately $45 million of compensation-related expenses, with approximately 90% of the estimated compensation-related synergies already actioned. For 2025, expect to realize a benefit from cost synergies of approximately $40 million, which represents an increase from initial expectations.
    • Initial cross-selling of legacy Outbrain performance solutions to legacy Teads enterprise brand customers launched in Q2 with several campaigns sold.
    • New strategic Joint Business Partnerships (JBPs) with Ferrero, Haleon, Philip Morris International, and Beiersdorf.
    • ~500 advertisers spending at least a half a million dollars on a rolling 12 month basis, with an average spend of over $2 million annually, which represents approximately 70% of total customer spend.
    • CTV experienced more than 100% year-over-year growth in Q1 2025, and now represents approximately 5% of total ad spend.
    • Continued strong adoption of Moments vertical video offering launched in Q3 2024 and is now live on over 70 publishers, including Axel Springer, Fox News, and Webedia.
    • Premium supply competitive wins include Godo (Spain) WWS (Japan), and renewals include Conde Nast and TMZ (US), Ansa (Italy), Webedia (France) and Sankei (Japan).

    First Quarter 2025 Financial Highlights:

    • Revenue of $286.4 million, an increase of $69.4 million, or 32%, compared to $217.0 million in the prior year period primarily due to the acquisition, including net unfavorable foreign currency effects of approximately $2.6 million.
    • Gross profit of $82.7 million, an increase of $41.1 million, or 99%, compared to $41.6 million in the prior year period. Gross margin increased to 28.9%, compared to 19.2% in the prior year period, reflecting the higher gross margin profile of the acquired business.
    • Ex-TAC gross profit of $103.1 million, an increase of $50.9 million, or 98%, compared to $52.2 million in the prior year period, primarily due to the acquisition. Our Ex-TAC gross margin increased to 36.0%, compared to 24.0% in the prior year period, reflecting the higher margin profile of the acquired business.
    • Net loss of $54.8 million, compared to net loss of $5.0 million in the prior year period. Net loss in the current period includes pre-tax acquisition-related costs of $16.4 million, impairment charges of $15.6 million primarily related to the discontinuance of the vi product offering, restructuring charges of $7.3 million related to our previously announced restructuring plan to streamline operations and reduce duplicative roles post-acquisition, and bridge facility related costs of $12.0 million.
    • Adjusted net loss of $15.3 million, compared to adjusted net loss of $4.9 million in the prior year period.
    • Adjusted EBITDA of $10.7 million, compared to Adjusted EBITDA of $1.4 million in the prior year period.

    • Total debt obligations were $627.0 million, including the $610.8 million carrying value of the 10% senior secured notes due 2030 issued in February 2025 (principal amount of $637.5 million, net of unamortized discount and deferred financing costs) and $16.2 million outstanding under a short-term overdraft facility assumed in the acquisition.
    • Entered into a credit agreement with Goldman Sachs Bank, U.S. Bank Trust Company, and certain other lenders, which provided, among other things, for a new $100.0 million super senior secured revolving credit facility, which expires on February 3, 2030, which may be used for working capital and other general corporate purposes. The prior revolving credit facility with Silicon Valley Bank, a division of First Citizens Bank & Trust Company, dated as of November 2, 2021 was terminated.

    Second Quarter Guidance

The following forward-looking statements reflect our expectations for the second quarter and full year of 2025.

For the second quarter ending June 30, 2025, we expect:

    • Ex-TAC gross profit of $141 million to $150 million
    • Adjusted EBITDA of $26 million to $34 million

For the full year ending December 31, 2025, we continue to expect:

    • Adjusted EBITDA of at least $180 million

The above measures are forward-looking non-GAAP financial measures for which a reconciliation to the most directly comparable GAAP financial measure is not available without unreasonable efforts. See “Non-GAAP Financial Measures” below. In addition, our guidance is subject to risks and uncertainties, as outlined below in this release.

    Non-GAAP Financial Measures

In addition to GAAP performance measures, we use the following supplemental non-GAAP financial measures to evaluate our business, measure our performance, identify trends, and allocate our resources: Ex-TAC gross profit, Ex-TAC gross margin, Adjusted EBITDA, free cash flow, adjusted net income (loss), and adjusted diluted EPS. These non-GAAP financial measures are defined and reconciled to the corresponding GAAP measures below. These non-GAAP financial measures are subject to significant limitations, including those we identify below. In addition, other companies in our industry may define these measures differently, which may reduce their usefulness as comparative measures. As a result, this information should be considered as supplemental in nature and is not meant as a substitute for revenue, gross profit, net income (loss), diluted EPS, or cash flows from operating activities presented in accordance with GAAP.

Because we are a global company, the comparability of our operating results is affected by foreign exchange fluctuations. We calculate certain constant currency measures and foreign currency impacts by translating the current year’s reported amounts into comparable amounts using the prior year’s exchange rates. All constant currency financial information that may be presented is non-GAAP and should be used as a supplement to our reported operating results. We believe that this information is helpful to our management and investors to assess our operating performance on a comparable basis. However, these measures are not intended to replace amounts presented in accordance with GAAP and may be different from similar measures calculated by other companies.

The Company is also providing second quarter and full year guidance. These forward-looking non-GAAP financial measures are calculated based on internal forecasts that omit certain amounts that would be included in GAAP financial measures. The Company has not provided quantitative reconciliations of these forward-looking non-GAAP financial measures to the most directly comparable GAAP financial measures because it is unable, without unreasonable effort, to predict with reasonable certainty the occurrence or amount of all excluded items that may arise during the forward-looking period, which can be dependent on future events that may not be reliably predicted. Such excluded items could be material to the reported results individually or in the aggregate.

    Ex-TAC Gross Profit

Ex-TAC gross profit is a non-GAAP financial measure. Gross profit is the most comparable GAAP measure. In calculating Ex-TAC gross profit, we add back other cost of revenue to gross profit. Ex-TAC gross profit may fluctuate in the future due to various factors, including, but not limited to, seasonality and changes in the number of media partners and advertisers, advertiser demand or user engagements.

We present Ex-TAC gross profit, Ex-TAC gross margin (calculated as Ex-TAC gross profit as a percentage of revenue), and Adjusted EBITDA as a percentage of Ex-TAC gross profit, because they are key profitability measures used by our management and board of directors to understand and evaluate our operating performance and trends, develop short-term and long-term operational plans, and make strategic decisions regarding the allocation of capital. Accordingly, we believe that these measures provide information to investors and the market in understanding and evaluating our operating results in the same manner as our management and board of directors. There are limitations on the use of Ex-TAC gross profit in that traffic acquisition cost is a significant component of our total cost of revenue but not the only component and, by definition, Ex-TAC gross profit presented for any period will be higher than gross profit for that period. A potential limitation of this non-GAAP financial measure is that other companies, including companies in our industry, which have a similar business, may define Ex-TAC gross profit differently, which may make comparisons difficult. As a result, this information should be considered as supplemental in nature and is not meant as a substitute for revenue or gross profit presented in accordance with GAAP.

    Adjusted EBITDA

We define Adjusted EBITDA as net income (loss) before gain on convertible debt; interest expense; interest income and other income (expense), net; provision for income taxes; depreciation and amortization; stock-based compensation; and other income or expenses that we do not consider indicative of our core operating performance, including but not limited to, acquisition-related costs, restructuring, and impairment charges. We present Adjusted EBITDA as a supplemental performance measure because it is a key profitability measure used by our management and board of directors to understand and evaluate our operating performance and trends, develop short-term and long-term operational plans and make strategic decisions regarding the allocation of capital, and we believe it facilitates operating performance comparisons from period to period.

We believe that Adjusted EBITDA provides useful information to investors and others in understanding and evaluating our operating results in the same manner as our management and board of directors. However, our calculation of Adjusted EBITDA is not necessarily comparable to non-GAAP information of other companies. Adjusted EBITDA should be considered as a supplemental measure and should not be considered in isolation or as a substitute for any measures of our financial performance that are calculated and reported in accordance with GAAP.

Adjusted Net Income (Loss) and Adjusted Diluted EPS

Adjusted net income (loss) is a non-GAAP financial measure, which is defined as net income (loss) excluding items that we do not consider indicative of our core operating performance, including but not limited to gain on convertible debt, merger and acquisition costs, regulatory matter costs, and severance costs related to our cost saving initiatives. Adjusted net income (loss), as defined above, is also presented on a per diluted share basis. We present adjusted net income (loss) and adjusted diluted EPS as supplemental performance measures because we believe they facilitate performance comparisons from period to period. However, adjusted net income (loss) or adjusted diluted EPS should not be considered in isolation or as a substitute for net income (loss) or diluted earnings per share reported in accordance with GAAP.

    Free Cash Flow

Free cash flow is defined as cash flow provided by (used in) operating activities, less capital expenditures and capitalized software development costs. Free cash flow is a supplementary measure used by our management and board of directors to evaluate our ability to generate cash and we believe it allows for a more complete analysis of our available cash flows. Free cash flow should be considered as a supplemental measure and should not be considered in isolation or as a substitute for any measures of our financial performance that are calculated and reported in accordance with GAAP.

Why No-KYC Casinos Like JACKBIT Are Revolutionizing Online Gambling: A Game-Changer Among the Best Crypto Casinos

No-KYC casinos are changing the way we think about online gambling, and JACKBIT is at the forefront of this movement. Traditional casinos often require players to submit sensitive documents like passports or utility bills for verification, which can be off-putting for those who value their privacy or face delays. JACKBIT’s no-KYC model turns this process on its head:

    Breaking Down Barriers

By eliminating the KYC process, JACKBIT makes it incredibly easy to get started. Players only need to register with an email and can start playing immediately—no waiting for account approval. This is a major advantage for players tired of waiting days for traditional casinos to process their verification.

    Privacy as a Priority

In today’s world, data breaches are a serious concern. JACKBIT prioritizes player privacy by ensuring that personal information stays off the grid. This approach is especially appealing to privacy-conscious users and those in regions with strict gambling laws, making it one of the best crypto casinos for secure, anonymous play.

    Real-World Impact

Imagine a player in a country where online gambling is restricted—they can still join JACKBIT anonymously using cryptocurrency. This ability to bypass local regulations opens up online gambling to a much wider audience, making JACKBIT one of the most accessible new crypto casinos on the market.

    Competitive Edge

While some other casinos only partially embrace the no-KYC model for withdrawals, JACKBIT stands out by offering a fully anonymous experience—from sign-up to cash-out. This seamless, privacy-first approach has attracted a loyal following and set JACKBIT apart as one of the best crypto casinos for those who want both freedom and security.

By taking a bold stand on player privacy and accessibility, JACKBIT is redefining the future of online gambling. Its no-KYC model is a game-changer for new crypto casinos, providing a truly unique and innovative experience that appeals to players who demand the best of both worlds.

    • Tournaments and Events: Regular leaderboards and Pragmatic Drops & Wins (€2M prize pool) unite players in friendly competition, boosting excitement and retention.
    • Loyalty Benefits: Social engagement ties into the VIP program, where active members unlock higher Rakeback and exclusive perks.

This two-way dialogue sets JACKBIT apart from less engaged crypto gambling sites, creating a vibrant player ecosystem.

    The Importance of Mobile Gaming

Mobile gaming is reshaping online casinos, and JACKBIT’s mobile platform is a standout:

Source: Hong Kong Government special administrative region

The “Tan Dun WE-Festival”, presented by the Leisure and Cultural Services Department (LCSD), will feature two performances of “Xiangxi Tujia Women’s Daliuzi & Hong Kong Women’s Percussion Ensemble” concert in June as part of the pre-festival events of this year’s Chinese Culture Festival (CCF). Under the artistic direction and baton of Tan Dun, Hong Kong’s Ambassador for Cultural Promotion (ACP) and internationally renowned composer and conductor, two all-female percussion ensembles will take the Hong Kong stage to present both the “Daliuzi”, a traditional percussion music of western Hunan’s Tujia ethnic group, and contemporary percussion music. The concert will also feature the world premiere of two tea-inspired compositions written by Tan, showcasing how percussion music transcends time and bonds the East and the West, while telling the good story of China’s intangible cultural heritage in the new era. The programme is also one of the performing arts programmes of the Hong Kong Intangible Cultural Heritage Month 2025.

Tujia “Daliuzi”, primarily featuring gongs and cymbals, is a kind of ensemble of traditional folk musical instruments of ethnic Tujia people from western Hunan. It was inscribed onto the first national list of intangible cultural heritage in 2006. Enlightened by an impressionable field trip in western Hunan, Tan blends the “Daliuzi” with tea-making techniques such as leaf-whistling, tea-picking and grinding to create a new composition “TEA-liuzi · Mystical Xiangxi”, and has invited the Xiangxi Tujia Women’s Daliuzi to come to Hong Kong for the world premiere of this work. The ensemble will also perform several folk pieces, which include “The Hen Lays Eggs”, “Pheasant Leaving the Mountain”, “Pigeons Taking a Bath” and “Ducks Flirting with Water”, demonstrating the exceptional skills and expressive character of the unique musical artistry of the Tujia people.

The newly established Hong Kong Women’s Percussion Ensemble, spearheaded by Tan, will make its debut at this concert. The ensemble comprises four outstanding local young female percussionists, namely Karen Yu, Elise Liu, Eugene Kwong and Emma Ng. They will perform another world premiere of “Tea Music: Water, Wind, Ceramic” by Tan, as well as “Credo in Us” by contemporary avant-garde, experimental composer John Cage. Tan has also composed a new “Concerto for Piano and Four Percussionists” for this ensemble that will perform alongside pianist Liu Muyu, showcasing the varying rhythms and rich sonorities of percussion music.

Tan is an internationally renowned Chinese composer, musician and conductor, and was appointed by the UNESCO as a Goodwill Ambassador in 2013. He has made an indelible mark on the world’s music scene, which earned him many prestigious honours, including the Grammy Awards, the Academy Awards and the Golden Lion Award for Lifetime Achievement at the Venice Biennale. Tan has led some of the world’s most esteemed orchestras, and composed more than 100 musical works over the years. His famous works include the film scores of “Crouching Tiger, Hidden Dragon”, “Hero” as well as the award ceremony music for the Beijing 2008 Olympic Games. He has been awarded the title of Officier des Arts et des Lettres by the French Ministry of Culture in December 2024, in recognition of his exceptional contributions to global culture and the arts. Tan has been appointed as Hong Kong’s first ACP by the Culture, Sports and Tourism Bureau since January 1, 2023.

Chinese Culture Festival 2025: “Tan Dun WE-Festival”: “Xiangxi Tujia Women’s Daliuzi & Hong Kong Women’s Percussion Ensemble” concert will be staged at 8pm on June 4 and 5 (Wednesday and Thursday) at the Studio Theatre of the Hong Kong Cultural Centre. Tickets priced at $380 and $480 are now available at URBTIX (www.urbtix.hk). For telephone bookings, please call 3166 1288. Group booking discount and package booking discount are available for purchasing selected CCF stage programmes, the “Chinese Opera Film Shows” of the COF 2025 and the “Legacy and Vision: Conversations with Chinese Cultural Masters” lecture. The above-mentioned programme also offers a pre-concert symposium (in Putonghua), entitled “A Dialogue between Xiangxi Tujia Women’s Daliuzi & Hong Kong Women’s Percussion Ensemble”, to be held at 7pm on June 5 at the Studio Theatre of the Hong Kong Cultural Centre, during which Tan will engage in a discussion with members of the Xiangxi Tujia Women’s Daliuzi and the Hong Kong Women’s Percussion Ensemble. Interested audience members can attend the pre-concert symposium by presenting the tickets of “Xiangxi Tujia Women’s Daliuzi & Hong Kong Women’s Percussion Ensemble” concert. Admission is free. Limited seats are available on a first-come, first-served basis.

First held in 2023, the “Tan Dun WE-Festival” features musicians, dancers and ensembles from the Mainland, Hong Kong and around the world that reveals fresh new approaches to music, dance and visual arts, turning the city into an international stage for cultural and arts exchanges. The Festival also attracts people from both East and West to gather in the city, showcasing the essence of Hong Kong’s East-meets-West cultural DNA. The Festival returns this year with the theme of tea culture. Apart from the above-mentioned programme, it also includes Tan Dun | “Tea: A Mirror of Soul” on May 30 and 31, and “Lost Tang Dynasty Music and Dance Manuscripts: ‘The Vanishing Mogao Caves’” on June 7.

The CCF, presented by the Culture, Sports and Tourism Bureau and organised by the Chinese Culture Promotion Office under the LCSD, aims to promote Chinese culture and enhance the public’s national identity and cultural confidence. It also aims to attract top-notch artists and arts groups from both the Mainland and other parts of the world for exchanges in Chinese arts and culture. The CCF 2025 will be held from June to September. Through different performing arts programmes in various forms and related extension activities, including selected programmes of the Chinese Opera Festival, “Tan Dun WE-Festival”, film screenings, exhibitions, as well as community and school activities and more, the festival provides members of the public and visitors with more opportunities to enjoy distinctive programmes that showcase fine traditional Chinese culture, thereby facilitating patriotic education and contributing to the inheritance, transformation and development of traditional Chinese culture in Hong Kong. • MIL-OSI Global: Pope Leo XIV: Why the College of Cardinals chose the Chicago native and Augustinian to lead the church after Francis

Source: The Conversation – USA – By Joanne M. Pierce, Professor Emerita of Religious Studies, College of the Holy Cross

When the 69-year-old Cardinal Robert Francis Prevost on May 8, 2025, appeared on the main balcony of St. Peter’s Basilica for the first time as Pope Leo XIV, he was cheered loudly by the huge crowd of pilgrims, tourists, local Catholics and other onlookers, who had waited hours for the first sign of white smoke and the official announcement.

As a specialist in Catholic history and ritual, I know how important this moment was for Catholics and others all over the world. A new pope brings with him a sense of excitement often mixed with uncertainty.

But the choice of the College of Cardinals came as a surprise to some. Prevost is the first pope from the United States, and, traditionally, the European-dominated College of Cardinals has had reservations about choosing a cardinal from the U.S. for fear of too much American influence in the church.

So, who is Prevost and what might have influenced the cardinals’ vote?

    Early experiences

Born in Chicago, Illinois, Prevost joined a Catholic religious order at the age of 20: the Order of St. Augustine, called Augustinians, founded in the 13th century. Instead of withdrawing from the world in isolated monasteries, members of this order traveled as mendicants to aid the poor as well as serve as missionaries and teachers.

Prevost studied theology both in the U.S. and in Rome and, as a newly ordained priest, spent a year in Peru. After a short return to the U.S. as an official of the Augustinian order in Illinois, he returned to Peru as a seminary professor to teach canon law, the legal structure of the Catholic Church. He would stay in Peru for the next 10 years.

In 1999, he became the prior – that is, the head – of the local Augustinian province in Chicago, and was later elected prior of the worldwide Augustinian order. This gave him a truly global experience, since the Augustinians had some 50 communities spread across every continent.

In 2015, Pope Francis appointed him bishop for the diocese of Chiclayo in Peru. In 2019, Francis appointed him a member of several important Vatican dicasteries, or departments, where he became very familiar with the central church administration. Most importantly, he served as prefect – or chairman – on the Dicastery for Bishops.

Catholics hold a photo of newly elected Pope Leo XIV, in front of the Cathedral of Chiclayo, Peru, on May 8, 2025, where he served as bishop for several years.
    AP Photo/Manuel Medina

In fact, because of his lengthy pastoral experience in Peru and service at the Vatican, some commentators had noted before Prevost was chosen that, if the cardinals were to elect an American pope, it would be him. His service on the Dicastery for Bishops was considered especially important, since members play a key role in selecting new bishops.

    Global church

During the 20th century, especially after the Second Vatican Council – a series of meetings of the world’s bishops to modernize the church, ending in 1965 – the popes began to name cardinals from other parts of the world that were previously considered to be on the periphery of the Catholic Church.

And this led to popes being chosen from outside of Italy for the first time in centuries. Pope St. John Paul II was Polish and the first non-Italian pope since the 16th century. Pope Benedict XVI was another non-Italian, born in Germany, who had served as a Vatican official. Pope Francis was born in South America to parents who were Italian-born immigrants to Argentina.

The College of Cardinals, which had few representatives from other continents until recently, is now much more international. Some 80% of the cardinal-electors were named by Francis, many from countries that had never before had a cardinal.

In reviewing his record, the cardinal-electors might have taken a number of factors into account. Prevost would be an effective administrator as head of the church, and was an expert in church canon law. He had decades of experience doing pastoral work in South America, as well as in North America. And as prior general of the entire Augustinian Order, he would likely have traveled widely to visit many of the communities he supervised.

    Papacy under Leo

The moment when the new pope emerged on the Vatican balcony.

The new pope appeared on the Vatican balcony wearing the traditional papal garments: white cassock, short red cape, decorated red and gold stole, and golden cross hanging around his neck. Francis, on the other hand, had appeared dressed in the plain white cassock of a pope.

Certainly, he had not chosen the simplicity of Francis. Was this a sign that he would be more of a traditionalist?

His choice of a papal name, I believe, could indicate a different point of view. Pope Leo XIII wrote a groundbreaking encyclical in 1891, “Rerum Novarum,” subtitled “On Dignity and Labor.” In this he stressed the rights of workers to unionize and criticized the conditions in which they worked and lived. He also championed other rights the ordinary worker deserved from their bosses and from their government.

In his first remarks from the balcony, offering a glimpse into the direction of his papacy, Leo XIV stressed the role of Catholics and the church as peacemakers and bridge-builders, in dialogue with other religious traditions and cultures. His first words were “Peace be with you all,” describing this peace as “a disarmed peace, a disarming peace.” He further urged Catholics to act together “without fear … united with one another … to build bridges” through dialogue and outreach – to bring peace to the world.

He may not follow exactly in Francis’ footsteps, but he will likely continue walking in the same direction.

Joanne M. Pierce does not work for, consult, own shares in or receive funding from any company or organization that would benefit from this article, and has disclosed no relevant affiliations beyond their academic appointment.

  • MIL-OSI China: Europe marks 80th anniversary of WWII victory with calls for peace, unity

Europe celebrated the 80th anniversary of the end of the Second World War this week, with parades and wreath-laying ceremonies unfolding across the continent. The defeat of Fascism and Nazism in 1945 is celebrated on Victory in Euorpe (VE) Day and throughout the week, European leaders underscored the enduring value of peace and unity.

In Poland, nationwide observances on Thursday culminated in Warsaw’s Wesola district, home to the Polish Army’s Tadeusz Kosciuszko Armored Brigade. During an address to the army, Polish Prime Minister Donald Tusk vowed to strengthen Poland’s defense capability and safeguard the country.

Meanwhile, on the social media platform X, Polish President Andrzej Duda posted a strong plea: “No more war! This appeal must resound today.” He called for a world grounded in “the force of law” rather than “the law of force,” and called the memories of World War II a solemn reminder of the need to be “responsible stewards of peace.”

German Federal President Frank-Walter Steinmeier on Thursday reflected on Germany’s responsibility for the wars and called for the protection of unity, citing challenges including growing extremist forces in the country. He also reaffirmed Germany’s commitment to the principles of the post-war international order.

In addition, the CEOs of 48 major German companies, including BASF, Evonik, Siemens, Bayer, and Deutsche Bank, issued a joint statement acknowledging their companies’ historical responsibility in the Nazi era and calling for efforts against hatred, exclusion and antisemitism.

On the eve of the anniversary of VE Day on Wednesday, a meeting between newly-elected German Chancellor Friedrich Merz and French President Emmanuel Macron in Paris bore a special significance. The two leaders, representing nations once bitter enemies, emphasized the significance of German-French reconciliation.

“German-French friendship is a gift, a gift of forgiveness and reconciliation, especially for us Germans,” Merz said during his first trip abroad since being elected.

Earlier this week in Britain, nearly 30,000 ceramic red poppies cascaded down the walls of the Tower of London, representing the loss of lives during the war. British King Charles and Queen Camilla reviewed a military parade in front of Buckingham Palace, as part of four days of commemorations beginning on Monday.

In Slovakia, Prime Minister Robert Fico laid a wreath on Tuesday at the Red Army Military Cemetery in Michalovce, a city liberated by the Russian Red Army. Paying tribute to young soldiers who sacrificed their lives during the liberation of Slovakia, Fico emphasized that victory over fascism is a celebration of peace and life.

In the Netherlands, flags were flown at half-mast across the country for the national day of remembrance. Thousands gathered in Amsterdam on Monday, where Dutch King Willem-Alexander laid a wreath at a war memorial, and the nation held a two-minute silence to honor the fallen.

Italy’s commemorations began earlier, on April 25, with Liberation Day parades in Rome, Milan, Florence and other cities. National museums and parks offered free admission to the public as part of the celebrations. Italian President Sergio Mattarella, accompanied by Prime Minister Giorgia Meloni and Defense Minister Guido Crosetto, laid a wreath on the Tomb of the Unknown Soldier at the Altar of the Fatherland.

“Defending the freedom of the European peoples is a shared task,” President Mattarella declared. “Now, equality, the affirmation of the rule of law, cooperation, the same freedom and democracy, have become common goods of the European peoples to be protected by all the parties to the European Union pact.”

At the EU level, the European Parliament marked the occasion in a plenary session that featured three Second World War veterans on Wednesday. Parliamentary President Roberta Metsola stressed that the best tribute to those who gave their lives is the resolve to “never again” repeat such wars.

European Council President Antonio Costa underlined: “Peace is a heritage, but also a responsibility.”
