    Good evening Samoa,

Following an announcement yesterday on the suspension of the disbursement of funds from the third million Tala, Cabinet met this afternoon to consider this matter.

Funds for the third million Tala were appropriated and approved by Parliament in June last year for disbursement within this current financial year. We are aware that a few constituencies have received the full allocation of their third million Tala, following satisfaction of financial requirements for the project. Other constituencies have received their first payment installment and are waiting for the second and final installment. However, other constituencies have not yet received a payment from the third million Tala.

The deadline set for disbursement of funds from the million Tala project is the 30th of June 2025. District Offices are urged to comply with requirements and conditions for the release of these funds, so they can receive payments before the 30th of June.

There shall be no further disbursement of funds from the million Tala project, after the 30th of June.

The Honourable Prime Minister is away this week on duty travel.

Cabinet continues to work closely with Ministries and Corporations to ensure the machinery of government continues to deliver its regulatory functions and service delivery for our people.

The Electoral Commissioner and his Office continue to conduct voters registration to date. It is important for all eligible voters to register within the prescribed timeframes as the country heads into election in August this year.

    God bless Samoa, Soifua.

Keynote Remarks: Hon. Leatinuu Wayne Sooialo Minister of Commerce, Industry and Labour

Representatives from the Samoa Association of Manufacturers and Exporters, Representatives of the Media,

    Talofa Lava,

It is an honor and a privilege to welcome our members from the Samoa Association of Manufacturers and Exporters (SAME) to witness the continuous commitment of our Government to Private Sector Development through the annual disbursement of the SAME Export Awards Grant.

The main purpose of this grant and export awards initiative is to recognise the achievements and contributions of the manufacturing and export sector in Samoa’s economy, driving economic growth, employment creation, and international trade. In recent years, this special program was put on hold due to the Covid-19 pandemic and the establishment of SAME’s Buy Samoa Made initiative in the past fiscal year 2023/24.

However, the Export Awards remain an important initiative for the acknowledgement of local manufacturers and exporters. Therefore, the continuation of this initiative is a testament of the Government’s commitment to supporting and encouraging the development of the Manufacturing and Export Sector as reflected in its National Industry Development Policy & Strategy 2024/25 – 2034/35, and also aligned to the Key Priority Areas 8, 9 and 10 of the Pathway for the Development of Samoa 2021/2022 – 2025/2026.

We hope that this Grant will encourage manufacturers and exporters to strive for excellence, and reach new heights for Samoa in terms of productivity, trade and competitiveness in the global market. Your hard work and significant contribution to the development of Samoa’s economy

does not go unnoticed. Therefore, I would like to take this opportunity to extend my deep appreciation to all our local manufacturers and exporters for all that you have done and continue to do for Samoa.

I would also like to express my utmost gratitude to SAME for their continued support and dedication in strengthening the manufacturing and export sectors as vital engines of Samoa’s economic prosperity.

Your devotion is seen through your endeavours to develop robust networks for members, advocacy work, as well as your efforts in facilitating this award. Without your collaboration and partnership, this initiative would not be possible.

It is through such meaningful alliances that the Government is able to drive progress, empower local industries, and create lasting opportunities for our people. So let us continue to foster strong partnerships, celebrate excellence, and work together toward a thriving and resilient future for Samoa.

Fa’afetai tele lava, and may we all be inspired to keep striving for excellence, and wishing our SAME all the best with preparations for the Exports Awards

LCQ17: Combat fraudulent calls and SMS messages
    Question:

Many members of the public have relayed to me about the increasing number of fraudulent calls, as well as fraudulent SMS messages sent via instant messaging applications (e.g. WhatsApp) and phones in recent years. In this connection, will the Government inform this Council:

    (1) as it is learnt that many members of the public have been repeatedly added to suspected fraudulent groups on instant messaging applications by unknown accounts, many of which are registered with overseas phone numbers, and that these groups use “like-and-earn-rewards” and “stock investments”, etc as bait, of the number of reports received by the Police from members of the public in the past year, the total amount of money defrauded, and the number of arrests made; what targeted measures are in place by the authorities to combat fraud by such groups;

    (2) as it is learnt that many fraudsters have hacked into the instant messaging application accounts of members of the public to request money and virtual point card top-ups from their contacts, of the number of reports received by the Police from members of the public in the past year, the total amount of money defrauded, and the number of arrests made; whether the authorities have analysed which insecure practices when using such applications increase the risk of account hacking, and what targeted measures are in place to combat such account hacking by fraudsters;

    (3) as it is learnt that fraudsters falsely pretending to be the official platforms of government departments and organisations, banks, telecommunications service providers or neighbours via mobile phone SMS messages to commit fraud has become increasingly prevalent, of the number of reports received by the Police from members of the public in the past year, the total amount of money defrauded, and the number of arrests made; what respective follow-up actions the authorities have taken regarding fraudulent SMS messages sent from local and overseas sources; the average time required for the authorities to block the phone numbers concerned after such phone numbers are confirmed to be involved in fraud; and

    (4) as many members of the public have relayed that they have frequently received repeated promotional calls containing fraudulent content, causing them nuisance and indicating a worsening trend, whether the authorities will review if the existing legislation governing such calls is inadequate; if so, of the details; if not, the reasons for that?

    Reply:

    President,

Deception is a serious crime. Any person who commits the offence of “fraud” under section 16A of the Theft Ordinance (Cap. 210) is liable to imprisonment for up to 14 years, while any person charged with “obtaining property by deception” under section 17 of the same Ordinance is liable to imprisonment for up to 10 years. In addition, any person charged with “dealing with property known or believed to represent proceeds of indictable offence” under section 25 of the Organized and Serious Crimes Ordinance (Cap. 455) for proceeds of deception is liable to maximum penalties of 14 years’ imprisonment and a fine of $5 million. Regardless of whether it is committed through telephone, messaging applications or other methods, the Government of the Special Administrative Region will take stern enforcement actions as long as there are illegal activities involved. With the global trend of Internet proliferation, many countries and regions have seen a significant increase in fraud cases in recent years. The Police will continue to combat all types of frauds and to enhance public awareness in full force through enhanced law enforcement measures, publicity and education, multi-agency co-operation, intelligence analysis as well as cross-boundary collaboration.

In consultation with the Commerce and Economic Development Bureau and the Police, the reply to the Member’s question is as follows:

    (1)  “Stock investment” scams mentioned in the question involve fraudsters using online social media platforms, discussion forums, or instant messaging apps to lure victims into participating in fake investment schemes by promising “low risk, high returns”. The Police classify such scams as “online investment fraud”. In 2024, there were a total of 3 930 cases, involving approximately $2.26 billion in losses; in the first four months of 2025, there were 1 534 cases, involving approximately $1.02 billion.

As for “like-and-earn-rewards” scams mentioned in the question, they involve fraudsters using online social media platforms to recruit victims to register as “like clickers”. The scammers claim that victims can earn rewards by paying a “deposit” and then clicking “like” on a designated social media platform; the more deposit paid, the higher the reward per “like”. However, this is in fact a scheme to defraud victims of their deposits. The Police classify such scams as “online employment fraud”. In 2024, there were 3 853 reported cases, with total losses amounting to approximately $800 million; in the first four months of 2025, there were 1 515 cases, involving approximately $340 million.

The Police do not maintain any breakdown of arrested person by types of deception.

In combatting such fraudulent activities, the Police have taken measures in law enforcement, cross-border collaboration, and public education. Since most fraud cases in Hong Kong currently use stooge accounts to receive payments, cracking down on stooge accounts is an effective method to combat the fraud industry chain. In 2024, the Police arrested a total of 10 496 individuals involved in various types of fraud and money laundering offences; in the first four months of 2025, a total of 2 532 individuals were arrested, approximately 70 per cent of which were holders of stooge accounts. Since the end of 2023, the Police have also applied to the court to invoke Section 27 of the Organized and Serious Crimes Ordinance to impose heavier penalties in cases involving stooge accounts, thereby enhancing deterrence.

In terms of cross-border collaboration, the Hong Kong Police Force recently joined hands with the Police forces of the Macao Special Administrative Region, Malaysia, Maldives, Singapore, Korea, and Thailand, conducted the first joint operation of the Cross-border Anti-Scam Collaboration Platform “FRONTIER+”, working together to combat cross-border fraud crimes. They successfully identified and dismantled multiple cross-border fraud networks, arresting a total of 1 858 individuals involved in 9 268 fraud cases, including investment fraud.

In terms of publicity, given the increase in the two aforementioned types of fraud at the beginning of 2025, the Police have held press conferences on multiple occasions over the past few months and utilised various channels, namely the CyberDefender website and Facebook, to enhance publicity efforts and remind the public to remain vigilant (including explaining the latest deception tactics employed by fraudsters and outlining how the public can protect themselves), such as making use of WhatsApp’s privacy settings to allow only contacts from one’s address book to add the user to groups, thereby preventing being added to fraudulent groups by strangers.

    (2)  Scammers often use various methods to steal social media accounts, including fake customer service and fake websites. A common tactic is to send phishing messages claiming that the account has encountered security risks, luring users to click on links, enter account login information on fake websites or scan QR codes, thereby hijacking the account and sending messages to the user’s friends and family to request loans or the purchase of game point cards.

Such scams are categorised as “online account hijacking” cases, with 2 989 cases reported in 2024, involving approximately $91 million. The Police do not maintain any breakdown of arrested person by types of deception.

The Police have strengthened efforts to combat such scams from multiple angles, including requesting telecommunication service providers (TSPs) to block websites containing false WhatsApp advertisements by the end of 2023, and submitting requests to relevant search engines and overseas authorities to remove the fake websites. They also continue to promote anti-deception information through various channels to enhance public awareness of fraud prevention, and promoting the use of the Scameter and Scameter+. Among these measures, the Police urge the public to enable two-factor authentication; regularly review the devices linked to their accounts and log out of any unknown connected devices; not to blindly trust search engine results, and instead bookmark frequently used websites; and avoid connecting to public Wi-Fi or logging into online accounts on public computers.

Following the Police’s series of educational campaigns, the number of “online account hijacking” cases last year decreased by 13 per cent compared to 2023, and in the first four months of 2025, the figure further dropped by 63 per cent compared to the same period last year. The Police will continue to closely monitor deception trends, regularly review measures and strategies to combat fraud and strengthen protection for the public.

    (3)  Depending on the method used, fraud cases involving identity theft can be classified as phishing scams, online investment frauds, or even online romance scams. The Police do not maintain breakdown of fraud cases involving identity theft.

In response to scammers sending text messages by impersonating as government departments, official institutions, and banks, the Office of the Communications Authority (OFCA) launched the SMS Sender Registration Scheme (the Scheme) on December 28, 2023, and fully opened it to all industries to join in February 2024. As at end May 2025, over 540 public and private organisations (including the Immigration Department, the Department of Health, the Police, the Consumer Council, major banks and TSPs) have participated in the Scheme. Under the Scheme, only those companies or organisations qualified as Registered Senders are able to send SMS messages using their Registered SMS Sender IDs with the prefix “#”. TSPs will block fraudulent SMS messages sent by non-Registered Senders via the Internet.

In February 2023, the Police launched the mobile application “Scameter+” to help members of the public distinguish suspicious online platform accounts, payment accounts, phone numbers, email addresses, websites, etc, and to provide the public with anti-fraud tips. “Scameter+” has now been upgraded and is equipped with automatic detection functions. The Call Alert function and the Website Detection function will automatically identify scam calls and fraudulent websites. If potential fraud or cyber security risk is detected, “Scameter+” will issue a real-time notification, reminding users not to answer the call or browse the website.

Moreover, under the co-ordination of the OFCA, the Police and major TSPs have established a mechanism where TSPs will, based on the fraud records provided by the Police, block the telephone numbers suspected to be involved in deception cases and intercept suspicious website links as soon as possible. The OFCA does not maintain any record of the average time required for relevant actions by TSPs.

    (4)  The Government understands that members of the public are concerned about marketing calls. However, the nature of marketing calls is fundamentally different from scam calls. Marketing calls do not necessarily involve fraud or illegal activities, and hence, the two should not be conflated. Some businesses, particularly small and medium-sized enterprises, still rely on voice marketing calls for promotional activities and service follow-ups. Therefore, it is essential to strike a balance between regulating marketing calls and maintaining normal business activities. In fact, other regions around the world also face similar challenges in managing marketing calls. Practical difficulties remain in operation and enforcement (for example, distinction between marketing calls from nuisance calls or scam calls, evidence collection, cross-border enforcement, etc). As such, the Government believes that regulation by legislation may not be the most effective approach for managing marketing calls.

To mitigate the possible nuisance caused by marketing calls to the public, the OFCA has enhanced the Industry Regulatory Scheme for Marketing Calls in 2024 to introduce industry-specific regulation to limit the number of calls made by telemarketers to the same telephone number within a specific time frame, as well as requiring telemarketers to provide their names and contact numbers upon recipients’ requests, and to honour any unsubscribe requests from the called party. At present, 12 trade associations from seven industries (including finance, insurance, telecommunications, call centres, beauty, estate agencies and money lenders) have joined the scheme.

In addition, the OFCA has requested TSPs to provide their users with call-filtering services, and actively encourage the use of call-filtering apps by the public, while also promoting relevant information on their websites. The number of enquiries and complaints related to marketing calls received by the Government has drastically reduced from 2 060 cases in 2011 to 93 cases in the first five months of 2025, reflecting the effectiveness of the above measures.

On combating fraudulent calls, the OFCA will continue to collaborate with the telecommunications industry and the Police to mitigate the risk of phone deception on various fronts, including requiring TSPs to block/suspend suspected fraudulent phone numbers and websites, intercept suspicious calls starting with “+852”, send voice alerts or text messages to all mobile users for overseas calls prefixed with “+852”, and play voice alerts for newly activated prepaid SIM cards, so as to assist the public in guarding against suspicious calls and messages.

Following is a question by the Hon Joephy Chan and a reply by the Secretary for Innovation, Technology and Industry, Professor Sun Dong, in the Legislative Council today (June 11):

    Question:
    Reply:

    President,

My consolidated reply to the question raised by the Hon Joephy Chan is as follows:

Operated by the Digital Policy Office, the 1823 one-stop platform provides 24-hour cross-departmental customer service to help answer public enquiries about the services of 23 government bureaux/departments (B/Ds), and receive complaints and service requests for all B/Ds. In addition to telephone hotline, citizens can now use 1823 service through channels such as mobile app, website, email and e-form. In 2024, the total usage volume of 1823 reached 7.55 million.

Generally speaking, upon receipt of public enquiries or complaints from various channels, 1823 will classify them into two broad types for processing. For public enquiries concerning participating B/Ds, 1823 will answer them directly; for complaints regarding government services, 1823 will refer them to the relevant B/Ds for relevant follow-up.

Currently, 1823 has widely adopted artificial intelligence (AI) and other innovative technologies in various service areas to make its work process more automated and smart. These measures include:
The effectiveness of technological applications in enhancing 1823 service performance is also reflected in our customer satisfaction survey. On a five-point scale, the 1823’s overall customer satisfaction score in 2024 was 4.60, up from 4.56 in 2023 and 4.52 in 2022.

The enhancement of 1823 service will continue. We will further strengthen the 1823 mechanisms for case classification, triage and referral, focusing on operational data analysis and case handling process. In addition, we will further expand the use or trial of AI in different service areas and interfaces. For example, we will use AI to capture case information from emails for inputting to the case management system; provide digital self-service for case progress tracking; and enhance the question-answering capabilities of chatbot, etc, to improve operational efficiency and user experience.

  • MIL-OSI Asia-Pac: SAMOA UNITING PARTY OFFICIALLY LAUNCHED AT SHERATON SAMOA. 05th June 2025

    Source:

Under the leadership of Prime Minister Fiame Naomi Mataafa

[PRESS RELEASE APIA, SAMOA] – A bold and promising new chapter in Samoa’s democratic journey begins this Thursday, 5 June, with the official soft launch of the Samoa Uniting Party (S.U.P.) at 10:00am at the Sheraton Samoa Aggie Grey’s Ballroom, Apia.

With deep roots in Samoa’s recent era of stable governance, the Samoa Uniting Party enters the political space as a force of principled leadership, inclusive development, and unwavering respect for the rule of law. The party builds on the legacy of Prime Minister Hon. Fiame Naomi Mataʻafa and her Cabinet — one defined by competence, accountability, and courage in governance.

At the heart of S.U.P.’s vision is a steadfast belief in the rule of law as the cornerstone of national unity and public trust. This principle is not merely a legal formality, it is the foundation of responsible leadership, and the mechanism by which all Samoans are protected, empowered, and treated with dignity.

Throughout the past five years, adherence to the rule of law has been more than a value, it has been a guiding force in decision-making, institutional reform, and the upholding of Samoa’s democratic integrity.

Under Fiame’s leadership, Samoa has restored and strengthened its legal institutions, reaffirmed the independence of the judiciary, and placed constitutional responsibility above political convenience.

The Samoa Uniting Party is committed to preserving and deepening this legacy, ensuring that no one is above the law, and that government is bound by clear, fair, and enforceable rules. The party will continue to advocate for transparent processes, respect for judicial rulings, and accountability in all arms of public service.

“When leaders govern with respect for the rule of law, citizens can trust their institutions, their freedoms are safeguarded, and national development can move forward on solid ground,” said Hon. PM Fiame Naomi Mataafa. “That trust is something we will never take for granted.”

S.U.P. was founded with a commitment to inclusive governance and remains grounded in the values of Christianity and fa’a Samoa, ensuring that leadership reflects the heart and soul of the people it serves.

Under the leadership of Hon. Fiame Naomi Mataafa as Prime Minister, in the XVII Parliament, Samoa made considerable national economic improvements through:

    I. A higher economic growth than global average, even in the face of global challenges such as the pandemic and national political crisis;

    II. The strongest period of employment growth through the establishment of new small businesses, and increase in overseas seasonal workers;

    III. Increase partnerships with civil society organisations and empowerment of district development programs;

    IV. Unprecedented increase in national revenue that has seen GDP growing from over $800m in 2021 to over $1.2billion in only 4 years;

    V. Increase in donor support funding for national development programs, and

VI. Reducing the national debt whilst not taking out any additional loans.

These achievements reflect Samoa’s growing reputation for fiscal responsibility, legal transparency, and delivery capability.

The Samoa Uniting Party lead by Hon. Fiame Naomi Mataafa warmly invites the public, members of the media, community leaders, and stakeholders to attend the soft launch event. This will be an opportunity to hear directly from party representatives and learn more about their policies, priorities, and guiding values.

  • MIL-OSI: Texas Holds Three of the Top Five Destination Cities for Consumer Migration

    Source: GlobeNewswire (MIL-OSI)

CHICAGO, June 11, 2025 (GLOBE NEWSWIRE) — Americans who relocated in 2024 sought out new locales, with the three most popular locations in the state of Texas—North Houston, Fort Worth and Austin. Overall, consumers left pricier and densely populated urban areas in favor of more affordable cities and suburbs in the southern U.S., according to TransUnion (NYSE: TRU) research focused on migration and its implications for insurers.

While migration rates have decreased steadily since pre-pandemic 2019, a significant number of consumers are making bold moves. More than a quarter (26%) of Americans who moved in 2024 relocated by distances ranging from 51 miles to 250 miles and beyond.

“As consumers continue to find new places to settle, it’s important for insurers to stay on top of the trends across segments,” said Patrick Foy, senior director of strategic planning for TransUnion’s Insurance business. “These changes can have implications for customer acquisition, risk and engagement.”

Top Five Inbound and Outbound Markets in 2024

    Inbound Outbound
    North Houston, TX Miami, FL
    Fort Worth, TX Houston, TX
    Austin, TX Queens, NY
    Phoenix, AZ South Florida, FL
    Nashville, TN Oakland, CA

Gen Z goes against the grain

The research found migration trends among consumers aged 30 and older largely held true. The majority left locales like New York, Chicago and Miami, with some slight variations in where they ended up. Baby Boomers and Silent Generation consumers primarily moved to smaller locales in South Carolina and Florida. Gen Xers also moved to those states, but Texas was their top destination. Millennials seemed to avoid Florida, instead dispersing across suburban markets Texas and North Carolina.

However, many Gen Z consumers moved in the opposite direction, landing in the same cities older Americans were leaving, like New York and Chicago.

“Gen Z’s migration patterns more closely reflect those of Millennials back in 2010,” said Foy. “And they are likely going for the same reasons: the allure of big city living and the prospect of work opportunities to help launch their careers.”

Staying connected to life insurance beneficiaries
When consumers move across state lines, public records do not always update accordingly. This can create problems for life insurance providers who then may not be able to locate a beneficiary or receive notification of death for their policyholder.

The majority of states require life insurers to monitor mortality status of policy holders and to conduct due diligence to contact beneficiaries. However, over recent years the federal government has limited access to the Social Security Death Master File (SS DMF). Those records now account for only 12% of TransUnion’s deceased file data—compared to 2010 when they accounted for 95%.

Additionally, nearly six out of 10 consumers don’t even know how to find out if they are the beneficiary of a life insurance policy. This is underscored by the fact that each year tens of millions of dollars in life insurance payments go unmatched with beneficiaries.1

TransUnion’s TruLookup™ Deceased Data utilizes multiple sources, including TransUnion proprietary data, obituary data, funeral home listings, state level sources, and more. Insurers who rely solely on the SS DMF are at a significant disadvantage for uniting benefits to beneficiaries.

“Life insurance companies that rely on public records alone will likely fail to deliver on their promise to customers,” said Karen Malone, senior director of strategic planning for TransUnion’s life insurance business. “They need a robust identity solution to give them real time updates on the status of their insureds and the location of their beneficiaries.”

    Understanding a driver’s risk
Similarly, when a consumer with prior traffic violations moves to a new state or receives a traffic violation outside of their license state, their motor vehicle report (MVR) does not always capture those events.

Prior TransUnion research found that violations increased by 8% in 2024 compared to 2023—their highest point since the onset of the coronavirus pandemic. The study highlighted the strong correlation between traffic enforcement and roadway safety, along with reaffirming the power of violation data to predict future insurance losses.

TransUnion research notes that auto insurers should look beyond MVRs and investigate court records when assessing the risk of a new customer as they are less expensive than MVRs and provide a more comprehensive history. In addition, traffic violations have reached their highest point since the onset of the coronavirus pandemic, suggesting there are increasingly more insights into drivers’ behavior on the road.

  • MIL-OSI: Sunrun’s Distributed Power Plant Capacity Surpasses 650 Megawatts, Ready to Support Grid Reliability Ahead of Summer Heat and Hurricanes

    Source: GlobeNewswire (MIL-OSI)

SAN FRANCISCO, June 11, 2025 (GLOBE NEWSWIRE) — Sunrun (Nasdaq: RUN), the nation’s leading provider of clean energy as a subscription service, today announced that it is activating more than 130,000 home batteries, representing over two-thirds of Sunrun’s total battery fleet, to support America’s power grid this summer. In its grid service programs, Sunrun has the capability of dispatching 650 megawatts of peak power—enough to power 480,000 homes, or a city the size of Austin, Texas—at critical times every day to help meet America’s skyrocketing demand for electricity.

“America is entering a period of insatiable, hockey-stick energy demand driven by manufacturing, data centers, and AI,” said Sunrun CEO Mary Powell. “Sunrun’s laser focus on pairing storage with solar puts us in a position to rapidly bring new generating capacity online to stabilize the grid and help lead the nation toward energy independence.”

Sunrun’s storage-first strategy has placed the company among the top five energy storage operators nationwide, with nearly a gigawatt of total battery capacity installed—the equivalent of a nuclear power plant’s worth of peak power. Sunrun is the largest distributed battery power plant provider and operator in the world. In the first quarter of this year, Sunrun’s storage attachment rate surged to nearly 70% of new solar customers. The company accounts for roughly half of all new home battery installations in the country.

Sunrun’s dispatchable power plants recently provided hundreds of megawatts of peak power to the grid in several states:

    • Texas: Sunrun dispatched essential energy during unseasonably hot temperatures, providing cost control to all customers of two retail electricity providers.
    • Arizona: Arizona Public Service called on Sunrun for three consecutive days to dispatch essential energy during unseasonably hot temperatures.
    • California: Sunrun’s statewide residential battery power plant dispatched an average of more than 300 megawatts during a recent two-hour peak load window.
    • New York: Orange and Rockland Utilities activated Sunrun’s residential battery power plant—the largest in the state—several times so far this year to relieve grid stress.
    • Puerto Rico: In response to capacity shortfalls from centralized power plants, the island’s utility provider, LUMA, asked Sunrun to dispatch stored solar energy during 26 emergency power events since January.

As the U.S. prepares for energy demand spikes and rising temperatures, utilities and grid operators are actively planning future battery dispatches to help stabilize the grid and improve reliability. Notably, Orange and Rockland and LUMA have already asked Sunrun to prepare emergency dispatches as both service areas brace for unusually high temperatures.

In partnership with electric utilities across the country, Sunrun operates 17 dispatchable power plant programs that improve reliability and help prevent blackouts. With the unique ability to deploy utility-scale battery capacity within months, Sunrun delivers critical grid services with unmatched speed. These programs also help utilities avoid or defer transmission and distribution investments, saving money for all families connected to the grid.

Sunrun’s subscription model is key to its ability to aggregate, manage, and dispatch hundreds of thousands of home batteries to improve grid reliability. The 48E investment tax credit enables the construction of this grid infrastructure to quickly address America’s looming electricity supply crisis.

    About Sunrun
Sunrun Inc. (Nasdaq: RUN) revolutionized the solar industry in 2007 by removing financial barriers and democratizing access to locally-generated, renewable energy. • MIL-OSI Russia: The largest genome database in Russia has been compiled as part of the genetic initiative “100,000 I”

    Translation. Region: Russian Federal

Source: Rosneft – Rosneft – An important disclaimer is at the bottom of this article.

The Center for Whole Genome Sequencing of Biotechnology Campus LLC (hereinafter referred to as the Center) has fulfilled the plan for collecting biomaterials within the framework of the national genetic initiative “100,000 I”. The total number of samples has exceeded 100,000 units, of which more than 80,000 have already been decoded and entered into the project database. Full processing of the collected genomes will be completed by the end of the year.

The 100,000 I project is being implemented by the Center within the framework of the Federal Scientific and Technical Program for the Development of Genetic Technologies, the main technological partner of which is PJSC NK Rosneft. The main objective of the initiative is to decipher and systematize the genomes of Russian residents to identify hereditary predisposition to serious diseases.

At the current stage of research, scientists have already identified the genetic causes of diseases in more than 10,000 patients. Bioinformatics analysis has identified thousands of unique genetic variants associated with 500 different rare (orphan) diseases.

In addition, based on the analysis of more than 50,000 genomes of the initiative’s volunteers, reference data on the genetic diversity of the Russian population has been formed – the so-called “genomic landscape”. These data will become the starting point for further work, which scientists will be able to rely on to identify new patterns in human DNA.

Additionally, samples of over 5,000 representatives of 50 different nationalities of the Russian Federation were analyzed. To assess the frequency of genetic variants that lead to severe genetic diseases, in certain regions, for example, in Yakutia or in the regions of the North Caucasus Federal District, expanded studies of representatives of individual ethnic communities are being conducted. Their results will form the basis for genetic screening programs for healthy family planning and prevention of hereditary pathologies.

The implementation of the “100,000 I” initiative makes a significant contribution to the development of personalized medicine and prevention of hereditary diseases in the country. The center cooperates with leading medical and genetic research centers, including: Dmitry Rogachev National Medical Research Center of Pediatric Hematology, Oncology and Immunology, Academician B.V. Petrovsky Russian Scientific Center of Surgery, Academician N.P. Bochkov Medical and Genetic Research Center, Ufa Federal Research Institute and many others.

Rosneft pays special attention to the development of the scientific and educational part of the project. Together with Rosneft, master’s programs in genetics have been developed and launched at Moscow State University and Moscow Institute of Physics and Technology: “Genomics and Human Health” and “Algorithmic Biology”, respectively. During the training, students of the programs undergo practical training at the Center’s sites, and after successfully mastering the specialty and graduating, they have the opportunity to find employment there. The formation of a personnel reserve and the development of the scientific infrastructure of the project create the basis for further progress in the field of genetic technologies in Russia.

Specialists from the Biotechnology Campus regularly participate in educational events. In particular, in 2023-2024 they gave lectures and presentations at the Rosneft pavilion as part of the international exhibition and forum Russia at VDNKh.

Performance data quoted represents past performance and is no guarantee of future results. Investment return and principal value of an investment will fluctuate so that an investor’s shares, when sold or redeemed, may be worth more or less than their original cost and current performance may be lower or higher than the performance quoted above. Performance current to the most recent month-end can be obtained by calling (833) 378-0717.

Note: DIPS, FIAT, CRSH, YQQQ and WNTR are hereinafter referred to as the “Short ETFs.”

Distributions are not guaranteed. The Distribution Rate and 30-Day SEC Yield are not indicative of future distributions, if any, on the ETFs. In particular, future distributions on any ETF may differ significantly from its Distribution Rate or 30-Day SEC Yield. You are not guaranteed a distribution under the ETFs. Distributions for the ETFs (if any) are variable and may vary significantly from period to period and may be zero. Accordingly, the Distribution Rate and 30-Day SEC Yield will change over time, and such change may be significant.

Investors in the Funds will not have rights to receive dividends or other distributions with respect to the underlying reference asset(s).

*The inception date for BRKC is June 4, 2025.

    1. All YieldMax®ETFs shown in the table above (except YMAX, YMAG, FEAT, FIVY and ULTY) have a gross expense ratio of 0.99%. YMAX, FEAT have a Management Fee of 0.29% and Acquired Fund Fees and Expenses of 0.99% for a gross expense ratio of 1.28%. YMAG has a management fee of 0.29% and Acquired Fund Fees and Expenses of 0.83% for a gross expense ratio of 1.12%. FIVY has a Management Fee of 0.29% and Acquired Fund Fees and Expenses of 0.59% for a gross expense ratio of 0.88%. “Acquired Fund Fees and Expenses” are on fees and expenses that the Fund incurs from investing in the shares of other investment companies, namely other YieldMax®ETFs. ULTY has a gross expense ratio of 1.40%, and a net expense ratio after the fee waiver of 1.30%. The Advisor has agreed to a fee waiver of 0.10% through at least February 28, 2026.
    2. The Distribution Rate shown is as of close on June 10, 2025. The Distribution Rate is the annual distribution rate an investor would receive if the most recent distribution, which includes option income, remained the same going forward. The Distribution Rate is calculated by annualizing an ETF’s Distribution per Share and dividing such annualized amount by the ETF’s most recent NAV. The Distribution Rate represents a single distribution from the ETF and does not represent its total return. Distributions may also include a combination of ordinary dividends, capital gain, and return of investor capital, which may decrease an ETF’s NAV and trading price over time. As a result, an investor may suffer significant losses to their investment. These Distribution Rates may be caused by unusually favorable market conditions and may not be sustainable. Such conditions may not continue to exist and there should be no expectation that this performance may be repeated in the future.
    3. The 30-Day SEC Yield represents net investment income, which excludes option income, earned by such ETF over the 30-Day period ended May 31, 2025, expressed as an annual percentage rate based on such ETF’s share price at the end of the 30-Day period.
    4. Each ETF’s strategy (except those of the Short ETFs) will cap potential gains if its reference asset’s shares increase in value, yet subjects an investor to all potential losses if the reference asset’s shares decrease in value. Such potential losses may not be offset by income received by the ETF. Each Short ETF’s strategy will cap potential gains if its reference asset decreases in value, yet subjects an investor to all potential losses if the reference asset increases in value. Such potential losses may not be offset by income received by the ETF.
    5. ROC refers to Return of Capital. The ROC percentage indicates how much the distribution reflects an investor’s initial investment. The figures shown for each Fund in the table above are estimates and may later be determined to be taxable net investment income, short-term gains, long-term gains (to the extent permitted by law), or return of capital. Actual amounts and sources for tax reporting will depend upon the Fund’s investment activities during the remainder of the fiscal year and may be subject to changes based on tax regulations. Your broker will send you a Form 1099-DIV for the calendar year to tell you how to report these distributions for federal income tax purposes

Each Fund has a limited operating history and while each Fund’s objective is to provide current income, there is no guarantee the Fund will make a distribution. Distributions are likely to vary greatly in amount.

Risk Disclosures (applicable to all YieldMax ETFs referenced above, except the Short ETFs)

YMAX, YMAG, FEAT and FIVY generally invest in other YieldMax® ETFs. As such, these Funds are subject to the risks listed in this section, which apply to all the YieldMax® ETFs they may hold from time to time.

Investing involves risk. Principal loss is possible.

Referenced Index Risk. The Fund invests in options contracts that are based on the value of the Index (or the Index ETFs). This subjects the Fund to certain of the same risks as if it owned shares of companies that comprised the Index or an ETF that tracks the Index, even though it does not.

Indirect Investment Risk. The Index is not affiliated with the Trust, the Fund, the Adviser, or their respective affiliates and is not involved with this offering in any way. Investors in the Fund will not have the right to receive dividends or other distributions or any other rights with respect to the companies that comprise the Index but will be subject to declines in the performance of the Index.

Russell 2000 Index Risks. The Index, which consists of small-cap U.S. companies, is particularly susceptible to economic changes, as these firms often have less financial resilience than larger companies. Market volatility can disproportionately affect these smaller businesses, leading to significant price swings. Additionally, these companies are often more exposed to specific industry risks and have less diverse revenue streams. They can also be more vulnerable to changes in domestic regulatory or policy environments.

Call Writing Strategy Risk. The path dependency (i.e., the continued use) of the Fund’s call writing strategy will impact the extent that the Fund participates in the positive price returns of the underlying reference asset and, in turn, the Fund’s returns, both during the term of the sold call options and over longer periods.

Counterparty Risk. The Fund is subject to counterparty risk by virtue of its investments in options contracts. Transactions in some types of derivatives, including options, are required to be centrally cleared (“cleared derivatives”). In a transaction involving cleared derivatives, the Fund’s counterparty is a clearing house rather than a bank or broker. Since the Fund is not a member of clearing houses and only members of a clearing house (“clearing members”) can participate directly in the clearing house, the Fund will hold cleared derivatives through accounts at clearing members.

Derivatives Risk. Derivatives are financial instruments that derive value from the underlying reference asset or assets, such as stocks, bonds, or funds (including ETFs), interest rates or indexes. The Fund’s investments in derivatives may pose risks in addition to, and greater than, those associated with directly investing in securities or other ordinary investments, including risk related to the market, imperfect correlation with underlying investments or the Fund’s other portfolio holdings, higher price volatility, lack of availability, counterparty risk, liquidity, valuation and legal restrictions.

Options Contracts. The use of options contracts involves investment strategies and risks different from those associated with ordinary portfolio securities transactions. The prices of options are volatile and are influenced by, among other things, actual and anticipated changes in the value of the underlying instrument, including the anticipated volatility, which are affected by fiscal and monetary policies and by national and international political, changes in the actual or implied volatility or the reference asset, the time remaining until the expiration of the option contract and economic events.

Distribution Risk. As part of the Fund’s investment objective, the Fund seeks to provide current income. There is no assurance that the Fund will make a distribution in any given period. If the Fund does make distributions, the amounts of such distributions will likely vary greatly from one distribution to the next.

High Portfolio Turnover Risk. The Fund may actively and frequently trade all or a significant portion of the Fund’s holdings. A high portfolio turnover rate increases transaction costs, which may increase the Fund’s expenses.

Liquidity Risk. Some securities held by the Fund, including options contracts, may be difficult to sell or be illiquid, particularly during times of market turmoil.

Non-Diversification Risk. Because the Fund is “non-diversified,” it may invest a greater percentage of its assets in the securities of a single issuer or a smaller number of issuers than if it was a diversified fund.

New Fund Risk. The Fund is a recently organized management investment company with no operating history. As a result, prospective investors do not have a track record or history on which to base their investment decisions.

Price Participation Risk. The Fund employs an investment strategy that includes the sale of call option contracts, which limits the degree to which the Fund will participate in increases in value experienced by the underlying reference asset over the Call Period.

Single Issuer Risk. Issuer-specific attributes may cause an investment in the Fund to be more volatile than a traditional pooled investment which diversifies risk or the market generally. The value of the Fund, which focuses on an individual security (ARKK, TSLA, AAPL, NVDA, AMZN, META, GOOGL, NFLX, COIN, MSFT, DIS, XOM, JPM, AMD, PYPL, SQ, MRNA, AI, MSTR, Bitcoin ETP, GDX®, SNOW, ABNB, BABA, TSM, SMCI, PLTR, MARA, CVNA, HOOD, BRK.B), may be more volatile than a traditional pooled investment or the market as a whole and may perform differently from the value of a traditional pooled investment or the market as a whole.

Inflation Risk. Inflation risk is the risk that the value of assets or income from investments will be less in the future as inflation decreases the value of money. As inflation increases, the present value of the Fund’s assets and distributions, if any, may decline.

Indirect Investment Risk. The Index is not affiliated with the Trust, the Fund, the Adviser, or their respective affiliates and is not involved with this offering in any way.

Risk Disclosures (applicable only to GPTY)

Artificial Intelligence Risk. Issuers engaged in artificial intelligence typically have high research and capital expenditures and, as a result, their profitability can vary widely, if they are profitable at all. The space in which they are engaged is highly competitive and issuers’ products and services may become obsolete very quickly. These companies are heavily dependent on intellectual property rights and may be adversely affected by loss or impairment of those rights. The issuers are also subject to legal, regulatory, and political changes that may have a large impact on their profitability. A failure in an issuer’s product or even questions about the safety of the product could be devastating to the issuer, especially if it is the marquee product of the issuer. It can be difficult to accurately capture what qualifies as an artificial intelligence company.

Technology Sector Risk. The Fund will invest substantially in companies in the information technology sector, and therefore the performance of the Fund could be negatively impacted by events affecting this sector. Market or economic factors impacting technology companies and companies that rely heavily on technological advances could have a significant effect on the value of the Fund’s investments. The value of stocks of information technology companies and companies that rely heavily on technology is particularly vulnerable to rapid changes in technology product cycles, rapid product obsolescence, government regulation and competition, both domestically and internationally, including competition from foreign competitors with lower production costs. Stocks of information technology companies and companies that rely heavily on technology, especially those of smaller, less-seasoned companies, tend to be more volatile than the overall market. Information technology companies are heavily dependent on patent and intellectual property rights, the loss or impairment of which may adversely affect profitability.

Risk Disclosure (applicable only to MARO)

Digital Assets Risk: The Fund does not invest directly in Bitcoin or any other digital assets. The Fund does not invest directly in derivatives that track the performance of Bitcoin or any other digital assets. The Fund does not invest in or seek direct exposure to the current “spot” or cash price of Bitcoin. Investors seeking direct exposure to the price of Bitcoin should consider an investment other than the Fund. Digital assets like Bitcoin, designed as mediums of exchange, are still an emerging asset class. They operate independently of any central authority or government backing and are subject to regulatory changes and extreme price volatility.

Risk Disclosures (applicable only to BABO and TSMY)

Currency Risk: Indirect exposure to foreign currencies subjects the Fund to the risk that currencies will decline in value relative to the U.S. dollar. Currency rates in foreign countries may fluctuate significantly over short periods of time for a number of reasons, including changes in interest rates and the imposition of currency controls or other political developments in the U.S. or abroad.

Depositary Receipts Risk: The securities underlying BABO and TSMY are American Depositary Receipts (“ADRs”). Investment in ADRs may be less liquid than the underlying shares in their primary trading market.

Foreign Market and Trading Risk: The trading markets for many foreign securities are not as active as U.S. markets and may have less governmental regulation and oversight.

Foreign Securities Risk: Investments in securities of non-U.S. issuers involve certain risks that may not be present with investments in securities of U.S. issuers, such as risk of loss due to foreign currency fluctuations or to political or economic instability, as well as varying regulatory requirements applicable to investments in non-U.S. issuers. There may be less information publicly available about a non-U.S. issuer than a U.S. issuer. Non-U.S. issuers may also be subject to different regulatory, accounting, auditing, financial reporting, and investor protection standards than U.S. issuers.

Risk Disclosures (applicable only to GDXY)

Risk of Investing in Foreign Securities. The Fund is exposed indirectly to the securities of foreign issuers selected by GDX®’s investment adviser, which subjects the Fund to the risks associated with such companies. Investments in the securities of foreign issuers involve risks beyond those associated with investments in U.S. securities.

Risk of Investing in Gold and Silver Mining Companies. The Fund is exposed indirectly to gold and silver mining companies selected by GDX®’s investment adviser, which subjects the Fund to the risks associated with such companies.

The Fund invests in options contracts based on the value of the VanEck Gold Miners ETF (GDX®), which subjects the Fund to some of the same risks as if it owned GDX®, as well as the risks associated with Canadian, Australian and Emerging Market Issuers, and Small-and Medium-Capitalization companies.

Risk Disclosures (applicable only to YBIT)

YBIT does not invest directly in Bitcoin or any other digital assets. YBIT does not invest directly in derivatives that track the performance of Bitcoin or any other digital assets. YBIT does not invest in or seek direct exposure to the current “spot” or cash price of Bitcoin. Investors seeking direct exposure to the price of Bitcoin should consider an investment other than YBIT.

Bitcoin Investment Risk: The Fund’s indirect investment in Bitcoin, through holdings in one or more Underlying ETPs, exposes it to the unique risks of this emerging innovation. Bitcoin’s price is highly volatile, and its market is influenced by the changing Bitcoin network, fluctuating acceptance levels, and unpredictable usage trends.

Digital Assets Risk: Digital assets like Bitcoin, designed as mediums of exchange, are still an emerging asset class. They operate independently of any central authority or government backing and are subject to regulatory changes and extreme price volatility. Potentially No 1940 Act Protections. As of the date of this Prospectus, there is only a single eligible Underlying ETP, and it is an investment company subject to the 1940 Act.

Bitcoin ETP Risk: The Fund invests in options contracts that are based on the value of the Bitcoin ETP. This subjects the Fund to certain of the same risks as if it owned shares of the Bitcoin ETP, even though it does not. Bitcoin ETPs are subject, but not limited, to significant risk and heightened volatility. An investor in a Bitcoin ETP may lose their entire investment. Bitcoin ETPs are not suitable for all investors. In addition, not all Bitcoin ETPs are registered under the Investment Company Act of 1940. Those Bitcoin ETPs that are not registered under such statute are therefore not subject to the same regulations as exchange traded products that are so registered.

Risk Disclosures (applicable only to the Short ETFs)

Investing involves risk. Principal loss is possible.

Price Appreciation Risk. As part of the Fund’s synthetic covered put strategy, the Fund purchases and sells call and put option contracts that are based on the value of the underlying reference asset. This strategy subjects the Fund to certain of the same risks as if it shorted the underlying reference asset, even though it does not. By virtue of the Fund’s indirect inverse exposure to changes in the value of the underlying reference asset, the Fund is subject to the risk that the value of the underlying reference asset increases. If the value of the underlying reference asset increases, the Fund will likely lose value and, as a result, the Fund may suffer significant losses.

Put Writing Strategy Risk. The path dependency (i.e., the continued use) of the Fund’s put writing (selling) strategy will impact the extent that the Fund participates in decreases in the value of the underlying reference asset and, in turn, the Fund’s returns, both during the term of the sold put options and over longer periods.

Purchased OTM Call Options Risk. The Fund’s strategy is subject to potential losses if the underlying reference asset increases in value, which may not be offset by the purchase of out-of-the-money (OTM) call options. The Fund purchases OTM calls to seek to manage (cap) the Fund’s potential losses from the Fund’s short exposure to the underlying reference asset if it appreciates significantly in value. However, the OTM call options will cap the Fund’s losses only to the extent that the value of the underlying reference asset increases to a level that is at or above the strike level of the purchased OTM call options. Any increase in the value of the underlying reference asset to a level that is below the strike level of the purchased OTM call options will result in a corresponding loss for the Fund. For example, if the OTM call options have a strike level that is approximately 100% above the then-current value of the underlying reference asset at the time of the call option purchase, and the value of the underlying reference asset increases by at least 100% during the term of the purchased OTM call options, the Fund will lose all its value. Since the Fund bears the costs of purchasing the OTM calls, such costs will decrease the Fund’s value and/or any income otherwise generated by the Fund’s investment strategy.

The prices of options are volatile and are influenced by, among other things, actual and anticipated changes in the value of the underlying reference asset, including the anticipated volatility, which are affected by fiscal and monetary policies and by national and international political, changes in the actual or implied volatility or the reference asset, the time remaining until the expiration of the option contract and economic events.

The Fund employs an investment strategy that includes the sale of put option contracts, which limits the degree to which the Fund will participate in decreases in value experienced by the underlying reference asset over the Put Period.

Single Issuer Risk. Issuer-specific attributes may cause an investment in the Fund to be more volatile than a traditional pooled investment which diversifies risk or the market generally. The value of the Fund, for any Fund that focuses on an individual security (e.g., TSLA, COIN, NVDA, MSTR), may be more volatile than a traditional pooled investment or the market as a whole and may perform differently from the value of a traditional pooled investment or the market as a whole.

Inflation Risk. Inflation risk is the risk that the value of assets or income from investments will be less in the future as inflation decreases the value of money. As inflation increases, the present value of the Fund’s assets and distributions, if any, may decline.

Risk Disclosures (applicable only to CHPY)

Semiconductor Industry Risk. Semiconductor companies may face intense competition, both domestically and internationally, and such competition may have an adverse effect on their profit margins. Semiconductor companies may have limited product lines, markets, financial resources or personnel. Semiconductor companies’ supply chain and operations are dependent on the availability of materials that meet exacting standards and the use of third parties to provide components and services.

The products of semiconductor companies may face obsolescence due to rapid technological developments and frequent new product introduction, unpredictable changes in growth rates and competition for the services of qualified personnel. Capital equipment expenditures could be substantial, and equipment generally suffers from rapid obsolescence. Companies in the semiconductor industry are heavily dependent on patent and intellectual property rights. The loss or impairment of these rights would adversely affect the profitability of these companies.

Risk Disclosures (applicable only to YQQQ)

Index Overview. The Nasdaq 100 Index is a benchmark index that includes 100 of the largest non-financial companies listed on the Nasdaq Stock Market, based on market capitalization.

Index Level Appreciation Risk. As part of the Fund’s synthetic covered put strategy, the Fund purchases and sells call and put option contracts that are based on the Index level. This strategy subjects the Fund to certain of the same risks as if it shorted the Index, even though it does not. By virtue of the Fund’s indirect inverse exposure to changes in the Index level, the Fund is subject to the risk that the Index level increases. If the Index level increases, the Fund will likely lose value and, as a result, the Fund may suffer significant losses. The Fund may also be subject to the following risks: innovation and technological advancement; strong market presence of Index constituent companies; adaptability to global market trends; and resilience and recovery potential.

Index Level Participation Risk. The Fund employs an investment strategy that includes the sale of put option contracts, which limits the degree to which the Fund will benefit from decreases in the Index level experienced over the Put Period. This means that if the Index level experiences a decrease in value below the strike level of the sold put options during a Put Period, the Fund will likely not experience that increase to the same extent and any Fund gains may significantly differ from the level of the Index losses over the Put Period. Additionally, because the Fund is limited in the degree to which it will participate in decreases in value experienced by the Index level over each Put Period, but has significant negative exposure to any increases in value experienced by the Index level over the Put Period, the NAV of the Fund may decrease over any given period. The Fund’s NAV is dependent on the value of each options portfolio, which is based principally upon the inverse of the performance of the Index level. The Fund’s ability to benefit from the Index level decreases will depend on prevailing market conditions, especially market volatility, at the time the Fund enters into the sold put option contracts and will vary from Put Period to Put Period. The value of the options contracts is affected by changes in the value and dividend rates of component companies that comprise the Index, changes in interest rates, changes in the actual or perceived volatility of the Index and the remaining time to the options’ expiration, as well as trading conditions in the options market. As the Index level changes and time moves towards the expiration of each Put Period, the value of the options contracts, and therefore the Fund’s NAV, will change. However, it is not expected for the Fund’s NAV to directly inversely correlate on a day-to-day basis with the returns of the Index level. The amount of time remaining until the options contract’s expiration date affects the impact that the value of the options contracts has on the Fund’s NAV, which may not be in full effect until the expiration date of the Fund’s options contracts. Therefore, while changes in the Index level will result in changes to the Fund’s NAV, the Fund generally anticipates that the rate of change in the Fund’s NAV will be different than the inverse of the changes experienced by the Index level.

(NASDAQ: BMR), a leader in video optimization technology and solutions, today announced it will launch a high-performance, high-quality video compression solution designed for autonomous vehicles at NVIDIA GTC Paris, taking place June 10-12, 2025, as part of Viva Technology 2025, Europe’s biggest startup and tech event.

In the development of autonomous driving, video is the dominant data type. A single vehicle produces terabytes of video data daily, and training a single autonomous model may require tens to hundreds of petabytes. Beamr’s proprietary technology, with a proven track record in high-efficiency video compression trusted by global media players, now addresses a pressing, costly challenge for autonomous vehicles and machine learning teams: managing video data at scale, including long-term storage and the significant infrastructure investment required.

Beamr’s Content-Adaptive Bitrate (CABR) technology, built on NVIDIA accelerated computing, reduces real-world autonomous driving and synthetic video file sizes by up to 50%. This is achieved while preserving visual quality and critical visual features essential for training autonomous driving models. By addressing key storage, compute, and bandwidth constraints in AI pipelines, it significantly reduces operational costs.

Video capturing for autonomous driving models starts with Advanced Driver Assistance Systems (ADAS), recording real-world driving footage ingested into data centers, where video volumes scale rapidly. Yet, real-world data alone is insufficient for training models that must perform reliably across a wide spectrum of scenarios, including rare edge cases. To address this, a vast amount of synthetic video is generated by platforms such as NVIDIA Omniverse and NVIDIA Cosmos™ world foundation models, helping to amplify training data.

“Autonomous vehicle companies are under mounting pressure from rising video storage demands and infrastructure costs,” said Sharon Carmel, Beamr CEO. “Our content-adaptive technology, accelerated by GPUs, delivers highly efficient compression while maintaining visual quality across a variety of scenarios – both for human perception and machine vision, and in both real-world and synthetic video.”

In recent benchmark testing on raw driving footage using real-time object detection models, Beamr’s CABR achieved compression rates equivalent to the highest-quality compression common in the industry. It maintains high detection accuracy, preserving even fine visual details, demonstrating practically no impact on machine learning performance, while enabling up to 50% savings.

All GTC Paris attendees interested in Beamr’s solutions for scalable, high-quality video solutions are invited to schedule a meeting with Beamr’s video experts team. For registration, please click the link.

    Financial Outlook

For the second quarter and full year of fiscal 2026, SailPoint expects (in millions, except per share amounts and percentages):

      Q2’26 Guidance FY’26 Guidance Prior FY’26 Guidance
    Total ARR $963 to $967 $1,095 to $1,105 $1,075 to $1,085

These statements regarding SailPoint’s expectations of its financial outlook are forward-looking and actual results may differ materially. Refer to “Forward-Looking Statements” below for information on the factors that could cause SailPoint’s actual results to differ materially from these forward-looking statements.

All of SailPoint’s forward-looking non-GAAP financial measures exclude estimates for stock-based compensation expense, payroll taxes related to restricted stock units (RSUs), and amortization of acquired intangibles as well as acquisition-related costs and severance of certain key executives, if applicable. SailPoint has not reconciled its expectations as to adjusted income (loss) from operations and adjusted EPS to their most directly comparable GAAP measure due to the high variability and difficulty in making accurate forecasts and projections of certain items that impact these non-GAAP measures, particularly stock-based compensation expense. Stock-based compensation expense is affected by future hiring, turnover, and retention needs, as well as the future fair market value of our common stock, all of which are difficult to predict and subject to change. The actual amount of the excluded stock-based compensation expense will have a significant impact on SailPoint’s GAAP income (loss) from operations and GAAP net income (loss) per basic and diluted common share. Accordingly, reconciliations of our forward-looking adjusted income (loss) from operations and adjusted EPS to their most directly comparable GAAP measures are not available without unreasonable effort.

    Investor Conference Call and Webcast

SailPoint will host a conference call today at 8:30 a.m. Eastern Time to discuss the results and outlook. A live webcast of the conference call and a presentation regarding SailPoint’s fiscal first quarter 2026 financial results and outlook will be available on SailPoint’s website at https://investors.sailpoint.com

An audio replay of the conference call will be available on the investor relations website for one year.

    Non-GAAP Financial Measures

In addition to our financial information presented in accordance with GAAP, we use certain non-GAAP financial measures to clarify and enhance our understanding of past performance, including the following:

Adjusted income from operations, which we define as income (loss) from operations excluding equity-based compensation expense, payroll taxes related to awards that were accelerated upon the closing of our initial public offering (the IPO) and payroll taxes related to RSUs, all of which were issued after the closing of the IPO, amortization of acquired intangible assets which includes impairment charges, impairment of intangible assets, acquisition-related expenses, benefit from amortization related to acquired contract acquisition costs, Thoma Bravo monitoring fees (which were annual service fees for consultation and advice related to corporate strategy, budgeting of future corporate investments, acquisition and divestiture strategies, and debt and equity financings pursuant to an advisory services agreement that was terminated upon the closing of the IPO), and restructuring expenses.

Adjusted operating margin, which we define as adjusted income from operations as a percentage of revenue.

Adjusted EPS (or non-GAAP net income (loss) available to common stockholders per diluted share), which we define as adjusted net income (loss) divided by the diluted weighted average shares outstanding, except that solely for the fiscal year ending January 31, 2026 (and all periods therein), we calculate adjusted EPS based on the number of diluted shares outstanding as of the end of such period rather than the diluted weighted average shares outstanding for such period. We believe that using such a denominator will provide a more meaningful comparison with future periods due to the IPO closing after the beginning of fiscal year 2026. We calculate adjusted net income (loss) as net income (loss) on a GAAP basis excluding equity-based compensation expense, payroll taxes related to awards that were accelerated upon the closing of the IPO (IPO-accelerated awards) and payroll taxes related to RSUs, all of which were issued after the closing of the IPO, amortization of acquired intangible assets which includes impairment charges, impairment of intangible assets, acquisition-related expenses, benefit from amortization related to acquired contract acquisition costs, Thoma Bravo monitoring fees and restructuring expenses, and adjusted for the income tax effects related to those adjustments. We currently apply a fixed projected tax rate of 24.5% when calculating or estimating adjusted net income for the fiscal year ending January 31, 2026 and all periods therein for consistency across interim reporting periods within such fiscal year. This rate may be adjusted during the year if significant events that have a material impact on the rate occur, such as significant changes in our geographic mix of revenue and expenses, tax law changes, and acquisitions.

Our non-GAAP financial measures exclude items that do not reflect our ongoing, core operating or business performance, such as equity-based compensation, payroll taxes related to IPO-accelerated awards and payroll taxes related to RSUs, amortization of acquired intangible assets, and acquisition-related expenses. We believe these adjustments enable management and investors to compare our underlying business performance from period-to-period and provide investors with additional means to evaluate cost and expense trends. We also believe these adjustments enhance comparability of our financial performance against those of other technology companies. Accordingly, our management believes the presentation of our non-GAAP financial measures provides useful information to investors regarding our financial condition and results of operations. In addition, SailPoint’s management uses adjusted income (loss) from operations for budgeting and planning purposes, including with respect to its corporate bonus plan.

Our non-GAAP financial measures are adjusted for the following factors, among others:

Equity-based compensation expense. We believe that the exclusion of equity-based compensation expense is appropriate because it eliminates the impact of equity-based compensation costs that are based upon valuation methodologies and assumptions that vary over time, and the amount of the expense can vary significantly due to factors that are unrelated to our core operating performance and that can be outside of our control. Although we exclude equity-based compensation expense from our non-GAAP measures, equity compensation has been, and will continue to be, an important part of our future compensation strategy and a significant component of our future expenses and may increase in future periods.

Payroll taxes related to IPO-accelerated awards and payroll taxes related to RSUs. We believe that the exclusion of payroll taxes related to IPO-accelerated awards is appropriate as the acceleration was a one-time, non-recurring event. We believe that the exclusion of payroll taxes related to RSUs is appropriate as they are dependent on SailPoint’s stock price and the vesting of such awards and therefore can vary significantly due to factors that are unrelated to our core operating performance and that can be outside of our control. Because the amount of such payroll taxes is highly variable due to factors outside of our control and is unrelated to our core operating performance, our management does not consider them when evaluating the performance of our business or making operating plans (for example, when considering the impact of equity award grants, we place a greater emphasis on overall stockholder dilution than the accounting charges associated with such grants). Accordingly, we believe this adjustment in arriving at our non-GAAP measures provides investors with a better understanding of the performance of our core business in a manner that is consistent with management’s view of the business. As with equity-based compensation expense, although we exclude payroll taxes related to post-IPO RSUs from our non-GAAP measures, such payroll taxes are, and will continue to be, a component of our future expenses and may increase in future periods. We note that, unlike equity-based compensation expense, payroll taxes are a cash expense.

Amortization of acquired intangible assets and impairment of intangible assets. We exclude amortization charges for our acquisition-related intangible assets and impairment of intangible assets for purposes of calculating certain non-GAAP measures to eliminate the impact of these non-cash charges and provide for a more meaningful comparison between operating results from period to period as the intangible assets are valued at the time of acquisition and are amortized over the useful life, which can be several years after the acquisition.

Acquisition-related costs. We believe that the exclusion of acquisition-related expenses is appropriate as they represent items that management believes are not indicative of our ongoing operating performance. These expenses are primarily composed of legal, accounting, and professional fees incurred that are not capitalizable and that are included within general and administrative expenses.

Amortization related to acquired contract acquisition costs. On August 16, 2022, our predecessor was acquired in an all-cash take-private transaction by Thoma Bravo (the “Take-Private Transaction”). In accordance with GAAP reporting requirements, we wrote off our contract acquisition costs at the time of the Take-Private Transaction. Therefore, GAAP commissions expense related to contract acquisition costs after the Take-Private Transaction do not reflect the commissions expense that would have been reported if the contract acquisition costs had not been written off. Accordingly, we believe that presenting the approximate amount of acquisition-related commission expenses (so that the full amount of commission expense is included) provides a more appropriate representation of commission expense in a given period and, therefore, provides readers of our financial statements with a more consistent basis for comparison across accounting periods.

SailPoint’s non-GAAP financial measures may not provide information that is directly comparable to that provided by other companies in our industry because they may calculate non-GAAP financial results differently. In addition, there are limitations in using non-GAAP financial measures because they are not prepared in accordance with GAAP and exclude expenses that may have a material impact on our reported financial results. The presentation of non-GAAP financial information is not meant to be considered in isolation or as a substitute for the directly comparable financial measures prepared in accordance with GAAP. SailPoint urges you to review the reconciliations of our non-GAAP financial measures to the comparable GAAP financial measures included below, and not to rely on any single financial measure to evaluate its business.

Definitions of Certain Key Business and Other Metrics

Annual Recurring Revenue. We define ARR as the annualized value of SaaS, maintenance, term subscription, and other subscription contracts as of the measurement date. To the extent that we are actively negotiating a renewal or new agreement with a customer after the expiration of a contract, we continue to include that contract’s annualized value in ARR until the customer notifies us that it is not renewing its contract. We calculate ARR by dividing the active contract value by the number of days of the contract and then multiplying by 365. ARR should be viewed independently of revenue, as ARR is an operating metric and is not intended to be combined with or to replace revenue. ARR is not a forecast of future revenue, which can be impacted by ASC 606 allocations, and ARR does not consider other sources of revenue that are not recurring in nature. ARR does not have a standardized meaning and is not necessarily comparable to similarly titled measures presented by other companies.

SaaS Annual Recurring Revenue. We define SaaS ARR as the annualized value of SaaS contracts as of the measurement date. To the extent that we are actively negotiating a renewal or new agreement with a customer after the expiration of a contract, we continue to include that contract’s annualized value in SaaS ARR until the customer notifies us that it is not renewing its contract. We calculate SaaS ARR by dividing the active SaaS contract value by the number of days of the contract and then multiplying by 365. SaaS ARR should be viewed independently of subscription revenue as SaaS ARR is an operating metric and is not intended to be combined with or to replace subscription revenue. SaaS ARR is not a forecast of future subscription revenue, which can be impacted by ASC 606 allocations and renewal rates, and does not consider other sources of revenue that are not recurring in nature. SaaS ARR does not have a standardized meaning and is not necessarily comparable to similarly titled measures presented by other companies.

Subscription Revenue. The majority of our revenue relates to subscription revenue which consists of (i) fees for access to, and related support for, the SaaS offerings, (ii) fees for term subscriptions, (iii) fees for ongoing maintenance and support of perpetual license solutions, and (iv) other subscription services such as cloud managed services, and certain professional services. Term subscriptions include the term licenses and ongoing maintenance and support. Maintenance and support agreements consist of fees for providing software updates on a when and if available basis and for providing technical support for software products for a specified term.

Subscription revenue, including support for term licenses, is recognized ratably over the term of the applicable agreement. Revenue related to term subscription performance obligations, excluding support for term subscriptions, is recognized upfront at the point in time when the customer has taken control of the software license.

  • Sensex ends in green amid volatility, investors await key macroeconomic data

    Source: Government of India

    Source: Government of India (4)

The Indian stock market ended higher after a volatile session on Wednesday, with the Sensex rising 123.42 points, or 0.15 per cent, to close at 82,515.14. The Nifty also advanced 37.15 points, or 0.15 per cent, to settle at 25,141.40.

Despite the gains in benchmark indices, selling pressure was observed in the broader market. The Nifty Midcap 100 index declined by 293.25 points, or 0.49 per cent, to 59,388.15, while the Nifty Smallcap 100 index fell 101.05 points, or 0.53 per cent, to 18,798.75.

Sectorally, IT, auto, pharma, realty, and energy stocks were the top gainers, whereas PSU banks, financial services, FMCG, metal, and media stocks closed in the red.

Among the top gainers in the Sensex pack were HCL Tech, Infosys, Tech Mahindra, Bajaj Finserv, Tata Motors, Eternal (Zomato), ICICI Bank, UltraTech Cement, and Titan. On the losing side, Power Grid, IndusInd Bank, Nestle, HUL, and HDFC Bank were the major laggards.

The Nifty index remained volatile through the day, reflecting investor caution ahead of key economic data releases.

“Crucial support is placed at 24,850. As long as the index holds above this level, the trend is likely to remain positive, with potential to move towards 25,350 in the short term,” said Rupak De, Senior Technical Analyst at LKP Securities.

According to market analysts, profit-booking continued in the broader markets due to elevated domestic valuations. However, resilience in large-cap stocks supported the benchmark indices, with institutional investors preferring companies with stable earnings outlooks.

“The auto and IT sectors remain in focus — auto stocks are gaining on improved monthly sales, while IT is benefiting from optimism around a potential US-China trade resolution,” said Vinod Nair, Head of Research at Geojit Financial Services.

Following the recent rally, analysts noted that the market currently lacks a clear direction as investors await key macroeconomic indicators and updates on global trade developments.

“US inflation data is expected to show a slight uptick, driven by recent tariff increases,” Nair added.

Meanwhile, the Indian rupee traded stronger by 0.10, closing at 85.44 against the US dollar, supported by sustained buying activity from foreign and domestic institutional investors. The dollar index remained flat. Analysts expect the rupee to trade within the range of 85.25 to 85.85 in the near term.

  • MIL-OSI Russia: How can NSU students avoid being scammed?

    Translation. Region: Russian Federal

Source: Novosibirsk State University – Novosibirsk State University –

What fraudulent schemes are used against NSU students?

    1) Calls from fake “government” agencies with a stern warning or request to reissue documents, receive a parcel, or “save State Services from hacking.”

How to resist: do not answer calls from unknown numbers or calls in messengers with avatars that imitate the logos of government agencies. Remember that a government agency will NEVER call you on your personal number and ask you to hurry up with documents.

If you can log into your personal account on the State Services portal, then it is NOT hacked. And if a document change is really required, the notification will come in electronic and official format.

    2) Fraud with dormitory rooms for locals and out-of-towners: scammers ask for an advance payment for a “dead soul,” for a family room, or to “definitely reserve a place in a new dormitory.”

How to resist: remember that dormitory places can only be obtained OFFICIALLY. The NSU Student Dormitory Administration never charges money for registering a student in a dormitory and, moreover, does not ask for any prepayments for “room reservations”.

    — I would like to remind students and their parents that Novosibirsk State University has a set of internal regulations that are strictly observed. We accommodate out-of-town students in 100% of cases according to the standard check-in procedure, the same applies to married couples — separate family blocks are provided for them in the student campus. Payment for rent and utilities is made only according to the official agreement that the student concluded during check-in.

Booking rooms in advance and for large sums of money is illegal! No one provides such services either on behalf of the NSU Student Dormitory Administration or on behalf of the university. Moreover, we check the lists of students living in the dormitories every week to prevent violations of the internal regulations.

On my own behalf, I will say that for me the main identifier of fraud is any correspondence, call or other pressure in a messenger, because no official structure conducts correspondence in online services via the Internet. Any call made by phone should also be assessed critically, because technologies using artificial intelligence are now capable of much, – commented the head of the NSU Student Dormitory Department Sergey Aleksandrovich Gusev.

    Remember the basic safety rules:

    — If they call “from the accounting department” or the dean’s office, it’s better to approach them in person and find out what is really required of you.

    — NEVER give your personal information to strangers: passport, SNILS (insurance certificate).

    — Don’t fall for tricks and don’t let scammers hack your personal account on the “Gosuslugi” portal — ONLY scammers ask for a code to log in or change your password.

    — Set a self-ban on loans in your personal account on “Gosuslugi”. It takes two minutes, and you have already blocked the scammers from taking out a microloan in your name if there is a leak of personal data.

    — NEVER manually transfer money to strangers on demand.

    — Fraudsters are excellent psychologists. Even if you think that you will not be able to say anything important, it is better to immediately stop the dialogue and write a statement to the police about malicious actions against you.

    Don’t rely only on yourself.

During exam periods, the level of nervous tension increases tenfold, and scammers skillfully take advantage of your vulnerable state.

Every NSU student can seek psychological help from the Psychological Support Department, as well as from volunteers from the pre-psychological help club “You are not alone”.

  • MIL-OSI Economics: Data flows in supply chains: Practical realities and policy implications

    Source: International Chamber of Commerce

Headline: Data flows in supply chains: Practical realities and policy implications

Why are cross-border data flows essential to modern supply chains?

Cross-border data flows are essential for efficient, resilient, and interconnected global supply chains. They enable real-time coordination, including traceability, custom clearance and the deployment of digital tools such as IoT and AI-driven analytics.

Restrictive data policies, however, can create significant barriers that disrupt these interconnected systems. Such restrictions slow down trade, increase operational costs, and disproportionately impact MSMEs – the backbone of global economies – who may be excluded from global markets due to complex, costly compliance requirements.

What’s stopping data from moving freely?

Despite their critical role, cross-border data flows face growing regulatory hurdles. The lack of multilateral coordination and a fragmented regulatory landscape create barriers to trade and disrupt supply chains. Key issues range from data localisation mandates – which require companies to store and process data within national borders – to conflicting privacy and cybersecurity rules which increase compliance burdens. These fragmented regulatory approaches create uncertainty and act as non-tariff barriers to trade. They create inefficiencies, limit business opportunities and undermine the ability of companies to optimize supply chain operations, international scalability and competitiveness.

ICC recommendations: what can policymakers do to fix it?

    1. Pursue new rules at the WTO to enable trusted, secure, and predictable cross-border data flows.
    2. Promote risk-based approaches that differentiate between personal and non-personal data.
    3. Ensure interoperable data standards and avoid blanket localisation requirements that require all data, regardless of type, to be stored locally.
    4. Protect Confidential Business Information (CBI) in trade and data policies.
    5. Invest in MSME-friendly digital trade ecosystems, including trusted trader programmes.

  • MIL-OSI Africa: Uganda’s tax system is a drain on small businesses: how to set them free

Source: The Conversation – Africa – By Adrienne Lees, Researcher, Institute of Development Studies

Uganda is one of the countries most exposed to recent cuts in international aid, particularly with the dissolution of the US Agency for International Development (USAID). In 2023, about 5% of gross national income – a measure of a country’s total income, including income from foreign sources – was received in aid.

The cuts have given new impetus to the drive to increase taxes raised from domestic businesses.

Less than half (45%) of the Ugandan budget is financed through domestic revenue. The remainder is funded largely through debt and budget support (grants) from bilateral and multilateral donors. Corporate income tax makes up around 8% of total domestic revenue. Firms also collect employee income tax (pay-as-you-earn), value added tax, excise duties and fuel duties.

Small and medium-sized enterprises (SMEs) contribute a small share of overall corporate income tax collection. But they make up over 90% of the private sector. The economy is heavily reliant on these firms for employment and growth.

These businesses struggle to navigate an increasingly complex tax system.

The complexity of Uganda’s tax system makes for a time-consuming tax filing process, compounded by low taxpayer knowledge and high levels of distrust in the Uganda Revenue Authority. The time, money and effort incurred by taxpayers to meet their tax obligations adds to their total tax burden.

These compliance costs also have real economic consequences. Firms might miss out on tax benefits or artificially constrain business growth to avoid greater reporting requirements. Since smaller firms are more constrained in their ability to document revenues, accurately calculate tax liabilities and file returns, they might even pay more tax than necessary.

At the margin, compliance costs affect the economic choices people make: the fear of high compliance costs might induce a potential entrepreneur to take a salaried job instead of starting a new business.

Relieving this burden could unlock greater productivity and growth, and encourage innovation and investment.

For my PhD in economics I collaborated with the Uganda Revenue Authority to generate detailed measures of tax compliance costs, using data from a survey of nearly 2,000 taxpaying SMEs. My research finds that the burden of compliance is significant, even for firms with very little tax revenue to contribute.

Solutions should focus on making compliance easier and ensuring that tax thresholds are set appropriately to exclude unproductive small firms.

    The burden

The median firm faces total annual compliance costs of about US$800, equivalent to just under 2% of turnover. These costs are also highly regressive: smaller firms face costs exceeding 20% of turnover, versus less than 1% for the largest firms.

A more troubling result is that many firms, and particularly smaller ones, spend more on completing their tax returns than they pay in actual income tax.

Much of this burden stems from labour time. Employees and firm owners dedicate over 30 hours a month on compliance-related activities, primarily compiling tax documentation and preparing returns. For firm owners personally involved in tax compliance, this responsibility consumes around 20% of their working hours, on average.

Somewhat surprisingly, the amount of time spent on tax compliance does not increase significantly with firm size.

To compensate for limited tax knowledge, many firms use the services of a tax agent. These include external accountants, consultants, or other tax specialists who assist with tax compliance. My research finds that the use of agents is common across all taxpayer categories and is primarily driven by a desire to ensure proper compliance, rather than to minimise tax liabilities.

Although these agents do not necessarily reduce compliance costs, since firms spend an average of US$54 per month on agents’ fees, related research shows that they have a broadly positive impact on the quality of tax returns submitted.

    What can be done

The Ugandan parliament recently voted on the 2025 tax amendment bills, with measures aiming to bolster revenue collection and simplify compliance. For instance, policymakers propose to use the national identity document as a taxpayer identification number, rather than requiring separate tax registration.

But policymakers should consider bolder actions.

Read more: Uganda’s tax system isn’t bringing in enough revenue, but is targeting small business the answer?

Firstly, the administrative thresholds for corporate income tax and presumptive tax (a simplified tax on business income for the smallest firms) have not been adjusted for over a decade. In a high inflation environment, this means that the tax system is capturing many firms with very little profit, and no tax to pay. Yet, these firms still bear compliance costs, and the revenue service incurs administrative costs registering and monitoring unproductive taxpayers.

Roughly 30% to 35% of firms filing returns each year file a nil return, meaning that they report zero on all significant fields of the tax return. Even these firms report compliance costs of, on average, around US$500 per year.

Rather than chasing the “little guy”, bigger revenue gains are likely to come from focusing on the largest businesses. For instance, research shows that tax incentives and exemptions cost Uganda over US$40 million in lost revenue per year.

Secondly, the Ugandan corporate income tax return is particularly long, complex, and more suited to the business structure of very large firms, rather than the SMEs making up most of the Ugandan economy. In addition to changing the thresholds, simplifying the return would be beneficial.

Filing processes could also be eased through automated pre-filling, for instance by using information from a firm’s monthly VAT returns to pre-populate parts of the corporate income tax return. The rollout of the Uganda Revenue Authority’s electronic invoicing system for VAT is a promising step in this direction, although it has been met with resistance by taxpayers.

(“ACG”), is a diversified holding company pursuing growth by acquiring undervalued businesses and disruptive technologies with a global impact.

Hyperscale Data expects to divest itself of ACG on or about December 31, 2025 (the “Divestiture”). Upon the occurrence of the Divestiture, the Company would solely be an owner and operator of data centers to support high-performance computing services, though it may at that time continue to mine Bitcoin. Until the Divestiture occurs, the Company will continue to provide, through ACG and its wholly and majority-owned subsidiaries and strategic investments, mission-critical products that support a diverse range of industries, including an AI software platform, social gaming platform, equipment rental services, defense/aerospace, industrial, automotive, medical/biopharma and hotel operations. In addition, ACG is actively engaged in private credit and structured finance through a licensed lending subsidiary. Hyperscale Data’s headquarters are located at 11411 Southern Highlands Parkway, Suite 190, Las Vegas, NV 89141.

On December 23, 2024, the Company issued one million (1,000,000) shares of a newly designated Series F Exchangeable Preferred Stock (the “Series F Preferred Stock”) to all common stockholders and holders of the Series C Convertible Preferred Stock on an as-converted basis. The Divestiture will occur through the voluntary exchange of the Series F Preferred Stock for shares of Class A Common Stock and Class B Common Stock of ACG (collectively, the “ACG Shares”). The Company reminds its stockholders that only those holders of the Series F Preferred Stock who agree to surrender such shares, and do not properly withdraw such surrender, in the exchange offer through which the Divestiture will occur, will be entitled to receive the ACG Shares and consequently be stockholders of ACG upon the occurrence of the Divestiture.
