  • MIL-OSI USA: For UConn Students, the Future is Green

    Environmental consciousness, sustainability, and related subjects are crucial topics that touch on countless aspects of life – and, as UConn students recently learned, they can be fruitful and rewarding career paths as well.

    “Green Careers: Engage and Explore,” held on campus on Feb. 25, allowed students to meet potential employers, network with peers with similar interests, and hear from an alumni panel about careers based on sustainability.

    “Sustainability is here to stay, globally,” said Betsy Mortensen, communication, outreach, and education coordinator for the Office of Sustainability. “Looking at a future in a green career is a smart thing to do.”

    The event had a mix of off-campus employers and on-campus organizations. Student-run groups such as Ecohusky, Spring Valley Student Farm, Climate and Mind Network, the Beekeeping Club, and more set up tables and shared information about their clubs.

    Employers including Eversource, Bartlett Tree Experts, CT Green Bank, Sustainable CT, and Greenskies had representatives in attendance.

    “This panel is different in a sense that it’s a little bit untraditional,” said student intern Andy Zhang ’26 (CAHNR & CLAS). “We have different niches here. There is a thrift stand and social responsibility and businesspeople. We have a lot of different perspectives.”

    “Sustainability and energy are becoming such a big topic of discussion,” said Gabrielle Comella, assistant director of corporate partner relations for the Center for Career Readiness and Life Skills. “You can have a green career in so many different industries that students don’t realize.”

    “Part of UConn’s strategic plan is preparing students for careers outside of UConn, and this clearly aligns by showing the diversity of sustainability career pathways,” said Mortensen. “Another tenet of the strategic plan is to power Connecticut in terms of a strong workforce, and pretty much all of the employers here have Connecticut roots.”

    ‘Every job is a climate job’ 

    The first speaking panel featured industry leaders. Representatives from Uber, Eversource, Bartlett Tree Experts, and Connecticut Roundtable on Climate and Jobs answered students’ questions about how their companies take sustainability initiatives and how the industry is changing.

    “From our perspective, every job is a climate job,” said Alison Pilcher, the policy director at the CT Roundtable. “Every industry should be thinking about how climate change is going to impact their industry.”

    April Regan, an attorney for Eversource, explained that the company is launching a clean energy innovation program with UConn. Students will have a chance to submit business ideas for “clean innovation.” Stakeholders from UConn and Eversource will review the proposed projects, and “The top five teams will get a little bit of money to explore their idea, and one winning team will get funding for a year,” said Regan. “We’re always trying to innovate, we’re always trying to push the envelope, to push energy policy and environmental policy over these projects.”

    Five alumni took the stage for the second speaking panel, offering advice on how to navigate a career in sustainability after graduation.

    “There are so many different avenues you can take,” said Margaret Sanders ’22 (CAHNR), sustainability platform manager for Position Green. “Whether that be through further education or in the professional field, I think it’s really important to be open to trying new things.”

    Panelists discussed how to stay motivated in the field when federal administration is not overtly supportive of sustainability efforts. “Government is an interesting place. It’s a big battleship, it’s hard to turn,” said Brendan Schain, legal director for the Connecticut Department of Energy and Environmental Protection’s Environmental Quality Branch and a graduate of the UConn School of Law. “The pace of change is the change. New people with new perspectives are doing interesting things and bringing an interesting new perspective, and it takes time to institutionalize that.”

    The alumni discussed how their time at UConn helped guide them into their careers as well. Megan Coleman ’17 (ENG), an engineer for JKMuir talked about how any involvement on campus was a good experience. “I was part of a lot of the different clubs here. Being engaged in those and exposing myself to different people, different perspectives, was something that what really important to me.”

    “I got the opportunity to do a study abroad program for the UConn Earth Sciences Department,” said Emily Bigl ’23 (CLAS), an environmental planner for the Southeastern CT Council of Governments. Bigl studied geoscience and geohazards in Taiwan thanks to the UConn program. “It’s a great experience. If you can find a program relating to sustainability in the environment, that’s awesome. But if you find one outside of your realm of study, that’s awesome too. Broaden your horizons.”

    Sanders worked at the National Resources Conservation Academy while at UConn. She mentored Connecticut students and helped them execute environmental programs in their own communities. “It was fun to both see how we could take action in Connecticut and also mentor younger students on the point of intergenerational relationships,” Sanders said.

    Office of Sustainability helps UConn chart a green course

    The Office of Sustainability partnered with the Center for Career Readiness and Life Skills for the event. Student interns at the Office of Sustainability contributed heavily to the preparation of the event.

    Zhang attributed a strong student network to building the mix of clubs, employers, and alumni coming to the event. Will Gabelman, senior manager for global strategies and operations at Uber, spoke on the first panel. Zhang was able to recruit him for the event because Gabelman was his mentor in a fellowship program.

    “We are the tenth most sustainable university in the world, and the second most sustainable university in the United States,” said Zhang, citing rankings from GreenMetric UI.

    UConn earned that title thanks to efforts from the Office of Sustainability and its interns, Zhang said, and added that there are 40 to 50 student interns this semester.

    The office puts together an Earth Day event annually, and is trying to pilot an environmental justice program, according to Kanika Chaturvedi ’26 (CLAS), an intern in the office.

    The give-and-go program is another initiative where the Office of Sustainability collects donations from students who are moving out. Things like clothing, furniture, and appliances are reused rather than discarded. Last year, the program diverted 8,000 pounds of waste from landfills, and “this year they are looking to double that,” said Chaturvedi. The group also collaborates with the town of Mansfield to organize litter cleanup events.

    A project Zhang has been working on is an E-collaboration sustainability network. “It’s kind of like a virtual platform that I think it helps break down a lot of the academic barriers that you see,” said Zhang. It has grown to 240 members and contains things like weekly internship postings and relevant studies posted by professors.

    “We’re able to see sustainability manifest in a lot of different facets,” said Zhang. “Even at the business school or the engineering school, regardless of what your major is, it’s becoming commonplace to have environmental opportunities.”

(“NuVista” or the “Company“) (TSX: NVA) is pleased to announce record-setting reserves and strong financial and operating results for the three months and year ended December 31, 2024. The repeatable, predictable and profitable nature of our assets have once again underpinned significant growth in our reserves. Continued success in the Lower Montney and sanctioning of our Gold Creek area expansion have set the stage for continued growth toward 125,000 Boe/d. We are entering 2025 in a strong financial position with operational momentum and a commitment to shareholder returns. We are pleased to reaffirm our annual capital and production guidance for the year.

    Operational and Financial Highlights

    During the fourth quarter and year ended December 31, 2024, NuVista:

    • Produced an average of 85,635 Boe/d in the fourth quarter, exceeding our guidance range of 83,000 – 84,000 Boe/d. We achieved our highest-ever annual average production of 83,084 Boe/d, an 8% increase from 2023. Annual production composition aligned with guidance, with a volume weighting of 30% condensate, 9% NGLs and 61% natural gas;
    • Successfully executed a capital expenditure(2) program, investing $498.9 million in well and facility activities, including the drilling of 43 wells and the completion of 38 wells throughout the year. Fourth quarter, capital expenditures totaled $71.1 million, with 9 wells drilled;
    • Delivered annual adjusted funds flow(1) of $552.2 million ($2.68/share, basic(3)), with adjusted funds flow from the fourth quarter contributing $137.1 million ($0.67/share, basic);

    Significant Profitable and Repeatable Reserves Growth

    NuVista is pleased to announce the results of our year end 2024 independent reserves evaluation conducted by GLJ Ltd. (“GLJ”) effective as at December 31, 2024 (the “GLJ Report”). NuVista’s proven track record of continuous improvement, along with the substantial depth and quality of our undeveloped resources, reinforces our ability to deliver sustained shareholder returns in our journey to 125,000 Boe/d.

    • Reported Proved Developed Producing (“PDP”) reserves of 177.3 MMBoe, a year-over-year increase of 9%, or a 12% increase on a per share basis, driven by a successful 2024 development program and 2% positive technical revisions due to new well outperformance;
    • Recorded Total Proved plus Probable (“TP+PA”) reserves of 779.7 MMBoe, a year-over-year increase of 21%, or a 24% increase on a per share basis, attributed to the continued success in NuVista’s multi-layer Montney development in Pipestone and successful Lower and Upper Montney delineation in Wapiti;
    • Replaced 150% and 550% of 2024 production on a PDP and TP+PA basis(1), respectively, reflecting the success of our 2024 capital program and continued expansion of our undeveloped location inventory;

    Return of Capital to Shareholders and Balance Sheet Strength

    NuVista’s approach to capital allocation is focused on the compounding effect of absolute growth and a reduction in our outstanding common shares to produce industry leading total returns. We intend to allocate a minimum of $100 million in 2025, to the repurchase of the Company’s common shares pursuant to our NCIB and will allocate at least 75% of any incremental free adjusted funds flow towards additional share repurchases.

    We ended the year in a position of low debt and significant financial flexibility. As at December 31, 2024, our net debt was $232.5 million, well below our soft ceiling of approximately $350 million. We were minimally drawn on our $450 million covenant-based credit facility, at $5.4 million, with a net debt to annualized fourth quarter adjusted funds flow ratio of 0.4x. The net debt soft ceiling ensures that based on current production levels, our net debt to adjusted funds flow ratio remains at or below 1.0x in a stress test price environment of US$45/Bbl WTI and US$2.00/MMBtu NYMEX.

    We remain focused on our disciplined and value-adding growth strategy, and providing significant shareholder returns. We continue to view share repurchases as the most effective initial method of returning capital to shareholders and will reassess this approach as our growth plan progresses.

    Operations and 2025 Guidance

    Operations through the end of the year and into the first quarter of 2025 have progressed well. Consistent utilization of our two drilling rigs continues to pay dividends with new spud to rig release records being set. Completion operations kicked off again in January and despite extremely frigid temperatures, pumping efficiency has come in better than planned. With strong execution thus far in 2025 capital costs are trending below budget and we are forecasting a well cost reduction of 3% year-over-year.

    In Wapiti, we brought on a 5-well pad in Bilbo in January, which targeted three benches, including a Lower Montney, initial results from the pad are encouraging and in-line with expectations. We have finished drilling a 5-well pad in Elmworth, which is slated to come on-stream during the second quarter. In Gold Creek we are drilling a 4-well pad, including two Lower Montney wells, which is expected to come on-stream later in the second quarter. Notably, the 6-well pad between Gold Creek and Elmworth, which was co-developed across the entire stack of 4 zones, has reached its IP90 milestone producing on average 1,500 Boe/d per well, including 33% condensate. Importantly, the Lower Montney has performed in-line with the other benches. In Pipestone, we are completing a 14-well pad that is expected to come on-stream in the second quarter. Additionally, we are drilling an 8-well pad that is expected to come on-stream in the third quarter.

    Production in January and February has been trending favorably, we forecast first quarter production to average 87,000 – 88,000 Boe/d. As exhibited above we have material production additions slated to come on-line in the coming months. As previously communicated, the majority of our 2025 growth will come from the Pipestone area with the start-up of a third-party gas plant (“Pipestone Plant”), which is expected to be online during the second quarter. The Pipestone Plant will unlock approximately 8,000 – 10,000 Boe/d of additional productive capacity for NuVista. Given the performance of our base assets and current outlook, we anticipate our annual production to average approximately 92,000 Boe/d, assuming a second quarter start-up of the Pipestone Plant. If this start-up is delayed into the fourth quarter of the year, our expected annual average production will be approximately 88,000 Boe/d. Consequently, this range allows us to reiterate our annual production guidance of approximately 90,000 Boe/d.

    Further we reaffirm our annual capital expenditure guidance target of approximately $450 million, which will allow us to continue to prioritize at least a triple-digit return of capital to shareholders through the repurchase of our outstanding common shares.

We intend to continue our track record of carefully directing free adjusted funds flow towards a prudent balance of capital return to shareholders and debt reduction, while investing in high return growth projects.     BOEs may be misleading, particularly if used in isolation. A BOE conversion ratio of 6 Mcf: 1 Bbl is based on an energy equivalency conversion method primarily applicable at the burner tip and does not represent a value equivalency at the wellhead. As the value ratio between natural gas and crude oil based on the current prices of natural gas and crude oil is significantly different from the energy equivalency of 6:1, utilizing a conversion on a 6:1 basis may be misleading as an indication of value.

    This press release contains a number of oil and gas metrics prepared by management, including F&D costs, FD&A costs, PDP per share, TP+PA per share, recycle ratio, operating netback, corporate netback and reserves replacement costs, which do not have standardized meanings or standard methods of calculation and therefore such measures may not be comparable to similar measures used by other companies.     Any references in this press release to initial production rates are useful in confirming the presence of hydrocarbons, however, such rates are not determinative of the rates at which such wells will continue production and decline thereafter. While encouraging, readers are cautioned not to place reliance on such rates in calculating the aggregate production for NuVista.

    Any reference to capital efficiency has been prepared by management and is used to measure performance. NuVista calculates capital efficiency as the sum of the capital expenditures divided by average first year production rate for the applicable well(s). This term does not have a standardized meaning or standard calculation and is not comparable to similar measures used by other entities.

    This press release discloses NuVista’s potential drilling locations in two categories: (i) undeveloped proved plus probable (TP+PA) drilling locations; and (ii) undeveloped contingent resources (2C) drilling locations. Undeveloped TP+PA drilling locations are derived the GLJ Report, and account for undeveloped drilling locations that have associated proved and/or probable reserves, as applicable. Undeveloped 2C drilling locations are derived from a report prepared by GLJ evaluating NuVista’s contingent resources as of December 31, 2024 (“GLJ Contingent Resource Report”), and account for undeveloped drilling locations that have associated contingent resources based on a best estimate of such contingent resources. There is no certainty that we will drill all drilling locations and if drilled, there is no certainty that such locations will result in additional oil and gas production. The drilling locations on which we actually drill wells will ultimately depend upon the availability of capital, regulatory approvals, seasonal restrictions, oil and natural gas prices, costs, actual drilling results, additional reservoir information that is obtained and other factors. Contingent resources are those quantities of petroleum estimated, as of a given date, to be potentially recoverable from known accumulations using established technology or technology under development, but which are not currently considered to be commercially recoverable due to one or more contingencies. Economic contingent resources are those contingent resources that are currently economically recoverable. The sub-classes included under economic contingent resources are Development Pending CR, Development on Hold CR, and Development Unclarified CR. Development Pending are resources where resolution of the final conditions for development is being actively pursued (high chance of development). Development on Hold are resources where there is a reasonable chance of development but there are major non-technical contingencies to be resolved that are usually beyond the control of the operator. Development Unclarified are resources where the evaluation is incomplete and there is ongoing activity to resolve any risks or uncertainties. Development Not Viable are resources that are not viable in the conditions prevailing at the effective date of the evaluation, and where no further data acquisition or evaluation is currently planned and hence there is a low chance of development. In the case of the contingent resources estimated in the GLJ Contingent Resource Report, contingencies include: (i) further delineation of interest lands; (ii) corporate commitment, and; (iii) final development plan. To further delineate interest lands additional wells must be drilled and tested to demonstrate commercial rates on the resource lands. Reserves are only assigned in close proximity to demonstrated productivity. As continued delineation drilling occurs, a portion of the contingent resources are expected to be reclassified as reserves. Confirmation of corporate intent to proceed with remaining capital expenditures within a reasonable timeframe is a requirement for the assessment of reserves. Finalization of a development plan includes timing, infrastructure spending and the commitment of capital.

    Definitions of Oil and Gas Reserves

    Reserves are estimated remaining quantities of crude oil and natural gas and related substances anticipated to be recoverable from known accumulations, as of a given date, based on the analysis of drilling, geological, geophysical, and engineering data; the use of established technology; and specified economic conditions, which are generally accepted as being reasonable. Reserves are classified according to the degree of certainty associated with the estimates as follows:

    Proved Reserves are those reserves that can be estimated with a high degree of certainty to be recoverable. It is likely that the actual remaining quantities recovered will exceed the estimated proved reserves.

    Probable Reserves are those additional reserves that are less certain to be recovered than proved reserves. It is equally likely that the actual remaining quantities recovered will be greater or less than the sum of the estimated proved plus probable reserves.

    PDP or Proved Developed Producing Reserves are those reserves that are expected to be recovered from completion intervals open at the time of the estimate. These reserves may be currently producing or, if shut-in, they must have previously been on production, and the date of resumption of production must be known with reasonable certainty.

    • Free adjusted funds flow

    • Net operating expense

    NuVista considers that any incremental gross costs incurred to process third party volumes at its facilities are offset by the applicable fees charged to such third parties. However, under IFRS Accounting Standards, NuVista is required to reflect operating costs and processing fee income separately on its statements of earnings. Management believes that net operating expense, calculated as gross operating expense less processing income and other recoveries, is a meaningful measure for investors to understand the net impact of NuVista’s operating activities.

Set forth below is a description of the non-GAAP ratios used in this MD&A.

    These non-GAAP ratios are not standardized financial measures under IFRS Accounting Standards and might not be comparable to similar measures presented by other companies where similar terminology is used. Investors are cautioned that these ratios should not be construed as alternatives to or more meaningful than the most directly comparable IFRS Accounting Standards measures as indicators of NuVista’s performance.

    Per Boe disclosures for petroleum and natural gas revenues, realized gains/losses on financial derivatives, royalties, transportation expense, G&A expense, financing costs, and DD&A expense are non-GAAP ratios that are calculated by dividing each of these respective GAAP measures by NuVista’s total production volumes for the period.

    Non-GAAP ratios presented on a “per Boe” basis may also be considered to be supplementary financial measures (as such term is defined in NI 51-112).

    • Operating netback and corporate netback (“netbacks”), per BoeNuVista calculated netbacks per Boe by dividing the netbacks by total production volumes sold in the period. Each of operating netback and corporate netback are non-GAAP financial measures. Operating netback is calculated as petroleum and natural gas revenues, realized financial derivative gains/losses and other income, less royalties, transportation expense and net operating expense. Corporate netback is operating netback less general and administrative expense, cash share-based compensation expense (recovery), financing costs excluding accretion expense, and current income tax expense (recovery).

      Management believes both operating and corporate netbacks are key industry benchmarks and measures of operating performance for NuVista that assists management and investors in assessing NuVista’s profitability, and are commonly used by other petroleum and natural gas producers. The measurement on a Boe basis assists management and investors with evaluating NuVista’s operating performance on a comparable basis.

    • Net operating expense, per BoeNuVista calculated net operating expense per Boe by dividing net operating expense by NuVista’s production volumes for the period.

      Management believes that net operating expense, calculated as gross operating expense less processing income and other recoveries, which are included in NuVista’s statements of earnings, is a meaningful measure for investors to understand the net impact of the Company’s operating activities. The measurement on a Boe basis assists management and investors with evaluating NuVista’s operating performance on a comparable basis.

    Reference has been also been made to certain terms that do not have standardized meanings or standard calculations and therefore such measures may not be comparable to similar measures used by other entities. These terms are used by NuVista’s management to measure the success of replacing reserves and to compare operating performance to previous periods on a comparable basis.

    • F&D costsNuVista calculated F&D costs as the sum of development costs plus the change in future development costs (“FDC”) for the period when appropriate, divided by the change in reserves within the applicable reserves category, excluding those reserves acquired or disposed.

      NuVista calculated TP+PA 3-year average F&D costs as the sum of development costs plus the sum of the change in FDC over the last three completed financial years, divided by the sum of the change in the total proved and probable reserves over the last three completed financial years.

    • FD&A costsNuVista calculated FD&A costs are calculated as the sum of development costs plus acquisition costs net of disposition proceeds plus the change in FDC for the period when appropriate, divided by the change in reserves within the applicable reserves category, inclusive of changes due to acquisitions and dispositions.
    • Recycle RatioNuVista calculates recycle ratio as the operating netback divided by F&D costs for the applicable period.

    (3) Capital management measures

    • Adjusted funds flow

    NuVista considers adjusted funds flow to be a key measure that provides a more complete understanding of the NuVista considers adjusted funds flow to be a key measure that provides a more comprehensive view of the company’s ability to generate cash flow necessary for financing capital expenditures, meeting asset retirement obligations, and fulfilling its financial commitments. Adjusted funds flow is calculated by adjusting cash flow from operating activities to exclude changes in non-cash working capital and asset retirement expenditures. Management believes these elements are subject to timing variations in collection, payment, and occurrence. By excluding them, management is able to provide a more meaningful performance measure of NuVista’s ongoing operations. Specifically, expenditures on asset retirement obligations may fluctuate depending on the company’s capital programs and the maturity of its operating areas, while environmental remediation recovery is tied to an infrequent incident that management does not expect to recur regularly. The settlement of asset retirement obligations is managed through NuVista’s capital budgeting process, which incorporates the available adjusted funds flow.

    Tanzania is strengthening its position in the global lithium market, driven by a combination of government initiatives and active participation from international exploration and production companies.

    The country has witnessed a surge in investment since implementing a 2023 ban on the export of raw lithium, enacted to encourage downstream investments, with a strong pipeline of projects underway.

    Strategic Programs Entice Investment

    The Tanzanian government has launched several strategic programs to attract new investments across both the lithium and broader critical minerals sector. In late 2024, the country introduced the Tanzania Critical and Strategic Mineral Strategy (https://apo-opa.co/3F6lt7P). Currently in the stakeholder consultation phase, the initiative aims to optimize the management of key resources such as lithium by facilitating exploration, mining and local beneficiation and strengthening supply chain management.

    Additionally, in October 2024, the Geological Survey of Tanzania announced a 73 billion TZS High-Resolution Airborne Geophysical Survey (https://apo-opa.co/4knbVFx) – a nationwide initiative designed to map the country’s mineral resources, including lithium. With less than 20% of the country surveyed to date, the program aims to map up to 50% of Tanzania’s market by 2030, supporting investments and exploration projects.

    In September 2024, Tanzania partnered with the Minerals Security Partnership (https://apo-opa.co/4knbWcz), a coalition of 14 Western countries and the European Commission, to increase access to financing, share technical expertise and strengthen supply chains for critical minerals such as lithium and graphite. These strategic programs are expected to support new investments across the lithium value chain.

    Private Sector-Driven Growth

    Private sector participation is also gaining momentum, with several international mining companies investing in Tanzanian lithium exploration and production projects. In July 2024, Australian firm AustChina (https://apo-opa.co/41pa7D9) completed exploration on four high-priority lithium targets at its Chenene Project, confirming high-grade lithium deposits. In April 2024, Dubai-based Titanium Lithium identified lithium-bearing minerals – including lepidolite, spodumene and hectorite – at its Titan 1 and Titan 2 projects. U.S.-based CGrowth Capital (https://apo-opa.co/3DuqqXn) also discovered lithium deposits during a field mapping exercise in Tanzania’s Dodoma Region.

    The Competition Commission of India has approved the proposed acquisition of 100% shareholding in KSK Mahanadi Power Company Limited by JSW Energy Limited.

    JSW Energy Limited (JSWEL) is a public listed company having established its presence across the value chains of the power sector with diversified assets in power generation, transmission and trading with strong operations, robust corporate governance and prudential capital allocation. Presently, JSWEL (through its subsidiaries) is engaged in power generation, power transmission, power trading, coal mining, and power equipment manufacturing.

    JSW Thermal Energy One Limited (JSW Thermal) is a newly formed wholly owned subsidiary of JSWEL, incorporated in October 2024 for the purposes of facilitating the Proposed Transaction. JSW Thermal currently does not have any business activities of its own.

    KSK Mahanadi Power Company Limited (KMPCL) was incorporated in 2009 and is involved in the business of generation and sale of power. Currently, KMPCL is generating and supplying power through its thermal power plant of 6 x 600 MW situated at Janjgir- Champa District, Chhattisgarh. Currently KMPCL is undergoing the Corporate Insolvency Resolution Process (CIRP).

    The Proposed Transaction involves the acquisition of 100% shareholding in KMPCL (which is currently undergoing CIRP initiated under the Insolvency and Bankruptcy Code, 2016), by JSWEL (through JSW Thermal) (Proposed Combination).

  • MIL-Evening Report: Australians generate mountains of waste, and we need more help to recycle and resuse it

    Australians largely support transforming the economy to increase recycling, repurpose products and reduce waste, according to a new report from the Productivity Commission, but they are being impeded by inconsistent regulations.

    The interim report of the commission’s inquiry into Australia’s circular economy, released Wednesday night, also finds consumers need more information about the durability and repairability of products.

    The report says that despite increased awareness of the benefits of a circular economy, the transformation has been complex and progress has been slow.

    What is a circular economy?

    A circular economy is based on three principles.

    The first is designing and making goods without waste and pollution. This includes using renewable energy to reduce carbon emissions.

    The second is keeping products and materials in use for as long as possible. This can be achieved by maintaining or repairing products to extend their life.

    The third principle is regeneration. This means promoting activities with positive outcomes. This could include activities to deal with biodiversity loss, or social benefits through food relief and donations.

    Some businesses are already using circular economy practices but compared to other developed countries, Australia is well behind. The recent CSIRO study found only 3.7% of the Australian economy is circular, half of the world’s average of 7.2%.

    In December last year the Federal government released the National Circular Economy Framework providing guidance how to increase circularity.

    Coinciding with this, the Productivity Commission evaluated circular economy opportunities in six priority sectors – built environment, food and agriculture, textiles and clothing, vehicles, mining and electronics.



    Priority areas

    The priority areas were selected based on the impact their materials has on the environment and the economy.

    For example, the construction sector uses large quantities of materials which are expensive to recycle. While the increased use of electric vehicles is a bonus for the environment, the lithium-ion batteries they use pose a fire risk if incorrectly managed.

    How much impact a particular area has on Australia, was also taken into account.

    For example, Australians are the largest consumers of textiles in the world per capita. But most of these are imported, limiting our influence on how they are made.

    Also, the impact and effectiveness of policies and regulations was also considered. Stakeholders across government and community sectors provided detailed submissions that informed the commission’s assessment.

    Getting consumers, government and business onboard

    The Productivity Commission noted material consumption and waste generation has not changed since 2010. This is because consumers are not repairing and reusing appliances or recycling which is important to a circular economy.

    Australia generates some of the highest amounts of waste per capita in the world, including food waste, plastic waste, e-waste and textile waste.

    While the report recommends how food waste should be managed, consumers need to change their behaviour to reduce the waste they generate.

    To do this, however, consumers need information about making informed purchasing decisions. For e-waste, they need easy access to repair services to extend the life of their products rather than buying new.

    The report repeats earlier recommendations about repairs and reuse from the Productivity Commission’s 2021 Right to Repair inquiry.

    That inquiry recommended the government develop a product labelling scheme giving consumers information about how durable household appliances are and whether they can be repaired.

    We believe implementing these recommendations would bring Australia in line with global best practice reflected in the European Eco-design Sustainable Product regulations.

    Impeded by regulations

    This report highlights the importance of consistent policies and regulations. These currently vary across sectors and jurisdictions.

    Standards enabling the use of recycled materials in construction, consistent rules on the disposal of lithium-ion batteries and consistent kerbside recycling guidelines were all needed.

    The Circular Economy Ministerial Advisory Group recommended in their final report in December new legislation, a governance model and investment in innovation to help Australia move to a circular economy.

    Help for business

    When designed well, circular business models have the potential to reduce waste materials and carbon emissions.

    However, changing industry and consumer practices represents a big change. As well as inconsistent regulations slowing the transformation, making processes more innovative and experimenting with new technologies can be costly.

    The Productivity Commission report says government can help reduce barriers to implementation of circular business models given business has a pivotal role in
    driving this transition.

    It also supports product stewardship, an approach where producers, importers and brands are responsible and liable for the impact their products have on the environment and on human health across the product life cycle.

    Regulations for product stewardship was identified in the report as important, particularly in textiles and clothing, vehicles, EV batteries, solar panels and consumer electronics.

    Towards net zero

    Several international studies have reported that a circular economy will be needed to achieve net zero targets.

    In Australia, the industry sector including mining, manufacturing and construction is responsible for around 34% of total emissions. Using materials more efficiently will help reduce them.

    Agriculture, despite its small contribution to the GDP (2.4%), alone contributes 18% to greenhouse gas emissions.

    As the report notes, most of these emissions (80%) come from livestock and use of synthetic fertilisers (15%). But only food waste is identified as one of the priority areas.

    It should be noted though that food waste only accounts for 3% of emissions. So reducing emissions from agriculture, switching to renewable fertilisers and changing livestock diets should also be a priority.

    The Productivity Commission will send its final report to government by August this year.

    The Minister expressed his admiration for IGNOU’s remarkable growth since its inception in 1985. He underscored that it is now the largest university in the world by student enrollment and has earned an A++ accreditation.

    Highlighting key features of IGNOU’s programs, such as flexible entry and exit, modular program design, and multimedia-based learning, Dr. Singh noted that these innovations cater to students’ diverse needs, enabling them to learn at their own pace and convenience.

    “Many of these features, including flexible degrees, choice-based credits, and the ability to change or combine subjects, are incorporated into NEP 2020, making IGNOU a true pioneer in the educational landscape,” said Dr. Singh.

    The Science and technology Minister praised IGNOU for its global outreach, citing its 25 overseas study centers in 15 countries, with a robust international presence. Additionally, IGNOU’s collaboration with the Indian Council for Cultural Relations (ICCR) and the Central Hindi Directorate (CHD) to offer a three-month online Basic Hindi Awareness program to foreign nationals in nine countries was also acknowledged.

    Furthermore, he noted that through the e-VidyaBharati and e-Aarogya Bharati (e-VBAB) Network Project, 45 online programs are being offered in 19 African countries.

    Dr. Singh also credited Prime Minister Modi’s leadership for securing a strategic alliance between IGNOU and the Open University of Kenya (OUK), enhancing the global education ecosystem.

    During his address, Dr. Jitendra Singh hailed government initiatives such as the Mudra Yojana and PM Vishwakarma Yojana, which empower youth by providing self-employment and livelihood opportunities. He explained that the Mudra Yojana offers skilled youth collateral-free loans of up to Rs. 20 lakhs to start their ventures, while the PM Vishwakarma Yojana supports traditional artisans by providing advanced toolkits and stipends during training, easing the financial burden on their families. Dr. Singh also emphasized the importance of skill development and recognized the special skill-based bachelor’s degree programs designed to enhance the skills required for serving in the defense forces.

    Acknowledging the importance of Information and Communication Technology (ICT) in modern education, Dr. Singh lauded IGNOU’s efforts in integrating technology into learning. He specifically mentioned the six SWAYAM PRABHA channels operated by IGNOU, which provide students with access to quality educational content and resources online.

    Union Minister Dr. Jitendra Singh expressed his delight and satisfaction with the new state-of-the-art IGNOU campus in Jammu, inaugurated on February 7, 2024calling it a significant milestone for the region. Recalling that the establishment of the campus was a long-awaited dream since the center’s inception in 1998, he described the new campus as a gift from Prime Minister Modi to the youth and aspiring learners of Jammu. He further highlighted the cumulative enrollment of nearly 6 lakh students at the Jammu Regional Centre, with over 2 lakh learners enrolled since 2020.

    In his closing remarks, Dr. Singh urged the youth to contribute actively to the vision of a “Viksit Bharat” (Developed India) as envisioned by Prime Minister Modi for the year 2047, marking the centenary of India’s independence. “Today’s graduates are the fortunate ones who are witnessing India’s transformative growth, and I urge them to be a part of this monumental journey toward a brighter future for the nation,” Dr. Singh concluded.

    Addressing a post-budget webinar on the theme  “Regulatory, Investment, And Ease Of Doing Business (EODB) Reforms” organized by the Department of Financial Services, Union Minister of Finance and Corporate affairs,  Smt. Nirmala Sitharaman emphasized that the  government is committed to encouraging global economic partnerships, leveraging technology to strengthen traditional sectors and to significantly enhance the export potential of India.

    The Finance Minister  added that the government remains committed to  ensuring  timely implementation of all budget announcements for the year 2025-26.  This is consistent with the government’s track record of delivering on promises made in previous budgets, the Minister said.

    The Finance Minister explained how recent budget announcements are being implemented promptly. Under the MUDRA loans, the loan limit under the Tarun category has been increased from Rs10 lakh to Rs 20 lakh, with implementation completed via notification dated 24th October 2024, the Finance Minister added.

    The new MSME Credit assessment model announced in Budget 2024-25 has progressed well. 11 Public Sector Banks have extended it to existing customers and 7 Banks have extended it to new ones also, Smt. Nirmala Sitharaman said.

    Second, 21 new SIDBI branches have already been opened in MSME clusters during 2024-25 in line with the budget announcement made in 2024-25.

    The Ministry of Corporate Affairs has implemented the pilot project for the PM Internship scheme. The scheme was announced in the budget of 2024-25 creating over 1.25 lakh internship opportunities in top companies with over six lakh applicants. The government remains steadfast in reducing regulatory burdens and enhancing trust based governance to improve the ease of doing business.

    Through the budget announcements, the government is  taking various steps towards making India a seamless export friendly economy, one where businesses are free to focus on innovation and expansion and not on paperwork and penalties. Decriminalization of business related laws reduces the legal risks, allowing industries to operate with greater confidence.

    Giving details, the Finance Minister said that the robust manufacturing sector, free from unnecessary regulatory bottlenecks, will further attract both domestic and foreign investments, driving economic growth, positioning India as a trusted global player. The government has over 42,000 compliances removed, and over 3700 legal provisions have been decriminalized since 2014. In the Jan Vishwas act 2023, more than 180 legal provisions were decriminalized.

    The government will now bring up the general Vishwas Bill 2.0 to decriminalize more than 100 provisions in various laws. It will further simplify processes for businesses, the Minister added.

    Highlighting the focus laid on capex, Smt Nirmala Sitharaman said that the pathway for reforms are complemented by the government’s unwavering focus on capital expenditure as a driver of economic growth. For the year 2025-26, total effective capex is proposed at 15.48 lakh crores, which is 4.3% of the GDP, with 11.21 lakh crores allocated as core capital expenditure by the centre, which is 3.1% of the GDP. This unprecedented investment in infrastructure development is already creating jobs, strengthening industries and laying the foundation for private sector participation in India’s growth story.

    The Minister said that today’s webinar has brought together stakeholders from ministries like Finance Department, Industry policy, internal trade, corporate affairs regulators, state governments, public sector banks, insurance companies, SIDBI, NABARD and industry associations to ensure smooth policy implementation.

    The Finance Minister appreciated that various important inputs have been received during the course of discussion, and they will be looked into suitably. The inputs will help align our strategies, address possible implementation challenges and ensure that budgetary announcements efficiently translate into tangible actions, the Minister said.

    Speaking on the occasion, the Minister of State for Finance, Shri Pankaj Chaudhary in his concluding remarks said that increasing the FDI limit will not only attract foreign capital and advanced technology but will also improve insurance penetration, providing increased insurance coverage at affordable premiums to a larger section of the population. This move is also expected to improve technology advancements as well as better customer engagement processes.

    Further the Minister added that department of financial services is in advanced stages of finalisation and the Draft Insurance Laws Amendment Bill which will be presented, shortly.

    Minister of State for Rural Development and Communications, Dr. Chandra Sekhar Pemmasani in his concluding remarks during the webinar underlined that India Post Payments Bank (IPPB) is set to revolutionize last-mile financial access by integrating its services with Post Office Savings Accounts, creating a unified, technology-driven financial ecosystem.

    With 35 crore Post Office Savings Account holders and 11 crore IPPB customers, this integration will enhance accessibility, efficiency, and innovation in banking services. Key initiatives include expanding Aadhaar-enabled payment systems, increasing UPI transactions, introducing AI-driven microfinance, and launching vernacular digital platforms to empower rural communities. The Department of Posts and Communications is committed to enabling these changes, and collaboration with the Department of Financial services will further accelerate India’s journey toward a seamless and inclusive financial landscape, the minister added.

    In his Thematic session of the Post budget Webinar, Shri M. Nagaraju, Secretary DFS said that under the MUDRA Scheme, ₹33 lakh crore loan amount has been sanctioned. Under the Stand-Up India initiative, the department has sanctioned ₹59,000 crore to 2.62 lakh accounts. Additionally, under the PM SVANidhi scheme,  ₹14,000 crore has been sanctioned across 99 lakh accounts. Shri Nagaraju also mentioned that to ensure greater consistency, consumer protection, transparency, and grievance redressal, DFS is proposing setting up a unified forum where regulators and authorities in the pension sector can collaborate.

    The Department of Financial Services, Ministry of Finance organized a Post Budget Webinar on Theme 7 titled Regulatory, Investment and EODB reforms on Tuesday 4th March, 2025 to understand the unique perspectives from various stakeholders that can help implement the budget announcements for the year 2025-26, ensuring synergy among stakeholders. The webinar comprised of deliberations on 3 parallel breakout sessions on the following sub-themes as below:

    For the webinar on Regulatory, Investment and EODB reforms, the sessions witnessed participation of Ministers of respective ministries, senior government officials, subject matter experts, industry leaders, bankers, FPOs and other related stakeholders. The deliberations  focussed on budget announcements related to FDI in Insurance Sector, Credit Enhancement Facility by NaBFID , Merger of Companies, Bilateral Investment Treaties, Investment Friendliness Index of States, Expanding Services of India Post Payment Bank, Grameen Credit Score, KYC Simplification, Pension Sector, Regulatory Reforms  & High-Level Committee for Regulatory Reforms, FSDC Mechanism, Jan Vishwas Bill 2.0 .

    The sub-theme “Making India investment friendly” covered budget paras on FDI in Insurance Sector, Credit Enhancement Facility by NaBFID, Merger of Companies, Bilateral Investment Treaties, and Investment Friendliness Index of States. Valuable suggestions were received from Panelists, Intervenors and Industry experts. The suggestions received during the panel discussion on this theme, inter alia, included, tax rationalization, Ease of Doing Business such as simplification of licensing process for new entrants, liberalizing investment norms, robust dispute resolution mechanism, use of e-governance in streamlining processes, minimize domestic regulatory bottlenecks, creating awareness within the government and build capacities, dedicated national law for foreign investment promotion in India, deepening of bond markets through participation of Insurance and pension funds,retail investors etc.

    During the breakout session on sub theme Ease of access to financial services / Credit, the discussions were held on 3 budget announcements regarding expanding services on India Post payment bank (IPPB), KYC simplification and Grameen credit score. Experts lauded the budget announcements and opined that expansion of IPPB will take banking services to remote areas, empower rural communities by providing access to essential financial tools and will deepen financial inclusion. Grameen credit score will provide an accurate credit profile of rural borrowers. It will not only give opportunities to rural population in availing affordable credit but will also provide opportunities to banks for increasing their business.  KYC simplification will enhance the ease of customers in availing banking and other financial services. The discussions held during the webinar enriched large number of attendees.

    In the Sub Theme: ” Rationalization of Legal & Regulatory Compliances”, Forum for Regulatory Coordination and Development of Pension Products, high-level committee for regulatory reforms, FSDC Mechanism and Jan Vishwas Bill 2.0 were discussed. It was emphasised by the speakers that ‘Viksit Bharat@2047’ will need a regulatory framework that is based on trust and is responsive to technological changes and global policy developments. Speakers highlighted that, Government needs to reduce compliance burden and Imprisonment and / or fine should be substituted with penalties, which are civil in nature, for all minor, procedural and technical non-compliances. Such a framework will facilitate the ease of doing business for all citizens.

    Central Electricity Authority (CEA), under Ministry of Power, has issued Comprehensive Guidelines for the usage and sharing of fiber cores of Optical Ground Wire (OPGW)/Underground Fiber Optic (UGFO) cables for Power System applications. The guidelines have been formulated with the collective efforts of the Committee constituted under the chairmanship of Member (Power Systems), CEA with representatives from Central Transmission Utility, State Transmission Utilities, Grid Controller of India Ltd, Transmission Service Providers, and other key stakeholders.

    These guidelines aim to provide a clear and standardized framework for the allocation and sharing of fiber cores of OPGW/UGFO cable deployed across power transmission network, thereby balancing the commercial prospects of fiber usage with the imperative of maintaining secure, reliable, and scalable grid operations. It establishes a structured approach to fiber allocation, safeguarding power system communication needs and mitigating future conflicts.

    Key Highlights:

    1. Prioritizing grid needs: The guidelines prioritize fiber allocation for critical grid communications, ensuring free spare fibers for future grid needs.
    2. Sharing framework: A well-defined framework has been outlined to facilitate the sharing of spare fiber capacity among various stakeholders, including Central Transmission Utility (CTU), State Transmission Utilities (STUs), Transmission Service Providers (TSPs), and other entities.
    3. Commercial Utilization with Safeguards: Leasing of spare fibers for non-grid applications permitted provided it doesn’t compromise future grid requirements. All leasing contracts to include a termination clause, mandating at max of 18-month notice period to reclaim fiber cores for grid applications whenever required.
    4. Due diligence & compliance: It emphasises the need for assessment of future grid communication needs and adherence to applicable CEA/CERC/SERC regulations.
    5. Scalability for future needs: Utilities encouraged to plan and install OPGW with 48/96 fiber cores to provide sufficient capacity for last-mile connectivity, future expansions, and LILO requirements, leveraging the Right of Way (ROW) effectively.
    6. Maintenance of database: A comprehensive database to be maintained to monitor the allocation and utilization of OPGW fibers, ensuring transparency and accountability.
    7. Technological neutrality: The guidelines offer the choice between IEEE C37.94 protocol over shared fiber or separate optical fibers, thereby, ensuring flexibility and adaptability in the implementation of differential protection schemes.

    By promoting efficient allocation, sharing, and utilization of optical fibers, the guidelines will contribute to a more reliable, resilient, and future-ready power grid and efficient resource management across the power sector.     The Ministry of Development of North Eastern Region (MDoNER) is organising the North East Trade and Investment roadshow in Kolkata on 7th March, 2025, starting from 10:30 a.m. onwards at Hotel JW Marriott Kolkata. The event will be graced by Dr. Sukanta Majumdar, Hon’ble Minister of State, Ministry of Development of North Eastern Region and Ministry of Education, Government of India. Shri Dharmvir Jha, Statistical Adviser, Ministry of Development of North Eastern Region along with senior representatives from North Eastern States will participate in the event.

    The roadshow is being organised in collaboration with the State Governments of North Eastern Region, FICCI (Industry Partner), and Invest India (Investment Facilitation Partner).

    Kolkata roadshow is the ninth major roadshow as part of pre-summit activities of North East Investors Summit and will be featuring presentations from representatives of the eight North Eastern states viz. Arunachal Pradesh, Assam, Manipur, Meghalaya, Mizoram, Nagaland, Sikkim and Tripura.     Further breakthrough in using mine water to provide green heat

    Construction has begun on a major mine water heat project in Seaham that uses a mine water treatment scheme to provide low-carbon heating to affordable homes.

    Work starts at the Seaham Energy Centre.

    Construction has officially begun on a landmark large-scale mine water heat project, building on our ongoing efforts to harness geothermal heat from disused coal mines.

    By utilising water already being pumped to the surface, this project marks a crucial step forward in expanding renewable heat solutions across former coalfield areas.

    The Energy Centre, being built next to the Mining Remediation Authority’s Dawdon mine water treatment scheme in County Durham, will tap into the mine water already being treated there.

    The mine treatment scheme will now provide heat for a new housing development as well as protecting a vital drinking water source.

    Seaham Garden Village is a new mixed-use sustainable community located to the south of Seaham, comprising 1,500 homes, a new primary school, village centre and innovation hubs.

    The mine water heating will provide power to 750 of the homes on the development, delivered by northern housing association Karbon Homes, in partnership with Esh Group.

    The district heat network project has been led by Durham County Council, with the Mining Remediation Authority spearheading the development of the mine water heating initiative.

    Multiple organisations have been involved including Karbon Homes, which is now set to provide 750 affordable homes on the site and has led the way in adopting the mine water heat technology.

    Vital Energi has been appointed to design, build and operate the low-carbon system, and will run the district heat network for the next 40 years.

    The project has benefited from a grant from the Government’s Heat Networks Investment Project which has enabled the project to be delivered. 

    Seaham Garden Village will offer a thriving, sustainable new community on Durham’s heritage coast and play a vital role in local growth.

    The state-of-the-art Energy Centre will capture the geothermal heat from the warm mine water, which remains at a stable underground temperature.

    This heat will be upgraded to domestic heating levels via a heat pump, delivering low-cost and low-carbon heat to new Karbon homes.

    Richard Bond, innovation and services director at the Mining Remediation Authority, said:

    This scheme is a further milestone in our journey to harness mine water heat to provide sustainable heating solutions across the former coalfields. 

    There is huge potential to utilise our GB-wide water treatment facilities where warm mine water is already being pumped to the surface, and we’re progressing opportunities in multiple regions.

    The mine water heat scheme at Dawdon paves the way demonstrating a further route for mine water to provide low-carbon heat, building on the success of schemes in Gateshead and at Lanchester Wines.

    The Dawdon scheme began treating mine water in 2009 and the Mining Remediation Authority has been researching the possibility of ‘bolting on’ the heat feature to these treatment sites as part of their pioneering work in the geothermal arena.

    This new development follows the success of the Gateshead scheme, the UK’s first large-scale mine water heat network, which began providing heat to homes and businesses in March 2023, as well as another pioneering privately funded scheme nearby at Lanchester Wines warehouses.

    Unlike Seaham Garden Village, the Gateshead projects used boreholes, which were drilled up to 150 metres underground to tap into water in disused mines.

  • MIL-OSI: DNO Participates in Mistral Discovery; Eyes Quick Tieback

    Oslo, 5 March 2025 – DNO ASA, the Norwegian oil and gas operator, today confirmed a gas/condensate discovery on the Mistral prospect in the Norwegian Sea license PL1119 in which the Company’s wholly-owned subsidiary DNO Norge AS recently acquired a 10 percent interest.

    The well encountered a 45-meter hydrocarbon column with good reservoir properties in the Garn Formation. Preliminary estimates of gross recoverable resources encountered are in the range of 19-44 million barrels of oil equivalent. In addition to DNO, license partners include Equinor Energy AS (50 percent and operator), OKEA ASA and Pandion Energy AS (20 percent each).

    Located some 20 kilometers southwest of Equinor’s ongoing Lavrans subsea development, the Mistral discovery is a candidate for a fast-track tieback to this field. Given the good reservoir properties, the discovery likely allows for simplified development solutions.

    To diversify its exploration portfolio, DNO entered into the Mistral license through a swap agreement with OKEA announced on 19 December 2024, shortly before spud date of the discovery well. In exchange, OKEA picked up a 10 percent interest in North Sea license PL1109 containing the Horatio prospect, in which DNO has retained a 20 percent interest. Exploration drilling is ongoing at Horatio. The DNO-OKEA transaction is subject to government approval.

    Further south, DNO is currently drilling its Kjøttkake exploration well in North Sea license PL1182S in which the Company holds a 40 percent operated stake.

  • MIL-OSI: Launch of compulsory acquisition of remaining issued and outstanding shares of Avenir LNG Limited by Stolt-Nielsen Limited

    London, March 5, 2025 – Reference is made to the stock exchange announcement of January 27, 2025, stating that Stolt-Nielsen Limited (Oslo Børs: SNI), through its subsidiary Stolt-Nielsen Gas Ltd. had entered into a share purchase agreement to acquire all the shares of Avenir LNG Limited (‘Avenir LNG’) owned by Golar LNG Limited and Aequitas Limited (the ‘Transaction’) and subject to completion of the Transaction, Stolt-Nielsen Gas Ltd. intended to offer to buy the shares of all remaining shareholders in Avenir LNG.

    The Transaction has been completed, and Stolt-Nielsen Gas Ltd. now holds more than 95% of the outstanding shares and votes in Avenir LNG.

    As the holder of more than 95% of Avenir LNG’s shares, Stolt-Nielsen Gas Ltd. is able to acquire the remaining shares in Avenir LNG by way of a compulsory acquisition, in accordance with section 103 of the Companies Act 1981 of Bermuda (the ‘Bermuda Companies Act’). The board of directors of Stolt-Nielsen Gas Ltd. has resolved to proceed with this compulsory acquisition, and a notice informing Avenir LNG’s shareholders of the compulsory acquisition has been issued (the ‘Compulsory Acquisition Notice’). The purchase price for the compulsory acquisition is $ 1.00 per Avenir LNG share (the ‘Purchase Price’), which is the same price per Avenir LNG share as in the Transaction.

    Settlement under the compulsory acquisition will occur in accordance with the standard settlement procedures for compulsory acquisition transactions registered in the Euronext Securities Oslo system (the ‘VPS’). The settlement amount per Avenir LNG share that a shareholder will receive is NOK 11.19, representing the equivalent of $ 1.00 using Norges Bank’s mid-rate in the interbank market as published on March 4, 2025.

    As outlined in the Compulsory Acquisition Notice, shareholders of Avenir LNG may, within a one-month period of such notice, starting on March 11, 2025, and ending on April 11, 2025, apply to the Supreme Court of Bermuda for an appraisal of the value of their Avenir LNG shares. Stolt-Nielsen Gas Ltd. is entitled and bound to acquire the Avenir LNG shares of shareholders of Avenir LNG on the terms of the Compulsory Acquisition Notice upon the expiry of one month from the date on which such notice is given, unless a shareholder of Avenir LNG applies to the Supreme Court of Bermuda to appraise the value of their shares within the one month period, whereby Stolt-Nielsen Gas Ltd. may within one month of the court appraising the value of the shares acquire all such shares at the price fixed by the court or cancel the Compulsory Acquisition Notice.

    Completion of the compulsory acquisition and settlement of the Purchase Price are expected to occur on or about April 16, 2025 (subject to no shareholder applying to the Supreme Court of Bermuda for an appraisal of the value of their shares).

    Following completion of the compulsory acquisition, Stolt-Nielsen Gas Ltd. will pursue a delisting of Avenir LNG’s shares from Euronext N-OTC.

    Based on the divestment of Energy and Marine and a very strong solvency ratio, the Board of Directors of Alm. Brand A/S has resolved to exercise the authority to buy back treasury shares for a total amount of up to DKK 835.2 million. The authority to buy back treasury shares was granted at the company’s annual general meeting held on 18 April 2024 for share buybacks of up to 10% of the share capital in the period until 30 April 2025. The completion of the maximum share buyback is subject to a resolution to renew the authority to buy back shares being adopted at the company’s annual general meeting to be held on 10 April 2025.

    Purpose
    The purpose of the share buyback is to reduce the share capital. At a general meeting in Alm. Brand A/S, a resolution to cancel the shares bought through the programme will be proposed.

    Timeline
    The share buyback programme runs from 5 March 2025 until 30 March 2026 at the latest, both days included. During this period, Alm.     • In accordance with the share buyback programme, Alm. Brand A/S may acquire up to 110 million shares, corresponding to 7.1% of the existing share capital of Alm. Brand A/S.
    • The shares are in no circumstances to be acquired at a price deviating by more than 10% from the most recently quoted market price at the time of acquisition.
    • The shares are not to be acquired at a price exceeding the price of the last registered independent trade or exceeding the price of the highest independent quote on the trading venue on which the acquisition is made.

(NYSE: EGY; LSE: EGY) (“Vaalco” or the “Company”) announced that it has entered into a new revolving credit facility (“the new facility”) with an initial commitment of $190 million and the ability to grow to $300 million, led by The Standard Bank of South Africa Limited, Isle of Man Branch with other participating banks and financial partners. This new facility, which is subject to customary administrative conditional precedents, replaces the Company’s existing undrawn revolving credit facility that was provided by Glencore Energy UK Ltd. The Company arranged the new facility primarily to provide short-term funding that may be needed from time-to-time to supplement its internally generated cash flow and cash balance as it executes its planned investment programs across its diversified asset base over the next few years.

    • Six-year term with facility amortization to begin on September 30, 2026;
    • Initial commitment of $190 million with the ability to grow to $300 million through a $110 million accordion;

    “Working at the VA gave me purpose. I understood the struggles veterans faced, whether physical, mental, or emotional. I took pride in being part of something bigger than myself, in continuing to serve even after taking off the uniform,” said Scott Olson, a disabled veteran who served for eight years in the Army, including time in combat, and was diagnosed with cancer twice after serving in Iraq for 15 months. Scott worked at the VA in Seattle in Program Support for VA’s Community Housing Program—helping homeless veterans—before he was suddenly fired without cause last Monday, as part of Trump and Elon Musk’s mass layoffs at VA. “The next chapter in my service led me to working with unhoused Veterans. My role was to serve as the initial contact when they came in looking for help with resources. I supported the social workers ensuring they had the ability to transport Veterans in the community. Limiting roles like mine, means other VA employees will have to take on more and cutting into valuable clinical time directly serving veterans. That’s why it was so devastating when, without warning, without cause, I was terminated. No explanation, no justification just a cold dismissal from a role that meant everything to me. It felt like a betrayal, not just of my dedication but of the values I thought the VA stood for. I had fought through war, through cancer, and through every challenge life had thrown at me only to be cast aside by the very system I had believed in.”
    “The CFPB has been open for less than 14 years, but in that time has returned over $21 billion dollars to harmed consumers in the form of compensation, principal reduction, canceled debts, and other relief. Fo every $1 spent, about $2.85 has been returned to consumers. How is that inefficient?,” said Ambrose Dieringer, an analyst in the supervision division of the Consumer Financial Protection Bureau (CFPB) who resides in Seattle. Ambrose and many of his colleagues were suddenly put on administrative leave last month and ordered to cease working after Office of Management and Budget (OMB) Director Russ Vought took over as Acting Director of the CFPB, where he is working with Trump and Elon Musk to cripple the nation’s leading agency protecting consumers from financial fraud—raising serious conflict of interest concerns.
    “These recent firings are a disaster for public lands, we are already suffering from years of backlog maintenance and the effects of heavy wildfire damage across the landscape. If we do not act now to save these recreation programs, they will be lost forever along with our beloved trails,” said Ray Beaupre, who was a permanent seasonal volunteer coordinator and trails lead with the U.S. Forest Service in the Methow Valley Ranger District, before being recently laid off without cause by Trump and Musk.
    “In my role with the NPS, I was responsible for planning and implementing critical repair and upgrade projects across national park sites in the Pacific West Region, including Washington, Oregon, California, Idaho, Hawaii and the Pacific Islands. My work included renovating campgrounds impacted by wildfires, upgrades to picnic areas and outdoor restroom facilities, implementing trail projects, and much needed visitor center improvements for accessibility,” said Jordan Lewis from Seattle, a former landscape architect with the National Park Service who worked on several important projects across Washington state including: a trail project at San Juan Island National Historical Park to protect endangered Marble Butterfly habitat, a roadway safety project for bicyclists and pedestrians also at San Juan Island National Historic Park, critical upgrades to aging visitor facilities at Ross Lake Overlook and Cascade Pass in North Cascades National Park, and needed accessibility improvements at Fort Vancouver National Historic Site to meet compliance with ADA laws. “On February 14th at 4:50 PM, without warning, I received a generic email terminating me immediately. The letter stated that my skills and abilities did not meet the needs of the Department and that my position was no longer required—despite an exceptional performance review and a backlog of urgent repair projects I was hired to implement. Overnight, my dream job was taken from me and my life has been turned upside down by people I have never met. But beyond my personal loss, these mass firings of probationary employees are already having serious consequences for our national parks. On February 14th, more than 1,000 probationary employees were fired from NPS alone, creating staffing shortages that are now affecting park units nationwide. Our division has been forced to indefinitely suspend several critical projects due to the indiscriminate removal of dedicated NPS employees.”
    Senator Murray has been raising the alarm nonstop about how mass firings at all manner of federal agencies will hurt families, veterans, small businesses, farmers, and so many others in Washington state and across the country. Senator Murray has spoken out on the Senate floor against this administration’s attacks on federal workers and held multiple press conferences to call attention to how Trump and Musk’s mass layoffs are hurting federal workers in Washington state and undermining services for everyone. Earlier this month, she released both a national fact sheet and a Washington state fact sheet detailing what we know about the mass layoffs so far. Senator Murray also sent an open letter to federal workers and a newsletter to her constituents in Washington state outlining her concerns with the administration’s so-called “Fork in the Road” offer.
    Senator Murray has also sent a flurry of recent oversight letters demanding answers about indiscriminate staffing reductions across federal agencies—including letters to HHS Secretary Robert F. Kennedy Jr. on mass firings across HHS as well as a letter focused specifically on firings at FDA, Energy Secretary Chris Wright on indiscriminate firings at BPA, HUD Secretary Scott Turner on reports of massive staff cuts at HUD, Interior Secretary Doug Burham on National Parks Service staffing cuts, and Acting USDA Secretary Gary Washington on the universal hiring pause for USDA firefighters, among others.

    “Thank you to all of you for joining us today. I think as everybody knows, President Trump is coming here to the Capitol, where I am, this evening, to give what he is calling the State of the Union. But I expect that he will give his own fantasy version of an update on how he and Elon Musk are running the country.
    “Because it is pretty painfully clear to me, from all of the contacts we are getting from around our state and everywhere, that it’s pretty clear that these two out-of-touch billionaires really have no idea what they are doing. They have no idea how painful cuts and mass firings they have gone on with such glee—how that’s hurting our families, and in short, they really have no sense at all of the actual state of our union.
    “Because they have never really taken the time to listen to the people on the frontlines who are serving our communities before they fired them.
    “So on this call, today, I am going to make sure we hear from some real people, real federal workers who were actually doing the work of the American people, and know what the damaging effects have been over the last few weeks.  
    “Because the truth is: the state of the union is that Trump fired forest rangers. The state of the union is that he fired cancer researchers. He fired people who keep Social Security running. And he fired thousands upon thousands of veterans who work to serve all of our communities.
    “And at risk of saying the obvious—that will make our country weaker, it will make life a lot worse for folks back home. It is going to mean less safe conditions, longer lines at our National Parks and forests, places like Mt. Rainer, and North Cascades, and Olympic National Park, and Mount St. Helens. […]
    “It’s going to mean longer wait times to get help with Social Security benefits. It is going to mean clinical trials at the Fred Hutch getting canceled, and promising cures will not happen, they’ll just get tossed in the shredder. It is going to mean slower response to disease outbreaks, and slower recalls of contaminated food. It is going to mean less help for people trying to get health insurance, or find child care. Fewer workers supporting air traffic control that keeps our skies safe at SeaTac.
    “And despite what we might hear from Trump tonight, we know it’s not about saving money. Because we actually saw them fire Bonneville Power Administration workers—they are not paid by taxpayers, they are paid by ratepayers in the Pacific Northwest.
    “We also know this is not about merit, because they mass fired so many people who had recently been promoted for doing a good job!
    “Right here in Washington state, they even fired a NOAA employee of the year—someone who worked on saving orcas, and salmon, and wildlife from oil spills.
    “I don’t know who Trump and Musk think they are fooling, but it doesn’t take a lot of common sense to realize: you don’t make the government work better by giving the richest man in the world a baseball bat and letting him smash it to pieces. This has been just heartbreaking, and infuriating.
    “I have spoken to so many federal workers, public servants—who took so much pride in the work they do to strengthen our country, building our communities, supporting families, helping our neighbors.
    “As you will hear this evening, the work they do is because they care. Because they know it’s important. And that’s why they were federal employees.
    “Elon and Trump may not care about what these workers did; they may not get that it matters—probably because they don’t take commercial flights, or rely on Social Security benefits, or send their kids to public schools, or struggle to get health care, or have to worry about being scammed by predatory lenders.
    “But you know what? Regular people get it. Regular people understand their work has value, it has dignity, and it makes our lives better. And regular people also understand that mass firing people, like the workers we’ll hear from right now, will make their lives worse.
    “That may not be the narrative that Elon Musk and Donald Trump try to spin tonight for everybody. But it’s the truth, and it’s really important that people hear it.
    “And I am going to keep doing what I can to lift up our federal workers, help share their stories, warn people about what’s happening, what it will mean for our communities and our country, and really work hard to reverse the damage that’s happening so fast. 
    “So I really appreciate the workers who are on here tonight to share their personal stories. I know it’s been really traumatic and difficult for all of you, so thank you for coming on this evening.”

    WASHINGTON – U.S. Senators Bill Cassidy, M.D. (R-LA), Edward Markey (D-MA), and colleagues introduced the Children and Teens’ Online Privacy Protection Act (COPPA 2.0) to update online data privacy rules for the 21st century and ensure children and teenagers are protected online. COPPA 2.0 would stop the data practices fueling today’s youth mental health crisis.
    “Every kid has an iPad or smartphone. They’re going to use the internet. Parents should be confident they can do it safely,” said Dr. Cassidy. “COPPA 2.0 is the tool that will give parents the peace of mind they need and keep their children’s personal information secure.”
    “We need strong modern legislation that keeps pace with the ever-evolving digital landscape and creates a safer online environment by addressing the youth mental health crisis and protecting the personal information of our kids,” said Senator Markey. “Congress must finally pass my Children and Teens’ Online Privacy Protection Act to extend these protections to teenagers, block targeted advertising to kids and teens, and give parents of young people an eraser button to protect them from predatory data collection practices.” 
    COPPA 2.0 would:
    Ban targeted advertising to children and teens.
    Create an “Eraser Button” by requiring companies to permit users delete personal information collected from a child or teens.
    Establish data minimization rules to prohibit the excessive collection of children and teens’ data.
    Revise COPPA’s “actual knowledge” standard to close the loophole that allows platforms to ignore kids and teens on their side.
    Build on COPPA by prohibiting internet companies from collecting personal information from users who are 13 to 16 years old without their consent.

    Background
    In July 2024, the U.S. Senate passed the Kids Online Safety and Privacy Act, which included COPPA 2.0, by a 91-3 vote. Cassidy highlighted the passage of his bill to protect children’s privacy online in an op-ed for The Advocate. In September 2024, the U.S. House Energy and Commerce Committee passed COPPA 2.0. 
    In May 2023, Cassidy and Markey reintroduced COPPA 2.0, legislation that would update online data privacy rules for the 21st century to ensure children and teenagers are protected online. In July 2023, the U.S. Senate Commerce, Science, and Transportation Committee unanimously passed COPPA 2.0. In February 2024, U.S. Senators Maria Cantwell (D-WA) and Ted Cruz (R-TX), the Chair and Ranking Member of the committee, agreed to cosponsor COPPA 2.0.     Subject to legislative approval, the Government of Yukon is putting more money back in Yukoners’ pockets by introducing a new, increased rebate on residential electricity bills.

    Starting in October 2025, residential electricity consumers will see the new Winter Electrical Affordability Rebate automatically applied to their bills, replacing the Interim Electrical Rebate. The new rebate will increase to 3.377 cents per kilowatt hour, to a maximum of $33.77 per month, from October to March.

    On average, residential electricity customers have received a discount of approximately $178 per year through the current Interim Electrical Rebate. The new Winter Electrical Affordability Rebate will see Yukon residential ratepayers receive a discount of up to nearly $203 per year.

    This new rebate will be applied automatically to customers’ electricity bills from October to March, when electricity bills are highest.

    Budget 2025–26 allocates $3.85 million to the Winter Electricity Affordability Rebate, a $350,000 increase to the amount allocated to the Interim Electrical Rebate in Budget 2024–25.

    If approved by the Yukon Legislative Assembly, this will be the first budget increase for the electrical rebate since it was established in 2009.

    Washington, D.C. — Today, U.S. Senator Patty Murray (D-WA), Vice Chair of the Senate Appropriations Committee, held a virtual press conference with businesses and organizations across Washington state—from Bremerton, to Skagit County, to Vancouver, to Okanogan—who are being harmed by Trump’s ongoing illegal freezes on vast swaths of federal funding owed to Washington state and communities across the country, putting critical projects, jobs, and entire businesses at risk. Senator Murray has been raising the alarm nonstop and working to get out information on what Trump’s illegal funding freezes mean for people across the country since his Day One Executive Orders went into effect—these illegal Executive Orders are right now blocking hundreds of billions of dollars in funding from going out the door.

    “Despite what we may hear later tonight—the true state of our union is that Musk and Trump have ground it to a halt, by blocking important funding in total disregard of the law and total lack of concern over how their actions put American jobs at risk,” Senator Murray said on the press call today. “You won’t hear that from Trump tonight. But I can tell you—we are hearing it at my office, where the phones are still ringing off the hook with calls from business owners, farmers, workers, cities, Tribes, nonprofits, and so many other people who are seeing what this funding freeze means for the work they do, for the people they serve, and are desperate to raise the alarm. Trump and Musk may not want to hear about the damage they are causing—but I am not going to let them ignore it.”
    “Viva Farms is a Skagit and King County based nonprofit farm-business training organization and incubator farm with a 15-year history of success growing the next generation of farmers. Our main focus is economic development: supporting farmers on their path to viability while supporting the larger food and agricultural economy. And, as a training program, we are concerned with the next generation of farmers; who will grow our food for the future? Including Viva’s Team, dozens of farm owners and their employees, over 100 people earn their livelihoods directly through our work, and all of this is at risk because of the current funding freeze,” said Michael Frazier, Executive Director of Viva Farms, based in Skagit County. Right now, because of Trump’s Executive Orders and subsequent actions to recall contracted federal funding, Viva Farms’ future is uncertain—they are unable to access a total of about $5 million awarded, multi-year federal grants, $1 million of which was to be spent this year. The loss of these funds could be catastrophic to the future of Viva Farms and many of the farmers they serve.
    “Rural safety net programs for disaster relief, emergency assistance for basic needs, and job support are essential to the economic health of our entire community. The kind of programming that will run out of these facilities provide a safety net for working families and people in crisis. We hope to see the funding for these resiliency hubs come through soon,” said Rena Shawver, Executive Director of Okanogan County Community Action Council (OCCAC) in Okanogan, which supports working families and low-income residents with lifeline emergency services that help them get back on their feet. Right now, Trump’s Day One Executive Orders are blocking a $20 million Community Change Grant from the Environmental Protection Agency (EPA) for OCCAC from moving forward—this funding will create a Food Hub to store the county’s food for assistance programs, and a multipurpose Community Center in Omak that would house job-training, daycare, energy assistance, and other programs to help the community become more resilient to the effects of poverty and disasters. The award was announced in December 2024 and the facility has been in design and development for over a decade. EPA was working on the contract with OCCAC for the funds when the freeze occurred; OCCAC now has not heard from the EPA since January 24th.
    “We design and manufacture aluminum boats for coast guards, militaries, first responders. We’re a 100 percent employee-owned small business… Following the Executive Order that paused foreign assistance programs, we received stop work orders for all of our foreign military and security cooperation contracts that were issued through the State Department’s Bureau of International Narcotics and Law Enforcement (INL). The majority of those boats were already in production and partially completed. Then we received additional stop work orders for the Mark VI patrol boats that we’re currently building for Ukraine, as well as for all the weapons systems for the Island-class Coast Guard cutters that are being refurbished for Ukraine by another shipyard. The Ukraine contract was stopped even though we have four boats completely done, two more in production, and have ordered most of the long lead materials for the remaining two. And now we’re being asked questions that lead us to at least fear that it’s possible that that contract could be cancelled in its entirety… In total, about 90 employees out of our total of 300 have been affected by these stop work orders. And then probably the most serious immediate concern is that late last month, we were also notified that we were not going to be paid for the work that we had completed on these programs—our invoices were issued after the Executive Order, but prior to the stop work orders on these contracts. That policy affects several millions of dollars worth of invoices and is clearly contrary to the terms of our contracts,” said Richard Schwarz, CEO of Bremerton-based Safe Boats International. SAFE Boats’ operations have been significantly disrupted since Trump took office—the company was told to stop building ships for partnered countries and wait for a 90-day review before it can restore the manufacturing or before contracts are canceled. Six SAFE Boats contracts awarded by the Navy, State Department, and Coast Guard have been placed on hold.
    “After nearly 60 years of local organized labor leaders coming together and providing 170 affordable rental homes in Vancouver, Washington, to low- and extremely-low-income seniors, Smith Tower is in need of improvements to preserve the affordability and the structure for the next 60 years or more. Our government must ensure the predictable and timely delivery of funding commitments already made by HUD and EPA in order to avoid additional costs which could derail the project entirely and put at risk the stability and safety of these seniors’ homes and hundreds of jobs,” said Greg Franks, President of Manor Management Services, the management agency for Smith Tower in Vancouver, Washington. Smith Tower was awarded a $10 million loan through HUD’s Green and Resilient Retrofit Program in 2024, as well as an $11.5 million loan from EPA’s Greenhouse Gas Reduction Fund—this funding, although already awarded, is currently frozen by the Trump administration and at risk.

    “As we all know, President Trump is coming to Congress tonight to give what is called the State of the Union, but I don’t think it’s right to call it a State of the Union because he’s going to be really ignoring the state of emergency that he and Elon have created through a very reckless and illegal funding freeze, and massive cuts.
    “We have seen Trump put on this show before, and he is going to blow by the facts and reality of the harm that’s been caused, regardless of what’s actually happening—regardless of what’s actually happening, he’ll probably say that the state of the union is strong.
    “Maybe for billionaires like him and Elon Musk—but I will tell you, for families across the country, for our small businesses, for our farms and people in Washington state who are just trying to get by, he has made life harder and made things a lot worse.
    “He gave the richest man in the world the keys to the kingdom. And now, they’re cutting off funding that Congress, all of us, passed—and they’re doing it left and right.
    “This is not making us safer. It is not making us stronger. It’s causing chaos, and it is costing us jobs.
    “The illegal funding freeze is choking off funding for infrastructure and energy projects, investments to lower people’s electric bills.
    “It is grinding cancer research to a halt, as researchers now are being cut off from the funds that they need to do things like replenish their basic lab supplies.
    “It is putting our family farms and businesses in jeopardy, as farmers who took steps like installing solar panels, or upgrading their greenhouses—helping them save money while counting on federal assistance they were promised—they’re suddenly being stiffed by the billionaires who are now running the government.
    “The freeze is hurting our forests and our parks. It is endangering our families, as groups like the Northwest Youth Corp have to suspend their crews and interns because their funds have been frozen—even funds for work they had already completed!
    “It is hurting organizations like Safe Boats, which you will hear from in a minute. And they do the work that is critical to our national security—they will tell you about that—and now the Trump administration is really putting them in financial straits.
    “Not to mention Tribes across our state who are still waiting on funding they were owed.
    “Or in Waitsburg, Washington, where the frozen funding is risking their water main bursting—they can’t now get access a grant for a project to protect drinking water from flooding and earthquakes, wildfires and more. It is frozen; they can’t get to it.
    “So, despite what we are going to hear tonight here, the true state of our nation is that Musk and Trump have ground it to a halt because they are blocking important funding—in total disregard of the law, by the way—and total lack of concern over how their actions put Americans and American jobs at risk.
    “Probably won’t hear that from Trump tonight—but I can tell you, we are hearing it in my office. The phones are still ringing off the hook with calls from business owners, farmers, workers, cities, Tribes, nonprofits, so many people who are seeing what this funding freeze means for the work they are doing, for the people that they serve, and they are desperate to raise the alarm.
    “You know, this is not like turning a light switch on and off, no harm is done. This is like fighting a fire, one President Trump himself set—and as long as they ignore this problem, or worse, keep fanning the flames—the worse it is going to get.
    “Now, we have seen the impact we can have by speaking out. When everybody raising their voices and saying ‘we don’t want our country to be behaving like this.’ We have seen that if we raise the alarm, and raise our voices, and bring enough shame down on their heads—it is possible to get this administration to reverse the course.
    “But we also know, we’ve got to be loud. We’ve got to be clear about what is at stake.
    “They may not want to hear about the damage they are causing—but I am not going to let them ignore it.
    “That is why tonight I am holding this call, so we can lift up the stories of people who actually are on the receiving end of Trump and Musk’s devastating freeze and who can say a bit, tell us about what is at stake for them, their communities, our country, if we don’t get things back on track.
    “So I really appreciate all of you in coming on this today and sharing your stories so people understand what’s at stake and what’s happening to you.”

  • MIL-OSI Security: New Jersey Company Sentenced for Clean Water Act Violations that Caused Fish Kill in Cheshire, Will Pay $1 Million

    Marc H. Silverman, Acting United States Attorney for the District of Connecticut, and Kathryn Rivera, Acting Assistant Special Agent in Charge of EPA’s Criminal Investigation Division for New England, announced that NATIONAL WATER MAIN CLEANING COMPANY (“NWMCC”) was sentenced today by U.S. District Judge Kari A. Dooley in Bridgeport for a felony violation of the Clean Water Act (“CWA”) for knowingly discharging a pollutant into Cuff Brook while refurbishing a large culvert pipe in Cheshire, Connecticut, in July 2019.  The company’s unauthorized discharge of uncured geopolymer mortar killed more than 150 fish and contaminated Cuff Brook.

    Judge Dooley sentenced NWMCC to a term of federal probation with environmental conditions for three years, a $500,000 federal penalty, and a payment of $500,000 to the Connecticut Department of Energy and Environmental Protection (“CT DEEP”) to fund aquatic ecosystem enhancement projects in the South Central Coastal Watershed, where both Cheshire and Cuff Brook are located.

    NWMCC is based in New Jersey and owned by Carylon Corporation based in Chicago, Illinois.

    According to court documents and statements made in court, NWMCC had submitted the lowest bid and entered into a contract with the Town of Cheshire (“Cheshire”) to repair a decaying 11-foot culvert pipe underneath Marion Road.  Cheshire’s project specifications required that the work be done under dry conditions along with environmental controls to prevent uncured geopolymer mortar from leaking into Cuff Brook.

    With a Cheshire Department of Public Works (“DPW”) representative present each day, NWMCC began work on July 15, 2019.  However, from July 16 to July 18, 2019, NWMCC sprayed geopolymer mortar onto the culvert pipe without the mandated environmental controls.  On July 17, 2019, NWMCC crews continued to work despite heavy rain, which led to uncured geopolymer mortar seeping into Cuff Brook.  On July 18, 2019, a Cheshire resident with property abutting Cuff Brook observed dead fish and discolored water with an oily sheen in the brook, and smelled a chemical odor similar to lighter fluid.  CT DEEP responded and determined that NWMCC was responsible for the pollutant release, thereby killing more than 150 fish and contaminating the waterway.  CT DEEP estimated that Cuff Brook would not return to its prior state for three to five years.

    The government’s investigation revealed that NWMCC was aware that its environmental controls were deficient, but did not remediate these deficiencies during the project.  Although the company attempted to blame the pollutant release and fish kill on a single employee, the investigation showed that he had been inadequately trained, directed to complete the job in an unrealistic timeframe, and was never informed that the uncured geopolymer mortar was hazardous to the environment.

    The investigation also revealed that NWMCC lacked a meaningful and comprehensive environmental training program for its employees, particularly with respect to the CWA, even though NWMCC’s core business is repairing and rehabilitating infrastructure that interfaces with public waterways.  In addition, NWMCC’s bonus policy incentivized site supervisors and executives to push their work crews to perform projects quickly and maximize the number of jobs completed.  At the time of Cheshire project, NWMCC was operating under a Code of Conduct as part of a 2014 settlement with the Massachusetts Attorney General’s Office to resolve civil allegations involving environmental pollution. 

    NWMCC pleaded guilty to the offense on January 17, 2025.

    This matter was investigated by the U.S. Environmental Protection Agency – Criminal Investigation Division with the assistance of the Connecticut Department of Energy and Environmental Protection and the Connecticut Office of the Attorney General.  The case was prosecuted by Assistant U.S. Attorney Hal Chen with the assistance of EPA Regional Criminal Enforcement Counsel Man Chak Ng.

  • MIL-OSI New Zealand: Energy – Private sector joins up to unlock new, large scale clean energy generation

    A new private sector-led initiative is aiming to boost the number of multi-million-dollar power deals in New Zealand’s corporate sector, increasing clean energy capacity, and enhancing energy security.
    The collaboration between the BusinessNZ Energy Council, Sustainable Business Council, EVAmarketplace, the Employers and Manufacturers Association, and DLA Piper is raising industry awareness of the potential of Power Purchase Agreements (PPAs) in New Zealand and exploring new tools to support uptake.
    PPA agreements involve pre-purchasing power over a 10-20 year-period by medium to large energy users, including manufacturers, commercial buildings and others.
    Tina Schirr, Executive Director at the BusinessNZ Energy Council, says the agreements make new generation more commercially viable by incentivising the development of new renewable projects and will help give certainty to business customers.
    “Aside from security of supply, businesses are also looking to reduce their carbon footprint to help meet demand from their customers and meet 2030 targets,” said Schirr.
    “Significant reductions in costs are possible too – but you have to ride out the ups and the downs.”
    The market has been on the rise in Europe for some time with deal count peaking at 272 published PPAs in 2024, representing a 65% increase from 2022.
    Tom Metcalfe, a senior lawyer in DLA Piper’s international renewables practice, offered insights on growth in the European market at a recent industry meeting. Hosted by the Employers and Manufacturers Association, the workshop was attended by more than 100 participants from across the energy sector.
    “We have seen volatility in energy prices lead to a sharpened focus on energy procurement strategies and the potential benefits of price hedges in the European market. There is clearly potential for New Zealand too against a backdrop of high wholesale power prices,” said Metcalfe.
    “Another important part of the PPA market is the sale and purchase of environmental attribute certificates. So having a robust system for the transfer of traceable certificates is key.”
    Mark Williamson, Partner at DLA Piper in New Zealand, highlighted additional drivers for the growing momentum of PPAs globally.
    “Regulatory incentives, and corporate sustainability commitments have also contributed to the uptake in Europe,” said Williamson.
    “These agreements are proving to be a key mechanism for unlocking large-scale renewable energy projects, and a vital part of achieving the Government’s goal to double New Zealand’s renewable electricity generation.”
    Antonia Burbidge, Head of Climate and Nature at the Sustainable Business Council, said there are some successful local examples of large-scale, long-term deals currently in play domestically.
    “Lodestone Energy for example, has been a market leader,” said Burbidge.
    “It is fantastic to see information sharing happening related to process, for example, the need for early engagement with lenders. In other cases, it’s what you can expect in terms of outcomes such as reporting or helping achieve Scope 1, 2, and even Scope 3 emissions targets – which has been tricky territory for many.”
    Off the back of the industry workshop new resources including a legal template are underway to support market delivery.
    “Our next step is a standardised corporate PPA template to simplify the process and reduce legal costs – a common barrier to entry. This is expected to increase market liquidity, and could significantly benefit New Zealand’s economy,” said Schirr.
