  • MIL-OSI Europe: Press release – Wolves: MEPs agree to change EU protection status

    Parliament has changed the EU’s wolf protection status from ‘strictly protected’ to ‘protected’, to align it with the Bern Convention.

    With 371 votes for, 162 against and 37 abstentions, Parliament supported the Commission’s proposal for a targeted change of the Habitats Directive to align the EU wolf protection status with the Bern Convention, lowering it from ‘strictly protected’ to ‘protected. The Commission’s proposal to alter the protection status of wolves in the EU came following a push from Parliament for it.

    Member states will now have greater flexibility in managing their wolf populations to improve coexistence with humans and to minimise the impact of a growing wolf population in the EU. They will also be better able to take measures that are adapted to particular regional circumstances.

    Member states must continue to ensure the wolf’s favourable conservation status and may continue to list the wolf as a strictly protected species in national legislation, and to have stricter measures in place for its protection.

    Next steps

    Parliament agreed on Tuesday to deal with the file under its urgent procedure. To enter into force, the draft law now requires formal approval by the Council, which endorsed the same text on 16 April 2025. The directive will enter into force 20 days after it has been published in the EU Official Journal. Member states will then have 18 months to comply.

    Background

    According to the Commission, there are over 20,000 wolves in Europe, and their populations and ranges are growing. This conservation success story has however led to increasing conflicts with human activities in some regions, in particular concerning livestock.

  • MIL-OSI Europe: Highlights – Joint SEDE-TRAN Public Hearing on Military Mobility – Committee on Transport and Tourism

    The Committee on Transport and Tourism (TRAN) and the Committee on Security and Defence (SEDE) will jointly hold a public hearing on “Military Mobility” on Wednesday 14 May.

    The aim of this hearing is to get high-level expert views about the state of play and future prospects of Military Mobility in the EU, with a view to collect additional inputs for the upcoming TRAN-SEDE own-initiative report on the subject.

    The hearing will take place from 14.30 to 17.00 in room ANTALL 4Q2 from where it will be webstreamed.

  • MIL-OSI Europe: Highlights – Presentation of the review of the implementation of HERA operations – Committee on Public Health

    On 14 May, SANT Members will hear the presentation of the first review of HERA, the Health Emergency Preparedness and Response Authority. It will be followed by the debate on areas of improvement and challenges to address of this first and early review.

    HERA was created as an urgent measure during the Corona pandemic. Today we will discuss what HERA has achieved in response to health threats and in improving preparedness regarding EU health policies.

    The President made a statement to mark the 80th anniversary of the end of World War II in Europe.

    António Costa (President of the European Council), Robert Chot (Member of the Belgian Royal National Federation of War Volunteers), Janusz Komorowski (President of the Polish Association of Home Army Soldiers) and Janusz Maksymowicz (Vice-President of the Warsaw Uprising Insurgents Association), addressed the House.

    The House stood for the European anthem performed by soprano Francesca Sorteni, accompanied by Thomas Gautier and Claire Rigaux on violin, Marie Viard on cello and Emma Errara on viola.

    The Committee on Transport and Tourism (TRAN) and the Committee on Security and Defence (SEDE) will jointly hold a public hearing on “Military Mobility” on Wednesday 14 May.

  • MIL-OSI Europe: France: EIB and Groupe BPCE sign an agreement to provide €200 million in support for French agricultural businesses

    • Through an intermediated loan to the BPCE banking group, this operation will help to finance investments made by small businesses and mid-caps in the farming and bioeconomy sectors in France.
    • It will provide special support to young farmers, helping to address one of the most urgent challenges facing the French farming sector.
    • This is the first operation signed by the EIB in France as part of the €3 billion package set up in 2024 to support agricultural businesses.

    The European Investment Bank (EIB) and the BPCE banking group have signed an agreement to mobilise €200 million in loans for small and medium-sized enterprises (SMEs) and mid-caps in the French farming and bioeconomy sectors. This is the first operation that the EIB has signed in France as part of the €3 billion package it approved in 2024 to support businesses in the farming sector.

    The particular focus of this operation is to meet the specific needs of young farmers, thus facilitating the creation of new holdings and the takeover of existing ones. It will help to sustain and create jobs in rural communities by encouraging people to stay in those areas. The operation will help residents to purchase and modernise farms and to invest in sustainable technologies.

    “We are delighted to sign this agreement with Groupe BPCE. It is the first in France as part of the EIB’s €3 billion package to support agricultural businesses, with an emphasis on young farmers. The aim of this operation is to provide affordable and tailored financing to support the agricultural sector on its path to a more sustainable and resilient future,” said EIB Vice-President Gelsomina Vigliotti, who is responsible for operations in the agricultural sector.

    “Thanks to our long-standing partnership with the EIB, we have a credit envelope of €200 million dedicated to the farming and winegrowing sectors. The Banques Populaires and the Caisses d’Epargne will thus be stepping up their support for young farmers, winegrowers and new entrants, encouraging the renewal of generations, which is essential to the vitality of our regions. At the same time, we are committed to supporting projects aimed at accelerating the transition to sustainable agriculture”, added Cédric Glorieux, Director of Products and Solutions, Banque Populaire and Caisse d’Epargne.

    Present at the signing of the agreement in Brussels, as part of the conference on the vision for Agriculture and Food organised by the European Commission the european commissioner for agriculture and food Christophe Hansen welcomed the agreement : “”When launching the €3 billion package last December, the European Commission and the EIB set a clear aim: to support the EU’s agricultural priorities by facilitating generational renewal in a sector that encounters various hurdles in access to finance, and driving the ecological transition in rural areas. Today’s signature is a testament to the essential role these funds play in the agriculture and bioeconomy sectors. We remain committed to meeting the needs of our farmers.”

    Almost all of this finance will be allocated to projects in regions that fall within the scope of European cohesion and transition programmes. In addition, 30% of the funds will be dedicated to projects helping to promote climate action, efficient water use and biodiversity protection. These projects will involve energy-efficient irrigation systems, solar panel installation, low-carbon machinery, soil regeneration, and sustainable resource management. Thanks to the EIB’s operation, SMEs and mid-caps will be able to access loans with more favourable financing conditions and repayment deadlines that are adapted to the business cycle of their investments.

    The imposition of a fine on the ticket management company at the Colosseum for fabricating shortages in order to resell tickets at higher prices constitutes the tip of the iceberg of the commercialisation of culture in the EU. Such practices are direct consequences of the long-standing direction of the EU and governments – including New Democracy in Greece – whose latest development is called the ‘European agenda for culture’.

    In Greece, by the same token, priority for visiting the Acropolis area is given to groups of tourists from large tourist agencies and cruise ships, who – as is well known – visit the Acropolis early in the morning, while school students, who have free entry and do not generate profits, are excluded during these hours.

    At the same time, the Government has awarded, under a contract worth EUR 11 million, the management of tickets for the archaeological sites of Knossos, Ancient Olympia and Epidaurus to private individuals for the next two years. Emblematic archaeological sites, such as the Acropolis, the Temple of Poseidon at Sounion and others, are being given over for advertising campaigns, fashion shows and other lifestyle events.

    What is the Commission’s position on the fact that the ‘European Agenda for Culture’ and, more generally, the policy of the EU and governments, by promoting so-called ‘participatory financing’ and public-private partnerships, are turning culture into a profitable and competitive field for business groups and into an extremely expensive and inaccessible ‘commodity’ for the people?

    The European Investment Bank (EIB) and Santander have signed a €400 million financing operation to boost investment in small and medium-sized enterprises (SMEs) and mid-caps, as well as to support the agricultural sector in Portugal. The operation aims to improve access to finance for companies operating in strategic sectors, with a view to accelerating development in the agricultural sector and to supporting cohesion regions.

    The operation includes €75 million to be allocated specifically to the agricultural sector under the Pan-European Agricultural Programme. An EIB initiative, this programme aims to strengthen farming and the bioeconomy in Europe, which is one of the EIB’s eight core priorities.

    At least 10% of this amount will support young and newly established farmers. The financing will also be available for the purchase of agricultural land. This is the first operation that the EIB has signed under the €3 billion package launched in 2024 to support businesses in the agricultural sector, with a particular focus on companies led by young entrepreneurs.

    The remaining €325 million will be used to finance SMEs and mid-caps in Portugal. It is expected that around 60% of this figure will be allocated to cohesion regions, promoting economic development in areas where credit is less accessible, and encouraging businesses to modernise.

    “This financing agreement reinforces the EIB’s commitment to sustainable economic growth, ensuring that SMEs and the agricultural sector have access to favourable financing conditions,” said EIB Director-General and Head of Operations Jean-Christophe Laloux. “By supporting young farmers and innovative projects, we are helping to make the Portuguese economy more resilient and competitive.”

    Santander Portugal Executive Board Member Amílcar Lourenço added: “It is with great commitment to our companies that we have concluded yet another agreement with the EIB.     Various forms of centralised p rocurement of medical countermeasures create the possibility for participating Member States to benefit from collective bargaining power, and — in cases of limited supply — to avoid competition between Member States. This ensures equitable access to medical supplies and promotes cost efficiency.

    Should the participating Member States agree to the exclusivity of a centralised procurement, as was the case for COVID-19 (advanced) purchase agreements, this further strengthens their negotiation position.

    During preparedness mode, joint procurement of medical countermeasures is conducted by the Commission to enhance preparedness and response against serious cross-border health threats based on Regulation (EU) 2022/2371[1].

    This collaborative approach helps to reinforce the individual capabilities of each country while strengthening the overall resilience of the EU’s public health response mechanisms.

    Participation in joint procurement and other forms of centralised procurement is voluntary for the participating countries, thus fully preserving the competence of the Member States to organise their national health services and medical care, as prescribed by Article 168(7) Treaty on the Functioning of the European Union (TFEU).

    P ossible restrictions to parallel procurement and negotiation activities by the participating countries for the medical countermeasure in question are only possible if the Parties to the Joint Procurement Agreement agree to such restrictions.

    The division of competences between the Commission and the Member States is based on TFEU and remains unchanged. A recent Commission Communication[2] provides an overview of the actions undertaken in the area of health policy.

  • MIL-OSI Europe: A breath of fresh air powered by science

    “As scientists, we have a strong commitment to creating practical solutions that can contribute to a better future for all people,” says Aleksandar Rodić, head of the Centre for Robotics at the institute and one of the purifier’s designers. “This is why we’ve developed an ad-hoc technical solution aimed at mitigating pollution in large urban areas.”

    Pollution in Belgrade is exacerbated by a nearby coal-fired power plant, which provides close to half the country’s electricity. The city also has many industrial plants and dense road traffic. Air pollution is a leading cause of mortality, diseases and respiratory illnesses in the country. According to estimates, around 7,000 residents in Serbia are diagnosed with lung cancer annually, mainly because of smoking and the air pollution.

    Addressing the causes of a city’s air pollution requires substantial long-term investments in cleaner power generation and road traffic. The new air purifier, however, offers immediate improvements at a much lower cost, Rodić says. “Such solutions are also scalable, allowing for replication throughout the region and beyond,” he says.

    The purifier was supported by the EU for Green Agenda in Serbia initiative. It received technical and financial assistance from the European Union, with additional funding from Sweden, Switzerland and Serbia. The initiative is implemented by United Nations Development Programme and the Serbian Ministry of Environmental Protection, in cooperation with Sweden and the European Investment Bank. The EIB is providing technical assistance to banks and businesses for many green innovations like this one.

    Under the Green Agenda initiative, the air purifier project received €44 000 from the European Union to build a pilot filtration system at the Ušće Shopping Center in Belgrade. The system includes two air purifiers and the wind and kinetic energy devices that generate green electricity to run the filtration systems.

    Serious concerns arise when individuals with critical health conditions, such as Ms Esila Ayık, are detained in conditions that may endanger their lives, in violation of international human rights standards to which Türkiye has committed itself, including under the European Convention on Human Rights and the International Covenant on Civil and Political Rights.

    The European Union has consistently emphasised the importance of respect for human rights, the rule of law and democratic values in its relations with Türkiye.

    In the light of these worrying developments:

    Turkish President Tayyip Erdoğan will travel to the illegally Turkish-occupied territories of Cyprus on the weekend of 3-4 May 2025 to inaugurate the illegal separatist entity’s new so-called ‘presidential’ palace. In addition, as he himself stated, he will announce new investments in the occupied territories, while according to reports he is ready to announce the renaming of the pseudo-state to the ‘Turkish Republic of Cyprus’.

    We remind the Commission, in relation to the Cyprus issue, that Cyprus joined the EU in its entirety. Protocol 10 of the Accession Treaty provides for the suspension of the application of the acquis in areas of the Republic of Cyprus in which the Government does not exercise effective control.

    Accordingly:

    • 1.Will the Commission condemn the provocative presence of the Turkish President in the occupied territories of Cyprus and the creation of new illegal faits accomplis in the pseudo-state?

    The risk from rising sea levels is visible and increasing all the time. The problem affects coastal areas either through frequent flooding or by a gradual increase in soil salinity, affecting crops and eroding infrastructure, a dangerous reality in the case of coastal roads. The rise in the level depends on the level of global warming, a matter on which, as things stand, no international/interstate agreement can be reached in order to identify joint solutions.

    For Greece, with a predicted temperature increase of 3°C by 2100, the sea level is expected to rise by 0.5 to 0.7 metres, with the possibility of a greater rise due to vertical land displacements. Significant Greek scientific studies warn that as early as 2050, at least ten regions of the country will face serious problems. The impacts include the loss of arable land, degradation of water quality and the need to relocate infrastructure and – possibly – populations. It is considered necessary that studies are carried out and measures put in place before these consequences occur.

    In view of the above:

    • 1.Does the Commission have or does it intend to pursue a detailed mapping of the impacts, in order to support policy choices by the affected Member States and affected citizens?
    • 2.Does the Commission have a framework for the preparation of forecast studies and adaptation/coping measures for those affected and local authorities in coastal areas?
    • 3.Does the Commission intend to propose new financial frameworks to local authorities for investments to facilitate their adaptation?

    The European Union is failing to secure its external borders, while irregular migration flows are rising dangerously. Instead of acting as a deterrent, FRONTEX remains cumbersome, largely ineffective and lacking in effective operational power. Frontline Member States, such as Greece, are basically tackling a European crisis alone. The Commission should clarify whether it really intends to strengthen FRONTEX or whether it will continue to sacrifice European security in the name of ‘solidarity’ without borders.

    In light of the above, can the Commission answer the following:

    • 1.To what extent does it consider that FRONTEX is adequately fulfilling its role of defending external borders, especially in light of the recent tensions in Evros, the Canary Islands and the Mediterranean?

    In accordance with the EU marine action plan[1], the Member States had to submit roadmaps by March 2024 to present the national measures and joint fisheries recommendations needed to meet the action plan’s objectives and support the EU 2030 biodiversity strategy. According to a recent analysis[2], only nine countries have submitted their roadmaps, and while some Member States have taken steps in some marine protected areas (MPAs), none have plans to phase out destructive fishing practices in MPAs by 2030. A recent study found that 80 % of EU MPAs barely regulate harmful human activities[3], suggesting possible breaches of EU law.

    In view of the above:

    • 1.Has the Commission evaluated the roadmaps submitted by the Member States against the objectives of the plan, and can it specify when it will present an implementation assessment?
    • 2.What action is the Commission taking with regard to those Member States who have not yet sent a roadmap, and how is the Commission ensuring that the Member States will submit their roadmaps as soon as possible?
    • 3.At this stage, does the Commission consider that additional measures or proposals might be necessary to ensure the achievement of its objectives?

  • MIL-OSI Security: Met Police continues clampdown on tool theft across London

    Met officers have seized around half a million pounds worth of suspected stolen tools following a proactive policing operation at a car boot sale in east London.

    Local officers made six arrests and recovered around 1,500 tools worth £150,000 at the Warren Farm Bonzer Boot Sale in Romford. A further 159 tools were seized during another search at a property in Hackney.

    The intelligence-led activity was carried out in response to concerns from tradespeople about tool theft and is part of the Met’s continued focus on tackling the crimes that matter most to Londoners.

    Inspector Mark Connolly, from the Met’s Havering Safer Neighbourhood Team who led the operation, said:

    “We know tool theft has a significant impact on tradespeople and we’re working hard across the Met to tackle it through targeted operations like this and prevention, such as holding tool marking events and issuing advice on keeping vehicles secure.

    “While victims have their livelihoods disrupted, organised crime groups are making huge sums of money from selling on suspected stolen tools and we won’t stand for it.

    “This is the second operation of this kind we’ve carried out over the past month and we will continue to take action against those who make the lives of Londoners a misery through this type of offending.”

    Among the items recovered were three surveillance systems used to monitor earth and infrastructure movements each worth more than £30,000, a device used to measure ground depth worth around £20,000, and a motorised heist worth £17,000.

    Met officers were also joined by partners including Havering Council’s trading standards team at the operation on Thursday, 1 May.

    Councillor Ray Morgon, Leader of Havering Council, added:

    “This is once again excellent work from our trading standards team working in partnership with police and other partners.

    “Illegal and harmful products have been taken off the streets in our borough as a result of this operation. I know there has been a lot of work to get this result, so I thank everyone involved.

    “It’s our aim to help keep our residents safe and we want to continue to crackdown on a crime that is often hiding in plain sight in venues such as car boot sales and our town centres. That is why we will continue to take the strongest action we can against those trying to sell these harmful and illegal products and work with the police to bring them to justice.”

    Four men and two women, aged between 25 and 60 and from Hackney, Newham and Kent, were arrested on suspicion of handling stolen goods. They have since been bailed while officers carry out further enquiries.

    Tradesperson and social media influencer Shoaib Awan, widely known as The Gas Expert, said:

    “As a tradesperson who has invested years in education, training and building a business, repeated incidents of tool theft are not only demoralising, but financially crippling, and is forcing many to walk away from their respective trades.

    “I fully support the great work the Met Police is doing to crack down on this type of illegal activity and I’ll continue to work with them alongside our partners to bring down the organised crime groups and people who have a complete disregard for the law and their victims.”

    The activity is part of the Met’s continued crackdown on tool theft which last month resulted in around £50,000 worth of suspected stolen tools being recovered from a car boot sale in Rainham.

    Officers will work over the coming weeks to identify the tools and trace their original owners.

    Any tradespeople or those in possession of power tools are advised to mark their property, take photographs, and record serial numbers so that, in the event of theft, officers have more chance of returning property.

    RISK MANAGEMENT

    Berry utilizes hedges to manage commodity price risk, protect the balance sheet and ensure cash flow to fund its annual capital program. In April 2025, the Company strategically raised the average oil hedge price in 2026 and 2027 by $6 per barrel on 2.3 MBbls/d by converting most of its Brent collars and all purchased puts into swaps to provide additional protection in the current volatile pricing environment.

    Based on the midpoint of Berry’s 2025 full year oil production guidance and its hedge book as of May 2, 2025, the Company has 73% of its estimated oil production volumes hedged for the remainder of 2025 at an average price of $74.69/Bbl of Brent, and 63% of oil production (assuming the midpoint of 2025 annual guidance) hedged for 2026 at $69.42/Bbl. Berry has gas purchase hedges for approximately 80% of its expected gas demand for the remainder of 2025, with an average swap price of $4.24/MMBtu.     Natural gas prices and differentials are strongly affected by local market fundamentals, availability of transportation capacity from producing areas and seasonal impacts. Our key exposure to gas prices is in costs. We purchase substantially more natural gas for our California steamfloods and cogeneration facilities than we produce and sell in the Rockies. In May 2022, we began purchasing most of our gas in the Rockies and transporting it to our California operations using the Kern River pipeline capacity. Beginning in 2025, we purchased approximately 43,000 mmbtu/d in the Rockies (48,000 mmbtu/d prior to this change), with the remaining volumes purchased in California markets. Gas volumes purchased in California fluctuate, and averaged 4,000 mmbtu/d in the first quarter of 2025, 3,000 mmbtu/d in the fourth quarter of 2024 and 5,000 mmbtu/d in the first quarter of 2024. The natural gas we purchased in the Rockies is shipped to our operations in California to help limit our exposure to California fuel gas purchase price fluctuations. We strive to further minimize the variability of our fuel gas costs for our steam operations by hedging a significant portion of our gas purchases. Additionally, the negative impact of higher gas prices on our California operating expenses is partially offset by higher gas sales for the gas we produce and sell in the Rockies. The Kern River pipeline capacity allows us to purchase and sell natural gas at the same pricing indices.

    NON-GAAP FINANCIAL MEASURES AND RECONCILIATIONS

    Adjusted EBITDA is not a measure of either net income (loss) or cash flow, Free Cash Flow is not a measure of cash flow, Adjusted Net Income (Loss) is not a measure of net income (loss), and Adjusted General and Administrative Expenses is not a measure of general and administrative expenses, in all cases, as determined by GAAP. Rather, Adjusted EBITDA, Free Cash Flow, Adjusted Net Income (Loss), and Adjusted General and Administrative Expenses are supplemental non-GAAP financial measures used by management and external users of our financial statements, such as industry analysts, investors, lenders and rating agencies.

    We define Adjusted EBITDA as earnings before interest expense; income taxes; depreciation, depletion, and amortization; derivative gains or losses net of cash received or paid for scheduled derivative settlements; impairments; stock compensation expense; and unusual and infrequent items. Our management believes Adjusted EBITDA provides useful information in assessing our financial condition, results of operations and cash flows and is widely used by the industry and the investment community. The measure also allows our management to more effectively evaluate our operating performance and compare the results between periods without regard to our financing methods or capital structure. We also use Adjusted EBITDA in planning our capital expenditure allocation to sustain production levels and to determine our strategic hedging needs aside from the hedging requirements of the 2024 Term Loan and 2024 Revolver.

    We define Free Cash Flow as cash flow from operations less capital expenditures. We use Free Cash Flow as the primary metric to measure our ability to pay dividends, pay down debt, repurchase stock, and make strategic growth and bolt-on acquisitions. Management believes Free Cash Flow may be useful in an investor analysis of our ability to generate cash from operating activities from our existing oil and gas asset base after capital expenditures and to fund such activities. Free Cash Flow does not represent the total increase or decrease in our cash balance, and it should not be inferred that the entire amount of Free Cash Flow is available for dividends, debt repayment, share repurchases, strategic acquisitions or other growth opportunities, or other discretionary expenditures, since we have mandatory debt service requirements and other non-discretionary expenditures that are not deducted from this measure.

    We define Adjusted Net Income (Loss) as net income (loss) adjusted for derivative gains or losses net of cash received or paid for scheduled derivative settlements, unusual and infrequent items, and the income tax expense or benefit of these adjustments using our statutory tax rate. Adjusted Net Income (Loss) excludes the impact of unusual and infrequent items affecting earnings that vary widely and unpredictably, including non-cash items such as derivative gains and losses. This measure is used by management when comparing results period over period. We believe Adjusted Net Income (Loss) is useful to investors because it reflects how management evaluates the Company’s ongoing financial and operating performance from period-to-period after removing certain transactions and activities that affect comparability of the metrics and are not reflective of the Company’s core operations. We believe this also makes it easier for investors to compare our period-to-period results with our peers.

    We define Adjusted General and Administrative Expenses as general and administrative expenses adjusted for non-cash stock compensation expense and unusual and infrequent costs. Management believes Adjusted General and Administrative Expenses is useful because it allows us to more effectively compare our performance from period to period. We believe Adjusted General and Administrative Expenses is useful to investors because it reflects how management evaluates the Company’s ongoing general and administrative expenses from period-to-period after removing non-cash stock compensation, as well as unusual or infrequent costs that affect comparability of the metrics and are not reflective of the Company’s administrative costs. We believe this also makes it easier for investors to compare our period-to-period results with our peers.

    While Adjusted EBITDA, Free Cash Flow, Adjusted Net Income (Loss), and Adjusted General and Administrative Expenses are non-GAAP measures, the amounts included in the calculation of Adjusted EBITDA, Free Cash Flow, Adjusted Net Income (Loss), and Adjusted General and Administrative Expenses were computed in accordance with GAAP. These measures are provided in addition to, and not as an alternative for, income and liquidity measures calculated in accordance with GAAP and should not be considered as an alternative to, or more meaningful than income and liquidity measures calculated in accordance with GAAP. Certain items excluded from Adjusted EBITDA are significant components in understanding and assessing our financial performance, such as our cost of capital and tax structure, as well as the historic cost of depreciable and depletable assets. Our computations of Adjusted EBITDA, Free Cash Flow, Adjusted Net Income (Loss), and Adjusted General and Administrative Expenses may not be comparable to other similarly titled measures used by other companies. Adjusted EBITDA, Free Cash Flow, Adjusted Net Income (Loss), and Adjusted General and Administrative Expenses should be read in conjunction with the information contained in our financial statements prepared in accordance with GAAP.

    Leverage Ratio is a non-GAAP financial measure, which is used by management and external users of our financial statements to evaluate the financial condition of the Company. It is calculated as net debt divided by Adjusted EBITDA (defined above) for the most recently completed 12-month period. Net debt is calculated as long-term debt (from our 2024 Term Loan and 2024 Revolver), including the current portion and excluding unamortized discount and debt issuance costs, less unrestricted cash and cash equivalents. Management believes that Leverage Ratio provides useful information to investors because it is widely used by analysts, investors and ratings agencies in evaluating the financial condition of companies.

    As a result of operating evaluations, market volatility and price declines we recorded a non-cash pre-tax asset impairment charge of $158 million ($113 million after-tax) on one of our non-thermal diatomite proved properties in California for the three months ended March 31, 2025. We believe our current plans and exploration and development efforts will allow us to realize the carrying value of our unproved property balance at March 31, 2025.

    E&P OPERATING COSTS

    Overall, management assesses the efficiency of our E&P operations by considering core E&P operating costs. The substantial majority of such costs is our lease operating expenses (“LOE”) which includes fuel gas, purchased power, labor, field office, vehicle, supervision, maintenance, tools and supplies, and workover expenses. A core component of our E&P operations in California is steam, which we use to lift heavy oil to the surface. The most significant cost component of generating steam is the fuel gas purchased to operate traditional steam generators and our cogeneration facilities.

    The following table includes key components of our LOE as well as the gas purchase hedge effect of the fuel used in our steam generation. Energy LOE consists of the costs to generate the steam and electricity we produce and use in our operations and the power we purchase for our E&P operations. Non-energy LOE consists of all other LOE costs. Energy LOE – hedged includes the realized (cash settled) hedge effects on the fuel gas we purchase. LOE – hedged includes the realized (cash settled) hedge effects on our total LOE.
